Procedures and processes according to which an organisation is directed and controlled. The corporate governance structure specifies the distribution of rights and responsibilities among the different participants in the organisation such as the board, managers, shareholders and other stakeholders and lays down the rules and procedures for decision-making.

Mr. Amarnath Shetty and Mr. Jaganath Shetty own LDS InfoTech. They both have 100 shares each of the company. Mr. Amarnath Shetty is the Managing Director in the company whereas Mr. Jaganath Shetty, an equal shareholding director has a passive role in the company. The company has a business development manager whose role is to manage queries for orders and the expansion matters of the company. A technical head manages the technical department of the company. Regional managers manage the company offices in Bangalore and Pune. All these managers report to the managing director directly.
