DAILY DEAL PARTNERSHIP AGREEMENT

The following is an online marketing agreement between ______________________________________________ located in Riverside County, hereinafter known as Merchant and Taste of Temecula located at 24909 Madison Ave, Murrieta, Ca 92562, hereinafter known as the Daily Pairing, on Daily Pairing Website, and Daily Pairings th technology partner Collar Free Inc dba Deal Current located at 3611 30 St., San Diego, CA 92104, hereinafter known as Deal Current.

Term, Termination, and Voucher Definition The following is a Marketing Agreement to run a Email Marketing Campaign offer is as follows and agreed upon by Merchant _____________________________________________________________ and Run Date will be chosen by Daily Pairing when the offer description is agreed upon by Daily Pairing and Merchant. Consumers will then have the opportunity to purchase this offer on the Run Date and in exchange will receive a Voucher via email. The Voucher is an equivalent value to the offer marketed by Daily Pairing for Merchant and is valid the day following the Run Date. The terms of this Agreement are from the date this Agreement is signed by both parties for a period of six (6) months or until the expiration date of the Voucher offered by the Merchant, whichever is longer. Merchant acknowledges that Daily Pairing may terminate the publication or promotion of the Voucher at any time. Merchant is required to honor all Vouchers and terms of this Agreement until the expiration date of the Voucher offered or all Vouchers sold are redeemed. This Agreement will automatically terminate and payments due will be forfeited if Merchant fails to redeem any or all Vouchers.

Revenue and Commission Schedule There are no upfront fees for the Merchant to run an offer solicited and marketed by the Daily Pairing. The following schedule shows the division of revenue between the Merchant and Daily Pairing for the price at which each Voucher is sold. The revenue program is tiered not cumulative. So if an offer has 600 sales, the first 300 (0-300) sales are divided up 50/50, the next 300 (301-600) are divided up 55/45. The final 100 (601+) are divided up 60/40 respectively. * CC Fees of 2.5% are deducted from gross revenue before revenue is split 3. Payment Payments for owed Merchant Revenue based up on the above schedule in point two (2) will be paid in two payments. A check for fifty percent (50%) of owed Merchant Revenue less credit card fees will be mailed within one week after the offer date and should be received within 5-7 business days after the deal runs. A check for the final fifty percent (50%) less credit card fees and less customer charge backs will be mailed within thirty (30) days after the offer date and should be received within 5-7 business days after 30 days after the deal runs. Exclusivity Merchant acknowledges that it is prohibited from marketing the same or similar offer with another daily deal company for a period of 90 days following the Run Date of this agreement.

5. Independent Contractor Merchant is an independent contractor. Nothing in this Agreement will be construed or implied to create a relationship of agency, affiliates, joint employers, or joint ventures between the parties. Neither Merchant, nor Merchants employees and agents are or will be deemed for any purpose to be employees of Daily Pairing, its parent, affiliates, or technology Daily Pairing Deal Current. Daily Pairing or Deal Current will not be responsible to Merchant and agents or any governing body for any taxes related to the performance of services under this agreement. Merchant will be solely responsible for payment and withholding of all income, employment, sales and use taxes, and other taxes related to its business and the rendering of the services and will indemnify, defend and hold Daily Pairing and Deal Current harmless from any claims, damages, and payments with respect thereto. All fees, costs and expenses incurred by Merchant relating to the honoring of Vouchers and this Agreement will be the sole responsibility of Merchant. 6 Limitation of Liability EXCEPT WITH RESPECT TO THEIR RESPECTIVE INDEMNIFICATION OBLIGATIONS HEREUNDER, UNDER NO CIRCUMSTANCES SHALL ANY PARTY OR ITS AFFILIATES BE LIABLE TO ANY OTHER PARTY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS. Representations and Warranties Each party represents and warrants that it has the necessary and full right, power, authority and capability to enter into this agreement and to perform its obligations hereunder; that it owns or controls the rights granted or licensed to the other party herein; that the execution and performance of its obligations under this Agreement will not violate any known rights of any third party, any commitments or any applicable federal, state and local law or regulation; and that to its knowledge the marks, logos and intellectual property licensed to the other party herein do not violate the proprietary rights of a third party. Merchant is registered for sales and use tax collection purposes in all states in which Merchant's goods and services will be provided pursuant to the terms and presentation of the Voucher; and (c) the Voucher, upon being Activated and delivered by Deal Current on behalf of Daily Pairing shall be available immediately for redemption by purchaser. Merchant further agrees to comply with the Voucher terms and conditions as set forth on the Daily Pairing Website and by Deal Current, and to comply with any State or Federal laws that govern.
