VENDOR AGREEMENT
THIS VENDOR AGREEMENT (the Agreement) is made on (DATE)_____________, by and between Francenia Wilkins-Event
Producer Contact Elegant Producton Events (hereinafer the Event Organizer) and ___________________ Contact/
Signing Agent (hereinafer the Vendor). WHEREAS, the Event Organizer has organized the BRADENTON AREA SMOOTH
JAZZ EXPO (the Event) to be held on August 2, 2014 startng at Doors open to the public 2:00 pm and ends at 10:00 pm
(Set-up tme starts 8 am, End tme by 10:30 pm), Event Locaton: Bradenton Area Conventon Center (formerly Civic Cen-
ter).1 Haben Blvd, Palmeto, FL 34221
WHEREAS, Vendor desires to sell at and during the above mentoned Event, and will pay the Event Organizer for a license to
sell its products as a vendor at this Event;
NOW THEREFORE, in consideraton of the mutual covenants contained herein and other good and valuable consideraton,
the receipt and sufciency of which is hereby acknowledged, the Event Organizer and the Vendor hereby agree as follows:
I. FEES
1.01 The Vendor hereby agrees that it shall pay to the Event Organizer the sum of __________ the Fee for a license to sells
its products, distribute marketng materials, set up retail booth, fee covers a one-tme event, according to the event sched-
ule-additonal dates may be obtained, at additonal fees.
1.02 The Vendor agrees that it shall pay to the Event Organizer the Fee in full at the tme of signing,
II. SPACE AND LOCATION
2.01 The Event Organizer and the Vendor hereby acknowledge and agree that the Vendor shall have the exclusive use of a
staton that is approximately, enough space to make a U-shape table confguraton-If desired.
2.02 The Event Organizer and the Vendor hereby acknowledge and agree that the Vendors staton shall have the following
locaton or shall be assigned the following staton number: TBA.
2.03 The Vendor hereby acknowledges and agrees the Vendor shall have no more than undetermined. employees in the sta-
ton at any given tme.
2.04 Vendor will be given access to the staton no less than Five (5) hours prior to the Event start 8:00 am, in order to allow
Vendor to set up its staton, goods to be sold, dcor, and anything else that is needed and customary to sell at that specifc
locaton, appropriate to draw crowd atenton..
2.05 The Event Organizer is responsible for supplying the following items for use by Vendor in the staton: 1-6" Table, 2-
Chairs. Additonal Items: Table skirtng and Cloth Kit $15 Mandatory-If you do not have your own, Electricity Kit w/Skirtng
$25, Curtain Dividers, Table Clothes, Extra Tables, Extra Chairs).
III. RIGHTS AND RESPONSIBILITIES OF THE VENDOR
3.01 It shall be the Vendors sole responsibility for any and all charges relatng to the set up of the sta-
ton and the removal of all of the Vendors items from the staton at the end of the Event, must be lef in
the same conditon as when vendor took over space, including Any Items that were in staton prior
3.02 The Vendor acknowledges that the Event Organizer shall have no responsibility whatsoever in re-
spect to the content of the Event or the actons of the Vendors staf or staton actvites. It is expected
that Vendor and staf will conduct themselves in a professional manner, conducive to an event of this
caliber, including discouragement of any provocatve, ofensive, profane or abusive language or actvity.
3.03 House Security will be in place; but the Vendor agrees that the Event Organizer shall not be held
liable for any accident, thef, loss or damage occurring at the staton, that the Vendor will indemnify and
hold harmless the Event Organizer for all liability, loss or damages incurred by the Event Organizer as a
result of the Vendors partcipaton in or atendance at the Event, or as a result of any acton engaged in
by the Vendor while partcipatng or atending the Event, including actons engaged in by the Vendors
employees, independent contractors and agents. The Vendor agrees to have adequate and current in-
surance coverage that will cover Vendor for all periods of tme applicable to this Agreement, and that
Event Organizer (Francenia Wilkins of Elegant Producton Events) will be named as an additonal insured
on all insurance policies that provide such coverage.
3.04 The Vendor agrees that the Event Organizer may at any tme use the Vendors name for promoton-
al purposes for the Event.
3.05 The Vendor hereby acknowledges and agrees, that should the Vendor cancel this Agreement in
writng before 30 days of the Event, the fee paid will be refunded in full. In the event that Vendor
should terminate its use of the staton less than 30 days prior to the event, or during the Event, the
fee paid by the Vendor to the Event Organizer shall be non-refundable.
3.06 The Event Organizer and the Vendor hereby acknowledge and agree that should the Event be
cancelled by the Event Organizer for any reason whatsoever, the Fee paid by the Vendor to the Event
Organizer shall be returned in full to the Vendor.
3.07 Vendor may not erect any walls, parttons, decoratons, or other obstructons that in any way inter-
fere with the view of another staton. Vendor will not use incineraton, fre, explosive or combustble
materials within their staton, or as part of their display. There will be no provisions available, for
heatng/cooking, water source, or refrigeraton-All Food vendors must be fully contained, and must
abide by the strictest food safety regulaton. Vendor/food safety lic. required on site.
IV. NOTICES
4.01 Any notces or informaton shall be sent to the Vendor at:

V. GENERAL
5.01 The Event Organizer shall not be liable for any failure to deliver space to Vendor or for the loss of
alloted space of a Vendor, who has contracted for a staton, if non-delivery is due to destructon of or
damage to the building or the Event locatons by fre, or act of God, acts of public enemy, strikes, the
authority of the law, or any cause be-yond its control.
5.02 The Event Organizer reserves the right to remove from the Event locaton any or all of the property
of Vendor should the Event be canceled or relocated or should the Vendor violate any of the conditons
of this Agreement. This right may be exercised without prior notce or hearing.
IN WITNESS WHEREOF, the Event Organizer and the Vendor have caused this Agreement to be executed
as of the date frst above writen,
