Freelance Website Building Contract

Parties and Assignment This agreement (Agreement) is made and entered into as of the
day of January, 2030 by and between
(Client Name,
Company Name; hereafter referred to as Client) for business with
(Designer). This contract exists to document the agreement of website building services in
exchange for monetary compensation.
In consideration of the mutual covenants made herein, the parties agree on the following:
Work Designer agrees to produce finished website (completed wireframes; the Work) at the
request of the Client for compensation agreed upon in advance and deliver the Work by the agreed
upon deadline of June 1, 2030. Designer agrees to perform maintenance on the Work (minor
alterations; the Maintenance) for the six months following the deadline. Therefore, both the Work
and the Maintenance will be finished by the Designer and delivered to the Client on January 1, 2031.
Designer agrees that he/she will be the sole author of the Work and the Maintenance, which will be
original work, free of plagiarism. Designer agrees to use reasonable care to ensure that all aspects
of the Work and the Maintenance are true and that neither infringes upon any copyright, right of
privacy, proprietary right, right of publicity, or any other right of a third party. Designer agrees to
meet the Clients desires and make necessary changes as proposed by the Client throughout the
course of production, prior to its full completion on January 1, 2031.
Confidentiality Designer acknowledges that he/she may receive or have access to information
which relates to the Clients past, present, or future products, creative works, marketing strategies,
existing website, and other proprietary information which gives the Client an opportunity to
acquire an advantage over his/her competitors who do not have access to said content (the
Proprietary Information). Designer agrees to preserve and protect the confidentiality of the
Proprietary Information and all physical forms thereof, whether disclosed to the Designer before
this Agreement is signed or afterward. Designer shall not disclose the Proprietary Information to
any third party and shall not use the Proprietary Information for his/her own benefit or for the
benefit of any third party. Designer shall not discuss the Client or the Work on any social media
without the Clients written or verbal approval. However, the Client agrees to allow the Designer to
add the completed Work to his/her personal portfolio as evidence of professional experience.
Compensation and Collection Client agrees to pay the Designer a flat fee of $
on or before June 1, 2030 for the Work. If the Client agrees to compensate the Designer for
the Maintenance on a montly basis, he/she agrees to pay $
on the first day of each month
(July 1, 2030 to January 1, 2031). However, if the Client agrees to pay the Designer a flat fee for
the Maintenance, he/she agrees to pay $
on or before June 1, 2030. If the parameters
of the Work and/or the Maintenance change, or if completion of the Work and/or the Maintenance
involves much more time than originally estimated, the Designer will inform the Client and together
they may renegotiate the compensation.
Client Approval Client is responsible for written and/or verbal approval of the content of the
Work and the Maintenance, including but not limited to layout, organization, text copy,
photography, color palettes, and the like. Designer may request written and/or verbal approval of
the Work and the Maintenance from the Client at any time before its completion. Designer may
share the progress of the Work and the Maintenance with the Client at any time before its

completion and at his/her discretion. Client may request to see the progress of the Work and the
Maintenance at any time before its completion. Client agrees to place the Work and the
Maintenance in the full responsibility of the Designer until the date of its completion on June 1,
2030.
Upon acceptance of the completed Work on June 1, 2030, the Client accepts responsibility for any
further processes in which this Work is used or distributed (i.e., social media marketing, email
marketing, etc.). Designer is not responsible for errors occurring in this Work after final acceptance
of the Work by the Client on June 1, 2030. Client may request additional minor alterations of the
Work from the Designer, pending the agreement of the Designer under another written agreement
such as this.
Changes Any verbal or written changes requested by the Client to the scope of the Work and the
Maintenance, following its initiation by the signatures of the Client and the Designer, are subject to
discussion and negotiation. Designer agrees to meet the Clients needs to the best of his/her ability.
Designer agrees to be honest about the work he/she is or is not capable to perform and shall openly
communicate with the Client as such.
Cancellation In the event of written or verbal cancellation, the Client assumes full responsibility
for any work done toward the completion of the Work as well as payment to the Designer based on
the estimated percentage of the project completed, as agreed upon by the Client and the Designer.
