agreement("Agreement")betweenyouasthePropertyOwner("Owner")andProducer
regardingfilmingofyourproperty(the"Premises")describedbelowinconnectionwithavideo
containingtheperformanceofasongtitled_____________(theVideo).

1.Forgoodandvaluableconsideration,thereceiptandsufficiencyofwhichishereby
acknowledged,OwnerherebygrantstoProducertherightduringtheTerm(asdefinedbelow)
hereoftophotographandrecordat,thePremises(including,withoutlimitation,therightto
photographandrecordboththerealandpersonalproperty,allofthesigns,displays,exteriors,
andthelikeappearingtherein,ifany)fortheperiodspecifiedbelow.

2.Asusedherein,theterm"Premises"referstothepremiseslocatedat:

thescenesplannedtobeincludedintheVideousingthePremises.Owneracknowledgesthat
ProducerisincurringsignificantexpensesinrelianceonOwnerscooperationandparticipation
inconnectionwiththisAgreementandthatOwnermaybeheldresponsiblefortheactualand/or
consequentialdamagesincurredbyanybreachofthisagreement.

4.Ownerrepresentsandwarrantsthat:(a)Ownerhastherightandauthoritytomakeandenter
intothisAgreementandtograntProducertherightssetforthherein,withoutobtainingany
consentsorpermissionsfromanythirdpartyand(b)Ownershalltakenoaction,norallowor
authorizeanythirdpartytotakeanyactionwhichmightinterferewithProducer'sauthorizeduse
ofthePremises.Ownerherebywaivesallrightsofprivacyorotherrightsofasimilarnaturewith
respecttoProducersuseofthePremises.OwnershallindemnifyProducer,hislicenseesand
assigns,andtheirparent,affiliate,andrelatedentities,shareholders,directors,officersand
employeesfromandagainstanybreachorclaimofbreachbyOwnerofanyrepresentation,
warranty,agreementorobligationherein.


5.ProducershallleavethePropertyinasgoodconditionaswhenreceived,reasonablewearand
teartobeexpected.Producershallremoveallofhismaterial,equipmentandpersonnelfromthe
Property.

6.ProduceragreestoindemnifyandholdOwnerharmlessfromdamagetothePremisesand
propertylocatedthereonandforpersonalinjuryoccurringonthePremisesduringtheTermand
fromanyliabilityandlosswhichOwnermayincurbyreasonofanyaccidents,injuries,deathor
otherdamagetothePremisesdirectlycausedbyProducer'snegligenceinconnectionwithhis
useofthePremises.InconnectiontherewithOwnermustsubmittoProducer,withinthree(3)
daysafterProducervacatesthePremises,adetailedlistofanypropertydamageorpersonal
injurieswhichOwnerfeelsProducerisresponsible,failingwhichOwnerwillbedeemedtohave
acknowledgedthatthereisnopropertydamageorpersonalinjuriesforwhichProduceris
responsible.OwnershallpermitProducersrepresentativestoinspectanydamagedpropertyand
toverifyanyclaimsfordamagesbyOwner.

7.NothingshallobligateProducertophotograph,tousesuchphotography,ortootherwiseuse
thePremises.Producershallhavetherighttophotograph,recordanddepictthePremisesand/or
anypartorpartsthereof,accuratelyorotherwise,asProducermaychoose,usingand/or
reproducingtheactualname,signs,logos,trademarksandotheridentifyingfeaturesthereof
and/orwithoutregardtotheactualappearanceornameofthePremisesoranypartorparts
thereof,inconnectionwiththeVideo.

8.a. Owneracknowledgesthat,asbetweenOwnerandProducer,Produceristhecopyright
ownerofthephotographyand/orrecordingsofthePremises,andthatProducer,hissuccessors
andassignshavetheirrevocableandperpetualright,throughouttheuniverse,inanymatterand
inanymediatouseandexploitthefilms,photographs,andrecordingsmadeoforonthe
PremisesinsuchmannerandtosuchextentasProducerdesiresinhissolediscretionwithout
paymentofadditionalcompensationtoOwner.Producerandhislicensees,assignsand
successorsshallbethesoleandexclusiveownerofallrightsofwhatevernature,includingall
copyrights,inandtoallfilms,programs,products(includinginteractiveandmultimedia
products),photographs,andrecordingsmadeonorofthePremises,andintheadvertisingand
publicitythereof,inperpetuitythroughouttheuniverse.

b.
TheOwnerherebygivestoProducer,hisassigns,agents,licensees,affiliates,clients,
principals,andrepresentativestheabsoluterighttouseanynamesassociatedwiththeProperty
intheVideo,ortopromotetheVideo,allwithoutinspectionorfurtherconsentorapprovalby
theOwner.

9.ProducermayassignortransferthisAgreementoralloranypartofhisrightshereunderto
anyperson,filmorcorporationOwneragreesthatOwnershallnothavetherighttoassignor
transferthisAgreement.

10.FromthedateofexecutionofthisAgreement,throughandincludingthedatethisAgreement
maybeterminated,Producershallkeeporcausetobekeptinforcethefollowinginsurance:

CommercialGeneralLiabilityInsurance,includingpublicliability,contractualliability,bodily
injury,andpropertydamageinsurance,eachpolicywithacombinedsinglelimitofbodilyinjury
andpropertydamageliabilityof$1,000,000.00peraccidentoroccurrence.Ownershallbean
additionalinsured.Thepoliciesshallprovidethattheycannotbecanceledorreducedwithout
thirty(30)dayspriorwrittennoticetoOwner.

AllinsurancepoliciesrequiredhereundershallbewithcompanieshavingatleastaBestA+10
ratingasofthedateofissuanceofthepolicy,andshallcontainlanguagetotheextentobtainable,
totheeffectthat(i)anylossshallbepayablenotwithstandinganyactornegligenceofOwner
thatmightotherwiseresultinaforfeitureoftheinsurance,(ii)thattheinsurerwaivestherightto
subrogationagainstOwnerandagainstOwner'sagentsandrepresentatives,includingOwner's
insurers,(iii)thatthepoliciesareprimaryandnoncontributingwithanyinsurancethatmaybe
carriedbyOwner.ProducershallfurnishOwnerwithcertificatesevidencingtheinsuranceonor
before______________________.Allcertificatesofinsurancerequiredherein,andexclusions
fromcoverageinallpolicies,andtheactualliabilitypoliciesaresubjecttotheapprovalof
Owner'scounsel.

Insuranceshouldbeobtainedifshootingistooccurinsidealocationsuchasastoreor
someoneshouse.ThecostoftheinsuranceshouldbeincludedintheBudgetfortheVideo.

11.ThisAgreementconstitutesabindingagreementandistheentireagreementamongProducer
andOwnerandsupersedesallpriornegotiationsandcommunications,whetherwrittenororal
representationsandwarranties,whetherwrittenororalanddocumentsandwritings,whether
signedorunsigned,withrespecttothesubjectmatterhereof.
