Referral Agreement

This Referral Agreement (hereinafter referred to as the "Agreement") has been executed

hereinafter referred to as the "Second Party" (Luxury Business Introducer).


Whereas THOE and the Luxury Business Introducer wish to enter into this AGREEMENT
to set forth the cooperative efforts and how the fees payable from any sale of the Property will
be paid as referral fee, once the Buyer signed the SPA and 1st instalment of 20% has been paid.
The Parties hereby agree as follows:
1)

Fees Payment details:


Sale up to 15million will generate 1%;
From 15m to 25m 2%;
From 25m to 50m -3%;
Above 50 m - 4%.
The Sale will be estimated within the quarter, and additional commission will be provided based on the
sale volume as per the above scheme.

THOE will pay to the Luxury Business Introducer referral fees payable by Cheque/ Bank
transfer after the execution of Sale (Contract Signed); representing a percentage of the total unit sales
price.
3)

The payments of the purchase price will be payable directly to THOE.

4)
Where there is no business concluded after a 6 month period, this agreement shall become null
and void unless renewed with a new commencement date. Luxury Business Introducer shall use its
best efforts to solicit additional deals from the Client, only concluded sales that were introduced will

qualify for commissions. Clients introduced by any third party do not qualify for commissions to be
paid.
5)
Commission shall only be paid on deals where the Client is assigned to the THOE
trough the Luxury Business Introducer on Companys database prior to the completion of any deal. To
register the Client, the Luxury Business Introducer should provide to the Company clients name
in written by e-mail (text message). If a Client is registered on Companys database prior to
the referring the Client, then only the Luxury Business Introducer should not be entitled for the sales
commission.
6)
Luxury Business Introducer shall not have the right to assign or transfer this Agreement or any
part of its rights nor shall obligations which may arise under this Agreement to any other party without
the prior written consent of THOE, and any unauthorized assignment be null and void.
7)
The Luxury Business Introducer should not advertise or promote the Commercial properties in
any media or involve with the Medias and journalists without prior approval form THOE.
8)
Governing Law: This Agreement, including all matters of Construction, Validity and
Performance shall be governed by and construed in accordance with the laws of the UAE.
9)
Dispute Resolution: Any dispute arising out of, or relating to this Agreement or any Provision
hereof shall be settled by negotiation in good faith by the Parties. In the event that The Parties are unable
to reach agreement within one (1) month after commencement of such negotiations, the dispute shall
be referred to Dubai Courts.
