This document covers Microsoft Office 365 and Windows Intune when purchased through an Enterprise Agreement. These
services can also be acquired through the Microsoft Online Subscription Agreement (MOSA) via the Microsoft Online Services
customer portals, and details are covered in a separate reference document in this series.

Rather than the services being installed on the organizations own servers (known as "on-premises"), with Microsoft
Servers

Online Services the services are installed on Microsoft's servers which users access across the Internet. This makes
Microsoft the service provider which hosts and manages the software on behalf of the customer.
Organizations benefit from all services being backed by a 99.9% scheduled uptime SLA, and a premium disaster
recovery service that allows a fast switchover to a geographically separated data center in case of primary data center
failure.
Microsoft Office 365 and Windows Intune are examples of Microsoft Online Services, and the Enterprise Agreement was updated in July 2011 to enable
organizations to add Online Services as part of their enterprise-wide commitment.

ADDING ONLINE SERVICES TO AN ENTERPRISE


AGREEMENT
Organizations with an existing Enterprise Agreement can add
Office 365 licenses to their agreement to allow their users to access
Online Services. They have a choice as to how they license Office
365:
Add-on licenses: an organization continues to pay for their
traditional on-premises Licenses and Software Assurance but
adds on additional licenses to license the Office 365 services for
their users
Transition licenses: an organization stops paying for their
traditional on-premises Licenses and Software Assurance and
moves to licensing through Office 365 User Subscription
Licenses and Bridge CALs
In both cases, the original enterprise-wide commitment must be
maintained.

ENTERPRISE AND ADDITIONAL PRODUCTS


Some Office 365 USLs are considered to be Enterprise Products in
the EA and thus must be taken enterprise-wide, with other USLs
acting as Additional Products which may be purchased in any
quantity.

ENTERPRISE ONLINE SERVICES ONLY EA


Organizations can sign an Enterprise Online Services Only EA with
a minimum purchase of 250 Enterprise Products USLs. There is no
requirement to take any product enterprise-wide.

OFFICE 365 ADD-ONS


Organizations that have an Enterprise Agreement with an existing enterprisewide commitment for one of the CAL Suites can purchase incremental Add-on
USLs to license some or all of their users for Office 365 services without changing
the underlying EA. The table below shows the existing enterprise-wide
commitment (qualifying licenses) and the eligible Add-ons that may be
purchased. There are no minimum requirements for Add-on purchases and
organizations may purchase as many Add-ons as they wish up to the number of
qualifying licenses. These Add-on USLs are Additional Products within the EA and
thus may be decreased at anniversary to any number (including zero) if required.

OFFICE 365 TRANSITIONS


Organizations may instead choose to move their licensing from the CAL Suites
and, optionally Office, to Office 365 USLs. In the case of transitions, CAL Suite
Bridges are always required to license the components of the CAL Suite that are
not included in the Office 365 USL the Windows Server CAL, for example. The
enterprise-wide commitment is then satisfied by the Office 365 USL and the CAL
Suite Bridge.
Some transitions are considered to be equivalent transitions and an organization
will not pay any additional fees in the year of transition:

There are two ways that organizations may pay for Online Services
added to an Enterprise Agreement:

Enterprise CAL Suite and Office Professional Plus

E3/E4 and Enterprise CAL


Suite Bridge for Office 365

1. Via a PO as the Online Services are activated


2. At the anniversary if License Reservation is used
Before reservation, all products must have prices agreed via the
CPS. Enterprise Products may have prices agreed with no previous
purchase, whereas Additional Products prices are fixed with the
purchase of a single license. License Reservation is done via VLSC
and organizations may make multiple reservations for the same
service. No invoice is triggered at the time of reservation and at
anniversary all reserved licenses are invoiced retroactively for the
prior year based upon the month in which they were reserved.
