SALE AGREEMENT THIS AGREEMENT OF SALE made and executed on this 13th day of October, 2011 (13.10.

2011) at Bangalore, BETWEEN: Sri. P. R. SANTHOSH, S/o Sri. Ram Prasad, aged about 24 years, R/at No.212/A, 2nd E Cross, Girinagar, BANGALORE 560 085. (hereinafter called the VENDOR) AND: Sri.RAJESH N, S/o Nagaraj Shet, Aged about 22 years, R/at No.201, BEML 4th Stage, Opp. Police station, Rajarajeshwari nagar, Bangalore - 560098 (hereinafter called the PURCHASER) The terms VENDOR and PURCHASER shall mean and include their respective heirs, executors, administrators and assigns. WITNESSETH AS FOLLOWS: 1. WHEREAS the VENDOR is the absolute owner of the Newly Constructed Duplex House built in site bearing No.921, 5th Stage, BEML Layout, Rajarajeshwari Nagar, Bangalore-560098, situated at layout formed by The BEML Employees Co-operative Housing society Ltd. Bangalore measuring East to West 30.0 Feet, North to South 26.6 Feet, totally measuring 795 Sq. Feets which is morefully described in the SCHEDULE hereunder and hereinafter referred to as SCHEDULE PROPERTY. WHEREAS the VENDOR purchased the scheduled property from one Smt. NALINI vide registered sale deed dated 07.06.2008-2009 registered as Document No. RRN-100598-2008-2009, CD No. RRND13, page No. from 1 - 11 in

Book-1 in the office of the Sub-Registrar, Rajarajeshwari Nagar, Bangalore and Newly Constructed the House The Khatha of the above property is standing in the name of the VENDOR. WHEREAS as the VENDOR was in need of money to meet His and His familys urgent needs, expressed His intention to sell the SCHEDULE PROPERTY which the PURCHASER herein became aware of and expressed his desire to purchase the SCHEDULE PROPERTY and sought from the VENDOR the reason for the sale to which the VENDOR expressed that the price offered is beneficial to his interest when compared to the income derived from the SCHEDULE PROPERTY and the VENDOR willfully agreed to the price offered by the PURCHASER and accordingly this Sale Agreement is executed by the VENDOR today.

WHEREAS the VENDOR herein agreed to sell the SCHEDULE PROPERTY for a sum of Rs.56,00,000/- (Rupees Fifty Six Lakhs Only) free from all encumbrances and free of defects regarding title and possession in good condition which the PURCHASER herein accepted and agreed to purchase the same at that price free from all encumbrances and free from defects regarding title and possession and in pursuance of which the VENDOR herein received from the PURCHASER an advance of Rs.16,00,000/- (Rupees Sixteen Lakh Only) in the manner below mentioned: (1) Rs.15,00,000/- (Rupees Fifteen Lakh Only) vide Cheque bearing No.747482, dated 13.10.2011 drawn on State Bank of Mysore, R.R.Nagar Branch, Bangalore 98., (2) Rs.1,00,000/-(Rupees One Lakh Only) by way of Cash.

(3) The PURCHASER has also promised the VENDOR that he will give another advance amount of Rs. 10,00,000/- (Ten Lack Only) by way of cash within fifteen days from the date of Sale Agreement. and the VENDOR accepted to receive the balance of Sale Consideration of Rs.30,00,000/- (Rupees Thirty Lakh Only) before the Sub-Registrar at the time of registration of the SCHEDULE PROPERTY.

NOW THIS AGREEMENT OF SALE WITNESSETH AS FOLLOWS: The VENDOR having received from the PURCHASER the Advance amount of Rs.16,00,000/- (Rupees Sixteen Lakhs Only) out of the Sale Consideration as stated above, has assured and covenanted with the PURCHASER as follows: i) The VENDOR and PURCHASER have agreed that the PURCHASER shall henceforth must make necessary arrangements to get the property registered in his or his nominees name within 90 (Ninty) days from the date of this Agreement, as this Agreement is valid for 90 (Ninty) days only from today. In case the PURCHASER fails to get the property registered in his name or his Nominees Name within 90 (Ninty) days as agreed above, the VENDOR is entitled to forfeit the Advance Amount. ii) The VENDOR and PURCHASER have also agreed that if the VENDOR fails to get the property registered in the name of the PURCHASER within 90 (Ninty) days as agreed to, the VENDOR are liable to pay double the amount of advance paid by the PURCHASER to the PURCHASER. iii) The VENDOR hereby agrees to hand over the vacant possession of the SCHEDULE PROPERTY to the PURCHASER on the date of registration of the same in the name of the PURCHASER in the same good condition as it is today. iv) The VENDOR hereby assures the PURCHASER that the VENDOR will pay tax and charges towards all the amenities till the date of registration of the SCHEDULE PROPERTY in the name of the PURCHASER. v) The Vendor hereby assures the PURCHASER that he will handover all the Original documents connected to the SCHEDULE PROPERTY on the day of Registration. vi) The VENDOR hereby agrees to receive the balance amount of Sale Consideration i.e., Rs.30,00,000/(Rupees Thirty Lakh Only) on the date of registration of the SCHEDULE PROPERTY before the Sub-Registrar concerned.

SCHEDULE All that piece and parcel of the Newly Constructed Duplex House built in site bearing No.921, 5th Stage, BEML Layout, Rajarajeshwari Nagar, Bangalore-560098 having 3 Bed room, Hall & Kitchen situated at layout formed by The BEML Employees Co-operative Housing society Ltd. Bangalore measuring East to West 30.0 Feet, North to South 26.6 Feet, totally measuring 795 Sq. Feets bounded on: East by West by North by South by property. IN WITNESS WHEREOF, the VENDOR and PURCHASER have affixed their signatures to this Agreement of Sale on the date and year above written. WITNESSES: 1. (P.R.
