1. On September 8, 2009, the above-captioned debtors and debtors in possession

(the "Debtors") filed their Debtors' Conditonal Motion for Order Authorizing Assumption of

Beta Leases with the United States and Related Trust Agreement; (B) Pipeline Lease with the

California State Lands Commission; (C) Pipeline License and Area Assignments with the City of

Long Beach, California; and (D) Any Other Permits, Licenses or Agreements Relating Thereto,

2. By this Court's order entered July 1,2009 (Docket No. 531), the deadline
imposed by section 365(d)(4) oftitle 11 of

3. Under section 365(d)(4)(B)(ii) of

the section 365(d)(4) deadline further without the prior written consent of

with a letter expressing their respective prior wrtten consent to a further extension of the section

365(d)(4) deadline to December 11,2009.

4. The Debtors request that this Court enter an order substantially in the form

attached hereto (a) extending the section 365(d)(4) deadline for any Beta Contractual Rights that

are unexpired leases of nonresidential real propert to December 11, 2009; (b) continuing the
hearing on the Motion to a date and time to be determined by this Court that is prior to the expiration of the December 11, 2009 deadline; and (c) granting such other relief as is just and
proper. Counsel for Aera and Noble have each consented to the requested continuance of

the

hearing on the Motion.

Motion having been given; and it appearing that such relief is in the best interest of the Debtors
and its estates and creditors; and after due deliberation and sufficient cause appearing therefore,
it is hereby ordered that:
1. The Debtors' time to elect to assume or reject any Beta Contractual Rights that

are unexpired leases of

nonresidential real propert is extended pursuant to section 365(d)(4) of

the Bankptcy Code through and including December 11, 2009.

2. The entry of

this Order shall be subject to and without prejudice to the rights of

the Debtors to request further extensions ofthe time to assume or reject any Beta Contractual

Rights that are unexpired leases of nonresidential real propert to the extent provided in section
365(d)(4) of

the Bankrptcy Code.

3. The Debtors have not requested by the Certification a ruling as to which of

their

agreements with third-parties (including, without limitation, the Beta Contractual Rights) are

unexpired nonresidential real propert leases and this Order makes no such ruling. The rights of
all parties regarding the determination of

whether an agreement is an unexpired lease of

nonresidential real propert are unaffected by this Order and are preserved.

4. The hearing on the Motion shall be continued to
