CERTIFICATION OF COUNSEL REGARDING DEBTORS' FIRST OMNIBUS OBJECTION (NON-SUBST ANTIVE)TO SHAREHOLDER CLAIMS BASED ON THE OWNERSHIP OF STOCK
The undersigned counsel, on behalf of Pacific Energy Resources Ltd., et al.

("Debtors"), hereby certifies to the Court ("Certification") that attached hereto as Exhibit A is a

true and correct proposed order ("Order") that sustains the Debtors' First Omnibus Objection
(Non- Substantive) to Shareholder Claims Based on the Ownership of

Stock (the "First Omnibus

Objection"), filed and served on February 22, 2010. (Docket No. 1349) and continues the First

Omnibus Objection as to one claim. The proposed Order sustains the uncontested objections and
continues the objection as it relates to the claim of Hugh E. Smith to April

19, 2010 at 3 :00 P.M..

ORDER APPROVING REORGANIZED DEBTORS' FIRST OMNIBUS OBJECTION (NON-SUBSTANTIVE) TO SHAREHOLDER CLAIMS BASED ON THE OWNERSHIP OF STOCK
This matter having come before the Court on the First Omnibus Objection (Non-Substantive) to Shareholder Claims Based on the Ownership of Stock (the

"Objection") of the debtors in the above-captioned chapter 11 cases (the "Debtors"), filed
pursuant to sections 502(b) of

the United States Bankuptcy Code, Rule 3007 ofthe

Federal Rules of Bankptcy Procedure and Local Rule 3007-1; and after consideration of
the Objection and the arguments contained therein, and it appearing that due notice of

the

Objection and the Response Deadline thereto was given; and suffcient cause appearing
therefor; it is hereby

ORDERED that the Objection is granted as stated in this Order; and it is

further
ORDERED that all Shareholder Claims identified on Exhibit "A" attached

hereto are disallowed and expunged in their entirety; and it is further

ORDERED that the objection to the Claim of Hugh E. Smith is continued to
