INDEMNITY AGREEMENT KNOW ALL MEN BY THESE PRESENTS: This INDEMNITY AGREEMENT made and entered into by and

between: LANDO INSO, of legal age, Filipino, single with resident and postal address at QUirino Hill Baguio City, herein referred to as indemnitor, -andJODI LAMPA, of legal age, single, Filipino, with resident and postal address at Teachers Camp, Baguio City, herein after referred to as indemnitee. In consideration of the sum of TEO HUNDRED THOUSAND PESOS (P 200,000.00) Philippine Currency and other good and valuable consideration, receipt of which is acknowledged, the parties agree as follows: 1. Indemnitor undertakes to indemnify indemnitee from any and all liability, loss, or damage indemnitee may suffer as a result of claims, demands, costs, or judgments against indemnitee arising from any injuries which would results in his work as prescribed in the contracts between the indemnitor and the indemnitee; 2. Indemnity under this agreement shall commence on January 3, 2013 and shall continue in full force until the termination of the contract made between the parties; 3. Indemnitee agrees to notify indemnitor in writing, within10 days, by registered or certified mail, at indemnitor address as stated in this agreement, of any claim made against indemnitee on the obligations indemnified against. SUB-LEASE CONTRACT KNOWN ALL MEN BY THESE PRESENTS: This SUB-LEASE CONTRACT made and entered into by and between: D UNLAD INC., a corporation duly organized and existing under the laws of the Philippines, with office address at Penthouse 1 Legarda Rd. Baguio City, represented in this act by LENNY PAZ, its President, hereinafter referred to as SUB-LESSOR -AndBOTANICA INC., a company duly organized and existing under the laws of the Philippines, represented in this act by ERWIN DY , its director, residing at #457 Aurora Hill Baguio City, hereinafter referred to as SUB-LESSEE. -WITNESSETH Whereas, SUB-LESSOR is authorized by its LESSOR to sub-lease its leased premises situated at Penthouse 1 Legarda Road Baguio City; Whereas, SUBLESSEE is willing to sublease a portion of the aforesaid leased premises by way of desk space/s. For and in consideration of THREE THOUSAND FIVE HUNDRED PESOS (Php3,500.00) monthly rental fee. SUB-LESSOR hereby leases a portion of its leased premises, particularly of desk space in favor of the SUB-LESSEE under the following terms and conditions agreed upon by the parties: 1. THE LEASED DESK SPACE/ PREMISES: It is understood that the leased desk space shall be good for ONE person only. This lease includes one (1) table, one (1) chair, including light and water. Additional electrical equipment brought into the office, for example, computers will be charged separately. 2. THE MONTHLY RENTAL: The SUB-LESSEE shall pay unto SUBLESSOR without need of any demand the agreed monthly rental fee of THREE THOUSAND FIVE HUNDRED PESOS every 20th of the month. Prior to occupying desk space, One (1) month deposit and One (1) month advance rental equivalent to such monthly rental fee shall also be paid unto the sub-lessor to answer for any damages to leased space or furniture of the SUB-LESSOR. 3. PERIOD OF LEASE: This lease agreement shall be valid from December 01, 20012 to December 31, 2013

4. NATURE OF BUSINESS ACTIVITY: The SUB-LESSEE shall undertake legitimate business only at its desk space and shall acquire, register and pay its owns licenses, duties and taxes to the government. 5. Working Hours: The Sub-Lessee should strictly observe working hours from 8:30 A.M. to 5:30 P.M. or while there are still MDA staff inside the office, Monday to Friday. 6. TERMINATION: This lease agreement shall be considered terminated upon the expiration of the period of lease unless otherwise extended or renewed in writing by both parties. However, the SUB-LESSOR may AT ANY TIME unilaterally terminate his lease agreement due to non-payment of rents and/ or violation of any provision of this agreement or the main LESSOR terminates the SUB-LESSORS lease agreement.
