Sub: Appointment as Recruitment Consultant This refers to our discussions on the above-mentioned subject. We are pleased to appoint you as VPS GROUP B.P.O SERVICE for the staffing requirements for all BMA Insurance Brokers Pvt Ltd as per the following terms effective21MARCH-2013. 1. Service: You will source, screen and introduce suitable candidates to be employed by us as per our requirements given across levels. You will also be responsible to ensure that a basic screening and reference check of candidates is done at your end before forwarding to us. 2. Confidentiality: All information received by you from us is confidential and would only be used for purpose of sourcing candidates. You will also be responsible to ensure that information about the company is not shared with anyone except for the said purpose. 3. Placement Charges: We will pay you placement charges as follows: a) Rs. 2000 Amount per Tele Sales Executive b) 4.17 % to annual CTC for Middle Level c) 8.33% to annual CTC for Senior Level

CTC will include fixed component of the salary like basic, HRA, conveyance, etc and not include any assured bonus, retrials or variable pay outs etc. On finalising a candidate, the details of CTC, expected date of joining and company in which recruited will be informed to you via email mentioning his CTC and other details. 4. Replacement: In case a candidate leaves the services of the company within 60 days of joining for clause 3 a and 90 days of joining for clause 3 b $3 c You will provide a free replacement to us. In case a suitable replacement is not done within 1 month from the date of leaving of the candidate, the placement fee will be refunded / adjusted against future placements.

5. Poaching: You shall not approach or indicate any employee of BMA Insurance Brokers Pvt Ltd at any location for any employment opportunity or for any of your assignments elsewhere failing which it will be considered as breach of contract. 6. Payment: The invoice should be sent within a 30 days of the joining date of the candidate and the payment would be made within a 45 days from the candidates date of joining. 7. Term of Agreement: This agreement shall remain in force unless terminated by either party by giving a written notice of 1 month to the other party.
