wir sind stolz, Ihnen diesen international gltigen OBI Verhaltenskodex zu berreichen. Mit ihm machen wir einen groen Schritt in unserem Bestreben, eines der besten internationalen Unternehmen der DIY-Branche sowie des gesamten Handels zu werden. Wir werden dieses anspruchsvolle Ziel nur erreichen, wenn es uns gelingt, die Marke OBI mit einem international einheitlichen Image sowie einem herausragenden Ruf bei Mitarbeiterinnen und Mitarbeitern, Kunden, Geschftspartnern, Lieferanten, Gesellschaftern und in der ffentlichkeit zu verbinden. Vorwort
Die Basis dieses Verhaltenskodexes sind unsere Vision, unsere Mission und unsere Werte. Leistung, Respekt, Offenheit und Verantwortung sind unser Mastab im Umgang mit Mitarbeiterinnen und Mitarbeitern, Kunden, Geschftspartnern, Lieferanten sowie Gesellschaftern. Jeder von uns ist dafr verantwortlich, die Werte und Standards dieses Verhaltenskodexes zu kennen. Es gehrt zu unseren Aufgaben, sie einzuhalten sowie Fragen zu stellen, sollte es Unsicherheiten bezglich der Regeln geben. OBI nimmt die Standards dieses Verhaltenskodexes sehr ernst. Verste haben disziplinarische Folgen und knnen bis zur Beendigung des Arbeitsverhltnisses bzw. der Geschftsbeziehung fhren. Der OBI Verhaltenskodex kann nicht jeden Themenbereich ausfhrlich abdecken. Er definiert aber die Philosophie, nach der wir unsere Geschfte ttigen. Er ist der Leitfaden unseres tglichen Verhaltens. OBI Vorstand und OBI Geschftsfhrung werden diesen Verhaltenskodex vorleben. Ethisch korrektes Verhalten entsteht nicht von alleine: Die Erwartungen, die an unser Verhalten gestellt werden, mssen klar und direkt kommuniziert und beispielhaft durch das OBI Management veranschaulicht werden.
Preface
The OBI Code of Conduct is based on our vision & mission statement as well as on our values. OBIs business activities are founded on the following values: performance, respect, openness and responsibility. These apply to all our stakeholders. Each of us is responsible for knowing and adhering to the values and standards set forth in this Code and for raising questions if we are uncertain about company policy. OBI takes the standards set forth in the Code seriously, and violations are cause for disciplinary action up to and including termination of employment or business relationships. Although OBIs Code of Conduct cannot address every issue, it defines the spirit in which we intend to do business and should guide us in our daily conduct. OBI Board Members and OBI Managing Directors have the added responsibility for demonstrating, through its actions, the importance of this Code. In any business, ethical behaviour does not simply happen; it is the product of clear and direct communication of behavioural expectations, modelled from the top and demonstrated by example.

1. Geltungsbereich
Dieser Verhaltenskodex enthlt die wichtigsten Prinzipien unserer Verhaltensrichtlinien und Konzernwerte. Er schafft bindende Regelungen fr Mitarbeiterinnen und Mitarbeiter, Gesellschafter sowie Geschftspartner in der Zusammenarbeit sowie im Umgang miteinander, innerhalb des Unternehmens und in der ffentlichkeit. Der OBI Verhaltenskodex gilt fr alle Unternehmen (nachfolgend OBI genannt), an denen die OBI Group Holding GmbH unmittelbar oder mittelbar mehrheitlich beteiligt ist oder einen Einfluss auf die Geschftsfhrung nehmen kann. Hlt OBI in den verbundenen Gesellschaften weniger als die Hlfte der Anteile oder keine, werden wir im Rahmen unserer Mglichkeiten darauf hinwirken, dass dort hnliche Standards sichergestellt werden. Es ist Aufgabe der verantwortlichen OBI Geschftsfhrer und OBI Fhrungskrfte, sich selbst und die jeweiligen Mitarbeiterinnen und Mitarbeiter mit den wesentlichen Details der relevanten Regelungen vertraut zu machen.
1. Scope
This Code of Conduct includes the most important principles with regard to OBI corporate policy and OBI corporate values. The Code provides the employees, shareholders and business partners with binding regulations for cooperation as well as conduct within the company and in public. The regulations stipulated in the OBI Code of Conduct shall be applicable for all entities (hereinafter referred to as OBI) OBI Group Holding GmbH holds the majority of equities with directly or indirectly or may exercise an influence on the executive management. Should OBI posses less than half or no stake in the affiliated company, we will nevertheless endeavour to achieve compliance within the bounds of our possibilities. It is the task of the OBI Managing Directors and OBI Managers responsible to fully familiarize themselves and their employees with the respective details of the guidelines relevant to them.

3. Employees
OBI operates DIY retail activities in many countries of the world. One of our strengths is the international cultural diversity of our employees: each of them is an important member of our international network. We seek good collaboration with works councils and other committees representing our employees within the legal framework of each country. Fairness, Tolerance and Equal Opportunity All employees are valued equally highly, irrespective of their nationality, culture, religious or philosophic believes, race, gender, sexual orientation, age or potential disabilities. As a multinational company, interaction with our employees is marked by fairness, openness, understanding and tolerance. The company therefore also expects each employee to treat his or her colleagues, staff and third parties in a professional, friendly and fair manner. Creating a Culture of Open and Honest Communication At OBI everyone should feel comfortable to speak his or her mind, particularly with respect to ethical concerns. OBI managers have the responsibility to create an open and supportive environment where employees feel comfortable raising such questions. Privacy and Confidentiality of Personal Data Personal data relating to our employees will be treated in such a way that confidentiality is not jeopardised; the data will only be used as legally required.
Conflicts of Interest All OBI employees must remain loyal to the company in their personal conduct. Specifically, this means: All employees must avoid situations in which their personal or financial interests conflict with those of OBI. All employees must not pursue any interests of their own within the context of doing their jobs that conflict with the interests of OBI. All employees must not directly or indirectly exploit any business opportunity available to OBI for their own benefit, or for the benefit of persons or companies outside the OBI Group with which they are connected. Political Activities OBI respects the right of its employees to make personal decisions of a political nature, in ways that are legal in each country. However, OBI employees have to ensure that their political activities are in no way associated with OBI. Religious Activities OBI respects also the right of its employees to worship their religious beliefs in ways that are legal in each country. However, OBI employees have to ensure that their religious activities are in no way associated with OBI.

4. Geschftspartner
Lieferanten Vereinbarungen, die wir mit unseren Zulieferern treffen, beinhalten eine OBI Integrittsklausel. So stellen wir schon bei der Auswahl von Lieferanten unsere Forderung nach ethischer und moralischer Integritt sicher. Wettbewerb Wir engagieren uns fr ethischen, fairen und starken Wettbewerb. OBI verkauft seine Produkte und Leistungen auf der Basis ihres Wertes, ihrer ausgezeichneten Qualitt, ihrer Funktionalitt und ihres wettbewerbsfhigen Preises. Preis- und Marketingentscheidungen werden unabhngig getroffen. Unlautere Kooperationen und Vereinbarungen mit Wettbewerbern lehnen wir ab. OBI respektiert und beachtet alle Gesetze sowie Regelungen, die den fairen Wettbewerb und das Kartellrecht schtzen. Dementsprechend beteiligen wir uns nicht an Preisabsprachen. Geistiges Eigentum und Urheberrecht Dritter OBI ist uneingeschrnkt dem Schutz des geistigen Eigentums und des Urheberrechts Dritter verpflichtet. Wir wenden keine unlauteren Methoden an, um an Handelsgeheimnisse unserer Wettbewerber oder an firmeninterne und vertrauliche Informationen ber diese zu gelangen. Wir beteiligen uns nicht an der unberechtigten Verwendung, Vervielfltigung, Verteilung oder Vernderung von Software oder anderen geistigen Eigentums. Gewhrung und Erhalt von Vorteilen OBI Mitarbeiterinnen und Mitarbeiter drfen sich nicht durch Bestechung oder andere Arten von Korruption in ihrer Arbeit beeinflussen lassen. OBI Mitarbeiterinnen und Mitarbeiter drfen aus allen Ttigkeiten, die sie fr OBI ausfhren, keinen persnlichen Gewinn oder andere Vorteile ziehen (auer ihrem Gehalt und anderen vom
Management gewhrten Zulagen). Angebote an Dritte drfen nicht die Intention haben, deren geschftliche Entscheidung in unpassender Weise zu beeinflussen. Die Annahme oder bergabe von Geschenken ist nur in einem als blich, vernnftig und ethisch anerkannten Rahmen erlaubt. Sie darf nicht das Ziel haben, einen unfairen Geschftsvorteil zu erlangen. Sie darf kein Gesetz verletzen und muss ordnungsgem verbucht werden. Geschenke drfen niemals den Anschein haben, dass sie einer missbruchlichen Beeinflussung dienen. Smtliche geschftliche Aufmerksamkeiten (Geschenke, Gratifikationen, Mahlzeiten, Erfrischungen, Unterhaltung oder andere Vorteile durch Personen oder Unternehmen, mit denen OBI Geschfte macht oder zu machen beabsichtigt) werden buchhalterisch exakt erfasst. Jede geschftliche Aufmerksamkeit, die 150,00 pro Person und Jahr berschreitet, bedarf der Zustimmung des zustndigen Geschftsfhrers oder dessen Vorgesetzten. Alle Aufmerksamkeiten solcher Art mssen dokumentiert werden. Zur berprfung durch Human Resources & Administration oder die Leiter der Business Unit mssen diese Dokumente jederzeit zugnglich sein. Das gilt sowohl fr erhaltene als auch fr berreichte geschftliche Aufmerksamkeiten.

4. Business Partners
Suppliers OBI and its suppliers enter into agreements which include an OBI Clause of Integrity. This is to ensure that our selection of suppliers is based on the requirement that our relationship with our suppliers will be ethically and morally sound. Competition We are dedicated to ethical, fair and vigorous competition. We will sell OBI products and services based on their merit, superior quality, functionality and competitive pricing. We will make independent pricing and marketing decisions and will not improperly cooperate or coordinate our activities with our competitors. OBI respects and complies with regulations which protect fair competition and antitrust legislation. As such, OBI does not participate in price-fixing conspiracies. Intellectual Property and Copyright of Third Parties OBI is entirely committed to the protection of intellectual property and copyright of third parties. We will not acquire or seek to acquire improper means of a competitors trade secrets or other proprietary or confidential information. We will not engage in unauthorized use, copying, distribution or alteration of software or other intellectual property. Offering and Receiving Benefits OBI employees must not be influenced by bribery or any other kind of corruption to do or to refrain from doing anything
in their work. Employees of OBI must not draw any personal gain or other benefit (except their salary and any additional compensation approved by Executive Management) from any business they carry out for OBI and must not make any offer to any third party with the intention of inappropriately influencing a business decision by that party. Accepting or giving gifts may be approved only if it is customary, reasonable and ethical to do so, is not intended to gain unfair business advantage, does not violate any law, and is properly accounted for. Gifts should never be capable of being seen as an improper inducement. The business courtesy (gifts, gratuities, meals, refreshments, entertainment or other benefits from persons or companies with whom OBI does or may do business) is properly reflected on the books and records of OBI. Any business courtesy that exceeds 150,00 per year/per person has to be approved by the respective Managing Director respective their superiors of the business unit; it has to be documented and has to be available for inspection by Human Resources & Administration and/or the superiors of the business unit. This is in respect of received as well as given courtesies.

Financial Records Every company financial record including time sheets, sales records and expense records - must be accurate, timely and in accordance with the law. These records are the basis for managing the companys business and for fulfilling its obligations to shareholders, employees, customers, suppliers and regulatory authorities.

A Help in Identifying to Do the Right Thing Several key questions can help identify situations that may be unethical, inappropriate or illegal. Ask yourself: Does what I am doing comply with the OBI Code of Conduct and company policies? Have I been asked to misrepresent information or deviate from normal procedure? Would I feel comfortable describing my decision at a staff meeting? How would it look if my action made the headlines? Am I being loyal to my family, my company and myself? What would I tell my child to do? Is this the right thing to do?
