SOFTWARE END USER LICENSE AGREEMENT Last updated: October 24, 2012 This Software End User License

Agreement is a legal agreement between Amazon Dig ital Services, Inc. ("Amazon" and, together with Amazons Affiliates, "we" or "us" ) and the individual or entity accepting this Agreement (you). The publisher soft ware tools and all updates, modifications and enhancements to these tools, as we ll as any associated printed and online or downloadable documentation (the Softwa re) are Amazon Software under the Amazon.com Conditions of Use, and your use of t hem is subject to the Agreement (as defined below). In the event of any conflict between this Software End Use License Agreement and the Amazon.com Conditions o f Use, the terms of this Software End User License Agreement will govern. Please read this Agreement, all rules and policies related to the publisher soft ware tools, the Amazon.com Conditions of Use, and the Amazon.com Privacy Notice (collectively, the "Agreement") carefully before downloading or using the publis her software tools. If you download or use the Software, you will be bound by th e terms of this Agreement. If you do not or cannot agree to the terms of this Ag reement, do not attempt to download or use the Software. LICENSE The Software allows you to do one or more of the following: (i) convert document s existing in certain file types or formats into Kindle-compatible formats (such Kindle-compatible files, the "Kindle Format Content"), and (ii) preview Kindle Format Content from a personal computer to evaluate how that content may appear on Kindle products. Amazon developed and makes this Software available for the p urpose of allowing publishers and authors to create Kindle Format Content for di stribution through the Kindle store. You may also use the Software for noncommer cial purposes (e.g. to format works to be distributed at no charge). Subject to your compliance with all of the terms and conditions of this Agreement, Amazon g rants to you a revocable, non-exclusive, non-assignable, non-sublicensable and n on-transferable license to download, install and use the Software on a server or personal computer solely for these purposes. Any commercial use of this Softwar e outside of the authorized purposes requires a separate agreement with Amazon. RESERVATION OF RIGHTS You may make one copy of the Software for back-up purposes. You may not use the Software over a network. All rights not expressly granted to you are reserved by Amazon. NO ILLEGAL USE The Software may be used only for lawful purposes and in a lawful manner, and yo u agree to comply with all applicable laws and regulations. Amazon may investiga te any reported violation of its policies and take any action it deems appropria te, including terminating your license to use the Software without notice. EXPORT REGULATIONS You will comply with all applicable export and re-export restrictions and regula tions, and you will not transfer, or encourage, assist, or authorize the transfe r of the Software to a prohibited country or otherwise in violation of any such restrictions or regulations. NO WAIVER Amazons failure to enforce the strict performance of any provision of this Agre ement will not constitute a waiver of Amazons right to subsequently enforce suc h provisions or any other provisions of this Agreement. No waiver of any provisi on of this Agreement shall be effective unless in writing. ENTIRE AGREEMENT AND SEVERABILITY This is the entire agreement between Amazon and you regarding the Software and s upersedes all prior understandings regarding such subject matter. If any term or

condition of this Agreement is deemed invalid, void, or for any reason unenforc eable, that part will be deemed severable and will not affect the validity and e nforceability of any remaining term or condition.
