10th, VFAC go on sale, 122 were sold.

Copy of Cashiers check, to Liberty Roofing, 5 days after the VFAC go on sale.

April 18th Now hes starting to disappear on me. And when I say disappear I mean hes not answering phone calls, responding to text messages or any type of communication. If there is one thing about Clint, he is a horrible communicator.

May 4th There was an Ink Slinger Release Party/f3cta at our Retail location. I finally got a hold of him the night before, but briefly on the phone, where he says Ill be there, just call me at 10am Looking back on that day, and why he disappeared, it makes sense to me. I know why he wanted to have the release party and why he wanted to get paid the very next day. Ill come back to that. 1st, I finally got a hold of him, his wife did wake him up. He couldnt meet me. I told him there were people lining up. He said to tell people he cant make it because hes sick. I told him I couldnt do it, people have been lined up since 5:40 am and it was something we both planned. So he said okay, just come to my house. (which is an hour and fifteen minutes away from the store, 2 hours round trip.) When I finally arrive at his shop, Im very amazed at the lack of machinery. All there is, is an assemble table and boxes of parts from other companies. At this point I dont care about that though, I just wanted to get the products and get back to the store for the release. He then tells me he can no longer take cashiers check, and from now on it has to be cash, because he doesnt like that I put in the memo section of checks/cashiers check. (which is the product Im paying for) I said ok, reluctantly, and said asked he doesnt just do a separate DBA for ihybrid mods. He told me it takes to long, 2 weeks 1 month. I informed him that it only takes 24 hours. He abruptly said no, I just need the cash and I need it tomorrow.

May 5th Paid in cash, signed by both of us, just like he asked, the next day.

May 6th Going back to what I mentioned earlier. Being a businessman for a long time, I knew something was up when Clint went from needing a check, to a cashiers check, to needing cash. It really makes a vendor wonder if theres some kind of financial problem or otherwise. After his slander/libel rant that he posted on Facebook recently, (I dont want to put this, but Im going to because it clears my name) we discovered that he needed cash because in July 2012, he was arrested for theft. This information has been brought to my attention because I hired a private investigator to put a face on faceless. This is all public record, for anyone who chooses to look for it.

Please note the date It was obviously settled for an undisclosed amount, we dont know the info, dont care to know, but this is clearly the reason he needed cash.

May 6th F3ctas go on sale. I asked him how many, he told me 25. I called him on the phone and asked why such a low number, when he responded with I sold the rest to shaun because hes taking 10%, what an idiot! I was immediately angry since I was supposed to be his exclusive dealer, and I only get 25?

May 9th Again, paid in cash 3 days after the sale.

May 18th Local meet. We have custom ihybrids along with Pures for sale. Again, he starts disappearing on me, but finally shows up at the meet with the products. With his continuous disappearing acts, Im getting an uneasy feeling that hes wanting to bail on me. I sense this because its his track record. He made our agreement a month before he even told 310 he was done with them. This was not about him not getting paid; this was clearly about greed. If he wanted to negotiate a better percentage, he should have asked. I know what he was doing.

May 30th I am trying to get a hold of Clint for a VFAC update, because remember I already paid 25K in advance (which he said would take 2-6 weeks) and we were at 60 days. I received messages after messages from awaiting purchasers. As this text message reflects, Ive been trying to contact him from May 30th to June 5th .

June 5th I called him, and he asked if we are going to Vapestock. He sounded inconvenienced and said hell just have to wait for us to get back to drop off the VFACs. I informed him staff would be there and would take care of it, if he dropped them off. He agreed and brought them by the next day on June 6th. I went ahead and printed the labels so the staff wouldnt have to and could get them out as quick as possibly. He no-showed on the 6th and didnt show up until the 7th. When I asked about the Celtic, he questioned if we could do the sale at Vapestock, and I told him it would not be a problem. I said, how many do we have? 120? He said I dont know Im getting them back on Saturday, but theres always 10% bad, so an easy 100. And that was it, he said to send out the alert text, and post it on Facebook, and to have fun at Vapestock. The Zen Carto tank was because he wanted me to pick him one up at Vapestock, which I did, along with some other stuff that he called about later in the day. This time, he received a check for $735. Not cash. The reason I did not give him cash is because the bank has been investigating us since May 31st. (After founding out this news, I tried to get a hold of him and was unable.) The reason the bank was investigating me was because of him. Banking officials were looking into Liberty Roofing because of the large cash transactions.

At this point, since I cleared myself, I knew there was something clearly going on with Clint Morgan. Something wasnt adding up if Im being investigated because of him. So I had to quit giving him cash. From here on out, it had to be a check or a cashiers check; whether he liked it or not. The gentleman that gave him the check that day told him that Id been trying to get a hold of him to alert him of the investigation. Clint was angry since this would postpone his family emergency i.e. vacation to Galveston, in which he put down $3000 on a place to stay and needed cash to help pay for it. This information was given to 3 people at the shop this day. Fast forward to June 8th Vapestock Alerts were sent out two days in advance, facebook was updated, Ihybridmods.com was updated, and as far as we knew the sale was a go. As you see by his post, Celtics delayed. Not canceled, nothing about the sale still happening. If he had decided to cancel the SALE, he would have called or text me, since I am his vendor. If he could not reach me, which he did not even attempt, he could have called people that he knew were with me. He did not. The sale went on. With the conversation of how many he had and 10% being bad, we cut the numbers and put 60 online to be safe. Because as Clint says, Im not vendor, Im a mod maker. I make them, other people sell them. He has no power of me, he doesnt own 50% of Wild Valley like hes claimed to others, he has 0%. Actually, he did want to purchase a Wild Valley franchise and couldnt come up with the money to pay for it. Later in the evening on June 8th, he calls the sale a fraud, tells the customers to ask for a refund, slanders the company, slanders the owner, slanders the employees and acts in a completely childish manner for a 36 year old man. I immediately called him and asked him to honor the sales with his response being Ill honor 30 I informed him there were more than 30, and to respect our customers and his customers, he needed to honor all that were sold. He said no, and continued his

libelous lies on the Internet. With that said, we took our time to write this. Weve backed up with documentation as you can see and you can clearly form your own opinions, but everything we have stated is the truth, and this is why youve not seen us retaliating on Facebook. We are professional people that actually care about our customers. Clinton Wayne Morgan is not the man you think he may be. He may be a good mod assembler, but he is unprofessional. He breached a contract between himself and Wild Valley, plain and simple. He hurt us financially, and also our reputation with his lies. There is a lot more info about Clinton Wayne Morgan that Ive not included in this letter, but anyone with a computer can research him and find out who he really is, this is just the tip of the iceberg and everything is public record.
