Memorandum for Registration of society Under the societies Registration Act of 1860 as applicable to the Union Territory of Delhi

1. NAME : The society shall be known & called as Medibook Foundation and would be apolitical in nature.

2. REGISTERED OFFICE: The Office of the Society shall remain in the Union Territory of Delhi
and at present its following address is : M-201, Guru HarKishan Nagar, Paschim Vihar, New Delhi 110087. 3. AIMS AND OBJECTIVES: The aims & objectives of Medibook Foundation shall be as under:1. The society shall run institutes for the development of Modular employable skills (MES) under Skill Development Initiative Scheme (SDIS) of Directorate General of Employment & Training under Ministry of Labour & Employment , Government of India by conducting various MES courses to enable gainful employment to the target group of the population as per aims & objectives of SDIS like early school drop outs, previously child labour & their families etc.

2. The society shall work for the empowerment of the women & provide Supportive services for women to engage in productive work.

3. The society shall work in the field of Rural Development by developing better co-ordination, collaboration, joint participation, relations and understanding amongst various constituents of the rural sector for promoting welfare of the rural masses by eradicating thirst, hunger, illiteracy, disease, poverty and by providing shelter and employment. To obtain financial and technical assistance for rural development programs from the Government(s), governmental organizations, corporate sector, NRIs, financial and other specialized bilateral and multilateral regional and international institutions such as World Bank, UNDP, ADB etc. To act as a channelizing, monitoring and mentoring platform for effectively implementing programs spread over a wider geographical area or programs involving multitude of disciplines.

To undertake integrated programmes for the upliftment and economic development of rural India and providing backward and forward linkages to the rural economy by allowing them access to the global technology, funds and market and for that purpose to set up commodity technology and rural stock exchanges. To assist in the development of Self Help Groups (SHGs) of farmers including small and marginal farmers, artisans, labour including agricultural labour and other service providers with special emphasis on women, youth, differentially-abled and other disadvantaged sections for accelerating the pace of rural development. To serve as a forum in association with professionals, research scientists, social scientists, reformists, technocrats, and agriculturists, to provide critical inputs on major issues, relevant to development of rural India and to seek appropriate representation on the various committees, bodies, delegations, teams etc. at the State, National and International level. To serve as a forum for addressing growing concerns in the areas of Right to Information, transparency and other issues of collective interests and to take up these issues with the appropriate authorities. To maintain a centralized pool of legal, technical, financial and management experts, advisors and professionals and in addition, professionals involved in the areas of subsidies, countervailing duties, issues relating to IPRs, geographical indications of goods, protection of plant varieties and farmers' rights, environment and other emerging frontiers of knowledge, in order to serve as a referral point for servicing the needs of desirous parties. To organize and conduct such promotional and training programs, entrepreneurial development programs, executive development programs, quality orientation programs, refresher courses, lectures and seminars for the executives of voluntary organizations, volunteers and target groups and relevant to any of the fields of interest of the constituent members. To undertake identification, development, adaptation and promotion of appropriate technologies, organize or assist in transfer of technology from national and international organizations and institutions engaged in or connected with any of the fields of interest to Society and arranging support services to the member organizations including technical guidance, training and skill up-gradation; To mobilize necessary support and inputs and to contribute by suitable means at the time of natural calamities and undertake and participate in disaster management and rehabilitation. To undertake, promote, facilitate, foster and co-ordinate, whether sponsored or otherwise, policy studies and research, economic and social research or technology initiatives in any of the areas concerning rural development, or having a bearing on any of such areas. To facilitate international exchange and sharing of information and technology by organizing or participating in workshops, exhibitions, conferences and seminars or by collaborating with or establishing mutual relations with organizations and institutions in India and abroad, connected with or having a bearing on the objectives of the society. To organize and participate in international and regional meetings, seminars, conferences, exhibitions, fairs and produce literature and undertake publicity.

To initiate and carry out, directly or indirectly, whether of its own or sponsored or otherwise, studies on the subject of common interest, collect, analyze, interpret and disseminate data and information useful to members.

To undertake all such other lawful activities as may be incidental or conducive or ancillary to the attainment of the objectives of the Society. to acquire by way of lease, sub-lease, license, gift, purchase, exchange, hire or in any other manner, any movable or immovable properties and any rights or privileges necessary or convenient for the purposes of the Society and to construct, erect, alter, improve and maintain any building and to demolish or repair buildings and to manage, develop, sell, let, dispose of, mortgage, or otherwise deal with all or any part of the assets and rights of the Society with a view to achieving the objectives of the Society; to accept grants of money, equipment, land, buildings, donations, gifts, subscriptions and other assistance from the Central Government or a State Government, international multilateral or bilateral funding agencies or from any other source and to conform to the conditions on which such grants, payments and assistance may be received, provided that no benefaction shall be accepted by the Society, which in its opinion involves conditions or obligations contrary to the objectives of the Society; To undertake and accept the management of any endowment or trust or donations in furtherance of the objectives of the Society; to establish, equip and maintain research centers, data banks, libraries, Institutes, organizations and such other facilities in India or abroad as are necessary for carrying out the objectives of the Society; to set up study groups or consultative groups or core groups comprising of members of the Council or Society or outside experts for any specific issues or specific sectors or sub-sectors of the economy. to establish, maintain, control and manage State or District or Local Chapters of the Society in India ; To establish, maintain, control and manage branches and/or offices of the Society in India or abroad, as may be considered necessary for effectuating the objects of the Society. to levy fees or other charges for any services/facilities provided by the Society at rates specified by the Executive Council of the Society; to prepare, print, publish, issue, acquire and circularize books, papers, periodicals, bulletins, exhibits, films, slides, video tapes, gazetteers, or circulars and engage in similar other undertakings dealing with or having a bearing on the objectives of the Society; to co-operate with and to make representation to any department of the Government of India or any State Government or other Central or State authorities, organizations, Commissions, Councils etc. as well as International organizations, institutions or foreign authorities as may be deemed necessary in furtherance of the objectives of the Society; to establish, promote, co-operate with, become a member of, act as, or appoint trustees, agents or delegates to control manage, superintend or otherwise assist any associations and institutions and other bodies in India or abroad engaged in any of the fields for which the Society is established;

To associate, affiliate or accredit or develop linkages with other national or international authorities, institutions and organizations engaged, directly or indirectly, in any of the fields for which this Society is established. to negotiate contracts on behalf of the Society and vary and rescind such contracts; to borrow, raise or secure the payment of any money on such terms and conditions and on such security as may be deemed fit and proper provided they are not inconsistent with the objectives of the Society; to procure recognition for the Society vis--vis its objectives in India and abroad; to procure the Society to be registered, legalized, domiciled or recognized in any country or place and to procure its incorporation/registration in a like character or as a company or otherwise in any country or place and to carry on its objectives or any portion of its main objectives in any country or place. to depute and join in electing or nominating delegates, advisors, etc. to represent the Society on regional, national and international conferences, meetings, seminars and similar events; to create affiliation and other classes of professional and technical membership of the Society and carrying such rights and obligations as may be decided by the Executive Council; Award fellowships, scholarships, prizes and medals towards recognition of talent and excellence in India and abroad; to confer such honorary titles and distinctions to distinguished persons in India and abroad in recognition of their valuable contribution to the cause of the Confederation, as the Society may deem fit. to enter into any arrangement with any Government, Governmental authority, Municipal or local authority or otherwise in India and abroad that may be conducive to the attainment of the objectives of the Society and to obtain from any such authority rights, privileges and concessions which the Society may think desirable to obtain and to carry out, exercise and comply with such arrangement, rights, privileges and concessions; to obtain such prerogatives, rights, privileges, licenses in India and abroad in relation to any new and useful invention respecting any art, process, method or manner of manufacture, machine, apparatus or other article or substance or any new or useful improvisation of any of them as a result of the Societies direct or indirect R&D activities and efforts, as may be decided by the Confederation; and to do all such other lawful things as may be necessary, incidental or conducive to the attainment of the above objectives.

PROVIDED ALWAYS that notwithstanding anything contained herein, the objectives of the Society will not include any objectives, which are not in conformity with sub-section 15 of section 2 of the Income-Tax Act, 1961.

4. The society shall function on No profit No loss basis:-

To undertake welfare activities for socially backwards, Handicaps, Tribals for promotion of their moral, social, educational and physical improvement in India by participating in various social welfare schemes of the Government. To promote peace, harmony & happiness with in the country & globally.. To promote Human Rights and Animal Rights. To organize/construct shelter home for old age people and homeless/helpless children. To promote family planning and conduct Health awareness programs. To promote eradication of alcoholism and drug abuse, prevention of HIV / AIDS and rehabilitation of sex workers. To promote self defense techniques among the women and children to overcome anti-social elements To undertake educational / Tech. education / rehabilitation program particularly for woman, and people belonging to disadvantaged groups. To promote purity in environment & to minimize water, air and noise pollution. To promote , pollution control and organizing plantation program at various parts of the country. To promote Indian Art & culture globally. To propound way of life, improvement of physical, mental & social health of individuals through meditation, Yoga and to promote peace and happiness in the country & world. To Promote research, prorogation of knowledge and experimental measures in connection with the study of diseases, their prevention, causation and remedy through Herbs, Siddha, Yoga and Naturopathy in urban & rural areas. To promote, propagate, develop general interest of people in Herbal plantation, Yoga & Naturopathy in India & globally. To erect, maintain, administer and endow a General Allopathy Hospital / Naturopathy & Yoga College and Hospital and to provide related services and facilities to the public. To undertake conservation, cultivation, marketing, export developments of medicinal plants. To undertake research work on creation of employment opportunities in herbal plantation, cultivation, marketing, processing, for rural and urban population living below poverty line. To undertake Education / Training / cultural and Health programs through various Training / cultural and Health centers in India & abroad. To promote national language Hindi all over the world & translation of Technical / Medical Texts in Hindi language. To deal with population explosion through Motivation and Medical services.

 To work for the welfare of Tibet refugees living in India. To undertake tree plantation, social forestry, conservation of water, soil, flora & fauna. To work for the welfare of people living with HIV and AIDS (PLHAs ) , Sex Workers and to rally support for legalization of prostitution in India to combat the menace of AIDS and to end harassment & pathetic condition of sex workers & enable them to live honorably. To promote rural tourism, art & culture and undertaking activities for the welfare of international visitors/ tourists in India & promotion of medical tourism in India. To apply any profits accruing from the activities or work of the society to the furtherance of its charitable objects. To enter in to any contractual arrangements with any other entity for the purpose of carrying out the objects of the society. To arrange Medical / Food facilities in backward /tribal area of country & the countries facing natural calamities or civil riots / war situation.. To promote cultural/Sports /educational activity among the family of backward / Tribal / Minority class through cultural, education & sports center & Book Banks. To create infrastructure & construct building to aid research, educational, cultural activities of the society & building residential / Hostel accommodation facilities for its office/ officials/members/employees & trainees. Construction of dwelling units, School buildings, rural sanitations/ shelter home for old age people and homeless/helpless children and economically weaker section. To promote general awareness among families to improve life style, medical care, and other social values for better care of old aged citizen in India. To undertake Educational / Technical education / Sports promotion/ rehabilitation programs/ operation of library particularly for SC/ST, Backwards & disadvantaged section of the society. To undertake welfare activities and awareness program on Child / Womens Health & Nutrition, equality, development, violence against womens, rural and tribal empowerments. To utilize the services of Farmers, Ex. Service men, unemployed youth as the volunteers towards achieving Aims & Objectives of the Society in various part of country through its Divisional offices. To take all subsidiary measures required for the proper fulfillment of the above objects.

All the income, earnings, moveable, immovable properties of the society/ foundation shall be solely utilized and applied towards the promotion of its aims and objective only set forth in the memorandum of the association/ foundation and no profit on thereof shall be paid or transferred directly or indirectly by the way of dividends, bonus, profits or in any manner what so ever- to the

present or past members of the society/foundation or to any persons claiming through any of the present or past members. No members of the society shall have any personal claim on any movable or immovable properties of the society or make any profit, whatsoever by virtue of his membership.
