VERTEX CORPORATION and INTERPRETER identified above (10.) agree to the following terms for above translation project: PARTIES TO THE AGREEMENT: The parties to this agreement are VERTEX CORPORATION, (Vertex), incorporated in the state of Missouri, with offices at 605 East 71st Terrace, Kansas City, MO 64131, and the INTERPRETER described above. COMPENSATION: INTERPRETER, upon satisfactory completion of this assignment and the return of the signed Interpreting Job Sheet and signed contract, will be paid by Vertex the amount defined in (13.), within 35 days of return of the signed Interpreting Job Sheet and contract to Vertex. INTERPRETERs LIABILITY: The INTERPRETER is individually liable for errors in the performance of services under this contract. In the event that Vertex incurs any expenses due to the negligence or failure to show or tardiness of the INTERPRETER (errors shall include, but not be limited to, unstated incompetence in the subject matter, incorrect translation or failure to correct an error by the INTERPRETER. The INTERPRETER shall be expected to reimburse Vertex for actual expenses incurred to correct errors made by the INTERPRETER. CODE OF PROFESSIONAL CONDUCT AND BUSINESS PRACTICES: Both Vertex and INTERPRETER agree to operate under the Code of Professional Conduct and Business Practices published by the American Translators Association, a copy of which is available at Vertex. NON COMPETITION: The INTERPRETER agrees not to solicit or accept any projects from any clients of Vertex for whom Vertex has provided INTERPRETERs services, unless those services are authorized in writing by Vertex. If a client asks the INTRPRETER to take any further assignments, or there is a need to communicate with client before or after the project, INTERPRETER agrees not to give his/her contact information to client, and insted, provide them with Vertex's contact information. CONFIDENTIALITY: All knowledge and information which INTERPRETER acquires during the term of this agreement respecting all personal matters, operations, business, and products of Vertex and Vertex client shall be held in trust and in a fiduciary capacity for the sole benefit of Vertex or Vertex client, whichever is appropriate. INTERPRETER agrees not to disclose or publish, or allow anyone else disclose or publish, either during the terms of this Agreement of subsequent thereto, knowledge of such information acquired in the course of service under this agreement. The provisions of this clause exclude any terminological data compiled by the INTERPRETER during the performance of this agreement. Terminological data may be used by the INTERPRETER in performing services for third parties, as well as for Vertex. CERTIFICATIONS: The INTERPRETER hereby certifies and attests that INTERPRETER is self-employed, independent contractor engaged in a business of providing services in a manner of Interpreters own choosing various organizations and individuals in addition to Vertex and shall not be treated as an employee of Vertex for Federal income or any state tax purposes and will pay any self-employment taxes, Social Security, estimated or other taxes and will hold Vertex harmless from such claims. INTERPRETER hereby certifies that the Name, Social Security Number, and address provided by INTERPRETER are accurate, true and correct. INTERPRETER hereby certifies that the INTERPRETER is competent, especially from a linguistic and subject-knowledge point of view, to perform the translation under this agreement. This contract shall be governed by the laws of the State of Missouri, and any disputes arising herefrom will be litigated in the courts of Missouri. This agreement is binding on the parties, their successors, heirs and assigns. WORK AUTHORIZATION: Interpreter (10.) hereby certifies that he or she is authorized to work in the United States of America. You may receive a copy of the Independent Freelance Interpreter Agreement via printing thereof from the Internet, fax, e-mail, mail or personal delivery. You agree to terms and conditions of Independent Freelance Interpreter Agreement if you: print a hard copy of this agreement, or present yourself for work at the location and time indicated in the Independent Freelance Interpreter Agreement and/or the corresponding Interpreter Assignment Sheet.
