ItisourintenttoserveourClientstothebestofourability.Onewaywedothisisbyhavingasimple,yetclearagreement betweenFreeTimeWebDesignandtheClient. ThisWEBSITEDEVELOPMENTAGREEMENT(thisAgreement)inenteredintoonthis1stdayofJanuary,2012(Effective Date)betweenFreeTimeWebDesignandABCCompany(theClient)locatedat123MainSt,Anytown,AZ85000. Thesearethetermsofouragreementtogether: 1.PurposeandAuthorization.TheClientisengagingFreeTimeWebDesign,forthepurposeofdevelopingand/orimprovinga websitetobeinstalledontheClient'swebspaceonawebhostingservice'scomputer.TheClientauthorizesFreeTimeWeb Designtoaccessthisaccount,andauthorizesthewebhostingservicetoprovideFreeTimeWebDesignwith"writepermission" fortheClient'swebspace. 2.WebsiteContent.TheClientagreestoprovideFreeTimeWebDesignALLcontentforthewebsitesuchastext,images,video andsoundinanelectronicformat.AllcontentistobearrangedbyeachwebpageaslistedintheSection10Estimated Costs.ClientunderstandsthatFreeTimeWebDesignmaychoosenotbegintocustomizethewebsiteuntilallcontentis received.IftheClientdoesnotsupplyFreeTimeWebDesigncompletetextandgraphicscontentforallwebpagescontracted forbytheCompletionDateaslistedinSection13oftheAgreement,theentireamountoftheAgreementbecomesdueand payable. 3.DesignatedClientRepresentative.ToensureeffectivecommunicationandanefficientdesignprocessbetweentheClient andFreeTimeWebDesign,theClientagreestodesignateasinglerepresentativetoworkdirectlywithFreeTimeWebDesign. TherepresentativewillensureALLcontenthasreachedfinalapprovalwithintheirorganizationbeforesubmittingthefinalized contenttoFreeTimeWebDesign. Changesmadetocontentthathasalreadybeensubmittedbytherepresentativemayresultinadditionalchargesata minimumrateof$50perhour. 4.WebHosting.TheClientunderstandsthatanywebhostingservicesrequireaseparatecontractwithawebhostingservice.  installedonthehostingserver.Ifneeded,FreeTimeWebDesigncanalsoprovidealistofwebhostproviderswhosupportthe technologyrequiredfortheClientswebsite. 5.WebsiteMaintenance.TheClientunderstandsthatoncethewebsiteiscompletedandinstalledtotheClientswebspace theClienttakesontheresponsibilityofmaintainingallaspectsthesite,suchastext,images,videoandsoundfiles.FreeTime WebDesignwillprovidealistofContentManagementSystem(CMS)whichwillassisttheClientinmaintainingthesite.The ClientisresponsibleforthecostoftheCMS.FreeTimeWebDesignwillmakechangestothesitepertheClientsrequestwhich willbebilledattheratepostedonFreeTimeWebDesignswebsite. 6.AssignmentofProject.FreeTimeWebDesignreservestherighttoassignsubcontractorstothisprojecttoinsuretherightfit forthejobaswellasontimecompletion. 7.LegalStuff.FreeTimeWebDesigndoesnotwarrantthatthefunctionscontainedinthewebsitewillbeuninterruptedor errorfree.InnoeventwillFreeTimeWebDesignbeliabletotheClientoranythirdpartyforanydamages,includinganylost profits,lostsavingsorotherincidental,consequentialorspecialdamagesarisingoutoftheoperationoforinabilitytooperate thesewebpagesorwebsite.Ifanyprovisionofthisagreementshallbeunlawful,void,orforanyreasonunenforceable,then thatprovisionshallbedeemedseverablefromthisagreementandshallnotaffectthevalidityandenforceabilityofany remainingprovisions. 8.CopyrightsandTrademarks.TheClientrepresentstoFreeTimeWebDesignandunconditionallyguaranteesthatany elementsoftext,graphics,photos,designs,trademarks,orotherartworkfurnishedtoFreeTimeWebDesignforinclusionin webpagesareownedbytheClient,orthattheClienthaspermissionfromtherightfulownertouseeachoftheseelements, andwillholdharmless,protect,anddefendFreeTimeWebDesignanditssubcontractorsfromanyclaimorsuitarisingfrom theuseofsuchelementsfurnishedbytheClient. 9.CopyrighttoWebPages.FreeTimeWebDesignthroughanagreementhasbeenprovidedtheuseofa3rdpartywebsite template.ThetemplatemaybeusedbyFreeTimeWebDesigntobuildawebsitefortheClient.Thesetemplatesareownedby the3rdpartyproviderandtheClientagreestheymaynotputthemonadiskette,CD,websiteoranyothermediumandoffer themforredistributionorresale. Uponfinalpaymentofthiscontract,theClientisassignedrightstouseasawebsitethedesign,graphics,andtextcontainedin thefinishedassembledwebsite.Rightstophotos,graphics,sourcecode,sourcefiles,andcomputerprogramsarespecifically nottransferredtotheClient,andremainthepropertyoftheirrespectiveowners.FreeTimeWebDesignanditssubcontractors retaintherighttodisplaygraphicsandotherWebdesignelementsasexamplesoftheirworkintheirrespectiveportfolios. 10.WebsitePricing&AdditionalServicesandFees.FreeTimeWebDesignpricing,servicesandfeesareasfollows. WebsitePricing.Thecostforasiteis$750.00whichincludes,

awebsitetemplatefromourgallery upto10customizedwebpageswithClientsprovidedcontent 1additionalblanktemplatewebpage.ThiscanbeusedbytheClienttocreateadditionalwebpagesfortheir site,emailmarketing,etc PublishingofthefinalapprovedsitetotheClientswebspaceorCDROM.
