Services Agreement This Agreement is effective as of the Date set forth in Schedule 1 by and between, G Marketing , (hereinafter referred

to as Service Provider, which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns) and Marck Biosciences Ltd., a company incorporated under the Companies Act, 1956 having its registered office at 5th Floor, Heritage, Nr. Gujarat Vidhyapith. Ashram Road, Ahmedabad 380014 Gujarat, India , (hereinafter referred to as Marck, which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns). WITNESSETH: WHEREAS, Service Provider wishes to provide placement Services to Marck; and WHEREAS, Marck wishes to avail the Services set forth in this Agreement. Now, THEREFORE, in consideration of the mutual covenants and conditions herein contained, the parties hereto agree as follows: 1. SERVICES 1 Service Provider agrees to provide Cvs according to Marck requirements

2. Marcks OBLIGATIONS 1 Marck agrees to share requirements and other details according to their need of candidate to Service provider.

3. PAYMENT FOR SERVICES Marck agrees to pay Placement fees to Service Provider @ 7% of the ctc of the selected candidate 1, subject to deduction of applicable taxes, if any. All amounts due to Service Provider pursuant to this Section shall be invoiced to Marck in original and shall be paid by Marck within thirty (30) days from receipt of invoice. 4. TERM OF AGREEMENT 1 This Agreement shall commence on Effective Date 25 th July 2012 to 24th July 2013. Service Provider and Marck agree to advise each other in writing at least 10 days prior to the termination date of this Agreement of any plan to extend, renew, or terminate this Agreement.

5. RIGHT TO TERMINATE 1 Either party may terminate this Agreement in whole or in part on ten (10) days written notice in the event of a default or failure to perform any condition of this Agreement by the other party.

6. APPLICABLE LAW This Agreement shall be governed and construed in accordance with the laws of India and shall be subject to the exclusive jurisdiction of the courts at Pune. 7. PUBLICITY Service Provider and/or its employee/s shall not use, the name of Marck, or its subsidiaries or affiliates in any sales or marketing publication or advertisement, without the prior consent of Marck. 8. NOTICE All notices and other communications hereunder shall be in writing, except as herein specifically provided, and shall be deemed to have been given when mailed by registered mail, to the intended recipient thereof at its address shown herein above or to such other address as the intended recipient may specify in a notice pursuant to this Section.
