AtlantaBravesandCobbCountyMajorDealPointsSummary 1. Overview.TheAtlantaBraves,CobbCountyandtheCobbMariettaColiseumandExhibitHallAuthority willbeexecutingaMemorandumofUnderstanding(MOU)thatsetsforththeirrespectiverightsand obligationsfordevelopmentoftheAtlantaBravesstadiuminCobbCounty. 2. Term.ThetermoftheMOUisthirtyyears,commencingwiththe2017AtlantaBravesseason.TheAtlanta Braveswillhavetherighttoextendthetermforanadditionalfiveyearsthroughthe2051majorleague baseballseason. 3. StadiumProjectBudget.Thetotalbudgetforthestadiumisapproximately$672,000,000.Thisincludes stadium,parkingandrelatedinfrastructure. 4. AllocationofTotalStadiumProjectCost. AtlantaBravesContribution:$372,000,00055% TheAtlantaBravesupfrontcommitmentisupto$280,000,000(minimumcontributionof $230,000,000).

TheAtlantaBravestotalcontributionof$372,000,000overthelifeofthestadiumprojectconsistsof $280,000,000paidbyOpeningDay2017and$92,000,000(NetPresentValue)beingfinancedover the30yeartermofthestadiumoperatingagreement,andpaidviaAtlantaBravesannualguaranteed revenues($6,100,000annually),asdetailedbelow: 1. 2. 3. 4. ReallocationofexistingPropertyTaxRevenues(noincreaseinpropertytaxmillagerateforCobbCounty homeowners):$8,670,000 3. NewthreepercentRentalCarTax:$400,000(tobeapprovedbyCounty) 4. NewCumberlandSpecialServiceDistrictTax:$5,150,000(Consistsofapproximatelythreemillsproperty taxincreaseinapproximatelythefootprintoftheCumberlandCID.Thisequalsabout$120annuallyon $100,000marketvalueproperty.) 5. NewCumberlandSpecialServiceDistrictHotelCirculatorFee:$2,740,000($3perroompernightcharge forhotelsandmotelsindistrictfootprint) 5. StadiumDesignandConstruction.TheAtlantaBravesorganizationwillserveasthedesignand constructionmanagerfortheproject.TheAtlantaBraveswillberesponsibleforanycostoverruns. 6. OperationandManagementofStadium.ExceptfortheCountysrighttoconductalimitednumberof specialevents,theAtlantaBraveshaveexclusiverightstouseandoperatetheStadiumandpermitthirdparties todothesame. 7. StadiumRevenues.ExceptfortheCountysshareofnamingrightsrevenues,parkingrevenuesandmarquee advertisingrevenues,theAtlantaBraveswillretainallrevenuesassociatedwiththeStadium. 8. StadiumExpenses.TheAtlantaBravesareresponsibleforalloperatingexpensesoftheStadium.The AtlantaBravesandtheCountywillbejointlyresponsibleforallcapitalmaintenanceexpensesoftheStadium. 9. AdditionalAgreements.TheMOUalsosetsforththatthepartieswillexecutemoredefinitiveagreementsin connectionwiththeStadiumProjectincludingaStadiumOperatingAgreement,DevelopmentAgreement, NonRelocationAgreement,TransportationandInfrastructureAgreementandanyotheragreementsthatthe Partiesdeemnecessary.
