"uch duties shall be rendered at the principal office of the #$ployer and at such other place or places as #$ployer shall in good faith re0uire or as the interest, need, business, or opportunity of #$ployer shall re0uire.

/ T5C6# < 5(": /(C# 9uring the ter$ of this agree$ent, the #$ployee will be co&ered by the #$ployer1s standard insurance policy for life, accident and health insurance benefits. /ccident and sic>ness benefits will be paid according to the policy pro&ided by the #$ployer. The #$ployer1s liability for the conse0uences of accident or illness contracted during the ter$ of this Contract will ter$inate at the end hereof or upon the end of any extension hereof by prior agree$ent or by the pro&isions of the insurance policy. The #$ployer will not be entitled to recei&e any benefits whatsoe&er fro$ nor under any clai$ to co$pensation of whate&er nature against the #$ployer if the #$ployee has failed to disclose to the #$ployer any fact relating in any way to his health or soundness of body or $ind or to pre&ious $edical history.

The #$ployee $ay be re0uired to undergo a $edical exa$ination fro$ ti$e to ti$e at the re0uest and expense of the #$ployer.

/ T5C6# <5 T# 75(/T53( 9:# T3 95"C3(T5(:/(C# 34 =:"5(#"" /nything herein contained to the contrary notwithstanding, in the e&ent that #$ployer shall discontinue operating its business, this Contract shall ter$inate as of the last day of the $onth in which #$ployer ceases operations.

/ T5C6# <55 3T.# #7P6387#(T #$ployee shall de&ote all his ti$e, attention, >nowledge and s>ills solely to the business and interest of the #$ployer, and #$ployer shall be entitled to all of benefits, profits or other issue arising fro$ or incident to all wor>, ser&ices, and ad&ice rendered by the #$ployee, and #$ployee shall not, during the ter$ hereof, be interested directly or indirectly, in any $anner, as partner, officer, director, stoc>holder, ad&isor e$ployee or in any other capacity, in any other business si$ilar to #$ployer1s business or any allied trade+ pro&ided, howe&er, that nothing herein contained shall be dee$ed to pre&ent or li$it the right of #$ployee to in&est any of his surplus funds in capital publicly,owned or regularly traded in any public exchange, nor shall anything herein contained be dee$ed to pre&ent #$ployee fro$ in&esting or li$it #$ployee1s right to in&est his surplus funds in real estate.

/ T5C6# <555 T /9# "#C #T" #$ployee shall not at any ti$e or in any $anner, either directly or indirectly, di&ulge, disclose, or co$$unicate to any person, fir$ or corporation in any $anner whatsoe&er any infor$ation concerning any $atters affecting or relating to the business of #$ployer, including but not li$ited to, the identity of any of its custo$ers, prices at which it sells or has sold its products, the &olu$e of sales it generates or has generated, and any other infor$ation concerning the business of #$ployer, its $anner of operation, plans, processes or other data without regard to whether all of the foregoing $atters will be dee$ed confidential, $aterial, or i$portant. The parties hereto agree that as between the$, i$portant, $aterial, and confidential shall $ean that which will affect the effecti&e and successful conduct of the business of #$ployer and its goodwill.

/ny breach of the stipulations contained in this paragraph shall be considered a $aterial breach of this Contract. The foregoing ter$s shall re$ain in full force and effect for the period of two !2' years after the ter$ination of #$ployee1s e$ploy$ent for any reason.

/ T5C6# 5? /@ ##7#(T 3:T"59# T.# C3(T /CT This Contract contains the co$plete e$ploy$ent agree$ent between the parties and shall, as of the effecti&e date hereof, supersede all other agree$ents between the parties. The parties stipulate that neither of the$ has $ade any agree$ent or any representations, including the execution or deli&ery hereof, except such representations as are specifically set herein, and each of the parties hereto ac>nowledges that he has relied on his own 2udg$ent in entering into this Contract. The parties hereto ac>nowledge that any pay$ents or representations that ha&e been $ade by either of the$ to the other are of no effect and that neither of the$ has relied thereon in connection with his dealings with the other.

T# 75(/T53( 43 95"/=565T8 (otwithstanding anything in this Contract to the contrary, #$ployer is hereby gi&en the option to ter$inate this Contract in the e&ent that #$ployee shall, during the ter$ hereof, beco$e per$anently disabled, as the ter$ per$anently disabled is hereinafter fixed and defined. "uch option shall be exercised by #$ployer gi&ing notice in writing to the #$ployee, by registered $ail in care of the #$ployer at ______________ or to such address as #$ployee shall designate, of the #$ployer1s intention to ter$inate this Contract. 3n gi&ing such notice as described, this Contract shall cease on the last day of the $onth in which the notice is $ailed. 4or the purpose of this Contract, the #$ployee shall be dee$ed to ha&e beco$e per$anently disabled, if, during the ter$ hereof, because of ill health, physical or $ental disability or other causes beyond his control, the #$ployee shall ha&e been continuously unable or unwilling or shall ha&e failed to perfor$ his duties hereunder for sixty !A0' consecuti&e days, or, the #$ployee shall ha&e been unable or unwilling or shall ha&e failed to perfor$ his duties for a total period of one hundred eighty !BC0' days, whether or not such days are consecuti&e. 4or the purpose hereof, the ter$ is understood to $ean the ter$ pro&ided in /rticle 55 hereof.

pro&ided the 6#""##%s rights under the lease are respected. BJ. ./O/ 93:" /(9 P 3.5=5T5<# 7/T# 5/6": The 6#""## shall not >eep or store in the lease pre$ise any hazardous and obnoxious substance or infla$$able $aterial or substance that $ight constitute a fire hazard or other che$icals and $aterials or prohibiti&e drugs in &iolations of the laws of the Philippines. The 6#""## binds hi$self to co$ply with the existing rules and regulations pro$ulgated by the building ad$inistrator and;or association and any other en&iron$ental or other laws, ordinances, rules and regulations applicable to the leased pre$ises. The 6#""3 $ay, at this options, consider this agree$ent auto$atically rescinded and canceled, without need of any court action, upon ten !B0' days notice gi&en to the 6#""## based on any of the following grounds. a. 4ailure of the 6#""## to pay two !2' $onths ad&ance rental and other bills or charges therefore $entioned as they fall due for any reason whatsoe&er within the period to pay. b. 4or any &iolation $ade by the 6#""## or its agents and representati&es of any of the ter$s and conditions stipulated in this contract. c. 5n case the leased pre$ises shall be &acated or abandoned for a period of thirty !D0' days without prior written notice to the 6#""3 . Conse0uently, the 6#""3 is hereby per$itted authorized by the 6#""## to enter the pre$ises, either by force or otherwise, without being liable to prosecution therefor. BA.B. :pon ter$ination of the contact of lease based on any of the foregoing grounds and upon de$and, the 6#""## shall i$$ediately &acated and peacefully surrender possession of the lease pre$ises to the 6#""3 or his duly authorize representati&e. water, telephone, association dues etc.' as pro&ided for under this lease contract , the 6#""## hereby authorizes the 6#""3 , who is hereby gi&en the right, to disconnect all facilities such as but not li$ited to disconnect all facilities such as but not li$ited to electricity, telephone, water in the leased pre$ises without need of further notice to the 6#""##. b. 6i>ewise, until the aforesaid unpaid obligations are paid or settled, the 6#""## hereby gi&en the rights, to re,renter the lease pre$ises, re$o&e all persons therefro$ , ta>e possession of any of all furniture, fixtures and e0uip$ent%s found thereon or therein and;or padloc>ed the door of the pre$ises. c. 7oreo&er, by way of a security or to secure the pay$ent of any of the unpaid obligations of the 6#""## , the 6#""## consents and authorizes the 6#""3 to retain possession of any of all the furniture, fixtures and e0uip$ent%s that $ay found on the pre$ises as belongings to the 6#""## until such ti$e that all the unpaid obligations of the 6#""## are paid or settled. d. 5f after ten !B0' days fro$ the date the 6#""3 shall ha&e ta>en possession of the aforesaid furniture, fixtures and e0uip$ent by way of security, the 6#""## still fails to pay or settle its unpaid obligations to the 6#""3 the 6#""## hereby consents and authorizes the 6#""3 to sell by way of public or pri&ate sale any or all the furniture%s fixtures e0uip$ent as $ay be sufficient to pay or settle the lessee%s unpaid obligations plus the accrued interests and attorney%s fee e0ui&alent to 2EM of the total a$ount due and unpaid. /ll expenses that $ay be incurred in the sale shall be for the account of the 6#""##. BN.0B 4or purposes of selling the aforesaid properties, the 6#""## hereby irre&ocably appoint the 6#""3 as its attorney,in,fact to sell and dispose of any or all of the aforesaid the property of the 6#""## in a pri&ate or public sale at a price as $ay be deter$ined to be 2ust and reasonable by the 6#""3 and to apply the proceeds therefro$ to any or all the unpaid obligations of the 6#""##.

BN.02 5f the sale proceeds should pro&ed to be inade0uate to fully payer settle the unpaid obligations of the 6#""##, the 6#""## shall re$ain liable to the 6#""3 for any of the deficiency. BN.0D "hould the proceeds of the sale of any of the aforesaid properties be sufficient to pay or settle all of the lessee%s unpaid obligations, the 6#""## $ay get bac> its other properties not sold by the 6#""3 . 5f after thirty!D0' days fro$ written notice of the 6#""3 directed to the last >nown address of the 6#""##, the 6#""## still fails to get bac> the re$aining properties, said properties shall then be dee$ed abandoned in fa&or of the 6#""3 . BN.0J The abo&e enu$erated re$edies opro&ed for the 6#""3 shall not be exclusi&e, but shall be cu$ulati&e and without pre2udice to any court action that $ay be instituted by the 6#""3 for any causes of action that $ay arise under this contract of lease. Ti$e is the essence hereof any wai&er by the 6#""3 of a breach of any ter$, co&enant or condition herein contained, whether express or i$plied, shall not constitute of a wai&er of any subse0uent breach thereof, or a breach of co&enant to pay the rent so accepted. (o wai&er by the 6#""3 shall be dee$ed to ha&e been $ade unless expressed in writing and signed by the 6#""3 . 2B.
