MICROSOFT LICENSE TERMS FOR THE MICROSOFT VIRTUAL MACHINE AND MICROSOFT VIRTUAL MACHINE FOLDER

These license terms are an agreement between Microsoft Corporation (or based on where you live, one of its affiliates) and you. Please read them. They apply to the Virtual Machine and Virtual Machine older, including documentation, settings, sample applications, sample code, scripts, content, files, other technical information and configuration data provided as part of the Virtual Machine and Virtual Machine older, which includes the media on which you received it, if any. BY USING THE VIRTUAL MACHINE OR VIRTUAL MACHINE FOLDER, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NOT USE THE VIRTUAL MACHINE OR VIRTUAL MACHINE FOLDER. DEFINITIONS. "Au"#o'!-$. L$('&!&* C$&"$'# means a $earning Partner, Microsoft %T &cademy Program Member or such other entity as Microsoft may designate in writing. "Au"#o'!-$. T'(!&!&* S$%%!o&# means the Microsoft'authori(ed instructor'led training class conducted by a MCT at an &uthori(ed $earning Center physical location that provides training using only Microsoft Courseware. "Cl(%%'oom D$)!c$# means a dedicated personal computer owned or controlled by the &uthori(ed $earning Center and is located at &uthori(ed $earning Center)s training facility where the &uthori(ed Training *ession is being held that meets or e+ceeds the hardware level specified for the particular Microsoft Courseware. "E&. U%$'# means the individual attending an &uthori(ed Training *ession. "L$('&!&* P('"&$'# means an active member of the Microsoft Partner ,etwor- program in good standing that currently holds and maintains the $earning Competency. "MCT# or "M!c'o%of" C$'"!f!$. T'(!&$'# means an individual who is (i) engaged to teach an &uthori(ed Training *ession by an &uthori(ed $earning Center, (ii) currently certified as a Microsoft Certified Trainer under the Microsoft Certification Program, and (iii) holds a Microsoft Certification in the technology that is the sub.ect of the &uthori(ed Training *ession. "M!c'o%of" Cou'%$ ('$# means the Microsoft'branded instructor'led training course that educates %T professionals and developers on Microsoft technologies that is licensed from Microsoft. & Microsoft Courseware title may be branded as M/C, Microsoft 0ynamics or Microsoft business group courseware. "M!c'o%of" IT Ac(.$my P'o*'(m M$m+$'# means an academic institution who is an active member of the Microsoft %T &cademy program. "MOC# means the /fficial Microsoft $earning Product instructor'led courseware -nown as Microsoft /fficial Course that educates %T professionals and developers on Microsoft technologies. "V!'"u(l H('. D!%8%#, "VHD# or "%of" ('$# means software that is comprised of virtuali(ed hard dis-s (such as a base virtual hard dis- or differencing drive hard dis-) for a Virtual Machine that can be loaded onto a single computer or other device in order to allow end'users to run multiple operating systems concurrently. "V!'"u(l M(c#!&$# or "VM# means a virtuali(ed computing e+perience, created and accessed using Microsoft 1yper'V software that consists of a virtuali(ed hardware environment, one or more Virtual 1ard 0is-s, and any configuration settings that contain the parameters of the virtuali(ed hardware environment (e.g., 2&M). "V!'"u(l M(c#!&$ Fol.$'# means the Microsoft configuration files and differencing drive V10 necessary to create the Virtual Machine. "you# means a $earning Partner or an MCT.

INSTALLATION AND USE RIGHTS.

If you ('$ ( L$('&!&* P('"&$', you may5 !. download the Virtual Machine older listed in the classroom setup guide for the Microsoft Courseware title that is the sub.ect of the &uthori(ed Training *ession onto one (!) host Classroom 0evice6 install the Virtual Machine older and the V10s listed in the classroom setup guide for the Microsoft Courseware title that is the sub.ect of the &uthori(ed Training *ession onto one (!) host Classroom 0evice running a validly licensed copy of Microsoft 1yper'V to create the Virtual Machine associated with the Microsoft Courseware title6 ,. /. install the Virtual Machine on (!) internal server located at the &uthori(ed $earning Center training facilities where the &uthori(ed Training *ession is being held, OR duplicate and install one (!) instance of the Virtual Machine on the Classroom 0evices running a validly licensed copy of Microsoft 1yper'V provided the number of copies installed on Classroom 0evices does not e+ceed the number of 7nd 8sers enrolled in that particular &uthori(ed Training *ession6 and 7nd 8sers to perform the hands'on activities associated with the Microsoft Courseware title and only while participating in the &uthori(ed Training *ession, and MCTs to prepare for and teach the &uthori(ed Training *ession.

/./. ,o /ther 2ights. 9ou may not use the Virtual Machine or Virtual Machine older for any other purpose. The Virtual Machine may not be used in a live operating or production environment. ,o right to distribute, publicly display or perform the Virtual Machine is granted.

/.0. ,o ,etwor- &ccess. 9ou may not install the Virtual Machine on Classroom 0evices or servers that are accessible to other networ-s unless e+plicitly authori(ed by Microsoft as documented and specified in the associated Microsoft Courseware title)s classroom setup guide. /.1. 2eproduction:2edistribution of software. 9ou ac-nowledge and agree that (. +. the Virtual Machine contain copies of Microsoft software6 the software provided to you under this license are valuable assets to Microsoft and the unauthori(ed duplication and distribution of such software would deprive Microsoft of the revenues Microsoft ordinarily collects for licensing such Microsoft software6 Microsoft is providing the VM to you free of charge solely to assist 7nd 8sers gain proficiency using Microsoft technologies as outlined in this license6 you may not sell, transfer, or sublicense any portion of the VM or Virtual Machine older6 and you may not transfer or assign this license to any third party.

/.2. ,o *eparation. 9ou may not separate any of the Virtual Machine component parts and install them on different devices or servers e+cept as otherwise stated in this agreement. ;. ADDITIONAL LICENSING RE9UIREMENTS AND USE RIGHTS. ;.!9ou may only use the Virtual Machine and:or the Virtual Machine older if you comply with the terms and conditions of this license agreement and the following security re<uirements5 (. 9ou may only use the V10s, Virtual Machine and Virtual Machine older you download from the Microsoft $earning 0ownload Center or the V10s on the Trainer Pac- 0V0 provided to you by Microsoft $earning to assemble the Virtual Machine. 9ou may install, access and use only those V10s files, VM and Virtual Machine older listed in the classroom setup guide for the Microsoft Courseware title that is the sub.ect of your scheduled &uthori(ed Training *ession. 9ou will assure any VMs installed for use during an &uthori(ed Training *ession will be done in accordance with the classroom setup guide for the Microsoft Courseware title. 9ou may not install the VMs or Virtual Machine older on Classroom 0evices or servers that are accessible to other networ-s unless e+plicitly authori(ed by Microsoft as documented in the relevant Microsoft Courseware title)s classroom setup guide and the *ecure =ateway Virtual Machine setup documentation.

9ou may not allow others to copy or download the VMs or Virtual Machine older. 9ou will strictly comply with all Microsoft instructions relating to installation, use, activation and deactivation, and security of the VM. 9ou may not modify the VMs, Virtual Machine older or any contents thereof, unless e+plicitly authori(ed otherwise by Microsoft as documented in the associated Microsoft Courseware classroom set'up guide.

;.3 9ou must remove all copies of the Virtual Machine and Virtual Machine older from the server and all Classroom 0evices at the end of each &uthori(ed Training *ession and reinstall and launch the Virtual Machine prior to the beginning of the ne+t &uthori(ed Training *ession. %f you are an MCT, you must remove any copy of the Virtual Machine from your personal device at the end of each &uthori(ed Training *ession. >. TIME:SENSITIVE SOFT;ARE. a. The software running on the VM will stop running within a prescribed number of days after initial launch. 9ou may be able to run the re'arm command to reset the software to run for an additional period of time. 9ou will not receive any other notice. The number of times you may run the re'arm command varies on the particular Microsoft Courseware title as indicated in the course)s classroom setup guide. %f the software running on the VM is a pre'release version, the software will stop running on the set e+piration date listed in the "Term# section of the license agreement included with the pre'release software. 9ou will not receive any other notice. 9ou may not access, use or retrieve data from the VM once the software stops running. 9ou must stop all access and use to the VM, if any software on the VM stops running. ?. FEEDBAC<. %f you give feedbac- about the Virtual Machine to Microsoft, you give to Microsoft, without charge, the right to use, share and commerciali(e your feedbac- in any way and for any purpose. 9ou also give to third parties, without charge, any patent rights needed for their products, technologies and services to use or interface with any specific parts of a Microsoft software or service that re<uires Microsoft to license its software or documentation to third parties because Microsoft includes your feedbac- in them. These rights survive this license agreement. SCOPE OF LICENSE. The VM and Virtual Machine older are licensed, not sold. This license agreement only gives you some rights to use the VM and Virtual Machine older. Microsoft reserves all other rights. 8nless applicable law gives you more rights despite this limitation, you may use the VM and Virtual Machine older only as e+pressly permitted in this license agreement. %n doing so, you must comply with any technical limitations in the VM and Virtual Machine older that only allow you to use it in certain ways. 9ou may not5 (. +. c. ma-e or install more copies of the Virtual Machine on Classroom 0evices than the number of 7nd 8sers participating in the &uthori(ed Training *ession, allow more Classroom 0evices to access the Virtual Machine on the server than the number of 7nd 8sers participating in the &uthori(ed Training *ession6 allow access to or use of the Virtual Machine to anyone e+cept 7nd 8sers and only while participating in the &uthori(ed Training *ession teaching the Microsoft Courseware title associated with the Virtual Machine classroom setup guide6 allow anyone to access, copy, print, install, sell, publish, transmit, rent, lease, lend, adapt, use, reuse, lin- to or post, ma-e available or distribute the software, VM, Virtual Machine older or any portion thereof, e+cept as e+pressly permitted in this license agreement6 access or use any of the VM for (i) commercial software hosting services, (ii) general business purposes, or (iii) any purpose which you have not been e+pressly authori(ed by Microsoft under this license agreement6 add content to, alter, modify, adapt, edit, or otherwise create derivative wor-s of the VM, Virtual Machine older, software or any portion thereof6

use the VM, Virtual Machine older or software)s files and components within another operating system or application running on another operating system6 wor- around any technical limitations in the VM, Virtual Machine older or software6 or reverse engineer, decompile or disassemble the VM, Virtual Machine older or software, e+cept and only to the e+tent that applicable law e+pressly permits, despite this limitation.

RESERVATION OF RIGHTS AND O;NERSHIP . Microsoft reserves all rights not e+pressly granted to you in this license agreement. The VM, Virtual Machine older and software is protected by copyright and other intellectual property laws and treaties. Microsoft or its suppliers own the title, copyright, and other intellectual property rights in the VM, Virtual Machine older and software.

E=PORT RESTRICTIONS. The software running on the VM is sub.ect to 8nited *tates e+port laws and
regulations. 9ou must comply with all domestic and international e+port laws and regulations that apply to the software. These laws include restrictions on destinations, end users and end use. or additional information, see www.microsoft.com:e+porting.

SUPPORT SERVICES. 4ecause this VM and Virtual Machine older are provided "as is,# Microsoft may not provide support services for it.

!D. TERM AND TERMINATION. This license agreement will automatically e+pire upon the earliest of (a) the e+piration date of any software, (b) you have e+hausted all re'arms and the software has stops running, (c) termination of this agreement by Microsoft, (d) if you are a $earning Partner, upon e+piration or termination of your $earning Competency status under the Microsoft Partner ,etwor- program, or (e) if you are a MCT, upon termination or e+piration of your status as a MCT. Microsoft may also terminate this agreement if it has reason to believe you fail to comply with the terms and conditions of this agreement. 8pon e+piration or termination of this agreement for any reason, all rights granted to you under this agreement will immediately terminate and you must stop using any VM and permanently delete and destroy all copies of the VM in your possession or under your control. !!. ENTIRE AGREEMENT. This agreement, and the terms for supplements, updates, and support services that you use, are the entire agreement for the VM, Virtual Machine older, and support services. !3. APPLICABLE LA;. a. 8nited *tates. %f you ac<uired the VM or Virtual Machine older in the 8nited *tates, Eashington state law governs the interpretation of this agreement and applies to claims for breach of it, regardless of conflict of laws principles. The laws of the state where you live govern all other claims, including claims under state consumer protection laws, unfair competition laws, and in tort. /utside the 8nited *tates. %f you ac<uired the VM or Virtual Machine older in any other country, the laws of that country apply.

!;. LEGAL EFFECT. This agreement describes certain legal rights. 9ou may have other rights under the laws of your country. 9ou may also have rights with respect to the party from whom you ac<uired the software. This agreement does not change your rights under the laws of your country if the laws of your country do not permit it to do so. !>. DISCLAIMER OF ;ARRANTY. THE SOFT;ARE, VM AND VIRTUAL MACHINE FOLDER ARE LICENSED >AS:IS.? YOU BEAR THE RIS< OF USING IT. MICROSOFT GIVES NO E=PRESS ;ARRANTIES, GUARANTEES OR CONDITIONS. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LA;S ;HICH THIS AGREEMENT CANNOT CHANGE. TO THE E=TENT PERMITTED UNDER YOUR LOCAL LA;S, MICROSOFT E=CLUDES THE IMPLIED ;ARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON:INFRINGEMENT. !?. LIMITATION ON AND E=CLUSION OF REMEDIES AND DAMAGES . YOU CAN RECOVER FROM MICROSOFT AND ITS SUPPLIERS ONLY DIRECT DAMAGES LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID FOR THE SOFT;ARE OR U.S. @2.77.
