VENDOR APPLICATION AND AGREEMENT

Applications must be filled out completely, with all attachments, returned to the Lincoln Center for processing at least one month prior to any services rendered. INSURANCE
0. %he #ervice $rovider will provide, from insurance companies acceptable to the City, the insurance coverage designated hereinafter and pay all costs. &efore commencing wor1 under this Agreement, the #ervice $rovider shall furnish the City with certificate(s! of insurance showing the type, amount, class of operations covered, effective dates and date of e*piration of policies, and containing substantially the following statement2 The insurance evidenced by this Certificate will not be cancelled or materially altered, except after ten (10) days written notice has been received by the City of Fort Collins. In case of the breach of any provision of the Insurance 3e4uirements, the City, at its option, may ta1e out and maintain, at the e*pense of the #ervice $rovider, such insurance as the City may deem proper and may deduct the cost of such insurance from any monies which may be due or become due the #ervice $rovider under this Agreement. %he #ervice $rovider shall name the City as an additional insured on the #ervice $rovider/s general liability and automobile liability insurance policies for any claims arising out of wor1 performed under this Agreement. #ervice $rovider will defend,

indemnify and hold the City of "ort Collins, Lincoln Center, its officers, employees, and agents harmless from and against any and all liability, loss, e*pense (including reasonable attorney/s fees!, fines levies, and5or claims for in6ury or damages arising out of the #ervice $rovider/s activities on Lincoln Center premises. %his indemnification obligation will survive termination of this Agreement. 7. %he #ervice $rovider shall maintain during the life of this Agreement such commercial general liability and automobile liability insurance as will provide coverage for damage claims of personal in6ury, including accident death, as well as for claims for property damage, which may arise directly or indirectly from the performance of wor1 under this Agreement. Coverage for property damage shall be on a broad form basis. In the event any wor1 is performed by a subcontractor, the #ervice $rovider shall be responsible for any liability directly or indirectly arising out of the wor1 performed under this Agreement by a subcontractor, which liability is not covered by subcontractor/s insurance.

LOAD IN AND STRIKE


All public entrances are strictly limited to hand-carried items for the load-in or stri1e of event e4uipment or supplies including, but not limited to, decorations and catering. %he use of dollies, flatbeds, and mechanical e4uipment for Load in or #tri1e of an event are only allowed at our specified doc1 and loading areas. $lease consult the ,vent Coordinator about any concerns or special needs you may have.

DECORATIONS, SIGNAGE AND BANNERS


%he Lincoln Center provides digital mar4uees? video display boards and room signage within the public areas of the facility for all events. (o customer signs, easels, banners, decorations, or similar materials will be allowed in the public areas of the facility without direct permission of the $erforming Arts Center @anager. All decoration set up and clean-up is the responsibility of the customer. Ase of glitter, rice, confetti, and bird seed in the facility or on the grounds is highly discouraged, and e*traordinary house1eeping charges will be assessed if used. 9nly candles with an enclosed flame or simulated candles are permitted. All doors to mechanical rooms, operation rooms and offices need to be 1ept clear and free at all times. Indoor decorations must be confined to the rented space, and may be on the tables or freestanding. (o decorations, signs, posters or displays may be taped, nailed, stapled, tac1ed, or otherwise affi*ed to any facility surface, facility e4uipment or art pieces.

All fog and5or haBe machine use outside of the %heatre spaces must be performed by a Lincoln Center Approved vendor and be approved by the ,vents Coordinator. Adhesive labels, including name badges, decals and similar promotional items may not be used or distributed in the building. Celium balloons must be securely anchored and may not be sold or distributed in the buildings. 9utdoor decorations must be confined to the rented space, and may be on the tables or freestanding. All other decorations in outdoor rented spaces are sub6ect to the approval of the ,vents Coordinator. (o flammable materials such as bunting, tissue paper, crepe paper, etc are permitted to be used for decorations or otherwise. All materials used for decorative purposes must be treated with flame retardant and approved by the $oudre "ire Authority.

PUBLIC AREAS
%he lobbies, grounds and par1ing lots are considered public areas and, generally, not under lessee control. As such the following guidelines apply All activities utiliBing public areas such as registration, special e*hibits or displays, etc., re4uire approval one month in advance of the contracted event date from the $erforming Arts Center @anager. Activities must ta1e into consideration the re4uirements of other tenants and staff utiliBing the facility.

APPROVED VENDORS
All Approved Vendors including, but not limited to, <Ds, musicians, caterers, decorators, etc. must apply to be an Approved Vendor at least one month (=; days! prior to the client/s contracted event in order to perform any service within the facility or on our grounds. $lease contact the ,vents Coordinator for a copy of the application. Approved Vendors must meet their contractual obligations to their clients and respond within a reasonable amount of time to communications from clients, potential clients, and the Lincoln Center. If the Lincoln Center receives complaints about an Approved Vendor/s business practices, the Lincoln Center will attempt to contact the Approved Vendor for an e*planation. If the issue cannot be resolved or the Approved Vendor/s e*planation of the situation is not satisfactory to the Lincoln Center in its sole discretion, the Lincoln Center may terminate the Approved Vendor/s status as an Approved Vendor at the Lincoln Center. If Approved Vendors fail to follow Lincoln Center polices, possible conse4uences include (0! additional fees being charged to Approved Vendor/s client? (7! termination of Approved Vendor/s Approved Vendor status, and (=! Approved Vendor being barred from future business at the Lincoln Center. If Approved Vendor status is terminated, reinstatement is in the discretion of the Lincoln Center. %he vendor may be re4uired to reapply and to provide recent references.

AGREEMENT I, the undersigned, affirm that I have read this application and the attached guidelines and agree on behalf of #ervice $rovider to be bound by their terms and conditions. I understand that an Approved Vendor Agreement is only valid if the #ervice $rovider/s records and information remain current and #ervice $rovider adheres to all Lincoln Center Conference E!ent R"le# $n% Re&"l$tion#' I understand that it is my obligation to notify the Lincoln Center/s ,vent Coordinator if any information changes.
