PAYMENT AGREEMENT FOR VARIOUS LABORATORY MACHINES

This document reflects an agreement entered into by
MICROVISION ENTERPRISES
And
DR ABOK

Thereafter referred to as The Customer!
In terms of the Agreement" u#on and installation of $arious laboratory machines and
accessories%
&ereafter collecti$ely 'no(n as The lab analy)er systems!" the follo(ing commitments
bet(een Micro$ision Enter#rises and the customer become $alid%
1. TITLE TO:LABORATORY ANALYZER SYSTEMS
*%* The customer agrees that the analy)ers systems and accessories remain
the #ro#erties of MICROVISION ENTERPRISES till the sti#ulated contract
#eriod ela#ses%
*%+ The Customer agrees to use the analy)er systems only at the
abo$e
mentioned #remises and shall not remo$e" transfer or alter the laboratory
analy)er systems (ithout #rior consent from MICROVISION ENTERPRISES until the
#ayment is done fully
*%, The Customer shall not #ermit or suffer any attachment" encumbrance" or any
security interest to be filled against the laboratory analy)er systems and shall
#rom#tly notify Micro$ision Enter#rises if any of the foregoing is filled or claimed
and shall indemnify Micro$ision Enter#rise for any loss or damage" included
attorney-s fees resulting from any of the foregoing%
*%. In the case of dis#ute and not (ithstanding to the contrary irres#ecti$e of the
$alue in dis#ute" the legal domicilium citandi of Micro$ision Enter#rises (ill be

2. AGREEMENTS

+%* The customer has agreed to #ay the do(n #ayment of /sh 400,000 u#on
successfully installation and commissioning of the laboratory analy)ers" the second
month installment #ayment is /sh 20,000 and the third month installment #ayment
(ill be /sh 2!0,000. The total cost of the Analy)er being /sh ""0,000
+%+ The customer shall #ro$ide #ost dated che0ue for three1,2 months starting from the
first month of installation to be de#osited e$ery end of the month as #er the
customer ad$ice
+%, Micro$ision Enter#rises agrees the transfer the 3aboratory analy)er to 4r Abo'%
u#on the com#letion of the #ayment and one year (arranty offered by the
$endor1 Micro$ision Enter#rises2
+%. The customer shall only buy reagents for Analy)er from Micro$ision Enter#rises
until the end of the (arranty #eriod (hich is e5actly one year after the #urchase of
the analy)er
!. #ARANTY $ SERVICE CONDITIONS:
,%* All ser$ice 0ueries to be handled by Micro$ision Enter#rises ser$ice de#artment%
Micro$ision shall res#ond (ithin +1t(o2 days after the initial call from the customer%

loss" damage or alterations to the analy)er system caused by the customer" its
em#loyees" agents" contractors or unauthori)ed #ersonnel% Micro$ision
technical ser$ice shall determine the costs%

b2 Negligence by #ersonnel to #erform routine maintenance or non8com#liance

su##ly" #o(er line" (all outlets" $entilation etc% for the hematology analy)er
system installation%
d2 The use of generic consumables or accessories not s#ecified in the o#erations
manual or on the #rice list%
e2 9nusual or im#ro#er o#erating conditions%
,%. Micro$ision Enter#rises% Technical ser$ices de#artment
(ill fully install the analy)er system initially at no cost to the customer%
The hos#ital (ill be res#onsible for the structural changes to the hos#ital
building for installation of the analy)er% Micro$ision Enter#rises
(ill be res#onsible for the trans#ort of the analy)ers into the laboratory%
,%: Routine #re$enti$e maintenance of the analy)er system (ill be #erformed by
0ualified Micro$ision Enter#rises #ersonnel

4. RISK OF LOSS
.%* The customer is res#onsible for any loss or damage to the analy)er system
resulting from a ser$ice or re#air #erformed by unauthori)ed #ersonnel%
.%+ The customer shall immediately notify Micro$ision Enter#rises of any loss or
damage to the analy)er system%
. FORCE MA%EURE:
Micro$ision Enter#rises shall not be liable for any failure to #erform under this
agreement due to stri'es 1legal or illegal2" fires" flood or (ater damage" riots"
go$ernment acts or orders" interru#tion of trans#ort" inability to obtain materials u#on
reasonable #rices or terms" or any cause beyond its control%
&. DOMICILIUM CITANDI ET EXECUTANDI:

8. ASSIGNMENT OF AGREEMENT:
The customer may not assign or transfer this agreement of the analy)er system%

10. AGREEMENT PERIOD
