PREAMBULE / WITNESSETH
Attendu que les parties entretiennent des négociations mutuelles afin de soumettre un projet de recherche
ayant pour objet l'étude de …………………………………………..("le Projet"), dans le cadre du
programme de R&D……………de la Communauté Européenne, / Whereas the parties are negociating
with each other in order to submit a joint tender research project related to the study …………………
……,("the Project"), in the field of the European Community ………..R&D programme
Attendu que la coordination de ce projet sera assurée par le CNRS, le chef de projet étant le Dr……..
du Laboratoire, / Whereas CNRS shall assume the coordination of the Project, Dr…….. from the
Laboratory being the head of the project,
Attendu que les parties, pour leur bénéfice mutuel et leur intérêt, sont désireuses d’échanger des
informations liées au seul développement du Projet. Dans ce but, il est nécessaire pour chacune des
partie de révéler à l’autre ou aux autres certaines information d’ordre scientifique, technique, financière
ou autre, dont elle est propriétaire. Les parties proposent par les présentes que la divulgation de telles
informations soit faite dans les conditions ci-après définies. / Whereas, the parties, for their mutual
benefit and interest, are desirous of exchanging information related to the development of the Project
only. To explore this further, it is necessary for each of the parties to make certain disclosures to the
other or between them of scientific, technical, financial and other information which is proprietary.
Both parties do hereby propose that the disclosure of such information be made under the following
conditions.

Il a été convenu et arrêté ce qui suit : / Now therefore, it is agreed as follows :

Article 1 :
"L'Information Confidentielle" signifie, sans restriction, toute information scientifique, technique,
commerciale, ou d’affaire, divulguée par une des parties à l’autre sous forme écrite ou matérielle,
et indiquée "confidential" ou "confidentiel", ou, si révélée oralement ou visuellement, désignée
comme étant confidentielle au moment de sa divulgation et confirmée en tant que telle sous forme
résumée à tout moment par la partie divulguante. / "Confidential Information" shall mean,
without limitation, any scientific, technical, trade or business information disclosed by one
party to the other in written or tangible form and marked as "confidential" or "confidentiel",
or, if disclosed orally or visually, identified as confidential at the time of disclosure and
summarized at any time in writting by the disclosing party.
L’Information Confidentielle ne s’étend pas à une information qui (a) était connue de la partie
réceptrice au moment de sa divulgation, (b) au moment de sa divulgation était ou est tombée dans
le domaine public dans des circonstances non en désaccord au présent Accord, ou (c) a été portée
légalement à la connaissance de la partie qui la reçoit d’un tiers non lié à la partie divulguante et
qui n’a pas imposé d’obligation de confidence à la partie réceptrice. / Confidential Information
does not include information which (a) was known to the receiving party at the time it was
disclosed, other than by previous disclosures by the disclosing party, as evidenced by written
records at the time of disclosure; (b) is at the time of disclosure or later becomes publicly
known under circumstances involving no breach of this Agreement; or (c) is lawfully and in
good faith made available to the receiving party by a third party who did not derive it from the
the disclosing party and who imposes no obligation of confidence on the receiving party.
Si l’une des parties pour quelque raison que se soit pense que la confidentialité doit s’appliquer à
une quelconque information non définie, elle doit contacter immédiatement l’autre partie pour
clarification avant que la divulgation en soit faite. / If either party has any reason at all to think
that the status of some undefined information may be confidential they are responsible to
contact the other party immediatly for clarification before any disclosure is made.

Article 2 :

L’information Confidentielle fournie par l’une des parties à l’autre sera considérée comme
confidentielle par la partie qui la reçoit et ne sera pas utilisée pour un projet autre que celui visé
en préambule, ni divulguée à un tiers au Projet. / The Confidential Information supplied by one
of the parties to the other shall be kept in confidence by the party receiving it and shall not be
used for a project other than the one to which reference is made in the preamble or disclosed to
anyone not party to the Project.
Toute communication par la partie recevant l’information à un fournisseur, un sous-traitant ou
tout autre tiers concerné par le Projet, devra faire l’objet d’un accord écrit préalable de la partie
divulguante. / Every communication by the party receiving the information to a supplier,
subcontractor or other third party concerned by the Project must be authorized in writing by
the disclosing party in advance.
Toute partie recevant une telle information qui l’utilisera ou la divulguera en violation du présent
accord, devra indemniser la partie divulguante pour toute perte ou dommage directs ou indirects
en résultant. / A party receiving such information which uses or disclosed it in violation of this
agreement shall indemnify the disclosing party against all resulting direct or indirect loss of
injury.

Article 3 :
L’obligation de confidentialité et de non divulgation contenue dans les présentes sera maintenue
pendant une période de cinq (5) années à compter de la date de prise de connaissance par la partie
l’ayant reçue, et ce quelque soit l’issue donnée au Projet. / The obligation of confidentiality and
non-disclosure contained herein shall be kept in confidence for a period of five (5) years from
the date of receipt thereof by the party receiving it, and thus, whatever the issuer of the Project.

Article 4 :
Toute Information Confidentielle divulguée conformément au présent Accord restera la propriété
de la partie divulguante, et devra être retournée à la partie divulguante, à la demande de la partie
divulguante. / All Confidential Information disclosed pursuant to this Agreement shall remain
the property of the disclosing party, and shall be returned to the disclosing party upon request
of the disclosing party.

Article 5 :
Sous-réserve des obligations de confidentialité ou de non-divulgation mentionnées ci-dessus, le
présent Accord ne restreint en aucun cas la capacité de chaque partie d'entrer en relation ou de
travailler avec une quelconque autre tierce partie. / Subject to the confidentiality and non-
disclosure obligations set forth above, nothing in this Agreement shall in any way restrict either
party's ability to enter into any relationship or to work with any other company.

Article 6 :
Tout litige portant sur l'exécution ou l'interprétation du présent Accord devra faire l'objet d'une
conciliation préalable. Si un règlement s'avère impossible, le litige sera soumis aux juridictions
françaises compétentes qui le trancheront conformément à la loi française. / An effort shall be
made to resolve all disputes relative to performance or interpretation of this Agreement
amicably. If a dispute cannot be so resolved, suit shall be brought in the competent French
courts which shall apply French law.

Article 7 :
Les individus signant le présent Accord, garantissent qu'ils ont toute autorité pour conclure le
présent Accord au nom de leur société ou institution. / The individuals executing this Agreement
hereby represent and warrant that they have the authority to enter the Agreement on behalf of
their company or institution.

Article 8 :
Le présent Accord est rédigé en Français et en Anglais, seule la version française faisant foi. Tous
les documents, notifications et réunions liés à son exécution seront en Anglais. / This Agreement
is drawn for convenience both in French and in English, only the French language version
being valid. All documents, notices and meetings for its application shall be in English.
