specific characteristics of the bidder, target and the deal itself. For example, the
authors divided countries into continental Europe and UK & Ireland parts to measure
the difference in concentration of shareholders. More specifically, it was found linear
functional form in continental Europe (with more concentrated control resulting in a
higher likelihood of cash payments), and cubic in the UK- Irish block (where bidders only
exhibit a reluctance to employ stock financing over intermediate levels of voting
control). What is more, they examine the effect of alternative M&A transaction forms
using indicator variables for mergers, tender offers and asset acquisitions. M&A deal
structure is only used as an additional control variable in some of robustness tests and
the problem of endogeneity is not addressed in this paper.
As first found by Martin (1996), in this paper it was found more concentrated ownership
in Europe and stronger effects on the M&A financing choice from bidder corporate
governance concerns and financial conditions than in US. The authors outlined three
main measures of bidder financial strength: collateral, leverage (financial constraint),
and asset size, are always significant at the 1% level and their coefficients are all of the
expected signs. Another point is the impact of having a subsidiary target, which turns
out to be larger and statistically more significant than having an unlisted target across
the regressions, suggesting that bidders are more reluctant to issue stock to a
corporate seller and corporate sellers are more reluctant to accept bidder stock as
consideration.
Conclusion:
Overall, we think that the paper did fairly-well job in addressing the choice of payment
method in European mergers & acquisitions. This paper could drive bidders from US to
look up to find new possibilities in EU, depending on various characteristics of the
target firm. However, we believe that there are other factors that drive choice of
payment of M&A deals. For example, this paper didnt address this problem globally,
and in this way, countries like Russia and Ukraine have suffered a lot from corruption
and bureaucracy and in this way the regulation could drive the methods of payments in
these countries. Although, we cannot mention any particular paper to prove this point,
we are certain that this is an important limitation of this paper and it needs to be
examined in the next research.
