Re: Inquisitr Writers Undertaking and Obligations
By affixing my signature below, I hereby agree that my position as content provider for www.Inquisitr.com (an
Inquisitr writer) is subject to the following undertakings and obligations:
1.

Definition. The terms Inquisitr and the Inquisitr shall be construed to refer to the website found at
www.Inquisitr.com, the domain name www.Inquisitr.com, and to the beneficial owner thereof.

2.

Fees. The sole and exclusive fees for my Inquisitr writing services are such fees as agreed between myself
and the Inquisitr from time to time and as evidenced in our Skype conversations. All payments made to me
as an Inquisitr writer are deemed inclusive of all taxes levied or imposed upon or in connection with such
services.

3.

Ownership. As an Inquisitr writer, I agree that the sole and exclusive ownership over the content I have
created for the Inquisitr (the Story/ies) resides with the Inquisitr. With this regard, and to the extent
required (i) I hereby assign to the Inquisitr exclusive ownership throughout the world and in perpetuity of
all rights, title and interest of every kind and nature (including without limitation copyright and the right to
create derivative works based on the Story) in the Story, and I hereby waive my moral rights in and to the
Story (though, consistent with the Inquisitrs policy, and provided I have complied with my undertakings
hereunder, I will receive on-screen credit on all copies/posts of my Stories); and (ii) I hereby undertake that
during the term of this agreement and at all times thereafter I will do nothing (whether by act or omission)
to affect, imperil or challenge the validity of the Inquisitrs sole and exclusive ownership over my Stories

4.

Compliance/Inappropriate Use.
I undertake/acknowledge that:
4.1.

Selling links. The external links contained within my Stories must be to relevant and authoritative
information. Inquisitr writers are prohibited from accepting or soliciting payment or other
compensation for linking to third-party content.

4.2.

Linking to my outside content. Inquisitr writers are prohibited from linking to their own content on
any competing news sites. Likewise, Inquisitr writers may not link to domains or pages that they own
or manage. Affiliate links or links to merchant sites selling items belonging to an Inquisitr writer are
likewise prohibited.

4.3.

Publishing third-party content. Inquisitr writers are prohibited from using their Author account to
publish paid content on behalf of a third party.

4.4.

Image use. All images used by Inquisitr writers must be common, Fair Use photos with correct
ownership information displayed. Writers will be responsible for costs associated with disputes
stemming from unauthorized use of copyrighted photos.

5.

No Infringement. I undertake that my Stories shall not infringe, misappropriate or violate any intellectual
property, moral or other right (including rights of privacy, copyright or publicity) of any person or entity.

6.

Relationship. I acknowledge that Inquisitr writers are independent contractors of the Inquisitr and they are
not considered, nor are they authorized as, an agent or employee of the Inquisitr and they are prohibited
from presenting themselves as such. I also acknowledge that the Inquisitr alone shall decide whether or not
to publish my Stories and I shall have no claims or demands from the Inquisitr in the event the Inquisitr

decides not to publish any or all of my Stories.

7.

Confidentiality. I acknowledge that as an Inquisitr writer I may have access to Confidential and Proprietary
Information of the Inquisitr. With this regard I shall not, under any circumstances, obtain any intellectual
property or other rights in or to the Confidential and Proprietary Information I had access to as an Inquisitr
writer. I shall not, directly or indirectly, disclose any Confidential and Proprietary Information to any third
party or use any Confidential Information for any purpose whatsoever, other than for the exclusive benefit
of the Inquisitr. The term Confidential and Proprietary Information - shall include all information,
data, technology, know-how, inventions, discoveries, processes, formulae, design, algorithm, subroutine,
object code, source code, pattern, computer program, models and devices, samples, prototypes, customer
lists, advertiser lists, and supplier lists, tutorial text, tutorial videos, style guide, editorial directions, news
tips, system username and pass, or any other information of the Inquisitr whether or not in tangible form, of
a private, secret, proprietary or confidential nature, or treated by the Inquisitr as such, concerning, its
services, business plans, customers, suppliers, personnel or www.inquisitr.com.

8.

Termination. I acknowledge that my services (and this agreement) as an Inquisitr writer can be terminated
upon written notice at any point of time, and that no promise or guarantee of a continued business
relationship was promised or guaranteed to me. During the period I am an Inquisitr writer, and for a period
of 18 months thereafter I shall not directly or indirectly, recruit, solicit or induce any employee, service
provider or Inquisitr writer of the Inquisitr to terminate his/her employment or contractual relationship with
the Inquisitr. I further acknowledge that the terms of Sections 3, 7 and this Section 8 shall survive the
termination of this agreement.

9.

Indemnification. I hereby undertake and agree to fully hold harmless and to indemnify the Inquisitr (to the
fullest extent permitted by law) from any and all liabilities and claims arising out of any breach of my
undertakings hereunder.

10. Governing Law. This agreement shall be governed, construed, interpreted and enforced in accordance with
the laws of Florida without regard to its internal choice of law rules. Any dispute under this agreement shall
be referred to the competent courts in the city of Tampa, which shall have exclusive jurisdiction with
respect thereto, and the parties hereby irrevocably submit to such jurisdiction.
