APPDISTRIBUTIONANDSERVICES
AGREEMENT
ThisisanagreementbetweenAmazonDigitalServices,Inc.,AmazonMediaEUS.a.r.l.,Amazon
ServicesInternational,Inc.,AmazonServicosdeVarejodoBrasilLtda.,Amazon.comIntlSales,Inc.,
andAmazonAustraliaServices,Inc.(each,individually,anAmazonPartyand,togetherwiththeir
affiliates,Amazon,weorus)andyou(ifregisteringasanindividual)ortheentityyourepresent
(ifregisteringasabusiness)(Developeroryou).AnyotherAmazonaffiliatethatwedesignateis
alsoanAmazonParty.
1. StructureofAgreement.Thisagreement(theAgreement)includesthebodyoftheagreement
below,allschedulestothisagreement(Schedules),andallterms,rulesandpoliciesthatwe
makeavailableforparticipatinginthisprogram,includingonourdeveloperportal(together,the
ProgramPolicies).However,thetermsineachScheduleonlyapplytoyouifyouengageinthe
activityorusetheProgramMaterials(definedinSection3)towhichtheScheduleapplies(for
instance,thetermsoftheDistributionScheduleonlyapplytoyouifyousubmitaproducttousto
sell,distribute,orpromote).PleasecarefullyreadtheAgreementbeforeclickingtoacceptit.
2. OurProgram.Ourprogram(theProgram)allowsenduserstopurchase,download,andaccess
mobileandnonmobilesoftwareapplications,games,andotherdigitalproducts,andtouserelated
servicesthatwemakeavailable(forinstance,AmazonGameCircle).Appsaresoftware
applications,games,andotherdigitalproductsthatyousubmittousforsale,distribution,or
promotionthroughtheProgram,orwithwhichyouuseanyProgramMaterials,togetherwiththeir
enhancements,upgrades,updates,bugfixes,newversionsandothermodificationsand
amendments.ContentmeansyourApps,allcontent,ads,services,technology,dataandother
digitalmaterialsincludedinormadeavailablethroughyourApps,andallProductInformation(if
applicable,definedintheDistributionSchedule).
3. ProgramMaterials.Wemaymakeavailablecertainsoftware,softwaredevelopmentkits,
libraries,applicationprograminginterfaces,documentation,samplecode,andrelatedmaterialsfor
useinconnectionwiththeProgram(collectively,theProgramMaterials).Ifyouuseany
ProgramMaterials,youaresubjecttoandagreetocomplywithourProgramMaterialsLicense
Agreement(the"ProgramMaterialsLicense"),locatedat
https://developer.amazon.com/sdk/pml.html.YouruseofcertainProgramMaterialsisalsosubject
totheadditionaltermsinanySchedulesthatapplytothoseProgramMaterials(forinstance,your
useoftheProgramMaterialsthatwemakeavailableforsaleofInAppProductsissubjecttothe
termsoftheDistributionScheduleandtheInAppProductSchedule).Youaresolelyresponsible
forensuringyourContentfunctionsproperlywithanyProgramMaterialsyouuse,includingany
futureupdatedormodifiedversionsofthoseProgramMaterials.Intheeventofaconflictbetween
thisAgreementandtheProgramMaterialsLicense,theProgramMaterialsLicensewillgovern
withrespecttoyouruseoftheProgramMaterials.
4. CompliancewithLawsPrivacyObligations.YouandyourContentmustcomplywithall
applicablelaws,rules,regulations,orders,andotherrequirementsofgovernmentalagencies

(Laws).Inaddition,ifyou(oranythirdpartypluginorserviceprovideryouuse)haveaccessto
anyname,password,otherlogininformation,orpersonallyidentifiableinformationorpersonal
dataofanyenduserbasedonanyuseoforinteractionwithyourContent,youwill(i)provide
legallyadequateprivacynoticestosuchenduser,(ii)obtainanynecessaryconsentfromtheend
userforthecollection,use,transfer,andstorageoftheinformation,(iii)useandauthorizeothersto
accessandusetheinformationonlyforthepurposespermittedbytheenduser,and(iv)ensurethe
informationiscollected,used,transferred,andstoredinaccordancewithapplicableprivacy
notice(s)andapplicableLaws.
5. ProhibitedActions.Youmaynotreverseengineer,disassembleordecompileanybinarycode
usedinconnectionwiththeProgram,includinganyProgramMaterialsweprovideyou.Youwill
nottakeanyactionrelatedtotheProgramthatinterfereswith,damages,oraccessesorusesinany
unauthorizedmannerthehardware,software,networks,technologiesorotherpropertiesorservices
ofoursorofanyenduser,mobileoperatororotherthirdparty.
6. OurOperations.WehavesolediscretiontodetermineallfeaturesandoperationsoftheProgram
andtochangetheProgramfromtimetotime.Youacknowledgethatwehavenoobligationto
promote,distribute,orofferforsaleanyApp,topermityouoryourContenttouseanyProgram
Materials,ortocontinueanyoftheforegoingoncebegun.Weareresponsibleforandhavesole
discretionrelatedtoprocessingpayments,collectingpayments,addressingrequestsforrefunds,
andprovidingcustomerservicerelatedtoourobligations,andwewillhavesoleownershipand
controlofallsalesandotherdataweobtainfromendusersinconnectionwiththeProgram.
7. TermandTerminationSuspension.ThetermofthisAgreement(theTerm)willbeginonthe
dateyouclicktoacceptitandwillcontinueuntilyouorweterminateit.Weareentitledto
terminatethisAgreementandaccesstoyourProgramaccountatourdiscretionwithorwithout
advancenoticetoyou.YouareentitledtoterminatethisAgreementatanytimebygivingusat
least10daysadvancewrittennotice.WemayalsosuspendyourparticipationinourProgramat
ourdiscretionwithorwithoutnoticetoyou.WearenotobligatedtoreturncopiesofanyContent
orothermaterialsthatyouprovide.ThefollowingprovisionsofthisAgreementwillsurvive
terminationofthisAgreement:Sections3through5,8through13,allDeveloperrepresentations
andwarrantiesinthisAgreement,andanyotherprovisionsthat,bytheirnature,areintendedto
survive.
8. RepresentationsandWarranties.Yourepresent,warrantandcovenantthat:
a. Youareatleastthelegalageofmajorityandthatyouareabletoformalegallybinding
contract.IfDeveloperisabusinessorotherlegalentityandnotanindividual,thenthe
individualenteringintothisAgreementonDevelopersbehalfrepresentsthatheorshehas
allnecessarylegalauthoritytobindDevelopertothisAgreement
b. Youhavethefullright,power,andauthoritytoenterintoandfullyperformthisAgreement
c. BeforeprovidingusoranyenduseranyContent,youwillhaveobtainedtherightsnecessary
fortheexerciseofallrightsgrantedunderthisAgreement,andyouwillbesolely
responsibleforandwillpayanylicensorsorcoownersanyroyaltiesorothermoniesdueto
themrelatedtosuchContent
d. NoneofthefollowingwillviolateanyLawrequireustoobtainanylicense,authorization,
orotherpermissionfromanygovernmentalagencyorotherthirdpartycontainany
defamatorymaterialorviolateorinfringeanyintellectualproperty,proprietary,orother

rightsofanypersonorentity(includingcontractualrights,copyrights,trademarks,patents,
tradedress,tradesecret,commonlawrights,rightsofpublicity,orprivacy,ormoralrights):
(i)theexerciseofanyrightsgrantedunderthisAgreement(ii)anymaterials(including
advertising)embodiedintheContent(iii)thesale,distribution,orpromotionoftheContent
asauthorizedinthisAgreementor(iv)anynotices,instructionsoradvertisingbyyouforor
inconnectionwithanyContent
e. YourContentmaybeimportedto,exportedfrom,andlawfullyusedintheUnitedStates,all
countriesinwhichweoperatetheProgram,andallcountriesinwhichyouveauthorized
salestoendusers(withouttheneedforustoobtainanylicenseorclearanceortakeany
otheraction)andyourContentisinfullcompliancewithallapplicableLawsgoverning
imports,exports,anduse,includingthoseapplicabletosoftwarethatincorporatesormakes
useofinformationsecuritytechnology,includingbutnotlimitedtoencryptiontechnology
f. YourContentwillnotcontainanyviruses,spyware,Trojanhorses,orothermalwareor
harmfulcode,andwillnotcauseinjurytoanypersonordamagetoanypropertyand
g. Youwillincludeanyattributions,copyrightinformationandothernotices,termsand
conditionsthatmayberequiredtobeprovidedtoendusersbasedonyouruseofthirdparty
opensourcesoftwareorotherthirdpartyintellectualpropertyinanyofyourContent.You
willalsopromptlymakeavailabletous,endusersandanyotherthirdpartythatisentitledto
it,thesourcecodecorrespondingtoanyContentorportionthereofifandinthemanner
requiredbyapplicablethirdpartytermsandconditions(e.g.,opensourcesoftwarelicenses).
9. Indemnity.Youwillindemnify,defendandholdus(includinganyrespectiveofficers,directors,
employees,contractorsandassigns)harmlessfromandagainstanyloss,claim,liability,damage,
actionorcauseofaction(includingreasonableattorneysfees)thatarisesfromanyclaimrelating
toanyContent,orfromanybreachofyourrepresentations,warrantiesorobligationssetforthin
thisAgreement(individually,aClaim,andcollectively,theClaims).Youwillnotconsentto
theentryofajudgmentorsettleaClaimwithoutourpriorwrittenconsent,whichmaynotbe
unreasonablywithheld.YouwillusecounselreasonablysatisfactorytoustodefendeachClaim.If
wereasonablydeterminethataClaimmightadverselyaffectus,wemaytakecontrolofthe
defenseatourexpense(andwithoutlimitingyourindemnificationobligations).Yourobligations
underthisSection9areindependentofyourotherobligationsundertheAgreement.
10. PublicityandConfidentiality.Youwill:(a)protectandnotdiscloseinformationmadeavailable
byusthatisidentifiedasconfidentialorthatreasonablyshouldbeconsideredconfidential(b)use
thisinformationonlytofulfillyourobligationsunderthisAgreementand(c)eitherdestroyor
returnallsuchinformationtouspromptlywhentheAgreementterminates(and,uponrequest,
confirmsuchdestructioninwriting).Thisparagraphcoversallconfidentialinformationregardless
ofwhenyoureceiveit.UnderourTrademark,Brand,andMarketingGuidelines(Trademark
Guidelines),wemaymakecertaintrademarksandlogosavailableforyoutousetopromotethe
availabilityofyourAppsthroughtheProgram.YoumustcomplywiththeTrademarkGuidelines
andallotherProgramPoliciesinyouruseofthosetrademarksandlogos.Unlessyouhavereceived
ourexpresswrittenpermission,youwillnototherwiseuseanytrademark,servicemark,
commercialsymbol,orotherproprietaryrightofours,issuepressreleasesorotherpublicity
relatingtousorthisAgreement,orrefertousinpromotionalmaterials.
11. DisclaimersandLimitationsofLiability.THEPROGRAMANDANYPROGRAM
MATERIALSAREPROVIDEDASIS.WEWILLINNOEVENTBELIABLEFORANY
LOSSOFDATAORCONTENT,LOSSOFPROFITS,COSTOFCOVEROROTHER

SPECIAL,INCIDENTAL,CONSEQUENTIAL,INDIRECT,EXEMPLARYORRELIANCE
DAMAGESARISINGFROMORINRELATIONTOTHISAGREEMENT,ORFORANY
EQUITABLEREMEDYOFDISGORGEMENTOROTHERWISE,HOWEVERCAUSEDAND
REGARDLESSOFTHEORYOFLIABILITY.INNOEVENTWILLOURLIABILITY
HEREUNDEREXCEEDTHEAMOUNTOFROYALTIESDUEANDPAYABLETO
DEVELOPERUNDERTHISAGREEMENTFORTHETWELVEMONTHPERIOD
PRECEDINGSUCHCLAIM.WESPECIFICALLYDISCLAIM,WITHRESPECTTOALL
SERVICES,SOFTWARE,CONTENTORPRODUCTSPROVIDEDBYORONBEHALFOF
USINCONNECTIONWITHTHISAGREEMENTORTHEPROGRAMORPROGRAM
MATERIALS,ALLWARRANTIES,EXPRESS,IMPLIED,ORSTATUTORY,INCLUDING
THEIMPLIEDWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULAR
PURPOSE,ANDNONINFRINGEMENT.YOUACKNOWLEDGEANDAGREETHATWE
CANNOTENSURETHATCONTENTSUBMITTEDBYORONBEHALFOFYOUWILLBE
PROTECTEDFROMTHEFTORMISUSE,ANDWEWILLHAVENOLIABILITYARISING
FROMAFAILUREOFANYSECURITYTECHNOLOGYORPROCEDUREOROFANY
ENDUSERTOCOMPLYWITHANYTERMSOFUSEREGARDINGTHEPROGRAMOR
OTHERWISE.
12. AgreementChanges.WereservetherighttochangethisAgreementatanytimeinourdiscretion.
WewillgiveyounoticeofthechangesbypostinganupdatedversionofthisAgreementonlineor
byemailingyouatanemailaddressyouhaveprovided.ChangestothepaymentofRoyaltieswill
beeffective30daysafterwepostthemorotherwisenotifyyouofthem.Anyotherchangestothe
Agreementwillbeeffectiveasofthedatewepostthemorotherwisenotifyyouofthem,unlesswe
specifyadifferenteffectivedatewhenwemakeaparticularchange.Youareresponsiblefor
checkingforAgreementupdates.YourcontinuedparticipationintheProgramafterchangestothis
Agreementtakeeffectwillconstituteyouracceptanceofthechanges.Ifyoudonotagreetoa
change,youmuststopparticipatingintheProgramandterminatethisAgreement.
13. General.ThisAgreementmaynotbeamendedexceptinwritingsignedbybothpartiesoras
providedinSection12above.IfanyprovisionofthisAgreementisheldinvalidbyacourtwith
jurisdictionoverthepartiestothisAgreement,suchprovisionwillbedeemedtoberestatedto
reflectasnearlyaspossibletheoriginalintentionsofthepartiesinaccordancewithapplicablelaw,
andtheremainderofthisAgreementwillremaininfullforceandeffect.Thewordincludingwill
beinterpretedwithoutlimitationwhenusedinthisAgreement.ThepartiestothisAgreementare
independentcontractors.Eachpartywillbearitsowncostsandexpensesinperformingthis
Agreement.Wemayuseoneormoresubcontractorstoexerciseourrightsandperformour
obligationshereunder.Wewillberesponsibleforensuringthatoursubcontractorscomplywiththe
applicableportionsofthisAgreementwhenperformingforusoronourbehalf.Ourfailureto
enforceanyprovisionofthisAgreementwillnotconstituteawaiverofourrightstosubsequently
enforcetheprovision.EachAmazonPartyisseverallyliableforitsownobligationsunderthis
AgreementandisnotjointlyliablefortheobligationsofotherAmazonParties.Therightsgranted
toAmazon.comIntlSales,Inc.underthisAgreementareonlyforsale,distribution,and
promotionofAppsoutsideoftheUnitedStates.Youmaynotassignanyofyourrightsor
obligationsunderthisAgreement,whetherbyoperationoflaworotherwise,withoutourprior
writtenconsent,exceptthatyoumayassignallofyourrightsandobligationsunderthisAgreement
toanycorporationorotherentitywithoutconsentinconnectionwithamergerorthesaleofallor
substantiallyallofyourassetsaslongasyougiveuswrittennoticeofanysuchassignmentnolater
thantenbusinessdaysbeforesuchassignment.Subjecttotheforegoinglimitation,thisAgreement
willbebindingupon,inuretothebenefitofandbeenforceablebythepartiesandtheirrespective
successorsandassigns.THISAGREEMENTWILLBEGOVERNEDBYTHELAWSOFTHE
STATEOFWASHINGTON,WITHOUTREFERENCETORULESGOVERNINGCHOICEOF

CLAIMS,SUITSORPROCEEDINGSARISINGOUTOFORINCONNECTIONWITHTHIS
AGREEMENTORTHETRANSACTIONSCONTEMPLATEDHEREBY.ThisAgreementand
theProgramMaterialsLicenseconstitutestheentireagreementbetweenthepartieswithrespectto
itssubjectmatter,supersedesanyandallpriororcontemporaneousagreementsbetweentheparties
withrespecttoitssubjectmatter,anddoesnotgiveanythirdparty(exceptwherespecified)any
rightsorremedieshereunder.Anynoticeorothercommunicationtobegivenhereunderwillbein
writingandgiven(i)byusviaemail,viaapostingintheProgramPolicies,orviaamessage
throughyourProgramaccount,or(ii)byyouviaemailtoappsnotices@amazon.comwithaccvia
emailtocontractslegal@amazon.com,ortosuchotheremailorphysicaladdressesaswemay
specifyfromtimetotime.Thedateofreceiptwill,inthecaseofemail,bedeemedthedateon
whichsuchnoticeistransmitted.

DistributionSchedule
ThetermsofthisScheduleapplyifyousubmitanyAppforsale,distribution,orpromotionthroughthe
Program.
1. BasicTerms.
a. TypesofApps.OurProgramsupportsthesale,distribution,andpromotionofAppsfor
multipleplatforms.AMobileAppisanAppthatisdesignedtooperateonAndroidor
anothermobileoperatingsystemorinamobilebrowser.APCGameisavideogameor
videogamerelatedAppthatisdesignedtooperateonWindows,OSX,oranotherpersonal
computeroperatingsystemorinadesktopbrowser.PCSoftwareisanAppthatis
designedtooperateonWindows,OSX,oranotherpersonalcomputeroperatingsystemorin
adesktopbrowserandisnotaPCGame.AnAlexaSkillisanAppthatcanbeaccessed
throughtheAlexaVoiceServicesplatform.AnInAppProductisanAppintendedtobe
accessedorusedwithinasoftwareapplicationorgame(suchasadditionalorenhanced
functionality,inapptools,data,subscriptions,ormediacontent),butthatismadeavailable
forsalethroughtheProgramasaseparateitemfromthesoftwareapplicationorgamein
whichitisintendedtobeused.IfyousubmitanApptousforsale,distribution,or
promotion,youauthorizeustosell,distribute,andpromotethatAppandrelatedContentas
providedinthisSchedule,includingthroughregionalAmazonmarketplaces(each,an
AmazonMarketplace)andviaAmazonwebsitesoranyotherwebpagerealestate,
onlinepointofpresence,application,mobileinterface,service,oruserinterfacethatallows
forthediscovery,downloadorpurchaseofAppsfromus,includingtheAmazonAssociates
programandsimilarprograms.
b. Royalty.ForeachsaleofanApp,theresponsibleAmazonPartywillpayyouaroyalty
(Royalty)calculatedasfollows(whereListPriceisdefinedinandsubjecttoSection5aof
thisSchedule):

NoRoyaltyispayableforAppswithaListPriceof$0.00.RoyaltiesforcertainInApp
ProductsaresubjecttoadditionalrestrictionsintheInAppProductSchedule.Taxesandany
separatelystatedfeesorchargesareexcludedfromtheListPricewhencalculating
Royalties.ARoyaltyisdueonlyforsalesforwhichwehavereceivedfinalpaymentfromor
onbehalfofanenduser.IfanAppispurchasedusingacreditcardorbankaccount
deductionmechanism,finalpaymentwillbedeemedtohaveoccurredwhentheapplicable
creditcardcompanyorbankhasfullysettledthepaymentfortheapplicablepurchase.The
ListPriceusedforpurposesofcalculatingRoyaltiesforPCGamesandPCSoftwarewillbe
basedonourdeterminationofanenduserscountry.
c. Territory.Worldwide,subjecttoSection3eofthisSchedule.
2. SubmissionofAppsandInformation.
a. SubmissionofApps.YoumaychoosetosubmittousanyAppsthatmeettherequirements
oftheAgreement.WhileanAppisavailablefordistribution,youwillsubmitanybugfixes,
patches,andotherupdatestotheApps,togetherwithanyrelatedRequiredProduct
Information(definedinSection2bofthisSchedule),assoonastheyareavailable.Youwill
ensurethatallofyourContentcomplieswiththisAgreement,includingallProgram
Policies.ForanyContentthatrequiresalicensekeyorotherdataelementthatanenduser
mustuseinordertouseoraccessanyfeatureoffunctionalityofanApp(aLicenseKey),
youwilldeliverLicenseKeystousuponrequestinaformatwespecify.
b. ProductInformation.TogetherwithdeliveryofeachApp,youwillalsoprovidethe
followinginformation:Apptitle,category,Developername,publishername(where
applicable),ListPrice,productdescription,icon/image,andanyotherinformationrelatedto
theAppsthatwerequire(together,RequiredProductInformation).Product
InformationincludestheRequiredProductInformationandanyotherinformationand
contentrelatedtoyourContentand/ortoyou,suchas(a)allmetadata,graphics,artwork,
images,trademarks,tradenames,logosandotherdescriptiveoridentifyinginformationand
materialsassociatedwithyouoraparticularApp,(b)theexcerptscreatedinaccordancewith

Section3bofthisSchedule,and(c)anyDevelopersEULA(definedinSection4aofthis
Schedule).YouareresponsibleforprovidingaccurateProductInformation,andwillnot
makeanyfalse,inaccurate,ormisleadingclaimsorstatementsregardinganyContentor
otherwisemisleadendusersregardinganyContent.IfanyProductInformationisinaccurate
orneedstobeupdatedormodified,youwillpromptlyprovideuswithcorrections,updates,
ormodifications.
3. GrantsofRights
a. Distribution.Youherebygrantusthenonexclusive,irrevocable(subjecttoSections6and7
ofthisSchedule),royaltyfreerighttosell,distribute,andmakeavailableyourAppsthrough
theProgramtoendusersintheTerritorybyallmeansofelectronicdistributionavailable
noworinthefuture.Youalsoherebygrantusthenonexclusive,irrevocable,royaltyfree,
worldwiderightsto(i)use,evaluateandtestyourContent(ii)reproduceandstoreyour
Appsindigitalformononeormorecomputerfacilitiesforthepurposeofpromoting,selling
anddistributingtheAppsandinconnectionwiththeProgram(iii)modifyandaddtoyour
AppssothatwecancollectanalyticsrelatingtotheApps,evaluateandenforceourProgram
policies,andshareaggregatedinformationwithyouandothersregardingtheProgram(iv)
modifyandaddtoyourMobileAppssowecan(atyouroption)enforcedigitalrights
management(DRM)(v)addmetadatatoyourMobileAppssowecanimprovetheir
compatibilitywithAmazondevicesand(vi)retain,aftertheTerm,oneormoreelectronic
copiesofeachAppandassociatedContentandallowaccesstoanddownloadsandre
downloadsofAppsbyendusersasprovidedinthisAgreement.ForAlexaSkills,the
distributionrightssetforthintheAlexaSkillsScheduleapplyinlieuoftherightssetforthin
thisSection3a.YouacknowledgethatwemayallowenduserswhohavepurchasedanApp
todownloadunlimitedcopiesofthatApp.Foravoidanceofdoubt,ifendusersdownloador
accessanAppthatisfreeofcharge,thatAppwillbedeemedtobepurchasedbytheend
userforpurposesofthisAgreement.
b. Promotion.Youherebygrantusthenonexclusive,irrevocable,royaltyfree,worldwide
rightstouse,reproduce,distribute,reformat,modify,createexcerptsfrom,promote,
advertise,transmit,andpubliclydisplayandperforminanyandalldigitalandotherformats
(i)theProductInformationforpromotionalpurposesinconnectionwiththeProgram(except
thatwewillnotuseanytrademarksyouprovideforpurposesofussellinganAppafterthe
withdrawalofthatAppasdescribedinSection6ofthisScheduleoraftertheTerm)and(ii)
yourAppsandotherContentinordertocreatelimitedpromotionalexcerptsandinorderto
allowenduserstotryyourAppsforalimitedtimewithoutdownloadingorinstallingthem.
c. AdditionalRights.Inaddition,wemayexerciseanyancillaryrightsrelatingtoyour
Contentthatarereasonablynecessarytoeffecttheintentofthegrantsofrightscontainedin
thisAgreement,suchastherightstoencodeandtopublicallyperform.Wemayalso
sublicenseourrightsinProductInformationunderthisAgreementtothirdpartiesoperating
thewebsitesoronlineormobilepointsofpresencedescribedinSection1aofthisSchedule.
NothinginthisAgreementrestrictsusfromexercisinganyrightavailabletousunder
applicablelaworanyseparatelicense.
d. ReservationsofRights.SubjecttotherightsgrantedinthisAgreementandourownership
oftheProgramMaterials,asbetweenyouandus,youretainallright,titleandinterestinand
toContentthatyousubmittous.SubjecttoyourrightsinsuchContent,weretainallright,
titleandinterestinandtotheProgramandalltechnology,content,information,services,
trademarksandotherintellectualpropertyusedinconnectionwithit.Withoutlimitingthe

foregoing,eachofusrecognizesthatanyusesoftheothers(oritsaffiliates)brandfeatures
inconnectionwiththisAgreement,andgoodwillassociatedwithsuchuses,willinuresolely
tothepartyowningsuchbrandfeatures.Ifyouprovidesuggestions,ideas,orotherfeedback
tousabouttheProgram,wewillbefreetoexerciseallrightsinsuchfeedbackwithout
restrictionandwithoutcompensatingyou.
e. GeographicFiltering.Throughourdeveloperportal,youmaydesignatecountrieswhere
youdonotwantustosellyourApps.Wewillimplementmeasuresintendedtoidentifyan
enduserscountryandtonotofferyourAppsforsaletoendusersfromanycountriesyou
designate.Wemayrelyonourdeterminationofanenduserscountryforallpurposesunder
thisAgreement.
4. AdditionalDistributionTerms
a. EULA.YoumayprovideaEULA(DevelopersEULA)withanyAppifitcomplieswith
therequirementsof,andisnotinconsistentwith,thisAgreement.ForanyMobileAppsyou
submittotheProgram,youagreethattheprovisionsofourcustomertermsofuseforthe
AmazonAppstorethatwedesignateasdefaultenduserlicenseterms(DefaultEULA
Terms)willapplytoendusersuseofyourMobileAppsandassociatedContent.The
DefaultEULATermswillspecify,amongotherthings,thatyouarethelicensorofthe
MobileAppsandthatwearenotpartiestoyourEULA.Ifthereareanyconflictsbetween
theDefaultEULATermsandDevelopersEULA,thentotheextentofsuchconflictthe
DefaultEULATermswillcontrol.Wedonothaveanyresponsibilityorliabilityrelatedto
complianceornoncompliancebyyouoranyenduserunderaDevelopersEULAorthe
DefaultEULATerms.
b. EmbeddedAdvertising.Youwillensurethatanyadvertisingpresentedtoendusersofthe
ContentcomplieswithallrequirementsofthisAgreement.Forexample,(i)youraccessto
anduseofinformationrelatedtoendusersuseofembeddedadvertisingmustcomplywith
ourprivacyrelatedrequirements(ii)embeddedadvertisingmustcomplywiththeProgram
Policiesatthetimesuchadvertisingisaccessedbyanyenduserand(iii)embedded
advertisingmustnotcontainanyspyware,malwareorharmfulcodeandmustnotcause
injurytoanypersonordamagetoanyproperty.Inaddition,forMobileApps,youmaynot
displayadvertising,marketing,orpromotionalmessagingtoendusersthroughthedevice
notificationbaroranyotherdevicelevelnotificationsystem.
c. ProhibitedActions.YouhavenotandwillnotsubmitanyContentthatcontainsany
softwareorothermaterialsthataresubjecttolicensesorrestrictions(e.g.,opensource
softwarelicenses)that,whencombinedwithadditionalsoftwareorothermaterials
(collectively"additionalitems"),wouldrequireustodisclose,license,distributeor
otherwisemakealloranypartofsuchadditionalitemsavailabletoanyone.
d. Support.YouwillprovidereasonabletechnicalandproductsupportforyourContentas
requestedbyendusersorusorasdescribedinourProgramPolicies.Yourtechnicalsupport
willincludelevelsofavailability,responsetimesandtechnicalskillsthatareatleast
equivalenttothoseforthesupportyouprovidetoendusersofSimilarServices.Without
limitingtheprevioussentence,ataminimumyouwillrespondwithin24hourstoany
supportrequestthatweidentifyascritical,andinallothercaseswithinfivebusinessdaysof
requestfromanenduserorus.ASimilarServiceisanyonlineservicethatmakesdigital
productssimilartothosesold,distributedorpromotedthroughtheProgramavailabletoend
usersusingamodeofdistributionsimilartothoseusedbytheProgram,includingany

mobileorInternetbasedapplicationmarketing,salesanddistributionservice.
e. ForMobileAppsOnlyFamilyLibrary.OurFamilyLibraryfeatureallowsendusersto
linktheirAmazonaccountstogethertocreateasharedlibraryofdigitalcontentfortheir
household.EachmemberofaFamilyLibrarymaydownloadanduseMobileApps
purchasedbytheothermembersofthatFamilyLibrary,andreferencesinthisAgreementto
theenduserwhopurchasedanAppwillalsoincludethemembersofthatenduser'sFamily
Library.
f. ForMobileAppsOnlyDRMUsagePolicy.ForyourMobileApps,youmaychoose
whethertoenforceourDRM.IfyoudecidenottoenforceDRMforaMobileApp,that
meansoursystemswillnotrestrictenduserswhohavepurchasedtheMobileAppfrom
downloadingand/ormakingunlimitedcopiesoftheMobileApp.Ifyoudecidetoenforce
DRMforaMobileApp,thatmeansyouwillallowenduserswhohavepurchasedthe
MobileApptodownloadunlimitedfreecopiesoftheMobileApponlytodevicesthatare
authenticatedtotheirAmazoncustomeraccounts.Youwillnotincorporateanydigitalrights
managementtechnologiesintoMobileApps,otherthananydigitalrightsmanagement
technologiesthatonlyrestrictendusersaccesstomediacontentdistributedthrougha
MobileApp(andnotaccessto,oruseof,theMobileAppitself).
g. ForMobileAppsOnlyLiveAppTestingService.Wemayprovideyouaccesstoa
service(theLiveAppTestingService)thatallowsyoutoinviteendusersyoudesignate
(Testers)todownloadaMobileApp(oraversionofaMobileApp)beforeyoumakeit
availabletothegeneralpublic(aTestApp).Testerswillnotbecharged,andwewillnot
payyouaRoyalty,forthepurchaseofTestAppsoranyInAppProductsmadeavailablein
TestApps.If,afterdistributingaTestAppthroughtheLiveAppTestingService,youmake
aversionofthatTestAppavailabletothegeneralpublic(includingthroughanySimilar
Service),(i)youwillsubmitthatMobileAppfordistributionthroughtheProgramand(ii)
wemaygivetoeachTester,withoutchargeandwithoutpayingyouaRoyalty,thatMobile
AppandanyInAppProductstheTesterpurchasedintheTestApp(oralternateInApp
Productsofequalorlesservalue).YouareresponsibleforselectingallTestersandensuring
youhaveobtainedanyconsentsnecessarytosharetheTesterscontactinformationwithus
andforustoinvitetheTesterstoparticipateintheLiveAppTestingService.
h. ForPCSoftwareOnlyMarketingDevelopmentFunds/Coop.ForyourPCSoftware,if
youoranyofyouraffiliatesare,fromtimetotime,apartytoanyagreementwithAmazon
pursuanttowhichyou(oryouraffiliate)hasagreedtopaymarketingdevelopmentfunds,
coop,rebates,orsimilarpayments(collectively,MDF)forthephysicalversionofanyPC
Software,thenyouwillalsopayequivalentMDFtousforthePCSoftwaredistributedunder
thisAgreement.WemayoffsetagainstpaymentsduetoyoutheamountofanyMDF
payabletousfromyou.
5. ListPriceRoyaltyPaymentsandReportingTaxes
a. ListPrice.TheListPriceforanAppforanAmazonMarketplaceoracountryisan
amountthatdoesnotexceed,atanytime,thelowestlistprice,suggestedretailprice,or
actualpriceyousetforthatApp(includinganysimilaredition,versionorrelease)forany
SimilarServiceinacountryservedbythatAmazonMarketplace(forMobileApps)or
country(forPCGamesandPCSoftware).IfyoudonotprovideusaListPriceforanAppin
allcurrenciesinwhichwemakethatAppavailableforsale,wemaygenerateListPricesfor
anycurrenciesyouhavenotprovidedbasedonaListPriceyouhaveprovidedforthatApp,

andwemayupdateanyListPriceswegeneratefromtimetotimeascurrencyconversion
rateschange.ListPricesareinclusiveofanyVATorsimilartaxesincludedinthepurchase
pricedisplayedtoendusers,butthosetaxesareexcludedfromtheListPriceforRoyalty
calculationpurposes.Forexample,iftheListPriceforyourAppforanAmazon
Marketplaceis1.15EuroandwedisplaypricestoanenduserofthatAmazonMarketplace
inclusiveof15%VAT,theListPriceforRoyaltycalculationpurposesforasaletothatend
useris1.00Euro.YouwillupdatetheListPriceforeachAppasnecessarytoensurethatit
meetstherequirementsofthissection.Wehavesolediscretiontosettheretailpriceand
othertermsonwhichwesellApps.
b. PaymentTerms.Subjecttothetermsofthisparagraph,wewillpayyouRoyalties(i)for
MobileApps(includingMobileAppInAppProducts),approximately30daysaftertheend
ofthecalendarmonthinwhichtheapplicablesaleismadeand(ii)forPCGamesandPC
Software(includingPCGameandPCSoftwareInAppProducts),approximately45days
aftertheendofthecalendarmonthinwhichtheapplicablesaleismade.Atthetimeof
payment,wewillmakeavailabletoyouareportdetailingsalesofAppsandcorresponding
Royalties.Allpaymentswillbemadeviacheck,ElectronicFundsTransfer(EFT)orother
methodswedesignateintheProgramPolicies,inthecurrencyinwhichtheAppsweresold
orotherpaymentcurrencyassetforthintheProgramPolicies.Ifwepayyouforasaleina
currencyotherthanthecurrencyinwhichthesalewasmade,wewillconverttheRoyalties
fromthecurrencyinwhichthesalewasmadetothepaymentcurrencyatanexchangerate
thatweorourbankdetermine,whichmayincludefeesandchargesfortheconversion.We
areentitledtoaccrueandwithholdpayments,withoutinterest,untilthetotalamountsdueto
you(netofanytaxwithholdingordeduction,asfurtherdescribedbelow)exceedthe
minimumpaymentthresholdssetforthintheProgramPolicies.Dependingonthecountry
whereyouarelocated,wemayrequireyoutoprovideuswithinformationforavalidbank
accountinyournameforreceivingEFTpaymentsand,ifyoudonotprovidethat
information,wemaywithholdpayments,withoutinterest,untilyoudosoand/orpayyouvia
checkanddeductapaymentprocessingfee.Youmaynotmaintainanyactionorproceeding
againstuswithrespecttoanyreportorpaymentunlessyoucommencethatactionorsuit
within6monthsafterthedatethereportorpaymentwasdue.IfwepayyouaRoyaltyona
saleandlaterissuearefundorcredittotheenduserforsuchsale(orreceiveachargeback
relatedtothesale),wemayoffsettheamountoftheRoyaltywepreviouslypaidyouagainst
futureRoyaltiesorotheramountsthatwouldotherwisebepayabletoyouunderthis
Agreement,orrequireyoutoremitthatamounttous.Wemayalsowithholdandoffsetany
sumsyouowetousagainstamountsthatarepayabletoyou.Ifathirdpartyassertsthatyou
didnothaveallrightsrequiredtomakeavailableanApptous,ifwedeterminethatyoumay
beinbreachofthisAgreement,orifwehaveotherclaimsagainstyou,weareentitledto
holdallRoyaltiespendingresolutionofsuchissue.WhenthisAgreementterminates,we
maywithholdallRoyaltiesdueforaperiodofthreemonthsfromthedatetheywould
otherwisebepayable,inordertoensureourabilitytooffsetanyenduserrefundsorother
offsetstowhichweareentitled.
c. Taxes.AnyAmazonPartysellingAppsisresponsibleforcollectingandremittinganytaxes
imposedonitssalesofthoseAppstoendusers.Youareresponsibleforanyincomeorother
taxesdueandpayableresultingfromanyAmazonPartyspaymentstoyou.Accordingly,
unlessotherwisestated,theamountsduetoyouhereunderareinclusiveofanytaxesthat
mayapplytosuchpayments.TheAmazonPartiesmaintaintheright,however,todeductor
withholdanyapplicabletaxesthatwemaybelegallyobligatedtodeductorwithholdfrom
amountsduefromtheAmazonParties,andtheamountsdue,asreducedbysuchdeductions
orwithholdings,willconstitutefullpaymenttoyou.IfyoufulfillanyofyourContenttoend

users,andifanyrelevanttaxingauthorityconsidersthatContenttobetaxableandyour

similartaxes(FulfillmentTransactionTaxes),Amazonmayprovideyouwithan
exemptioncertificateorequivalentinformationacceptabletotherelevanttaxingauthority,in
whichcaseyouwillnotchargeorcollecttheFulfillmentTransactionTaxescoveredbysuch
certificate.Youwillbesolelyliablefor,andwillindemnifyandholdusandouraffiliates
harmlessagainst,allFulfillmentTransactionTaxes,ifany,andagainstallinterest,penalties,
costsandexpenses(includingattorneysfees)relatedtoanysuchFulfillmentTransaction
Taxes.Ifanytaxingauthorityassessesorclaimsanytaxliabilityonoragainstusorour
affiliateswithrespecttoanyFulfillmentTransactionTaxes,weorouraffiliateswillcontrol
thedefenseagainstsuchassessmentorclaim(withoutlimitingyourobligationtoindemnify
andholdusandouraffiliatesharmlesspursuanttothisSection5c).Youwillprovide
Amazonwithanyforms,documentsorothercertificationsasmayberequestedbyAmazon
tosatisfyanyinformationreportingortaxobligationswithrespecttothisAgreement.
6. AppAvailabilityWithdrawal.WemaydetermineinourdiscretiontomakeanyAppavailable
throughourProgram.Wemaystopanytransaction,ortakeotheractionsasneededtorestrict
accesstooravailabilityofanyContentthatdoesnotcomplywiththisAgreementorthatotherwise
mightadverselyaffectendusers.AnywithdrawalofanAppdoesnotrelieveyouofresponsibility
toensuretheAppcomplieswiththisAgreementortoperformotherobligationsunderthis
Agreement.SubjecttoothertermsofthisAgreement,youmaywithdrawanAppfromfurthersale
throughourProgramasofaspecifieddatebygivingusnotice.Wewillusecommercially
reasonableeffortstostopsellingtheAppwithin10businessdaysafterwereceivesuchnotice,and
within5businessdaysaftersuchreceiptinconnectionwithawithdrawalrequestwhichyouve
designatedasnecessarybecauseofanunexpectedlossof(orthirdpartyclaimrelatedto)therights
requiredunderthisAgreement.Youwillimmediatelynotifyusifyouunexpectedlylosesuch
rightsorbecomeawareofathirdpartyclaimrelatedtotheserights.Anywithdrawalbyyouwill
applyonlytofutureenduserpurchasesafterthewithdrawaldateandnottopurchasesthathave
alreadyoccurred,unlessweotherwisedetermineinourdiscretion.
7. TerminationSurvival.IftheAgreementisterminated,wewillstopsellingyourAppsasofthe
datetheterminationtakeseffect.Also,unlessweotherwisedetermineinourdiscretion,any
terminationorsuspensionofyourparticipationintheProgramwillnotaffectfurtheraccess,use,
downloadsorredownloadsofAppsbyenduserswhohavepurchasedtheAppbeforethe
terminationorsuspensiontakeseffect.Sections3through5and7ofthisScheduleandanyother
provisionsthat,bytheirnature,areintendedtosurvive,willsurviveanyterminationofthe
Agreement.AllrightstoAppsacquiredbyenduserswillsurvivetermination.

InAppProductsSchedule
ThetermsofthisScheduleapplyifyousubmitanyInAppProductforsale,distribution,orpromotion
throughtheProgram.
1. ProductInformation.YourproductdescriptionsforInAppProductsmustdisclosehowtheIn
AppProductisusedandanyrestrictionsonendusersuseoraccesstotheInAppProduct.Atthe
timeyousubmitanInAppProductforinclusionintheProgram,youmustidentifyifit(a)makes
contentorservicesavailabletoendusersonasubscriptionbasis(aSubscriptionInApp
Product)or(b)islimitedtoaspecificnumberofusesorisotherwiseintendedtobeusedupor
consumedinthecourseofusingtheapplicablesoftwareapplicationorgame(e.g.,singleuseitems

orvirtualcoinsinagame)(aConsumableInAppProduct).Yourproductdescriptionsfor
SubscriptionInAppProductsmustdisclosethecontentandservicesincludedinthesubscription,
thefrequencywithwhichnewcontentwillbedeliveredduringthesubscriptionperiod(if
applicable),andwhetherornotcontentdeliveredduringthesubscriptionwillcontinuetobe
accessiblebytheenduserfollowingtheterminationorexpirationofthesubscription(if
applicable).YourproductdescriptionsforConsumableInAppProductsmustdisclosethatthe
productisconsumableandhowtheproductisusedandconsumedintheApp.
2. FulfillmentofInAppProducts.Youareresponsibleforfulfillingtoendusersallpurchasesof
InAppProducts.Wemayprovideahostinganddeliveryservicetofacilitatethefulfillmentof
certaintypesofInAppProductshowever,youareresponsibleforprovidingallotherhosting,
delivery,andrelatedservicesnecessarytodeliverandenableyourInAppProducts.Uponanend
userspurchaseofanInAppProduct,youwillpromptlydeliver(ifapplicable)andenabletheIn
AppProductforthatenduser.YoumustfulfillSubscriptionInAppProductsthroughouttheentire
subscriptionperiodpurchasedbytheapplicableenduser.YouwillensurethatallInAppProducts
matchtheapplicableproductdescriptionandotherProductInformation,functionasintended,and
otherwisecomplywiththeAgreement,includingallProgramPolicies.Youagreethatthe
RoyaltiespayabletoyouunderthisAgreementconstitutefullandcompletecompensationforall
hosting,delivery,andotherservicesyouperformorprovideinconnectionwiththesaleand
fulfillmentofInAppProducts.
3. RoyaltiesforInAppProducts.RoyaltiesforInAppProductswillbecalculatedandpaidas
providedintheDistributionSchedule.However,noRoyaltyisduefor(a)SubscriptionInApp
Productsthatwemakeavailabletoendusersatnochargeaspartoffreetrialsubscriptionsorother
promotionaloffersthatyouapproveor(b)SubscriptionInAppProductsthatareintendedtobe
accessedorusedwithinMobileAppslistedinourNewsorMagazinecategories(orsimilaror
successorcategories)thatwemakeavailabletoendusersatnochargeaspartoffreetrial
subscriptionsorotherpromotionaloffersofupto30days(oranylongerperiodyouapprove).We
mayautorenewenduserspurchasesofSubscriptionInAppProducts,andforsalesof
SubscriptionInAppProductstorenewingsubscribers,yourRoyaltywillbecalculatedbasedon
thelowerof(i)thethencurrentListPriceand(ii)theListPriceineffectatthetimetheapplicable
enduserfirstsubscribed.
4. NosaleofphysicalgoodsProhibitedproducts.YouwillonlysubmitasInAppProductsdigital
products,content,andservicesintendedtobeaccessedorusedwithinyoursoftwareapplications
andgames.YouwillnotsubmitasanInAppProductanyphysicalgoodoranyotherproduct,
content,orserviceintendedtobedeliveredorfulfilledoutsideoftheapplicablesoftware
applicationorgame(thoughthesaleofdigitalcontentaccessiblebothinsideandoutsideyour
softwareapplicationorgameispermissible),orthatotherwiseviolatesourProgramPolicies
(includinganylistofprohibitedinappproductsweestablish).Therestrictionsinthissectiondo
notlimityouruseoftheAmazonMobileAssociatesAPI(definedintheAmazonMobile
AssociatesSchedule).
5. AdditionalRequirementsMobileAppInAppProductsOnly.YoumaynotfulfillMobile
AppInAppProductsbydeliveringadditionalexecutablecodetotheapplicablesoftware
applicationorgame(andyouwillnotsubmitforinclusionintheProgramanyMobileAppInApp
Productthatrequiresthedeliveryofadditionalexecutablecode).YouwillensurethatallMobile
AppInAppProducts(otherthanConsumableInAppProducts)purchasedbyanenduserare
deliveredtoandusableonallcopiesoftheapplicableMobileAppinstalledbythatenduseronany
device(includingallcopiesoftheMobileAppinstalledorreinstalledinthefuture)however,for
SubscriptionInAppProducts,ifyourproductdescriptionclearlydiscloses(atthetimeofanend

6. Survival.FollowinganyterminationoftheAgreement,wemaycontinuetoautorenewexisting
subscriberspurchasesofSubscriptionInAppProductsforupto90days(theSubscriptionSell
OffPeriod).Sections2,5and6ofthisScheduleandanyotherprovisionsthat,bytheirnature,
areintendedtosurvive,willsurviveanyterminationoftheAgreementandyouwillcontinueto

1. ProductInformationRegistrationForm.YourproductdescriptionforanyDeveloperHosted
PCGame/SoftwaremustdiscloseanyrestrictionsonendusersuseoraccesstotheDeveloper
HostedPCGame/Software,includingifendusersarerequiredtocompletearegistrationform(a
RegistrationForm)beforeplayingorusingtheDeveloperHostedPCGame/Software.Ifyou
requireenduserstocompleteaRegistrationForm,youmustprovidethatRegistrationFormtous
atthetimeyousubmittheDeveloperHostedPCGame/Softwaretous.TheRegistrationForm(i)
mayonlyrequireregistrationinformationfromtheenduserfortheDeveloperHostedPC
Game/SoftwareandlinktotheDeveloperHostedPCGame/Software,(ii)mustincludealinktoa
legallysufficientprivacynotice,(iii)maynotcontainanyadvertisingorrequestanypayment
informationfromendusers,and(iv)mustcomplywithallapplicableProgramPolicies.The
RegistrationFormwillbesubjecttoourtestingandapproval,andyoumaynotmodifyitfollowing

2. FulfillmentandSupportofDeveloperHostedPCGame/Software.Youareresponsibleforall
hosting,delivery,andrelatedservicesnecessarytodeliverandenableyourDeveloperHostedPC
Game/Software.Youwillnotifyusatleast60dayspriortodiscontinuinganyDeveloperHosted
PCGame/Software.YouagreetheRoyaltiespayabletoyouundertheAgreementandanyrevenue
youreceivefrompurchasesofDeveloperSoldItems(definedinSection3aofthisSchedule)
constitutefullandcompletecompensationforallhosting,delivery,andotherservicesyouperform
orprovideinconnectionwiththesaleandfulfillmentofyourDeveloperHostedPC
Game/Software.
3. InAppProducts.Anyproducts,content,orservices(includingsubscriptions)youmakeavailable
throughtheProgramforuseinDeveloperHostedPCGame/SoftwareisanInAppProductfor
purposesofthisAgreement.
4. PaymentstoAmazonforDeveloperSoldItems
a. AmazonFees.If,inaDeveloperHostedPCGame/SoftwarethathasaListPriceof$9.99or
less,youmakeanyproducts,content,orservicesavailableforpurchaseotherthanasanIn
AppProductthroughtheProgram(DeveloperSoldItems),youwillpayusfeesequalto

users.AmazonFeesaredueonlyforsalesforwhichyouhavereceivedfinalpaymentfrom
oronbehalfofanenduser.IfaDeveloperSoldItemispurchasedusingacreditcardor
bankaccountdeductionmechanism,finalpaymentwillbedeemedtohaveoccurredwhen
theapplicablecreditcardcompanyorbankhasfullysettledthepaymentfortheapplicable
purchase.
b. PaymentTerms.YouwillpayusAmazonFeesnolaterthan45daysaftertheendofthe
calendarmonthinwhichtheapplicablesalesofDeveloperSoldItemsaremade.Atthetime
ofpayment,youwillmakeavailabletousareportdetailing,foreachDeveloperHostedPC
Game/Software,thenumberofendusersforsuchDeveloperHostedPCGame/Software,the
aggregategrossrevenueyoureceivefromDeveloperSoldItems,andcorresponding
AmazonFees.AllpaymentswillbemadeinthecurrencydesignatedintheProgram
Policies.YouwillmakepaymentstousviaEFTorothermethodswedesignateinthe
ProgramPolicies.Youareentitledtoaccrueandwithholdpayments,withoutinterest,until
thetotalamountduetous(netofanytaxwithholding,asfurtherdescribedinSection3cof
thisSchedule)exceedsUS$100.00ortheminimumpaymentthresholdssetforthinthe
ProgramPolicies.
c. TaxesonDeveloperSoldItems.Youareresponsibleforcollectingandremittinganytaxes
imposedonyoursalesofDeveloperSoldItemstoendusers.Wemaychargeandyouwill
payapplicableFederal,state,orlocalsalesorusetaxes,consumptiontaxes,orvalueadded
taxesthatwearelegallyobligatedtochargefortheservicesweprovide,providedthatsuch
taxesarestatedontheoriginalinvoicethatweprovidetoyou.However,youmayprovideus
withanexemptioncertificateorequivalentinformationforthosetaxesacceptabletothe
relevanttaxingauthority,inwhichcase,weshallnotchargeand/orcollectthetaxescovered
bysuchcertificate.
d. Audit.DuringtheTermandfortwoyearsthereafter,wemayexamineandaudityourbooks
andrecordsrelatingtoanyAmazonFeespayablehereundertoverifytheaccuracyofsuch
payments.Anysuchauditmust:(i)takeplaceatamutuallyagreedtimeduringyournormal
businesshours(ii)notoccurmorethanonceduringany12consecutivemonthperiod
(iii)onlycoverstatementsrenderedsincethelastauditconductedbyus(ifany)and
(iv)takeplaceonatleast30dayspriorwrittennotice.Wewillberesponsibleforallcosts
ofanyauditweconducthowever,iftheauditrevealsadeficiencygreaterthanfivepercent
(5%)intheamountofAmazonFeespaidtous,youwillreimburseusforourauditcosts.
5. Survival.Sections2and3ofthisScheduleandanyotherprovisionsthat,bytheirnature,are
intendedtosurvive,willsurviveanyterminationoftheAgreementandyouwillcontinuetofulfill
allpurchasesofDeveloperSoldItemsmadepriortosuchtermination.

ThetermsofthisScheduleapplyifyouusetheGameCircleAPI.GameCircleAPImeansanyofthe
ProgramMaterialswemakeavailabletoenabletheuseofGameCircle.
1. AmazonGameCircle.GameCircleisoursocialgaming,gamesynchronization,andother
gameenhancementservicesthatwemakeavailableforyouruseinconnectionwithyourContent,

orreferenduserstoaSimilarService,anothersocialgamingservice,oranyotherservicethat
providesfunctionalitysimilartoGameCircleor(b)chargeenduserstouseanyportionof
GameCircle.YoumustensurethatanydatastoredusingSyncdoesnotexceedthestoragecapacity
limits,ifany,thatwesetforSync.YoumayonlyuseSynctostoredatarelatedtogameplayand
gameprogressandmustensurethatdatastoredbyyourAppsusingSyncdoesnotincludeany
name,password,otherlogininformation,orpersonallyidentifiableinformationorpersonaldataof
anyenduser(thoughyoumaystoreusernames,aslongasyoudonotencourageendusersto
providetheiractualnamesastheirusernames).
3. UserProfilePictures.Youmayprovideusimagesforusebyendusersasprofilepictureswithin
GameCircle(UserProfileImages).Yougrantusthenonexclusive,irrevocable,royaltyfree,
worldwiderightstouse,reproduce,distribute,reformat,modify,createexcerptsfrom,promote,
advertise,transmit,makeavailable,andpubliclydisplayandperforminanyandalldigitaland
otherformatsanyUserProfileImagesyouprovideandtoallowenduserstousethoseUserProfile
ImagesinconnectionwithGameCircle.
4. Survival.Sections2and3andanyotherprovisionsofthisSchedulethat,bytheirnature,are
intendedtosurvive,willsurviveanyterminationoftheAgreement.

ThetermsofthisScheduleapplyifyouusetheMapsAPI.MapsAPImeansanyoftheProgram
MaterialswemakeavailabletoenabletheuseofmappingrelatedfeatureswithinyourContent.
PortionsoftheMapsAPIareprovidedbyHERENorthAmerica,LLCoritsaffiliates(HERE)and
youruseoftheMapsAPIissubjecttotheHEREMaterialsTermsandConditions,whichareavailableat
http://developer.here.com/termsconditionsbase(theHERETerms).IfyouaccessorusetheMaps
API(includingthroughAmazonMapsredirection),youagreetoandmustcomplywiththeHERETerms

transfer,andstoreYourDatainaccordancewithanyprivacynoticeyouprovideandallapplicable
Laws.

4. UseofFireflyInformation.Otherthaninresponsetoanenduserinitiatinganactionfora
particularIdentifiedItemviayourLabel,youmaynot(a)useanyinformationaboutIdentified
Items(includinganyFacetinformation)foranypurposeotherthantodisplayyourLabelor(b)
retainortransferanyinformationaboutIdentifiedItems(includinganyFacetinformation).
WithoutlimitingyourobligationsunderSection4oftheAgreement,youaresolelyresponsiblefor
obtaininganynecessaryconsentsfromendusersregardingyourcollection,use,transfer,and
storageofinformationprovidedthroughtheFireflyAPI.
5. ProhibitedUses.Withoutourpriorwrittenapproval,youmaynotbuildPluginsthatenable,or
otherwiseusetheFireflyAPIinconnectionwith,anymarketingorsaleofphysicalmerchandise.
6. Survival.AllsectionsofthisSchedulewillsurviveanyterminationoftheAgreement.
