SECOND AMENDMENT TO

UNIVERSITY OF OREGON MULTI-8PORT AGREEMENT

This will confirm the agreement by and between the State of Oregon, acting by and
through the State Board of Higher Education, on behalf of the University of Oregon Department
of Intercollegiate Athletics (hereinafter nUNIVERSITY"), and NIKE USA, Inc. (hereinafter
"NIKE"), to further amend the "University of Oregon Multi-Sport Agreement" (the "Multi-Sport
Agreement").

WITNESSETH

WHEREAS, NIKE and UNIVERSITY have entered into a Multi-Sport Agreement,

effective July 16, 2003 through May 31,2010 (the uMulti~Sport Agreement"), under which NIKE
has agreed to provide compensation and NIKE Products and UNIVERSITY has agreed to
prOVide NIKE with certain rights and benefits; and
WHEREAS, NIKE and UNIVERSITY have negotiated a prior amendment to the Multi-
Sport Agreement concerning certain licensing terms and royalty rates (the "First Amendment");
and
WHEREAS, the parties desire to extend and further amend the Multi-Sport Agreement
in accordance with the terms and conditions in this Second Amendment to the Multi-Sport
Agreement (the "Second Amendment").

NOW, THEREFORE, in consideration of the mutual promises, terms and conditions set
forth herein, the parties hereby agree as follows:

1. The "Term" of the Multi-Sport Agreement, as defined in Paragraph 2, is extended

eight Contract Years through and including May 31,2018.

2. Effective June 1,2008. the Multi~Sport Agreement is amended as follows:

(a) In sUbparagraph 1(c), after "UNIVERSITY," insert the parenthetical

"(including competitive cheerleading)." '

(b) In subparagraph 1(d), add "Baseball" as a "Flagship Program."

(c) Delete the table in paragraph 5(a) and replace with the following:

(c) Delete subparagraph Sed) and replace with the following:

Each Contract Year, UNIVERSITY and select members of the Athletic

Department (to be designated by UNIVERSITY). shall be entitled to order
up to the following amounts (expressed in terms of retail value) of NIKE
Product for personal use (and, in the discretion of the Athletic
Department, for intramural programs, UNIVERSITY- or Coach-operated
and/or licensed sports camps, Game Entertainment Activities or
Department-Related Activities). All NIKE Product must be ordered
through the "NIKE by Mail" program and sUbject to procedures
established by NIKE for such purpose. No carry-over of unordered
annual allotments of merchandise from one Contract Year to another
shall be allowed.

 (d) In subparagraph 8(d). delete the reference to "NCAA Rule 12.5.5" and
replace with "NCAA Rule 12.5.4."

(e) Delete subparagraph 10(a) and replace with the following:

Each Contract Year NIKE shall pay UNIVERSITY Base Compensation in

the following amounts, to be paid in two (2) equal semi-annual installments
to be made on December 1 and May 1 of each Contract Year (and subject
to subparagraph (b) below):

 Except as modified by the First Amendment and the Second Amendment, all other terms and
conditions of the Multi-Sport Agreement shall remain in full force and effect.
