CONTRACT FOR SECURITY SERVICES

KNOW ALL MEN BY THESE PRESENTS:


This Contract made and executed this ___ day of ______ 2015 in
_____________, by and between:
PHIL. ECOLOGY SYSTEMS CORP. (PHILECO), a corporation duly
organized and existing under and by virtue of the laws of the Republic of the
Philippines, with principal office located at RII Building, 136 Malakas St.,
Diliman, Quezon City, duly represented by herein by its PRESIDENT, Engr.
CARMENCITO L. NOMBRES, and hereinafter referred to as CLIENT
and
FEROH BEL SECURITY AND INVESTIGATIVE AGENCY, a security
service corporation duly organized and existing under and by virtue of the
laws of the Republic of the Philippines., with official address at Santol-Pili
Streets, General Santos City, duly represented herein by its GENERAL
MANAGER, Ms. ROWENA C. BELIMAC, and hereinafter referred to as the
AGENCY.
WITNESSETH:
WHEREAS, CLIENT is the Contractor for the construction of General
Santos City Sanitary Landfill located at Brgy. Sinawal, General Santos
City;
WHEREAS, the AGENCY is a duly licensed and bonded Security
Agency operating under the provisions of RA 5487, as amended and hereby
represents to CLIENT that it has the manpower equipment, firearms and
ammunition and the supervisory skills and management capability to render
efficient and effective security services;
WHEREAS, CLIENT is in need of the services of the security agency
for the purpose of maintaining law and order, protection and security within
its area property and premises;
WHEREAS, the specific objectives of CLIENT in hiring the services of
AGENCY are for the latter to effectively guard and secure the area property
and premises of the CLIENT against theft, robbery, arson, trespass,
destruction or other unlawful acts, protect and ensure the safety of its
officers, directors, employees, visitors and affiliates from assault,
harassment, threat or intimidation; and enforce and implement the rules and
regulations relating to the protection of property and persons of CLIENT;
WHEREAS, AGENCY has offered its services to fulfill the general
purpose and to achieve the specific objectives of CLIENT and the latter
agrees to engage the services of the former subject to the terms and
conditions hereinafter provide.
NOW, THEREFORE, for and in consideration of the foregoing premises
and for the mutual covenants and provisions hereinafter set forth, the parties
hereto have agreed and do hereby mutually agree as follows:

1. Scope of Security Services

The job to be undertaken by AGENCY under this Contract shall consist


of providing security services by assigning and posting qualified, licensed,
uniformed, armed, efficient, effective, and able-bodied guards and
supervising and managing them to achieve the general and specific
objectives of CLIENT;
AGENCY recognizes the position of trust and confidence vested on it by
this Contract. It also agrees to apply its best skill and judgment in the planning,
implementation, and supervision of the security plan and also warrants that it
will post qualified and properly trained guards, furnished them with duly
licensed firearms, ammunitions, uniforms, radios, and other equipment to
ensure the effective execution of this contract.
2. Place and Location
AGENCY shall provide security services for CLIENT and assigned,
detail and post qualified, efficient, effective, and able-bodied guards in the
above mentioned facility in General Santos City;
3. Functions and Duties of Guards
In general, the guards are to maintain peace and order in the premises.
Specifically, they shall safeguard, secure, and protect the property of CLIENT
from trespass, theft, robbery, arson, destruction or damage and other
unlawful acts. They shall also protect the directors, officers, employees,
visitors, and guests of CLIENT from harm, assault, harassment, threat, or
intimidation. Furthermore, they shall enforce and implement the rules,
policies and regulations of CLIENT relating to the protection of property and
person as well as such rules, conduct and decorum that may be specified
and laid down by CLIENT. Likewise, AGENCY shall always abide by the
instruction of the CLIENT;
4. Assignment of Guards
AGENCY shall provide CLIENT, with Four (4) Security Guards who
shall render twelve (12) work hours per day from 0700 hours to 1900 hours
seven days a week, including Sundays and Holidays. The number of
contracted guards may be increased or decreased and the schedule of shifts
may be modified at anytime upon the request of CLIENT.
5. Qualifications of Guards
Each of the security guard to be assigned by AGENCY to CLIENT must
be:
a. of good moral character and reputation, courteous, alert, and without
criminal or police record;
b. physically and mentally fit and not less than 21 nor more than 35 years
of age and at least five feet seven inches in height;
c. duly license, properly screened with NBI, POLICE and other clearances
for employment;
d. in proper uniform at all times during his tour of duty;
e. in possession of such other qualifications required by R.A. No. 5487, as
amended.

f. trained for safety and security aspects and related matters to


effectively perform their duties and responsibilities.
6. Payment
For and in consideration of the above services and during the effective
date of this Contract, CLIENT shall pay FEB SECURITY AND
INVESTIGATE : Ten Thousand pesos (Php 10,000.00) VAT inclusive per
month for each of the guards detailed at the said properties for a daily
twelve (12) hours tour of duty. The security services thereof shall be paid
every fifteenth (15th) day and end of each month upon presentation of
the corresponding STATEMENT OF ACCOUNT.
The contract rate indicated in the preceding paragraph may be subject to
increase or decrease with the written approval of both parties.
CLIENT shall without need for demand, settle its obligations with
AGENCY within thirty (30) calendar days after receipt of the Statement of
Account from the latter. CLIENT shall inform AGENCY as soon as practicable
of any dispute or apparent error in its billing, if any. In the event the
Statement of Account needs to be changed, the former shall pay its
obligations within fifteen (15) calendar days after it has received the
corrected Statement of Account.
7. Supervision and Control
AGENCY shall impose discipline, exercise supervision, control and
administration over its assigned guards in accordance with law, ordinances
and pertinent governmental rules and regulations as well as comply with the
rules and policies promulgated by CLIENT;
8. Firearms, Equipment and Uniform
AGENCY shall provide and equip each guard with duly license
firearms, ammunitions, night sticks, uniforms, teargas and other equipment
in carrying out their functions and duties efficiently and effectively.
9. Employer-Employee Relationship
There is no employer-employee relationship between CLIENT and
AGENCY. The latter is the independent contractor of the former. Thus, the
guards assigned by AGENCY to CLIENT are in no sense employees of the
latter as they are, for all intents and purposes employees of AGENCY.
Accordingly, CLIENT shall not be responsible for any and all claims for
personal injury or death caused to any of the guards or to any third party
whether or not such death or injury arises out of or in the course of the
performance of the duties of the guards. AGENCY hold the CLIENT free and
harmless from any liability that may arise from such personal injury or death.
AGENCY shall comply with all laws, rules and regulations relating to
the employment of the guards including, but not limited to, the remittance to
the government and its agencies of ALL deductions relating to the salary or
wages of its guards such as SSS, Pag-ibig, Philhealth, ECC and other
deductions that are due to the government.
In case of failure of FEROH BEL SECURITY AND INVESTIGATE
AGENCY to comply with such rules and regulations, the latter shall be held
solely and fully liable to pay such obligations. In case of breach of such
covenant, CLIENT shall have the option to make such payments and
remittance and deduct the same from the fees payable to AGENCY. The
latter shall, at all times, keep CLIENT free and harmless from any and all
liabilities, taxes, damages, fees, actions, causes of action, judgments and
claims of whatsoever kind and nature that may arise out of such breach,

including reimbursement to CLIENT for any and all expenses which the latter
may incur in defending itself against and settling such claims.
10. Responsibility for Losses, Damages and Violation of this
Contract
CLIENT shall notify AGENCY, in writing within forty-eight (48)
hours of any loss or damage to its property after it has discovered such loss
or damage.
AGENCY shall be responsible for the losses or damages to the property
of CLIENT and of any third party if such losses or damages are due or
traceable to the negligence of the security guards. AGENCY hereby binds and
obligates itself to indemnify and hold CLIENT harmless from any liability that
may arise from such loss or damage. AGENCY shall at all times, keep the
area, property and premises of the CLIENT free and harmless from any and all
liabilities, taxes, damages, fees, actions, causes of action, judgments and
claims of whatsoever kind and nature that may arise out of the actions of its
guards including, but not limited to, injury to persons or damages to property.
AGENCY shall reimburse CLIENT for any and all expenses, which the latter
may incur in defending itself against such claims.
CLIENT shall bill AGENCY separately on its claims for reimbursement
due to loss or damage of its property traceable to the negligence or wrongful
actions of the security guards. However, CLIENT shall have the right to
offset the amount to reimburse from the amount due to AGENCY for security
reasons if the latter, does not in good faith, settle the claim for
reimbursement of the former within (15) days after receipt of such claim for
reimbursement.
FEROH BEL SECURITY AND INVESTIGATE AGENCY, in coordination
with law enforcement agencies, shall immediately investigate incidents or
cases of loss, pilferage, vandalism, assault, theft, robbery, trespass, and
other crimes and wrongdoing and shall submit its findings and
recommendations to CLIENT not later than fifteen (15) calendar days from
the date of the incident.
Likewise in addition to the foregoing, herein CLIENT shall impose a
punitive penalty equivalent to twenty (20%) percent for defective and/or
substandard firearms, which AGENCY fails to replace within one (1) week
from receiving notice for the same and twenty five (25%) percent of the total
monthly billing for every violation of the terms and conditions and such other
kind of breach that AGENCY committed.
11. Liability for Fortuitous Events
AGENCY shall not be held liable for losses and/or damages due to
fortuitous events or force majeure beyond the control or competence of the
guards to prevent it.
12. Replacement of Guards
CLIENT shall exercise the prerogative to select, change or replace any
of the guards at anytime if it determines that his work is below standard or
his conduct is unsatisfactory or is prejudicial to the interest of CLIENT. The
judgment of the CLIENT on such matters shall be final and binding and
should AGENCY refuses, CLIENT may consider the same a valid cause for
the termination of this Contract. NO REPLACEMENT OF GUARD BY AGENCY
WILL BE IMPLEMENTED WITHOUT PRIOR WRITTEN APPROVAL FROM THE
CLIENT.

AGENCY shall inform CLIENT about any matter that may present a
security risk to the property or person and shall take immediate steps to
effectively resolve or remove those risks. Moreover, AGENCY shall submit to
CLIENT a periodic report relating to security matters more particularly but
not limited only to the following:

Daily Logbook as accomplished by the detailed guards.
Violations of Rules and Regulations or Renovation Guidelines.
Unusual occurrences inside and/or within the immediate vicinity of the
property, such as fire, robbery, accidents, injuries, break-ins, etc.
5. Others that the clients Security Supervisor may require from time to
time.
14. Term and Termination of Contract
This agreement shall take effect immediately, this
day of

to _______________ OR for a period of one (1) year only. Thereafter, this
contract may be renewed unless terminated.
The CLIENT has the right to terminate this Contract for a cause at any
time and without cause by giving fourteen-day(14) calendar days notice to
AGENCY.
