Through negotiation, the Parties hereby agree to trade the following products and
conclude the terms and conditions as below:
Article 1: Term and Job in economic contract

Party A fills an order for Party B to produce a television film called i M Nhn
( was abbreviated the film to use in this contract) as below:

: 45 mins/episode
- Episodes
: 30 episodes
- Scenarios type
: society of psychology
- Language
: Vietnamese
- Estimated time of delivery
: in 2015

- Estimated time of 1 projection
: in 2015 2016, that depends upon Party A

The copyright royalty of 01 episode is : 180.000.000 VND per episode ( include 10%
VAT )

Article 2: Total contract

Total include 10% VAT is :
180.000.000VND/episode x 30 episodes = 5.400.000.000VND

10.2

Both parties agree to implement seriously terms and conditions mentioned in sales
contract. If either of the parties breaches of contract, the party is subjected to a penalty
equivalent to the value of contract and it must compensate all the loss to the other
party. In case, party B cancels the contract without agreement of other party or
breaches of contract, it will be punished maximum is 8% of the total contract price.
In addition, party B must pay all the arise loss from the cancellation of contract to the
party A. this charges are sensible charges that party A executes base on the regular
documents.
During the projection, if some problems will arose, both of party will discuss to solve
the problems by another minutes and contracts appendixes. This contract is edited,
supplemented and changed has to agree by official documents.

10.3

Any disputes arising in reaction to this present contract or the breach of this present
contract shall be settled firstly be negotiation under goodwill, cooperativeness. Should
the negotiation fail, the matter shall be submitted to the Vinh Long Peoples Court for
settlement. And the Court's decision will be considered as final and binding on all
concerning parties to execute. The Court charges and other expenses, if any, must be
born by the losing party.

10.4

Both of party obligates to liquidate the contract after they complete their obligation
which is discussed in this contract.

10.5

This contract still be effective in the case that either of party has another name,
division, mergence.

10.6

This contract is made into 06 copies; each party keeps 03 copies which has the same
legitimacy. This contract comes into effect from the date of signing.
