campus wou ld cont inue the program through their campus budget. That means
$3,000 from CTMS and $3 ,000 from GMS . I will be glad to handle the processing

Products and Services

Th is Subscri ption Agreement is entered into as of May 26, 2004 by and between Ignite! Inc. (hereinafter referred to as
"Ignite!") a Delaware corporation with offices located at 11044 Research Blvd., Suite A-SSO. Austin, Texas 78759 and
Grapevine Colleyville Independent School Distirct (hereinafter refe rred to as "GCISO") with offices located at 3 05 J
Ira E. Wood s Avenue, Grapevine, Texas 7605 1. In consideration of the mutual promises, covenants , obligations, and
conditions set forth herein and other good and valuable considera tion, the receipt and sufficiency of which are hereby
acknowledged, Ignite! and GCISD agree as follows.

1. COURSEWARE:

Ignite! grants use of 300 non -exclusive , non-transferable, individual stud ent subscriptions to Ign ite!' s Early Ameri can
History courseware to GCISD for use by students enrolled at Grapev ine Midd le Schoo l during the 2004-2005 school
term. The total cost of this Sub scription Agree ment is $9,000.00 which GC ISD agrees to pay following receipt of an
invoice from Ignite!. This Subscription Agreement includes: I
Use of Ignite Early American History courseware
300 User Ids that can be associated with any variety of classes at Grapevine Middle School
1 day of Initial Systems Training
Qu arterly Visits by an Educational Support Spec ialist
Customer Support via Toll-Free Phone and Email
2 Supplementa l Teacher Resources
Desktop Confi guration on 30 Compute rs at Grapevine Middle School

2. SOLE SOURCE PROVIDER:

Ignite! is the sole source prov ider for its Early American History courseware.

Terms and Conditions

( I) Subject to the execution of this Subscription Agree ment, Ignite! gran ts use of non-exclusive, non-transferable, ind ividual stu dent
subsc riptions to Ign iter s Early American History courseware to GCISD for instruction to stu dents enrolled at Grapevine Midd le School.
Distribution of Ignite! courseware to others who are not enrolled at Grapevine Middle Schoo l is prohibited.

(2) Access to Ign ite!' s courseware and platfo nn is via the Internet. Ignite! shall have no obligation for prov idi ng, installing,
supporting, or maintaining Internet connectivity or any co mputer hardware or softwa re for GC ISD or Grapevine Middle Sc hoo l, except as
expressly agreed 10 in writing through this Subscription Agreement. GCISD acknowledges it has received Ign ite!'s Techno logy
Requirements document. Furthermore, GC ISD hereby represents to Ignite! and agrees that the GC ISD and Grap evine Midd le Schoo l
networks and systems infrastructure will meet or exceed the minimum technology requirements referenced in Ign ite !'s Techno logy
Requirements document for the duration o f this Subscription Agreement. I
(3) GCISD agrees to pay all fees within 30 days of receipt of invoice . Fees are spec ifically net of any taxes, duties, or any other
governmentallevies on any licenses, patents, copyrights, produ cts, or services provided by Ignite! I
(4) GC ISD acknowledges and agrees that Ignite! is the owner or an authorized licensee of all content, copyrighted material,
patentab le designs and processes, trademarks, and all intellectual property used in the courseware being prov ided by lgnitel. GCISD
acknowledges and agrees that Ign ite! is not selling software 10 GCIS D, and GCISD has no right to rece ive or examine sou rce code for any
Ignite ! courseware. Furthermore, GCIS D agrees that it will not participate in or permit any activity that infringes, impairs, or harms
lgnitel ' s owners hip and intellectual property rights in its courseware, doc umentation, trademarks, or patents. I

(5) IGNITE! DISCLAIMS ALL EXPRESS OR I:\!PLlED WARRANTIES OR REPRES ENTATIONS WITU RESPECT TO
ITS COURSEWARE OR DOC UMENTATION, INCLUDING ANY WARRANTY OF MERCIlANTABILlTY, I NON-
INFRING EMENT, 011 FIT NESS FOR ANY PARTICULAR USE, PURPOSE, OR SUITABLITY. FURTII ERMORE,
IGNITE! SIIA LL NOT BE LIABLE TO GCISD FOR ANY INCIDENTAL, CONSEQUE NTIAL, INDIR ECT, PUNITIVE,
EXEMPLARY, OR SPECIAL DAMAGES, WII ETIIER UNDER TORT, CONTRACT, OR ANY OTIIER T UEOR Y OF

(6) This Subscription Agreement, which consists of the Products and Services page, the Terms and Conditions pa~e. and
incorporates by reference the Technology Requirements document, contains the entire un derstanding and agreemen t betwee n the Ign ite!
and GC ISD and superccdes all other prior written or verbal agreem ents and understan d ings with respect to its subjec t matter. Th is
Subscrip tion Agreement may be amended or modified only through a writing that is signe d by an authorized agent or representative of
both parties and that specifically refers (0 this Subscrip tion Agreement. Furthermore, failure by Ignite! to take any actio n under this
Subscri ption Agreement shall not be construed to waive any o f Ignitc!'s respective rights. If any Te nn or Con dition o f this Subsc rip tion
Agreement is he ld to be unenfo rceab le, such Term or Condition shall be modified to the extent necessary to make it en forceable. The
invalidity or une nforceability of any Term or Condition shall not affect the remaining Term s and Conditions of this Subscription
Agreement, all of which will remain in full force and effect. I
(7) Neither Ignite! nor GCISO will be liab le for any failure of perform ance if such failure is due to any cause beyond either party's
reasonable control, including without limitation, acts of God, fire, explosion, vandalism, cable cut. adverse weather conditio ns,
governmental action, labor diffic ulties, and suppli er failures. GCISO's invocation of th is clause shall no t relieve GC ISD of its ob ligations
to pay for any Products or Services received. In the event such failure continues for 60 days, the other party may termi nate the affected
portion of the Products or Services agreed to under this Subscri ption Agreem ent. I

(8) GCISD represent.s that it has com plied with any and all requirements that the sc hool district requires for the execution of this
Subscri ption Agreeme nt. GCISD agrees that its obl igation and duties under Section 1 of the Products and Services page and Sections 3,
4, 5, 7, 8, and 9 of the Terms and Conditions page will survive the revocation or termination of this Subscription Agreement. Ign ite! I
reserves the right to transfer any and all of its rights, obli gations, and receipts of payment un der this Subscription Agreement to a th ird
party without rece iving perm ission from GCISD. I
(9) Ignite! and GCISD agree that any disp ute that arises out of the Subs cription Agreement sha ll be resolved by final and binding
arbitration before a single arbitrator selecte d by mutual agreement, or failing mutual agreement selected in accordance with the rules o f the
American Arb itration Association then in effect. An awa rd under arbitration may include the costs of the arbi tration.

for Evaluation of Ignite!'s Earll' American History Courseware

Ignite! Inc. is sponsoring a study to investigate the effects that our Early Am erican History (EAH)
materials have on the learning of students who use them . Specifically , Ignit e! Inc. has hire d an
external evaluator. Dr. C. Jayne STahler. to dctennine ifSth.grade students who usc Ignite! EAH
materials demonstrate significantly different gains in their knowledge of American History
compared to match ed control students who do not use the Ign ite! materials.

Objectives

It is difficult to isolate the effect of anyone factor on student learning because so many things affect
student test-score achievement. In this study we are trying to isolate the effect of the Ignite! EAH
material s on student achie vement while controlling for the effects of many of these extraneous
factors . In order to do this, we plan to examine students' performance on the Texas Asse ssment of
Knowledge and Skills (TAKS) and run statistical tests to determine if therc is a significant
differenc e in gain scores for Ignite! students compared to non-Ignite! students. We will use
statistical tests to consider the influence of such factors as gender, LEP, IEP, SES , quantity oft imc
student accessed Ignite! materia ls, teacher years of teaching experien ce, classroo m size, teacher
satisfaction with the Ignite! materi als. and teacher pedagogical app roac h with the Ignite! materials.

Data Requiremen ts

To complete this study, Dr. Brahler will need to have access to the TA KS achievemen t data, for all
subject areas (including social studies), for all years during which Ignite! EAH m aterials wer e used
and for two years prior to Ignite! usc. It is important for our analyses to include data from schools
with all levels of Ignite! usage. including "none."

In addition to collecting campus-leve l score data, we are requesting score data for individual classes
or teachers (average ofstudent scores for each teache r, or for each teacher' s class) and for
individual students. The teacher-level or class-level data will enable us to better isolate the effec t of
Ignite! on student learning by controlling for such variables as the different amounts of time that
teachers used Ignite! (For exampl e, if one teacher used Ignite! more than another, we would look
for differences in the average scores of those teachers' students.) Data on ind ividual stu dent scores
will enable us to furthe r isolate any effects ofIgnite! 's materials on student learning and to
investiga te whether the Ignite! materials can help narrow a student ach ievement gap (the range of
achiev ement level s within a grade). Assessing the ach ievement gap , like calculating student ga in
scores, requires access to individual student achievement data because the varia nce or dispersion of
student scores can only be determined usin g individual student scores.

If a district is unable or unwilling to prov ide TAKS data at the teacher/class or individual student
level. it may still participate in the study by contributing campus-level data.

Data will be kept confidential. Eac h student, classroom teacher, princip al, building and distri ct will
be assigned a unique identification number that will be used when data arc analyzed. No
information will be released that could be used to identify individuals, buildings or districts.

Risks & Benefits

Risks: We do not fores ee any risks associated with part icipation in this study.

Benefits: The fin al report of the study's results will be provided to participating districts.

Agreement to Participate

Yo ur permission to participate in this study is voluntary. You hav e the right to withdraw at any
time from this study . Withdra wing from the study for any reason. at any time, will no t have adverse

We are receiving training with Ignite on Monday and the teachers are
really e xcited about it. I will be there to watch and learn as well .

I am sure you talked with Laura Wh inery abou t our concern regarding
training. We were really surprised at the $500 .00 training fee for this
product. Seems if we are going to help you gather data , which is
something
you need for the improvem ent of you r progra m, the n you might be willing
to
help waive the fee for product traini ng we need for the best use of that
produc t! I talked with Scott Goodw in, the coordinator in this position
before me, and he said he was ass ured that the training was included in
the price of the product. It is my hope that we will beco me partn ers in
this endeavor , increasing not only the amount of produ cts we are able to
utilize, but increas e the wa ys in which we are able to use Ignite in the
classroom . I hope that you can understand my reluctan ce when the
tra ining
fees and other exceptions are explained after we made the decisions to
purchase the COWS . I hope that in the future , your company will he lp us

school district acknowledges and agrees that Ignite ! is the owner or an authorized licensee the
C.O.W. and all content, copyrighted material, patentable des igns and processes , trademarks. and
all intellectual property used in the coursewa re being provided by Ignite!. Your schoo l or schoo l
district acknowledges and agrees that Ignite! is not selling software to your school or sc hool
district, and your sc hool or sc hool district as no right to receive or exami ne source co de for any
Ignite! courseware. Furtherm ore your school or sch ool district agr ees that it will not participate in
or permit any acti vity that infringes. impairs, or harms Ignite!'s ow nership and intellectual property
rights in its coursewa re, documentation, trademarks, or pate nts.

Ignite! l earning as the sole owner of aUlicenses and C.O.W. components accepts full
responsibility for the maintenance. repair and replacement of all C.O.W. med ia and del ivery
sys tem components requiring maintenance, repair or replacement as a result of norm al we ar and
usage. Any maintenance. repair or replacement required as a direct result of abuse , neglect ,

media and all C.O.W. delivery system components including the projecti on system, CPU ,

C.O.W. Sup port Process:

Any duly autho rized representative of a schoo l or school district using Ignite ! Learn ing C.O .W. (5)
is eligible to reques t and receive support from the Ignite! Learn ing Support Desk duri ng the term
of their subscription contract. Upon receiving a phone call or email request for support or
maintenance. the Ignite! l earning Suppo rt Desk will work wit h the client representa tive(s) to
resolve the issue in a timely manne r. In the event that replacement components are required.
Ignite! Learni ng will have the required replacement components at the clie nt site with in 36 hours
of notification that such action is requi red . The client shall work on the phone or via email with
Ignite! Learning Support Desk personnel to insta ll or rep lace the fa utty compo nents. In the event
that replacemen t C.O.W. components are shipped to the client site, any packaging or boxes used
for shipment will used by the client to ship faulty C.O.W. com ponen ts bac k to Ignite! Lea rning
within 48 hours of receipt. Ignite! Learning will bear full respon sibility for cos t of all shipments of
components eithe r to or from the client site. In certain instances Ignite Learning will dispatch a
technician or authorized representative to the client site to repair or replace any faulty

Hey Erin,
I finally have some answers. I apologize for the delay.

For your two remaining campuses, Ignite could provide them with a COW for a trial period of 30 days.
This will hopefully provide teachers with time to implement and to make a determination as to
whether or not Ignite will be a useful tool for teachers and students.

Unfortunately , the new Ignite labs and the EAH Spanish version are both not yet availab le, but we
are hopin g they will be released in late fall . As far as purchasing a small lab licen se. we are unable
to do that at this time.
I have shared this request with our managers and I think it will be add ressed in depth in the very near
future.

We will be happy to include the next two years renewal rate on your current proposal so you will be
able to renew the COW subscription for 1000.00 per COW.

I will resubmit your proposal adding the line item stating that you have an option for the next 2 years
to renew for S1,000.00 per COW. I will get that emailed to you today.
