The CPX is a single stage, end suction, center-line discharge, back
pull-out centrifugal pump. It is compliant with ISO 5199 and has

General Description
The Flowserve CPX is recognized worldwide as the premier
ISO chemical process pump, offering the most advance turbomachinery design in the field. The advanced design and precision
manufacture result in a robust, heavy duty pump that provides
reliable, dependable performance in demanding services. Below are
some highlights of the CPX pump range.

Cpx End Suction Pump
Scope
The CPX is rated for 16 bar (232 psi) standard design pressure
minimum, but can be supplied for 25 bar (365 psi) rating.
The CPX is fully in accordance with ISO 2858 and ISO 5199
Class II Specifications.
Pump Casing
The CPX casing is a heavy-duty design with an integral foot and a
ribbed discharge flange to withstand pipe loads in excess of those
specified in ISO 5199 Class II.
Bosses are provided for inlet and outlet pressure gauges as well as
a casing drain. Pump casing drain shall be NPT when specified.
A 3 mm (0.12 in) corrosion allowance is standard on all sizes
and materials.

Flanges
Suction and discharge outlets are flanged and both have the same
rating 16 bar (232 psi) or 25 bar (365 psi). Flange details are as
specified on the data sheet.
Impeller
The impeller design is semi-open type with single shroud and
Francis vane. Axial balance is achieved by back vanes and the
shroud design. The impeller performance rises constantly from
duty point to closed valve.

Impeller Fixing
The impeller is screwed directly to the shaft by a large thread and
sealed by a single O-ring of compatible material.

Mechanical Seals
CPX pumps are fitted with seals to DIN 24960 dimensions. When
double or tandem seals are specified the seal housing is designed
to allow effective circulation of the barrier fluid. The mechanical
seal manufacturer shall be as specified on the data sheet or equal.
Flush and Cooling Plan Arrangements
Piping arrangements and instrumentation are available to suit all
seal arrangements and can be manufactured in accordance with
the customers requirements and standards.
Bearing Housing
The bearing housing is of one-piece construction manufactured
in ductile iron as a minimum. A cast rear foot in the same material
supports the bearing housing.
The CPX bearing housing design allows either grease or oil
lubricated bearings. The lubrication shall be as specified on the
data sheet.
When oil lubricated bearings are specified, there is provision for
fitting, as a minimum, a bulls-eye sight glass. There is also the
facility to fit a constant level oiler. A magnetic drain plug is fitted
as standard.
When grease lubrication is specified, grease nipples shall be fitted.
The design of the bearing housing allows ample space and
accessibility for fitting a complete range of mechanical seals.
The bearing housing is designed to allow maximum dissipation
of heat, optimising bearing and seal life.
Bearing housings are fitted with non-contacting labyrinth seals
at both the pump and the drive ends.
When breathers are fitted, they shall be designed to prevent water
ingress when hosing down.
Bosses are provided for condition monitoring.

Shaft
Solid and sleeved shaft designs are available. The design is such
that it ensures less than 0.05 mm-shaft deflection at the seal face
and low L3/D4 ratio.

Bearings
The bearing types shall be as specified on the data sheets.
Bearings are selected to give a minimum L10 life, at the highest
radial load condition.

The drive end bearing is positively secured on the shaft by


a self-locking nut.

Seal Housing
The housing has a 45 conical shape with integral vortex
breaking rib.
The casing-seal housing-bearing housing interface is designed for
reliable sealing, optimum concentricity and minimum heat transfer
to the bearings.
Recirculation to the seal face is internal, unless a controlled liquid
environment is required around the seal faces.

Shaft Adjustment
The axial position of the shaft can be adjusted to allow clearances
to be pre-set and adjusted during maintenance.
Gaskets
All gaskets are non-asbestos and are selected for complete safety
with regard to the pumped liquid.
Bolting
All bolting on DCI casings is stainless steel, as a minimum.

Couplings
Couplings are of the spacer type, which allows back pull out of the
bearing housing, shaft and impeller. The coupling manufacturer
shall be the vendor standard.
Baseplates
Baseplates can be supplied in cast iron, steel, stainless steel,
polymer concrete and solid polymer.
Guarding
The coupling guard is non-sparking and designed in accordance
with ISO safety standards. It is manufactured in an anti-static
material and is capable of withstanding impact to the specified
standard.
The area in the bearing housing around the mechanical seal is
fitted with a stainless steel splash guard for operator safety.
CE Marking
The pump sets are CE marked for use in the EEC.
ATEX
CPX pumps are supplied fully ATEX compliant when required.
Electric Motors
Electric motors are sized to cover the entire operating range of the
pump unless otherwise agreed.

** The modern NACE pitting resistance equivalent number (PREnr) is calculated from: PREnr = (%Cr) + 3.3 (%Mo + 0.5%W) + 16 (%N)
The higher the PREnr the better the materials resistance to pitting and crevice corrosion. And, a materials resistance to abrasion and
cavitation generally increases with both hardness and tensile strength. Consequently CD4MCuN impellers provide very good resistance
to erosive attack by solids. It should be borne in mind that low pump speeds are desirable when handling hard solids. Furthermore, the
materials of construction should be considerably harder than the solids being pumped.
CD4MCuN stainless steel has superior corrosion resistance to 316 stainless steel in many media. In addition, cast duplex stainless has
exceptional resistance to stress-corrosion cracking in chloride-containing solutions and is useful for both oxidising and reducing corrodents.
Kolsterising is available on request for casings smaller than 560 mm x 485 mm (22 in x 19 in).

CPX Benefit: High Grade Impeller and Casing
Materials ss Standard
A duplex stainless steel (CD4MCuN) impeller is the normal
base standard, offering broadly better resistance against pitting,
abrasion, cavitation, corrosion and erosion-corrosion compared
with grey iron, ductile iron, carbon steel and 316 stainless steel.
A competitive price and lead time 316 stainless steel or duplex
stainless steel casing and cover are also available on request

L v Non-L Cast Grades


Wrought grades for fabrications that are welded are low carbon (L)
grades. Cast L grades have the additional advantage that cosmetic
weld repairs may be made at wetted surfaces without the need for
subsequent heat treatment but are typically on longer delivery and
typically show marginally reduced strength.

CPX Benefit: Ductile Iron Material Frame


as Standard
Pump frames have pressure loads transmitted to them from the
pump rear cover. Safety is increased under this condition when the
superior strength and ductility of ductile iron is employed by the
pump manufacturer rather than grey iron.

Impeller Drive
The normal standard drive on the ISO 5199 CPX, is the screw drive
impeller. The benefits of this drive are twofold:
It reduces and simplifies the number of impeller joints to seal
It provides the most robust drive
These features are particularly advantageous in chemical process
applications and chemical slurry service. They also are beneficial
in applications in which the suction conditions and continuous
service are particularly demanding.
A feature in ISO 13709 (API610), specifically clause 5.6.3
specifying a key drive impeller, compromises the requirements of
chemical and slurry pumping services but is sometimes the option
demanded by a petrochemical focused contractor. A key drive
impeller is available as a frame mounted CPX option on most sizes.
However, it may be appropriate to discuss a key drive impeller with
the contractor or user during enquiries so that they may clearly
understand the disadvantages of key drive type impeller where an
application is a demanding chemical process or chemical slurry
type duty.

Erosive Solids
Presence of any erosive solids must be referred to Newark, UK Engineering
for approval. Providing the specific type of mechanical seal and flushing
and pipe work arrangements are carefully determined, hard particles up to
10% volume with diameter less than 1 mm (0.04 in) may be considered.

For hard solids, including 5-25% lime slurry, four pole speeds are
preferred. Furthermore, a dual mechanical seal with clean buffer
fluid should be used. If possible, selections should be in the range
80% to 110% of the best efficiency point.
For paper stock limits refer to the accompanying table entitiled
CPX and CPX-HP (High Pressure) Solids Capabilities and Dirty
Liquids. It is not necessary to modify the performance curve
head, flow or efficiency for these tabulated percentages.

Air
Entrained air is detrimental to head, capacity and efficiency
irrespective of viscosity or the presence of paper type stock.
While the top discharge CPX pump casing is self venting, it will
experience severely reduced head, capacity and efficiency with
more than 1-2% air content. These performance parameters will
then be below that quoted such that the duty will not be met. Air
or gas can particularly become trapped by the liquid if the suction
conditions provided are compromised. This is a particular issue
to watch out for with viscous liquids or paper stock as the risk
notably increases above 50 cP or 0.5% paper stock.

Viscosity Limit
Hydraulic Institute corrections to the pump water head, capacity
and efficiency are utilized by Pros+ to determine the required
performance on liquids with a specific viscosity in the range
1 to 1000 cP. (PROS will do selections to 500 cP, values above
this please refer to Newark.) The starting torque characteristic
of the pump becomes more linear with viscosity and should be
corrected for viscosity.
The minimum flow should also be either doubled above 500 cP or
the selection referred to Newark, UK Engineering to calculate the
permitted minimum flow due to the extra liquid heating expected.
Generally above 500 cP a positive displacement (PD) type pump
will offer greater efficiency and may be more suitable. However, a
suitable PD type may not be available either because it has limited
sealing options, is considered too complex or is restricted for the
particular liquid to be pumped.

Providing there is no paper type stock involved, the maximum amount of soft
solids is 35% if the particle size is less than 1 mm (0.04 in) and the specific
gravity is substantially as the carrying liquid.

All CPX thrust bearing inner and outer races are positively held,
preventing free end float. Bearing internal clearance is provide for
resistance to thermal transients. The standard internal clearance
provided to the bearing rolling elements is C3 per ISO 13709

The bearings are designed to achieve 17,500 hours L10 minimum life as specified in ISO5199 (Class II) under worst loading. It is extremely rare that an oil lubricated NUP
roller bearing is required for a combination of operating conditions to achieve the life.
Most pump sizes and duties per frame size will not have the worst bearing housing loading condition and will provide an average 100,000 hours L10 life.

Lubrication Technologies
(Also refer to Product Lubrication Manual FPD-1172)
The CPX horizontal bearing housing lubrication options are:
Mineral grease
(grease nipples)
Synthetic grease
(no nipples)
Mineral oil splash bath
(wet sump)
Synthetic oil bath
(wet sump)
External force feed
(pass through)
External pure oil mist
(dry sump)
External oil purge mist
(wet sump)
Different lubricants and frame fittings are necessary for the
different lubrication approaches.
Oil lubrication is necessary for high temperature pumped liquids and
offers the greatest flexibility. Grease lubrication is preferable in many
modest temperature liquid duties in chemical plants as the risk of
contaminants entering the bearing frame through either the oiler or
a top vent is prevented. Vertical frames use grease lubrication.

Grease Lubrication
NLGI 3 is the ISO VG grade which is pre-greased into the grease
lubrication bearings for normal temperatures operation. A lithium
soap base is normally supplied. It is suitable for the highest
temperatures and ambients and ambients down to at least -20C
(-4F). Below -20C (-4F) specialty greases may be required and
Shell Areoshell 22 is normally for the minimum ambient of nitrile:
down to -45C (-49F).

Oil Lubrication
Oil Pour Point: The oil pour point is important as the oil must pour.
The ambient temperature should be at least 10C (18F) above the
pour point. If the exact pour point is unknown, then a generally
safe guide used in industry is:
ISO VG 32
Ambient minimum: -13C (8F)
ISO VG 46
Ambient minimum: 0C (32F)
ISO VG 68
Ambient minimum: 7C (44F)
Oil Viscosity Index (VI)
The VI should be greater than 100; the higher the index the
better the oil film thickness is maintained across high and low
temperatures. Mobile DTE13M, 15M and 16M have very high
viscosity indices and low pour points permitting use at
-30C (-22F) ambient.
Do not confuse the viscosity index (VI) with the viscosity (VG).
Synthetic Lubricants
Some synthetic lubricants attack nitrile seals, necessitating the use
of Viton or better. The recommended synthetic oil is Royal Purple,
available in the EU from:

Oils For Oil Mist


Compounded oils CANNOT be used and anti-foam additives
should be avoided with oil mist systems. Most oils recommended
for wet sump bearing housings contain foam inhibitors as well
as antioxidants and anticorrosion additives so are unlikely to be
suitable.

Oil Mist
While a low maintenance method of lubrication, oil mist presents
environmental hazards and is sensitive to temperature. Oil mist
is likened to oil smoke as oil is only present in the dry air
stream in small amounts and in 1 to 5 micron droplets before
reclassification. Mist reclassifier fittings are normally 1/8" pipe size
with a mist pressure of 0.05 bar (0.7 psi). The spray or condensing
reclassifier fittings also are normally 1/8" pipe size but have a mist
pressure of 0.09 bar (1.3 psi).
Flowserve does not supply the reclassifiers or external fittings
or their systems for CPX bearing frames, but does provide 1/8"
tapped holes (plugged) near the bearing, vent and condenser
drain points.
The amount of oil mist supplied (m3/h) is normally calculated to
be at least the bearing bore dia (mm) x the number of bearing
rows/25. The oil mist should consist of at least 0.025-0.04%
oil content. The venting should normally be twice the area of
the reclassifier(s) but an additional vent provision for oil mist is
seldom required with labyrinth shaft seals. It should be noted
that ISO 13709 (API 610) requires 6 mm (1/4" NPS) oil mist inlet
and vent connections, which will normally be greater than can be
provided. The bearing housing is supplied with labyrinth bearing
isolators and where Inpro VBX isolators are fitted; these are
normally specially selected for use with oil mist.

Constant Level Oilers


A constant level oiler is an option on the CPX, CPXR, etc bearing
frames splash oil bath arrangement. An adjustable height 120 ml
(4 fl oz) Denco type is provided as standard with the CPXN splash
oil bath, meeting the oiler requirement of ISO 13709 (API 610). All
oil splash bath housings have a sealed oil sight glass as standard.
Pure oil mist (dry sump) lubrication must not be fitted with any
constant level oiler as it will not function.
Oil purge mist (wet sump) lubrication normally requires an
internally breathing oiler option.
Oiler Options For Splash Baths
A 110 ml (4 fl oz) Adams non-adjustable glass oiler is the standard
option on CPX or CPX-HP frame splash oil bath arrangement.
Alternatively, the Adams type can be further upgraded to the bronze
and glass adjustable Denco petrochemical industry type. The Denco
is also unbalanced and meets the oiler requirement of ISO 13709
(API 610). It is the standard fitment to the similar CPXN arrangement.
These designs are without balancer pipes/ports for sub-zero
atmospheres; refer these atmospheres to Newark Engineering.

Stilt Mounting

2. Close Coupled

1. Frame Mounted on Baseplates


Stilt mounting, as an option to grouted baseplates has been
tested for CPX pumps to 36 kW.
Epoxy grouted rigid baseplates are generally recommended
for frame mounted pumps although there are benefits
and disadvantages to both grouted and stilt mounted
arrangements, see below.

Grouted Baseplate Installations (Using Epoxy Grout)


Greatest dissipation of vibration

Stilt mounting is an option which has also been utilised for


close coupled chemical process pumps, including sealless
arrangements. In practice these tend to utilise a short steel
or stainless steel baseplate to provide the required adjustability
and satisfactory four-point mounting.

3. Allowable Flange Loads


The allowable CPX nozzle loads covered in Technical Data
sheets CPX00015-CPX00017 do not apply when metallic
baseplates are stilt mounted. It is custom and practice for stilt
mounted baseplates to multiply the limiting values for grouted
baseplates by 0.2.

Lowest torsion stress


Best arrangement if the piping design and its installation

Rigid Stilt and Baseplate Mounted Installations


Lowest installation cost
Higher vibration than grouted
Can offer better relief of piping loads on the casing (pump
moves to casing of nozzle loads point of low resistance)
Assist cleaning below the baseplate
Aid site changes
The use of stilt mounting inevitably leads to some increase
in vibration level. The use of a rigid baseplate and stilt height
between 50 mm and 150 mm (1.97 in to 5.90 in) for machines
below 36 kW and 3600 rpm will generally maintain mean time
between failures (M.T.B.F.) within acceptable levels.
Stilts Below 150 mm (5.90 in)
In Europe it is typical to raise the baseplate by less than
150 mm (5.90 in).
Between 150 - 400 mm (5.90 15.7 in)
The stilts typically require 50 mm (5.90 in) diameter
reinforcement tubes which significantly increase the cost of
the stilt mounting set; M.T.B.F. reduces.
Stilts Above 400 mm (15.7 in)
Plant specifications normally require cross bracing between
alternate stilts which further tends to make such heights
uneconomic as well as technically the least desirable.
The vibration levels on a pump with stilts up to 400 mm (15.7 in)
were satisfactory but M.T.B.F. will be compromised compared to
baseplates raised by no more than 150 mm (5.90 in).
Flowserve can provide and supply the recommended design
of stilts.

Lead Times

Delivery Definition

This section is to be used as a guide and ALL deliveries must be


checked with the relevant BU.

1. Delivery period commences with the receipt of an order by the


relevant Front Line Team.

The following notes and instructions are important and must


be read in conjunction with the delivery schedule for each
product type.

2. Contractual delivery should always be clearly stated on all


tenders. This will normally be Ex Works but will generally
be defined by the customer requirements and can be:

1. Deliveries given in the schedule are Ex-Works in working


weeks as defined in the accompanying table and make no
allowance for national and local holidays.
2. Deliveries date from receipt of full instructions enabling
Flowserve to proceed with manufacture.
3. When optional extras are required then the longest time shown
is that which rules.
4. For quantities of over 5 identical machines refer to Newark.
5. For quantities of more than 10 units in the same delivery
week, add 1 working week plus a further 1 working week for
each additional 10 units.
6. For quantities with multiples of different sizes, the following
applies:
6 10 different units: add 1 working week
11 15 different units: add 2 working weeks
More than 16 units: Refer to Newark
7. Special delivery - Requests for special deliveries should be
made to Newark.
8. Orders sold FOB/CFR/CIF: add 1 working week.
9. If legislation of documents required: add 2 working weeks.
10. Special painting: add 1 working week.
Should special application procedure apply, e.g., humidity
check, adherence test, etc.?

a) Notification of readiness
b) FOB
c) CIF
d) DDP, etc.
If in doubt Ex-Works should be used.
1. The period of delivery is measured in complete working
weeks, e.g., an order received on Wednesday of Week 1 with
a 6 working week delivery has a due date of end of Week 7.
A similar order received on Friday of Week 1 and entered into
the system on Monday of Week 2 has the same delivery of
end of Week 7.
To summarise a 6 working week delivery can be a maximum
of 6 working weeks plus 4 working days and a minimum of 6
working weeks.
Notes:
a) If the delivery period cannot commence because of
insufficient information to proceed then an order does not
exist and no acknowledgement will be issued. The tender is
still at negotiation.
b) Delivery times are estimates only.
c) Delays occasioned by carriers are not the sellers
responsibility.

11. Documents for approval: add 2 working weeks.
The schedule allows 1 working week for customer review
and return. Any additional time must be added to the quoted
delivery.
12. Testing
a) Important Ensure that test requirements can be
accommodated. If in doubt refer to Newark.
b) For witnessed tests the delivery schedule allows 1 working
week for notification. Any additional time must be added.
Should customers nominated inspector not attend within
the agreed notification period the tests may be carried out
as if such was in attendance. Any deferred tests may be
subject to additional charges.
c) Witnessed hydraulic test: add 2 working weeks.
13. Non-witnessed performance: add 1 working week (including
NPSH/noise and vibration when specified)
14. Witnessed performance: add 2 working weeks (including
NPSH/noise and vibration when specified).

WORLDWIDE TERMS AND CONDITIONS OF SALE


1. Applicability:
Except for the application of overriding General Terms Agreements previously executed between Buyer and Seller, any purchase order covering the sale of Sellers equipment or
services (Order) shall be governed solely by these Conditions of Sale and other written provisions mutually agreed upon. Any oral understandings are expressly excluded. Seller
shall not be deemed to have waived these Conditions of Sale if it fails to object to provisions appearing on, incorporated by reference in, or attached to Buyers Purchase Order
Form which provisions are hereby expressly rejected. Buyers silence or acceptance or use of products constitutes its acceptance of these Conditions of Sale. No modification
or addition to these Conditions of Sale shall be effective unless agreed to in writing and signed by an authorized representative of Buyer and Seller. Seller reserves the right to
reject any Order submitted for its acceptance.
2. Definitions:
Order means any purchase order covering the sale of Sellers equipment or services.
Equipment means all equipment and parts manufactured by Seller.
Buyer means the company who accepted Sellers offer or is named in the Purchase Order.
Services means work, direction of work, technical information or technical consulting and advice or other services furnished by Seller to Buyer and may support such activities
as the installation, testing, alignment, startup, operation, repair and maintenance of the Equipment.
Seller means the company named on the offer.
Suppliers means any of Sellers suppliers of material or services for the Equipment or Services, regardless of tier.
3. Delivery:
Delivery of the Equipment hereunder shall be made Ex-works (Incoterms 2000) Sellers plant. Shipping dates are approximate and are based on prompt receipt of all necessary
information at Sellers plant. In case of delay in furnishing complete information, dates of shipment may be extended for a reasonable time based on conditions at Sellers plant.
In the event Seller provides transport services these will be quoted as a lump sum price based on destination and shipping mode.
Seller shall not be liable for delay in delivery due to causes beyond its reasonable control including but not limited to, acts of God, acts of government, acts of Buyer, fires, labor
disputes, boycotts, floods, epidemics, quarantine restrictions, war, insurrection, riot, civil or military authority, freight embargoes, transportation shortages or delays, unusually
severe weather or inability to obtain necessary labor, materials or manufacturing facilities due to such causes. In the event of any such delay, the date of delivery shall be extended
for a length of time equal to the period of the delay.
In the event Buyer requests a delay in completion and shipment of the Equipment or any part thereof for any reason, the parties shall agree upon any cost and/or scheduling
impact of such delay, with such costs to the account of Buyer. Any delay period beyond thirty (30) days after original scheduled shipment date shall require Buyer to take title
and risk of loss of such Equipment, thereafter to make arrangements for storage of such Equipment with the Seller or other party. Sellers invoice, which is contractually based
on shipment, shall be issued upon Sellers readiness to ship the original Equipment.
4. Warranty:
Nonconformance means failure to comply with, or failure to operate due to noncompliance with, applicable Seller drawings or having defects in workmanship or material.
Normal wear and tear, erosion, corrosion and the need for regular overhaul and periodic maintenance do not constitute a Nonconformance.
Seller warrants at time of shipment to Buyer its Equipment will comply with applicable Seller drawings and will be free from defects in workmanship and material. Any equipment
and parts supplied by Seller but manufactured by third parties carry the warranty that the manufacturer of such equipment and parts conveyed to Seller which can be passed on
to Buyer. These warranties run to the Buyer, its successors, assigns, and customers. Suppliers obligations under this warranty shall expire one (1) year from initial startup or
use of the Equipment or eighteen (18) months after shipment, whichever occurs first. Seller warrants that the Services shall be performed in accordance with industry practices.
Sellers warranty obligation for service work shall expire ninety (90) days from the date of the initial start-up or six (6) months after completion of the service work, whichever
occurs first.
Buyer must notify Seller in writing during the defects liability period of a Nonconformance and, within 30 calendar days of discovery of the Nonconformance.
Sellers obligation and Buyers sole remedy under this defects liability period is repair or replacement, at Sellers election, of any Equipment Nonconformance. All Equipment
repaired or replaced will be warranted only for the unexpired portion of the original defects liability period.
Seller agrees to repair or replace Ex-works Sellers plant any Equipment or part thereof manufactured by Seller which does not conform to the warranty for Equipment. Equipment
claimed to be defective must be returned, freight prepaid and allowed by Buyer and in accordance with Sellers instructions to the point of manufacture, unless Seller directs
otherwise. Title to and risk of loss of any equipment being repaired shall remain with Buyer at all times.
In connection with the performance of any corrective work, all removal and reinstallation of the Equipment shall be performed by Buyer at its expense. Buyer shall, at its expense,
be responsible for removing, reinstalling, replacing or supplying any equipment, materials or structures which are necessary to provide reasonable access to the Equipment to be
repaired or replaced. Any decontamination or radiation protection necessary in connection with the removal/reinstallation or on-site repair of the Equipment shall be performed
by Buyer without cost to Seller.
Seller will not be liable under this warranty if the Equipment has been exposed or subjected to any (1) maintenance, repair, installation, handling, packaging, transportation,
storage, operation or use which is improper or otherwise not in compliance with Sellers instructions; (2) alteration, modification or repair by anyone other than Seller or those
specifically authorized by Seller, (3) accident, contamination, foreign object damage, abuse, neglect or negligence after shipment to Buyer; (4) damage caused by failure of a
Seller supplied Product not under warranty or by any hardware or software not supplied by Seller; (5) use of counterfeit or replacement parts that are neither manufactured nor
approved by Seller for use in the Equipment; or (6) Equipment which is normally consumed in operation or which have normal life inherently shorter than the warranty period
including, but not limited to, consumables (e.g. flashtubes, lamps, batteries, storage capacitors).
THESE WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, WHETHER WRITTEN, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT
NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, AND FITNESS FOR PARTICULAR PURPOSE.
5. Payment:
All prices are net cash 30 days from date of invoice, unless otherwise stated in Sellers proposal, quotation, or offer. Should Buyer for any reason default in the payment of the
contract of purchase, Buyer agrees to pay all collection costs, attorney fees and expenses incurred in collecting payment, including interest on the amount due at the maximum
legal rate. All transportation, insurance and similar charges incident to delivery shall be paid by Buyer. Seller shall issue its invoice upon shipment, or upon notice to Buyer that
Seller is ready to ship, whichever is earlier. Depending on the value of the order, Seller may at its sole discretion require progress payments.
If Buyers financial condition is or becomes unsatisfactory to Seller, Seller reserves the right to: a) cancel shipment at any time prior to delivery of the Equipment without further
obligation or liability on the Sellers part (b) or require a letter of credit or other acceptable security before shipment.

6. Changes:
Buyer may request modifications as to the amount, scope and/or nature of the Equipment to be supplied by a written change request. Buyer may also request modifications,
including but not limited to drawings, models, instructions, specifications, quantities, method of shipment, packing, place of delivery or delivery dates for the Equipment. If, in
the opinion of Seller, any modification will affect the agreed fixed price and/or time of delivery, Seller will notify Buyer thereof in writing and will not be obligated to perform any
modification unless agreed to by Seller. Buyer shall confirm that such change is authorized and accepted by issuing a Purchase Order revision.
7. Setoff:
All amounts that Buyer owes Seller under an Order shall be due and payable according to the terms of an Order. Buyer is prohibited from, and shall not set off such amounts or
any portion thereof, whether or not liquidated, against sums which Buyer asserts are due it, its parent affiliates, subsidiaries or other divisions or units under other transactions
with Seller, its parent affiliates, subsidiaries or other divisions or units.
8. Cancellation:
Buyer reserves the right to cancel any portion of an Order affected by a default of Seller or any insolvency or suspension of Sellers operations or any petition filed or proceeding
commenced by or against Seller under any state or federal law relating to bankruptcy, arrangement, reorganization, receivership or assignment for the benefit of creditors.
9. Non-Disclosure and Non-Use of Sellers Information:
Buyer agrees that it will not use Sellers data for the manufacture or procurement of products which are the subject of an Order or any similar products, or cause said products
to be manufactured by, or procured from, any other source or reproduce said data and information or otherwise appropriate them without the written authorization of the Seller.
Buyer agrees that it will not disclose or make available to any third-party any of Sellers data or other information pertaining to this Order which is proprietary to Seller without
obtaining Sellers prior written consent.
10. Patent Indemnity:
Except insofar as an Order calls for equipment pursuant to Buyers designs, drawings or specifications, Seller agrees to pay the amount of any final judgment against Buyer
resulting from a suit claiming that any commercial equipment manufactured or furnished hereunder, by reason of their manufacture, sale or use, infringes any United States
patent which has issued at date of an Order, and Buyers reasonable costs and expenses in defense of such suit if Seller does not undertake the defense thereof, provided Seller
is promptly notified of the threat or commencement of such suit and is offered full and exclusive control to conduct the defense or settlement thereof.
Sellers indemnity shall not apply where infringement would not have occurred from the normal use for which the equipment was designed. Sellers liability for damages hereunder
is limited to those computed solely on the value of any equipment sold to Buyer. In no event shall Seller be liable for consequential damages or costs applicable thereto. In the
event of any claim that equipment furnished hereunder infringes any United States patent, Seller may at its option and expense (a) procure for Buyer the right to continue using
the product, or (b) replace or modify the product so that it becomes non-infringing, or (c) grant Buyer a credit for such product, less a reasonable depreciation for use, damage,
and obsolescence upon its return to Seller. Buyer agrees to pay all costs and expenses incurred by Seller in its defense and the amount of any judgment against Seller, in any suit
or proceeding against Seller based upon a claim of infringement, resulting solely from the Buyer combining any equipment furnished hereunder with any item not manufactured
or furnished by Seller or from the sale or use of any such combination by Buyer. Seller shall also indemnify Buyers customers and agents for such infringement if, and to the
extent that, Buyer has agreed so to indemnify them, but to no greater extent than Seller has indemnified Buyer herein and under the same conditions as set forth herein. In the
event any equipment to be furnished under this Order is to be made in accordance with drawings, samples or manufacturing specifications designated by Buyer and is not the
design of Seller, Buyer agrees to defend, indemnity and hold Seller harmless to the same extent and subject to the same requirements as set forth in Sellers obligation to Buyer
as above. The above is in lieu of any other indemnity or warranty, express or implied by Seller, with respect to intellectual property (patents, trade secret, mask works, trademarks,
copyrights, or the like).
11. Special Tooling and Data:
Unless otherwise agreed in writing, all material, software, data processes, equipment, facilities and special tooling, which term includes but is not limited to jigs, dies, fixtures,
molds, patterns, special taps, special gages, special test equipment, other special equipment and manufacturing aids and replacements thereof, used in the manufacture of
products covered by an Order shall be and remains the property of Seller. Seller retains all rights, title and interest in drawings, engineering instructions, specifications, and all
other written data, if any, furnished with equipment.
12. Import Permit or License:
In the event an import permit or license is required by Buyers or End Users authorities for the Equipment sold hereunder, performance is subject to Sellers prior receipt of
evidence satisfactory to Seller that an appropriate import permit or license has been granted. As to any such permit or license Buyer shall advise Seller of the validity, number, date
of issue and whether the expiration date refers to clearance from the port of departure or arrival at the port of destination. Buyer assumes all responsibility for the procurement
thereof and any expenses incurred therein related to any import permit or license. In the event currency exchange controls exist in Buyers country, Buyer shall so state.
13. Export License:
Unless otherwise agreed in writing, Buyer shall be responsible for compliance with the export control laws and regulations of the U.S. Government or the jurisdiction where
Sellers manufacturing facility accepting the Order is located, and when required by such laws and regulations shall obtain export and re-export licenses required for goods,
services and technical data delivered under an Order. Seller shall not be liable to Buyer for any failure to provide goods, services or technical data as a result of any of the following
governmental actions: (1) refusal to grant export or re-export license; (2) cancellation of export or re-export license, or (3) any subsequent interpretation of the export laws and
regulations, after the date of an Order, that limits or has a material adverse effect on the cost of Sellers performance on an Order. Sellers performance hereunder is subject to
Sellers prior receipt of evidence satisfactory to Seller that an appropriate export license has been granted. If Seller assists in obtaining any export license, Buyer shall reimburse
Seller for all expenses.
14. Taxes:
Sellers price does not include, and Seller is not responsible for, payment of any tax levied for sales, use, excise, value-added, goods and services, business (franchise or privilege)
or any duties, charges or other such taxes. Seller is only responsible for any tax imposed on Seller, by taxing authorities in Sellers jurisdiction, which are based on Sellers
revenue, income, net income, net assets, net worth, or capital or any taxes imposed in lieu thereof. Seller accepts sole responsibility and liability for the payment of any and all
contributions or taxes for unemployment insurance, social security payments, or other assessments for those persons performing work for Seller hereunder. If Seller is required
to pay any taxes or other charges that are the responsibility of the Buyer, then Buyer shall promptly reimburse Seller those amounts.
15. Assignment:
Neither party shall assign an Order or any portion thereof without the advance, written consent of the other party, which consent shall not be unreasonably withheld. The nonassigning party shall not have any obligation to an assignee of the assigning party unless such consent is obtained.

16. Waiver:
Failure by Seller to assert all or any of its rights upon any breach of an Order shall not be deemed a waiver of such rights either with respect to such breach or any subsequent
breach, nor shall any waiver be implied from the acceptance of any payment of service. No waiver of any right shall extend to or affect any other right Seller may possess, nor
shall such waiver extend to any subsequent similar or dissimilar breach.
17. Severability:
If any portion of these Conditions of Sale is determined to be illegal, invalid, or unenforceable, for any reason, then such provision shall be deemed stricken for purposes of the
dispute in question and all other provisions shall remain in full force and effect.
18. Disputes:
Except as otherwise specifically agreed in writing by Buyer and Seller, any dispute relating to an Order placed by a Buyer incorporated in the United States which is not resolved
by the parties shall be adjudicated by a court of competent jurisdiction in the state of Texas. For Orders placed by a Buyer incorporated outside the United States, the parties shall
resort to binding arbitration under mutually agreed procedures.
19. Applicable Law:
This Agreement shall be interpreted in accordance with the laws of the jurisdiction in which the Sellers facility accepting the Order hereunder is located, exclusive of any choice
of law provisions. The Seller and Buyer expressly agree to exclude from this Agreement the United Nations Convention on Contracts for the International Sale of Goods, 1980,
and any successor thereto.
20. Limitation of Liability:
The remedies set forth herein are exclusive, and the total liability of the Seller with respect to this Contract, or any breach thereof, whether based on contract, warranty, tort
(including negligence), indemnity, strict liability or otherwise, shall not exceed the Contract Price of the specific equipment or service which gives rise to the claim except in
the clause entitled Patent Indemnity. IN NO EVENT, WHETHER ARISING BEFORE OR AFTER COMPLETION OF ITS OBLIGATIONS UNDER THE CONTRACT, SHALL SELLER
BE LIABLE FOR SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PENAL DAMAGES OF ANY KIND (INCLUDING BUT NOT LIMITED TO LOSS OF USE, REVENUE OR PROFITS,
INVENTORY OR USE CHARGES, COST OF CAPITAL, OR CLAIMS OF CUSTOMERS) INCURRED BY BUYER OR ANY THIRD PARTY.
21. Translations; Governing Language:
English shall be the legal language of this Agreement, and all parties waive any right to use and/or rely upon any other language, translation or interpretation. The parties
specifically agree that in the case of any inconsistencies or interpretation disputes, the English language version shall control.
22. Entire Agreement:
The contract of purchase, consisting of these terms and conditions, Sellers quotation and Buyers order if accepted in writing by Seller, constitutes the entire agreement between
Buyer and Seller. All other previous and collateral agreements (including letters of intent or purchase orders issued by Buyer), representations, warranties, promises and
conditions relating to the subject matter hereof are superseded by the contract of purchase. Any understanding, promise, representation, warranty or condition not incorporated
in the contract of purchase shall not be binding on either party.
