CONSTITUTION
PREAMBLE
We, the faculty of the UNIVERSITY OF SOUTHEASTERN PHILIPPINES, bestowed by
the Divine Providence with the ideals of extending and spreading life and development between
the Association and the University, intellectually, spiritually, economically and substantiating the
advantages of binding ourselves for effective organization for the welfare and interest of the
employees service and self sacrifice, with the end view of promoting unity, cooperation and
professional growth, with the aid of the Almighty, do ordain and promulgate this CONSTITUTION.
ARTICLE I. NAME AND DOMICILE OF THE ASSOCIATION
Section 1.

The name of the organization shall be the UNIVERSITY OF SOUTHEASTERN


PHILIPPINES FACULTY ASSOCIATION, or in short USEPFA which shall
henceforth be referred to as the ASSOCIATION.

Section 2.

The ASSOCIATION shall be domiciled at USEP Obrero Campus, Davao City.


ARTICLE II. DECLARATION OF PRINCIPLES AND POLICIES

Section 1.

The ASSOCIATION shall be govern in a democratic way and shall adhere to the
principles under the constitution of the Republic of the Philippines and of the
policies promulgated by the University of Southeastern Philippines and other
laws relevant and advantageous to the existence of the ASSOCIATION.

Section 2.

The ASSOCIATION shall hold the principle of unity and solidarity, policy of
peace, equality, justice, freedom and cooperation, which shall be reflective of the
interest, benefits and welfare of the community.

Section 3.

The ASSOCIATION shall institute and stimulate harmonious relationship within


the University community.

Section 4.

The ASSOCIATION shall assist in attaining the vision, mission, goals and
objectives of the University.

Section 5.

The ASSOCIATION shall endeavor to foster strong personality in the formulation


and application of policies beneficial to its members.

Section 6.

The ASSOCIATION shall safeguard, protect and defend the rights, privileges,
responsibilities, and role in the University and in the Association.

Section 7.

The ASSOCIATION shall be an independent organization and be recognized as


the sole and exclusive negotiating body for the employees of the University.

Section 8.

All activities initiated by the ASSOCIATION shall be monitored and assessed by


the governing board of the organization.

Section 9.

The ASSOCIATION shall inform the members and the University Management of
the policies, rules and regulations directly or indirectly affecting them.
ARTICLE III. NAME OF THE EMPLOYER AND PLACE OF OPERATION

Section 1.

For collective negotiating purposes the definite employer is the UNIVERSITY OF


SOUTHEASTERN PHILIPPINES, hereinafter referred to as the agency, the
principal place of operation, which is at Iigo Street, Davao City.
ARTICLE IV. OBJECTIVES

Section 1.

The end views of the ASSOCIATION are to:

Encourage and foster cooperation and establish an environment


conducive to an efficient and smooth functioning of the university.
Develop managerial and administrative leadership, professionalism and
civic-mindedness among the members.
Maintain the associations identity as a collective body and represent the
members on matters, which are relevant to their professional, cultural,
social and economic upliftment.
Assert, safeguard, and protect, to a certain extent, individual well being
of the members.
Formulate, promulgate, and implement rules and regulations essential in
carrying out the objectives and purpose of the ASSOCIATION.
Serve as an active catalyst for change towards total development of its
members, the advocacy reforms, and policy directions.
Establish and extend health, education, medical and other forms of
assistance among the members of the ASSOCIATION.
ARTICLE V. PRINCIPAL OFFICERS

Section 1.

The governing body of the ASSOCIATION shall be the Board of Trustees whose
members shall be elected through secret balloting by the General Membership
Representative assembly by the members of the Board of Trustees.

Section 2.

The Board of Trustees shall administer union affairs, formulate policies and
implement programs to effectively carry out the objectives of the ASSOCIATION
and manage all the monies and properties of the ASSOCIATION.

Section 3.

The Board of Trustees shall consists of Ten (10) officers namely:

Secretary
Assistant Secretary
Treasurer
Assistant Treasurer
Auditor
Business Manager
Asst. Business Manager
Press Information Officer

Section 4.

The Board of Trustees of the ASSOCIATION shall hold office for a period of two
(2) years from the date of their election until their successors shall have been
duly elected and qualified: provided that they remain members of the
ASSOCIATION in good standing.
Vacancies in the position of the Board of Trustees shall be filled up by appointing
any member(s) of the Faculty by the President. The said appointee(s) shall hold
office in acting capacity for the unexpired term of office of the immediate
predecessors, or until a special election therefore, called for the purpose, as
authorized by the Board of Trustees.
ARTCILE VI. BILL OF RIGHTS

Section 1.

The members of the ASSOCIATION shall enjoy the freedom of speech and
expression of the press, the right to self organize, and to join peaceful concerted
activities in accordance with law, rules, regulations, and policies of the University.

Section 2.

Every member shall have the right to be informed of memoranda, orders, board
resolution of the University and decisions affecting the operations of the
ASSOCIATION.

Section 3.

Every member of the ASSOCIATION shall be entitled to humane conditions of


work and other benefits.

Section 4.

Every member of the ASSOCIATION shall have the right to present his/her
demands, views, grievances and suggestions to the appropriate body of the
ASSOCIATION.

Section 5.

Every member shall enjoy the right to participate in policy and decision-making
process affecting his/her rights and benefits as provided by law.

Section 6.

Every member shall exercise the right to vote on all matters relating to the affairs
of the ASSOCIATION.

Section 7.

Every member shall have the right to any appointive position or office of the
ASSOCIATION.

Section 8.

Every member has the right to participate in all deliberations/meetings of the


ASSOCIATION.

Section 9.

Every member shall have the right to enjoy a healthy working environment
conducive to the establishment of harmonious relationship among members.

Section 10.

Every member shall have the right to enjoy an atmosphere that enhances welfare
and productivity among the members that will contribute to the effectiveness and
efficiency of public service.

Section 11.

Every member of the ASSOCIATION shall have the right to exercise holding
peaceful assemblies to petition or seek redress of grievances.

Section 12.

Every member shall have the right to enjoy whatever benefits and privileges the
Association may forge with the management through a Collective Negotiation
Agreement (CNA).

Section 13.

All rights relevant to workers welfare that are embodied in existing laws such as
the Magna Carte for Public School Teachers, the Education Act of 1982, the
Republic Act 8292, and other laws are recognized as right of the members of the
association.
ARTICLE VII. MEMBERSHIP OF THE ASSOCIATION

Section 1.

Membership of the ASSOCIATION shall be open to all faculty members of the


University of Southeastern Philippines be they permanent, temporary, or
probationary status.

Section 2.

The eligibility for membership to the ASSOCIATION shall commence on the first
day of the employees service to the University of Southeastern Philippines.

Section 3.

All legitimate members of the Faculty Association are deemed members of the
ASSOCIATION.

Section 4.

Disqualification. Pursuant to Section 2, paragraph 3, Rull 11 of Executive Order


No. 180 dated June 1, 1987, as amended, stipulates the following shall not be
eligible to form, to join, or assist any employees organization for purposes of
collective negotiations;
(a)

High-level employees these are persons or employees who


perform above middle managerial function.

Highly confidential employees refers to an
employee who occupies a position which requires a high degree
of trust and confidence and close intimacy with the appointing
authority or immediate supervisor which ensure free and open
communication from harassment of freedom from misgiving of
betrayal of personal trust or confidential matters of the state.
1. Trust and confidence of the appointing authority or of
the Organization unit where the former assigned.
2. Duration of the project or the period for which an
agency or office was created.

(b) Other Faculty members of the university who by nature of their functions are
authorized to carry firearms except where there is expressed written approval
from the management.
(c) Other faculty members who do not hold plantilla positions but not limited to
part-timers and substitute.

ARTICLE VIII. THE BOARD OF TRUSTEES OF THE USEPFA

Section 1.

The ASSOCIATION shall adhere to the democratic style of governance founded


upon laws, rights and responsibilities of the members.

Section 2.

The ASSOCIATION shall observe balance of power achievable between those


who are elected to office and those who are members.

Section 3.

The General Membership Assembly, and the Board of Trustees shall constitute
the Association.

Section 4.

The Board of Trustees of the Association shall be composed of the President,


Vice President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer,
Auditor, Business Manager, Assistant Business Manager and Press Information
Officer.

Section 5.

The Board of Trustees shall be the highest governing body of the


ASSOCIATION.

Section 6.

The duly elected ten (10) members of the Board of Trustees of the Association
shall serve for 2 years as one term, without prejudice for re-election for 2 more
terms.

Section 7.

The members of the Board of Trustees shall be chosen from the General
Membership Representative Assembly through election by nomination, and the
casting of votes shall be secret balloting.

Section 8.

The Board of Trustees shall serve for two (2) years without prejudice to reelection for two (2) more terms.
ARTCLE IX. DUTIES AND POWERS OF THE BOARD OF TRUSTEES

Section 1.

The Board of Trustees shall be the policy making body of the Association.

Section 2.

Pursuant to Section 5, Article VI of this constitution, the Board of Trustees shall


have the power to formulate policies, rules and regulations and present this to
the Membership Representative Assembly for Approval and implementation.

Section 3.

The Board of Trustees shall have the power to create committees other than
those constitutionally mandated to enhance and be responsive to the primary
needs of the ASSOCIATION and the University.

Section 4.

The Board of Trustees shall have the primordial duty to implement legislated and
promulgated general rules and policies of the ASSOCIATION, and other existing
laws of the Philippines relevant and beneficial to the ASSOCIATION.

Section 5.

The Board of Trustees shall have the primordial duty to implement legislated and
promulgated general rules and policies of the ASSOCIATION, and other existing
laws of the Philippines relevant and beneficial to the Association.

Section 6.

The approval of the ASSOCIATION policies shall be made by the simple majority
of all the members of the Board in a meeting called for the purpose.
THE BY-LAWS OF THE ASSOCIATION

The by-laws of the Association reflect, and stipulate, the set of rules to carry out in detail
the provisions of the constitution.
ARTICLE X. DUTIES AND POWERS OF THE ASSOCIATION
Section 1.

The members of the ASSOCIATION shall obey and follow the rules and
regulations and policies of the ASSOCIATION.

Section 2.

Every member of the ASSOCIATION shall be bound to honor and respect the
duly constituted authority.

Section 3.

The members of the ASSOCIATION shall be bound to respect, defend, abide by


and protect the Constitution and By-Laws, Civil Service Commission and DOLEBureau of Labor Relations and pertinent laws thereof.

Section 4.

Every member shall participate in all activities and any form of gathering initiated
and spearheaded by the Board of Trustees of the ASSOCIATION ------------ shall
not be in conflict with any religious belief, and other reasons, which are
acceptable and valid.

Section 5.

Every bonafide member shall be encouraged to be vigilant to any form of


injustice, which hampers and is detrimental to the operations, dignity, and
personality of the ASSOCIATION.

ARTICLE XI. FEES, SPECIAL ASSESSMENT, FINES AND OTHER PAYMENTS.


Section 1.

An admission fee of Twenty Pesos (Php 20.00) shall be paid by an applicant


before he becomes officially a member of the ASSOCIATION.

Section 2.

Every member shall pay the semi-annual dues to the ASSOCIATION in the
amount of Sixty Pesos (Php 60.00) payable on the release of the bonuses and
other fees as approved by the ASSOCIATION.

Section 3.

All amounts collected pursuant to the two preceding sections shall constitute the
General Fund of the ASSOCIATION to be applied to the operational and
organizational expenses of the ASSOCIATION or for any purposes or object as
may be authorized by the Board of Trustees in a written resolution adopted at a
meeting duly called for the purpose.

Section 4.

Every member shall contribute to the ASSOCIATION such amounts as may be


fixed by the Board of Trustees or General Membership Representative Assembly
through a written resolution adopted at a meeting dully called for the purpose. To
be applied to or expended for any or all of the following objects:

CNA negotiations
Such other plans and programs that will promote the interest and welfare
of the ASSOCIATION and the members.

Section 5.

Special assessments or other extraordinary fees shall be made only upon


resolution duly ratified by of the General Membership Representative
Assembly through secret balloting.

Section 6.

Any member who shall be six (6) months in arrears in the payment of his regular
semi-annual dues or who fails for two times to pay the special assessments,
fines or other payments required to be made, and may be subjected to other
disciplinary actions. In the event of sickness, leave of absence without pay and
other similar causes, the Board of Trustees may excuse non-payment or defer
collection thereof at its discretion.

Section 7.

Every payment of fees, dues, or other contribution by a member shall be


evidenced by a receipt signed by the Treasurer or his duly authorized
representative making the collection and entered into the records of the
ASSOCIATION to be kept and maintained for the purpose.

Section 8.

Every expenditure of the funds of the ASSOCIATION shall be evidenced by a


receipt from the person to whom the payment is made which shall state the date,
place and purpose of such payment. Such receipt shall form part of the financial
records of the ASSOCIATION.

Section 9.

The books of accounts and the other records of the financial activities of the
ASSOCIATION shall be opened for inspection by any officer or member anytime
during office hours.
ARTICLE XII. SOURCES AND APPROPRIATION OF FUNDS

Section 1.

The funds of the ASSOCIATION shall be derived from membership fees, semiannual dues, members contribution, donations, investment and other sources

such as grants and other activities such as raffles, bingo socials and
consultancies.
Section 2.

All revenues received by the ASSOCIATION shall be issued official receipts by


the Treasurer and shall be deposited in a reputable bank designated by the
Board of Trustees. All accumulated interests generated in bank deposits shall
be considered as income of the ASSOCIATION.

Section 3.

Withdrawals and disbursement of money shall be supported with a resolution of


the Board of Trustees stating the amount and purpose for which the money is
appropriated.

Section 4.

The designated signatories for bank withdrawals shall be the President and the
Treasurer and or the Assistant Treasurer.

Section 5.

Petty Cash fund of One Thousand Pesos (Php 1,000.00) shall be maintained by
the Associations Treasurer for emergency and immediate purchases.
ARTICLE XIII. DISPOSITION OF ASSOCIATION FUNDS

Section 1.

In case of voluntary dissolution of the ASSOCIATION or final cancellation of its


registration certificate, the ASSOCIATION members shall enjoy equity to the
ASSOCIATION properties to the extend that said properties shall first be sold to
the ASSOCIATION members before said properties are offered to non
ASSOCIATIONS members and the proceeds there from, together with the
balance of the ASSOCIATIONS funds shall be distributed, pro-rata to its
members, depending on the amount of membership may be consulted to settle
differences of opinion.
ARTICLE XIV. COLLECTIVE NEGOTIATION

Section 1.

Collective Negotiation for and in behalf of the general membership shall be


undertaken by the Board of Trustees and shall act as the Negotiating Panel.

Section 2.

The Collective Negotiating Agreement resulting from the negotiation shall be


subject to ratification and approval of majority voice of the ASSOCIATION
members at a meeting convened or by a referendum held for such purpose.
ARTICLE XV. BOARD OF TRUSTEES QUALIFICATION

Section 1.

A member of the Board of Trustees who has the right to vote and be voted upon,
and one who was not convicted of any crime involving moral turpitude shall be
eligible for election as Executive Officer/s of the ASSOCIATION.

Section 2.

In premise to the preceding section sections, the following requirements shall be


met but not limited to:

He/she is a member in good standing;


He/she must be intellectually, educationally, socially qualified and show
inclination to human and organizational developmental behavior.
He/she has manifested commitment, interest and involvement, devotion
and dedication to the affairs of the Association above and beyond the
call of his regular official functions and responsibilities to the University.

ARTICLE XVI. DUTIES AND RESPONSIBILITIES OF THE BOARD OF TRUSTEES


Section 1.

President. The duly elected President of the ASSOCIATION shall be the


presiding officer and chairman of the Board of Trustees. He/she shall exercise
the following duties and responsibilities.

He/she shall be the official representative to all other organizations and


entities, both public and private and in all activities or affairs concerning
the welfare of the members of the ASSOCIATION.
He/she shall preside over all meetings and deliberations of the Board of
Trustees and General Membership Representative Assembly Meetings
in session.

The President shall have the power to approve and disapprove all
pertinent papers and other documents appertaining to the operations of
the ASSOCIATION.
The President shall preserve and defend the rights and privileges of the
members of the ASSOICATION.
He/she shall order all payments as authorized by the Board of Trustees
and the General Membership Representative Assembly.
The President shall have the power to appoint as authorized by the
Board of Trustees, the Chairman and members of the standing
committees, which shall have been appointed and qualified.
The President shall be one of the official signatories to all financial
transactions and to any other businesses involving the Board of Trustees
and the General Membership Representative Assembly.
In collaboration with the members of the Board of Trustees, the
President has the power to call special meetings of the General
Membership Representative Assembly in sessions, or upon written
request of at least thirty percent (30%) of the member of the
ASSOCIATION,

Section 2.

The Vice-President.
The Vice-President shall perform the function of the
President in case of the latters incapacity through illness, death, separation
(whether voluntary or involuntary), resignation and retirement.

Section 3.

The Secretary. The Secretary shall perform the following:


(a) Take down notes and record all the minutes of the meeting of the General
Membership Representative Assembly (GMRA), and the Board of Trustees.
(b) He/she shall keep the book of records, minutes and resolution of the
ASSOCIATION. He/she shall also keep the registry of the list of members of
the ASSOCIATION.
(c) He/she shall be the custodian and keeper of all records and pertinent papers
of the ASSOCIATION.
(d) He/she shall be responsible in performing and sending communications
particularly the notice of meetings of the General Membership
Representative Assembly and Board of Trustees.
(e) He/she shall be responsible in submitting the required documents to the
concerned agencies and personalities for the ASSOCIATION.
(f) He/she shall notify members and officers of all meetings of the Board of
Trustees and the General Membership Representative Assembly at least five
(5) days before the meeting is held. The notice of meeting shall contain the
time, venue, purpose and the agenda of the meeting.
(g) He/she shall perform other related functions as maybe directly by the
President or the board of Trustees.

Section 3.1

Section 4.

Assistant Secretary. The Assistant Secretary shall perform all the


duties of the Secretary when the latter is incapacitated or absent, and do
other related work.

The Treasurer. The Treasurer of the ASSOICATION shall be the chief custodian
of all funds, properties, and ledger of all members payments. He/she shall
perform the following:
(a) Issue official receipts for every amount received and distributed, specifying
the Purpose for which the money is withdrawn or paid.
(b) Deposit the money of the ASSOICATION in the designated bank authorized
by the Board of Trustees.
(c) Prepare financial report every quarter and submit copies to the Auditor,
Board of Trustees and the Secretary.
(d) Submit report of the financial conditions of the ASSOCIATION showing the
Assets, Liabilities and Equities.
(e) Turn over all cash on hand and in banks, books of accounts, documents and
other properties of the ASSOCIATION to the newly elected treasurer in the
presence of the Chairman of the Board of Trustees.

Section 4.1

Assistant Treasurer. Assistant Treasurer shall perform all the duties


of the Treasurer when the latter is incapacitated or absent, and do other
related work.

Section 5.

The Auditor. The Auditor of the Association shall conduct quarterly inspection
and auditing of the book of accounts in the presence of the Treasurer. He/she
shall perform the following duties:
(a) Inspect and audit the book of accounts and other monetary or disbursement
transactions.
(b) Perform quarterly Auditing of all cash transactions and property of the
ASSOCIATION and submit report of his findings to the Board of Trustees.

Section 6.

The Business Manager. The Business Manager shall perform the following
duties:
(a) Canvas purchases of properties and or materials for the ASSOCIATION.
(b) Monitor and be responsible for all business activities of the ASSOCIATION.
(c) Perform other duties as assigned to him by the Board of Trustees.

Section 7.

The Press Information Officer. The Press Information Officer shall perform the
following duties:
(a) Responsible for the publication of all activities of the ASSOCIATION.
(b) Promote and disseminate all activities undertaken through mass media.
(c) Establish relationship between the ASSOCIATION, University Community
and the Public in General.
(d) Perform other functions as assigned by the Board of Trustees.
ARTICLE XVII. IMPEACHMENT AND RECALL

Section 1.

Any of the following shall be a ground for the impeachment or recall of the
ASSOCIATION officers:
(a) Committing or causing the commission directly or indirectly of acts against
the interest and welfare of the ASSOCIATION.
(b) Malicious attack against the ASSOCIATION, its officers or against a fellow
Associations officer or member.
(c) Failure to comply with the obligation to turn over and return to the
Associations Treasurer within three days the unexpected sum or sums of
money received from the Associations funds to answer for an authorized
ASSOCIATION purposes.
(d) Gross misconduct unbecoming of a union officer.
(e) Misappropriation of Associations funds and property. This is without
prejudice to the filling of an appropriate criminal or civil action against the
responsible officer or officers by any interested party.
(f) Willful violation of any provisions of this Constitution or rules, regulations,
measures resolution and decision by any interested party.

Section 2.

The following procedure shall govern impeachment and recall proceedings:


(a) Impeachment or recall proceedings shall be initiated by a formal Petition or
resolution signed by at least thirty (30) percent of all bonafide Members of
the General Membership Representative Assembly of the ASSOCIATION
and addressed to the Chairman of the Board of Trustees.
(b) The president shall then convene a general membership representative
meeting to consider the impeachment or recall of an officer or a group of
officers whether elective or appointive.
(c) ASSOCIATION officers against whom impeachment or recall charges have
been filed shall be given ample opportunity to defend themselves before any
impeachment or recall vote is finally taken.
(d) A majority of all the members of the General Membership Representative of
the ASSOCIATION shall be required to impeach or recall union officers.
(e) An ASSOCIATION officers impeach shall ipso facto be considered resigned
or ousted from office and shall no longer be elected nor appointed or any
position in the ASSOCIATION.
(f) The decision of the general membership on the impeachment or recall
charge shall be final and executory.
ARTICLE XIII. SETTLEMENT OF INTERNAL DISPUTES

Section 1.

Dispute involving association members or its officers shall be made in writing and
submitted to the President of the Association who shall undertake to have them
settle their differences amicably.

Section 2.

In the event of failure to settle the dispute amicably, the President shall pass on
the Dispute to the Committee on Grievance/Welfare, which shall undertake to
investigate or hear the case on the merits.

Section 3.

The Committee on Grievance/Welfare shall require the respondent within five (5)
days from the date of the aforementioned confrontation of the parties to reduce
their answers in writing. Thereafter, both sides shall be entitled to a hearing.

Section 4.

After proper evaluation of evidence submitted, the Committee on


Grievance/Welfare shall render its written decision on the dispute within five (5)
working days from termination of the hearing.

Section 5.

Decisions of the Committee on Grievance/Welfare shall become final unless


appealed to the General Membership within three (3) days from receipt of a copy
of the decision of the Committee on Grievance/Welfare.
ARTICLE XIX. MEETINGS

Section 1.

Annual Meetings. The Annual General Membership Representative Assembly

meeting of the ASSOCIATION shall be held within the 3 week of July. The
exact date shall be fixed by the Board of Trustees. The meeting shall observe
the following order of Business:

(C) The General Membership Representative Assembly shall constitute at least


thirty percent (30%) of the total members in good standing
(D) The General Membership Representative Assembly shall consider thirty
(30%) of its total membership to transact business in an Assembly meeting
and or in a session.
(E) By virtue of customary and unwritten law, the General Membership
Representative Assembly shall be the Supreme authority of the
ASSOCIATION.
Section 1.1

Special Meeting. The Special Meeting may be called for anytime by the
President as prescribed in Sec. 1, PH, of Art. XI.

Section 2. Board Meeting.

The Board of Trustees shall hold quarterly. Regular meetings


and two (2) special meetings or as the need arises. The
following activities shall be observed before and after the
meeting:
(a) The time, date and venue of the meeting shall be set by the
Secretary in consultation with the members of the Board.

(b) Written notice of meetings shall be served five (5) days


before the scheduled date, by the Secretary of the Board

Special Meeting for the Board of Trustees.


The special meeting of
the Board of Trustees maybe called for by the President anytime as
agreed by the members of the Board or as the need arises.
ARTICLE XX. FISCAL YEAR

Section 1

The ASSOCIATIONS fiscal year commence on 1 January and end on


31 December of every year.
ARTICLE XXI. ELECTIONS

Section 1.

Election of the Board of Trustees.


a. The exercise of democratic process shall be conducted every two
years for the members of the Board of Trustees.
b. The election of Board of Trustees shall be conducted during the
General Membership Representative Assembly. Induction shall
follow immediately or written ten (10) working days after the election.
c. The manner of election shall be in accordance with the rules and
regulations adopted and promulgated by the election committee.

Section 2.

Regular election of officers of the ASSOCIATION shall be held every 3


week of July and every two years thereafter.

ARTICLE XXII. THE ELECTION COMMITTEE


Section 1.

The Committee on Election shall be appointed by the Board of Trustees


from the Members of the General Membership Representative
Assembly.

Section 2.

The Election Committee shall be composed of a Chairman, Secretary


and a member.

Section 3.

The Election Committee shall perform the following functions:


(a) Adopt rules and regulations for the exercise of democratic process
for a clean, orderly and honest election of officers, be it regular or
special.
(b) Proclaim the duly elected officers.
(c) Entertain protest or questions pertaining to the validity of the election
of the members of the Board of Trustees before the induction and
oath taking.
(d) The members of the election committee shall be appointed every
election period.

ARTICLE XXIII. THE CONSTITUTIONAL COMMITTEE


Section 1.

Section 2.

For the purpose of ensuring the smooth and efficient transaction of the
ASSOCIATION and in conformity with the Constitution and By-Laws,
committees shall be created, namely:
(a) The Grievance Committee which is responsible in investigation
internal disputes or settling issues among members of the
ASSOCIATION in accordance with the promulgated rules
Regulations and pertinent provisions of the Constitution and ByLaws. The Committee shall also be responsible in formulating
policies and recommend to the Board of Trustees for deliberation,
approval and implementation.
(b) Welfare and Benefit Committee is responsible for the adoption and
implementation of programs, projects and activities that will promote,
ensure and protect the welfare of the members. The committee shall
have the authority to initiate the formulation of policies significant to
the welfare and beneficial to the members and shall recommend to
the Board of Trustees for implementation.
(c) The Constitutional Committee shall come from the Board of Trustees
and be composed of three (3) members in which they elect among
themselves the chair, the Secretary, and a member. Additional
members may be taken from the general membership as the need
arises.
(d)
The Board of Trustees shall have the power to create other committees
of the ASSOCIATION.
ARTICLE XXIV. SUSPENSION. EXPULSION AND TERMINATION

Section 1.

The expulsion and termination of the officers of the Board of Trustees


shall be imposed under the following circumstances.
(a) Three (3) consecutive absences in meetings without valid reason(s)
justification shall be Meted suspension as determined by the Board
of Trustees.
(b) Grievous misconduct minimal to the interest of the ASSOCIATION
and the University shall be meted EXPULSION.
(c) Failure to perform duties and responsibilities Inherent to the position
as stipulated in the CBL shall be meted EXPULSION.
(d) MALVERSATION AND ILLEGAL disbursement of funds of the
ASSOCIATION shall be meted EXPULSION.

Section 2.

Any member of the ASSOICATION may file charges against an officer of


the ASSOCIATION to the Grievance Committee. The committee shall
submit findings and recommendations to the Board of Trustees who will
immediately call a special meeting for the purpose.

Section 3.

Majority vote of a quorum of the Board of Trustees in a meeting called for


shall be required in suspending an officer.

Section 4.

For Penalty of Expulsion, the affirmative votes of 2/3 of a quorum shall


be required to expel an Officer. The charge officer shall be discounted in
constituting a quorum.

Section 5.

The penalty shall be determined by the Grievance Committee who shall


recommend the same to the Board of Trustees for approval and action
after it shall have been voted upon by majority of the officers in the
quorum.
ARTICLE XXV. RULES OF ORDER

Section 1.

In the conduct of meetings and assemblies, the rules of Order


popularized ANTONIO ORENDAIN II and/or ANDREW ROBERTS shall
be adopted.

Section 2.

The Order of Business at any meeting convened shall be in accordance


with the provisions of the Constitution.

ARTICLE XXVI. AMENDMENTS


Section 1.

For the making changes and enrichment of the constitution, a


constitutional committee shall be established to formulate revisions of the
CBL, subject to the approval of the simple majority of the thirty percent
(30%) of the General Membership Representative Assembly of the
Association.
ARTICLE XXVII. TRANSITORY PROVISION

Section 1.

The existing officers of the USEPFA who are transition officers, shall
hold office until the regular General Membership Representative
Assembly in July 2007 or until a new set of officers have been elected.

Section 2.

The provision of the CBL in so far as the membership of the Board, shall
apply to the new set of officers after the term of office of the transition
officers.
ARTICLE XXIX. DEFINITION OF TERMS

To avoid confusion, and for the purpose of clarification, the following terms are hereby
functionally defined:

USEPFA
acronym for University of Southeastern Philippines
Faculty Association, the name of the organization which is composed of all faculty
members of the university.
ASSOCIATION
short name for USEPFA
GMRA
acronym for General Membership Representative
Assembly, which is composed of President, Secretary and representative of all
faculty clubs.
BOT
Board of Trustees, composed of all officers of the
USEPFA.
Members in Good Standing pays all forms of obligation accrued to the
association.
ARTICLE XXIX. EFFECTIVITY

Section 1.

This Constitution and By-Laws shall take effect fifteen days following its
ratification.
