of the
PHILIPPINE ASSOCIATION OF WATER DISTRICTS, INC.
Article I [ORGANIZATION[1]] COMPOSITION AND REPRESENTATION
Section 1. [ORGANIZATIONAL STRUCTURE] COMPOSITION. The PHILIPPINE
ASSOCIATION OF WATER DISTRICTS HEREIN AFTER REFERRED TO AS PAWD
[Organization] shall be composed of WATER DISTRICTS FROM three (3) geographical areas
covering the entire Philippine archipelago divided into Luzon, Visayas, and Mindanao
[represented] AND FURTHER DIVIDED INTO [by] fifteen (15) regions. [2]
Section 2. REGIONAL [UNITS] ASSOCIATIONS. PAWD HEREBY RECOGNIZES THE
PRESENT EXISTENCE [Each] of the fifteen (15) [regions shall be governed by regional units
under uniform rules prescribed by the PAWD Board of Governors.[3]] REGIONAL
ASSOCIATIONS HEREUNDER ENUMERATED, AS FOLLOWS:
[The Regions under each geographical area are as follows:]
I. Luzon Area
A. The PAN-ILOCOS Region (Region 1) consisting of the provinces of Ilocos Norte,
Ilocos Sur, La Union and Pangasinan, and the City of Daqupan;
B. The Cagayan Valley Region (Region 2) consisting of the Provinces of Batanes,
Cagayan, Isabela, Quirino and Nueva Vizcaya;
C. The Cordillera Administrative Region (CAR) consisting of the provinces of Abra,
Apayao, Kalinqa, Benguet, Bontoc and Mountain Province, and the City of
Baguio;
D. The Central Luzon Region (Region 3) consisting of the provinces of Aurora, Bulacan,
Pampanqa, Tarlac, Bataan, Nueva Ecija and Zambales, and the City of
Angeles;

E. The Southern Tagalog Region (Region 4) consisting of the provinces of Rizal, Laguna,
Quezon, Cavite, Batangas, and the island provinces of Romblon, Marinduque,
Palawan. Oriental Mindoro and Occidental Mindoro.

F. The Bicol Region (Region 5) consisting of the provinces of Albay, Camarines Norte,
Camarines Sur, Catanduanes. Masbate, Sorsogon and the Cities of Legazpi and
Naga;
II. Visayas Area
A. The Western Visayas Region (Region 6) consisting of the provinces of Negros
Occidental, Guimaras, Antique. Iloilo, Aklan and Capiz, and the Cities of
Bacolod
and Iloilo;
B. The Central Visayas Region (Region 7) consisting the provinces of Cebu, Bohol,
Siquijor and Negros Oriental, and the City of Cebu;

C. The Eastern Visayas Region (Region 8) consisting of the provinces of Northern


Samar, Western Samar, Eastern Samar, Biliran, Leyte and Southern Leyte and
City of Tacloban;
Mindanao Area

A. The Western Mindanao Region (Region 9) consisting of the provinces of Zamboanga


del Norte, Zamboanga del Sur and Zamboanga-Sibugay, and the City of
Zamboanga;
B. The Northern Mindanao Region (Region 10) consisting of the provinces of Bukidnon,
Camiguin, Lanao del Norte, Misamis Occidental and Misamis Oriental, and the City
of Cagayan de Oro;
C. The Southern Mindanao Region (Region 11) consisting of the provinces of
Compostela Valley, Davao del Norte. Davao del Sur and Davao Oriental, and the City
of Davao;
D. The Central Mindanao Region (Region 12) consisting of the provinces of North
Cotabato, South Cotabato and Sarangani, and the Cities of Cotabato, and
General
Santos:

E. The Caraga Region (Region 13) consisting of the provinces of Agusan del Norte,
Agusan del Sur, Surigao del Norte and Surigao del Sur, and the City of Butuan:
F. The Autonomous Region of Muslim Mindanao (ARM M) consisting of the provinces
of Basilan, Lanao del Sur, Maguindanao, Sulu and Tawi-Tawi. [4]

SECTION 3. [CHAPTER ORGANIZATIONS. Each region shall consist of chapter organizations


comprising all water districts in the region. The creation of provincial chapters within a region
is highly encouraged. [5]] MERGER AND MULTIPLE MEMBERSHIP. AT THE
CONVENIENCE OF THE MEMBER WATER DISTRICTS IN THE REGION, THE
REGIONAL ASSOCIATIONS RECOGNIZED IN THE PRECEDING SECTION MAY
MERGE AS ONE REGIONAL ASSOCIATION. RECOGNITION OF A MERGED,
DEMERGED OR NEW REGIONAL ASSOCIATION SHALL BE SUBJECT TO APPROVAL
BY THE BOARD OF GOVERNORS.WATER DISTRICTS MAY ALSO BE A MEMBER OF
MORE THAN ONE REGIONAL OR MERGE ASSOCIATION AT THEIR OWN
DISCRETION AND CONVENIENCE.
SECTION 4. AFFILIATE UNITS. Affiliate units may be recognized after complying with the
rules and regulations promulgated by the PAWD Board of Governors. [6]
Article II MEMBERSHIP [7]
Section 1. [QUALIFICATIONS] THE MEMBERS AND CONTINUATION OF MEMBERSHIP.
All water districts duly created and organized under Presidential Decree No. 198, as amended,
[represented by Policy-Makers and Management, and agree to bind themselves and abide by the
Constitution and By-Laws and all lawful rules and regulations of the Association, upon
application and payment of the required dues, may be admitted as members of the Association.
[8] ] AND ISSUED BY THE LOCAL WATER UTILITIES ADMINISTRATION A
CONDITIONAL CERTIFICATE OF CONFORMANCE ARE IPSO FACTO MEMBERS OF
PAWD. MEMBERSHIP OF THE WATER DISTRICT IN PAWD SHALL CONTINUE FOR AS
LONG AS THE JURIDICAL EXISTENCE OF THE WATER DISTRICT CONTINUES TO
REMAIN AS SUCH.
Section 2. TERMINATION [AND REINSTATEMENT] OF MEMBERSHIP. [Any member of the
Association may be removed or reinstated following the rules and regulations promulgated by
the Board of Governors and after due process. [9]] MEMBERSHIP OF THE WATER
DISTRICT IN PAWD SHALL BE DEEMED TERMINATED UPON DISSOLUTION OF THE
WATER DISTRICT OR UPON TURN-OVER TO OR AGREED TAKE-OVER BY ANOTHER
ENTITY THE OPERATIONS OF THE WATER DISTRICT.

Section 3. AFFILIATES AND HONORARY MEMBERS. Water service providers not created
pursuant to P.D. 198, as amended, may be admitted as affiliate member upon payment of the
required dues. [All water district associations, other than the regional chapters, shall also be
considered as affiliate members upon applications in writing and approved by the PAWD Board
of Governors.] Individuals that have contributed to the cause of PAWD and the water districts
and former [members] WATER DISTRICT OFFICIALS who are no longer connected with the
water districts may be admitted as honorary members [pursuant to the rules and regulations
promulgated by the Board of Governors.[10] ] UPON RECOMMENDATION BY THE
EXECUTIVE COUNCIL AND APPROVED BY A TWO-THIRDS VOTE OF THE BOARD OF
GOVERNORS.
SECTION 4. THE PAWD OFFICIALS. REFERS TO WATER DISTRICT OFFICIALS
ELECTED OR APPOINTED TO ANY OF THE POSITIONS IN THE EXECUTIVE
COUNCIL, THE BOARD OF GOVERNORS OR TO ANY COMMITTEE OF PAWD.
SECTION 5. MEMBERS IN GOOD STANDING. WATER DISTRICT MEMBERSHIP IN
PAWD SHALL BE CONSIDERED IN GOOD STANDING UPON PAYMENT OF THE
ANNUAL DUES FOR ANY GIVEN YEAR NOT LATER THAN THE END OF THAT YEAR
OR NO ARREARS FOR THE PREVIOUS YEAR.
Article III - GENERAL ASSEMBLY [11]
Section 1. COMPOSITION AND RECOGNITION. The General Assembly [is] SHALL BE
composed of all [duly registered] MEMBER water districts and all affiliates recognized under
the rules and regulations promulgated by the PAWD Board of Governors[12] WHO ARE
MEMBERS IN GOOD STANDING. EACH MEMBER WATER DISTRICT SHALL BE
ENTITLED TO ONE SPOKESPERSON WHICH MAY BE THE CHAIR OF THEIR BOARD,
GENERAL MANAGER OR ANY OF THEIR DIRECTORS. EXCEPT FOR THE PAWD
OFFICERS, RECOGNITION IN THE GENERAL ASSEMBLY SHALL BE BY THEIR
WATER DISTRICT RATHER THAN THE SPOKESPERSON. THE PAWD SECRETARIAT
SHALL PROVIDE THE MEANS BY WHICH THE WATER DISTRICT WILL EASILY BE
RECOGNIZED DURING THE PROCEEDINGS IN THE GENERAL ASSEMBLY.
Section 2. MEETINGS. The General Assembly shall be convened every year [on the first Friday
of February] DURING THE ANNUAL CONVENTION. Special meetings of the Association
may be called by the Chairman of the Board of Governors or the President of the Association or
upon request by at least 30% of the registered members. The agenda for such special meeting
shall be stated in the notice to be sent to all members at least fifteen (15) days before the
scheduled date of such meeting. [13]

Section 3. POWERS. During the annual convention or special meetings called for such purpose,
the members shall have the following powers: [14]
A. To promulgate, amend and repeal the provisions of the articles of incorporation and
by-laws with at least one month advance notice to this effect;
B. To prescribe rules of conduct and discipline for the members;
C. To dismiss the officers in the manner hereinafter provided for;
D. To proclaim and adopt new purposes and objectives and define policies;
And in general, all powers not expressly granted or delegated to the Board of Governors or
necessarily implied thereto. [15]
Section 4. QUORUM. Twenty-five percent of the total water district members attending the
annual convention or special meeting shall constitute a quorum to do business [unless otherwise
provided by law. Except where there is apparent lack of quorum, voting by proxy shall not be
allowed. [16] ]
[Section 5. QUARTERLY MEETING. The Board of Governors and officers of the Association
shall jointly or separately meet every quarter at the LWUA-PAWD Office or any other place and
date as decided by both the Board of Governors and the Executive Council, or either of them.

Article IV - BOARD OF GOVERNORS [18]
Section 1. COMPOSITION AND TERM OF OFFICE. The Board of Governors shall be
Composed of seventeen (17) members FIFTEEN (15) OF WHICH, THE REGULAR
GOVERNORS, SHALL BE EACH THE REPRESENTATIVE [wherein each] of the fifteen (15)
[Regions of the Country] REGIONAL ASSOCIATIONS AS ENUMERATED IN SECTION 2
OF ARTICLE I HEREOF PLUS [shall be represented by a duly elected member and] the
immediate past Chairman and the incumbent President [shall also be elected thereof.] [19] AS
EX-OFFICIO GOVERNORS. THE TERM OF OFFICE OF THE FIFTEEN (15) REGULAR
GOVERNORS SHALL BE THREE (3) YEARS FIVE (5) OF WHICH, DISTRIBUTED
PROPORTIONATELY OVER THE ISLANDS OF LUZON, VISAYAS AND MINDANAO,
SHALL EXPIRE EACH YEAR. THE EX-OFFICIO GOVERNORS SHALL SERVE UNTIL
SUCH TIME AS THE NEW EX-OFFICIO GOVERNORS REPLACING THEM SHALL HAVE
BEEN ELECTED AND ARE TO ASSUME OFFICE. IN CASE OF VACANCY, ANY
REPLACEMENT GOVERNOR SHALL ONLY SERVE THE UNEXPIRED PORTION OF
THE TERM.
MERGED REGIONAL ASSOCIATIONS SHALL BE ENTITLED TO A PROPORTIONATE
NUMBER OF REGULAR GOVERNORS WHICH THE REGIONAL ASSOCIATIONS
WOULD HAVE BEEN ENTITLED TO HAD THEY REMAINED SEPARATE REGIONAL
ASSOCIATIONS. THE TERM OF OFFICE OF A REGULAR GOVERNOR ALLOCATED TO

A REGIONAL ASSOCIATION THOUGH UNFILLED SHALL CONTINUE TO RUN JUST


LIKE AS WHEN THE POSITION WAS OCCUPIED AND ANY GOVERNOR WHO SHALL
ASSUME IN THE INTERIM SHALL ONLY SERVE THE UNEXPIRED PORTION OF THE
TERM.
Section 2. QUALIFICATIONS OF A GOVERNOR. The members of the Board of Governors
shall be chairmen and members of the Board of Directors of the water districts or general
managers, provided that they have the proper designation from their respective regional
[chapter] ASSOCIATION. Representative to the Board of Governors shall be supported by a
[chapter] resolution.[20] IN ADDITION, THE GOVERNOR SHALL BE:
1. FROM A WATER DISTRICT WHO IS A MEMBER IN GOOD STANDING OF PAWD
2. A REPRESENTATIVE OF A RECOGNIZED ASSOCIATION WITH AT LEAST FOUR
(4) MEMBER WATER DISTRICTS WHO ARE MEMBERS OF GOOD STANDING
OF PAWD FOR EVERY REGIONAL ASSOCIATION IT REPRESENTS.
Section 3. DISQUALIFICATION OF GOVERNORS AND OFFICERS. No member convicted
by final judgment of the courts for an offense involving moral turpitude shall be qualified as
Governor or Officer. Any officer who retired, resigned or removed from his office for just cause
during his term as PAWD Officer shall lose his position and be replaced by the Board of
Governors [in consonance with the rules and regulations of the Association.] [21]

Section 4. OFFICERS OF THE BOARD AND TERM OF OFFICE. During the Annual
Convention, the Board of Governors shall convene and elect from among themselves, the
chairman and the vice-chairman. The choice of chairman shall be on rotary basis representing
Luzon, Visayas and Mindanao for a term of two (2) years .[22] THE TWO (2) YEAR TERM
SHALL START APRIL 1 FOLLOWING THEIR ELECTION AND ENDS ON MARCH 31
TWO YEARS LATER.
Section 5. VACANCIES. In case of any vacancy or vacancies in the Board by reason of death,
resignation, incapacity, or any other cause, the Board of Governors shall immediately require the
regional [chapter] ASSOCIATION concerned to designate a representative from their [chapter]
ASSOCIATION, supported by a resolution of authority, and submit such to the Board of
Governors for confirmation. [23]
Section 6. POWERS OF THE BOARD OF GOVERNORS. The corporate powers of the
Association shall be exercised, its business conducted, and its property controlled by the Board
of Governors, all in accord with the provisions of P.D. 198, as amended, and all such other laws
pertaining thereto. [24]

Section 7. Presiding Officer. The Chairman of the Board or in his absence. the Vice Chairman
shall preside over the meeting of the board and the general assembly.[25]
Section 8. MEETINGS AND QUORUM. The regular meeting of the Board shall be held every
quarter in a place, date and time agreed by the Board. A special meeting may be called by the
Chairman or one-third (1/3) of the members of the Board on a one (1) week notice to each
governor personally or in writing. Such call shall specify the time, place and purpose of such
special meeting. Seven (7) of the members of the Board of Governors shall constitute a quorum
for the transaction of business.[26]
Article V - EXECUTIVE COUNCIL [27]
Section 1. EXECUTIVE COUNCIL [OFFICERS]. The Executive Council OF PAWD shall be
composed of [General Managers. There shall be] a President, an Executive Vice-President. a
Vice-President each for Luzon, Visayas, and Mindanao, a Secretary, a Treasurer, an auditor, a
Press Relations Officer, a Government Relations Officer, a Sergeant-At-Arms each from Luzon,
Visayas, and Mindanao,[.] The immediate past president and all regional [chapter]
ASSOCIATION presidents WHO SHALL ALL BE GENERAL MANAGERS OF A WATER
DISTRICT. [shall also be members of the executive council including the] THE president of the
Luzon Association of Water Districts (LAWD), the Visayas Association of Water Districts
(VAWD), and the Mindanao Association of Water Districts (MAWD). [28] SHALL BE EXOFFICIO VICE-PRESIDENT FOR LUZON, VISAYAS, AND MINDANAO, RESPECTIVELY.
Section 2. TERM OF OFFICE OF OFFICERS. All MEMBERS OF the Executive Council shall
hold office for two (2) years. [29] TO COMMENCE APRIL 1 FOLLOWING THEIR
ELECTION OR APPOINTMENT AND TO END MARCH 31 TWO YEARS LATER.

Section 3. FUNCTIONS AND POWERS OF EXECUTIVE COUNCIL OFFICERS.[30]


A. President. The President shall be the Chief Executive Officer of the Association. He
shall execute and implement all resolutions and/or decisions of the Board of Governors.
He shall be charged with directing and overseeing the activities of the Association. TO
CARRY OUT THESE FUNCTIONS, HE SHALL BE ASSISTED BY A SECRETARIAT TO BE
HEADED BY AN EXECUTIVE DIRECTOR. [He shall have the power to recommend to the
Board and have control over all employees of the Association with authority to review and
approve expense vouchers. He shall present to the Board of Governors and the Association
members an annual budget, and from time to time, as may be necessary, supplemental budgets.

He shall submit to the Board as soon


as possible after the close of each fiscal year, a
report on the activities and operations of the association for the fiscal year under his term.]
B. Executive Vice President. The Executive Vice President shall exercise all powers and
perform all duties of the President during the absence or incapacity of the latter. HE
SHALL ALSO EXERCISE INTERNAL AUDIT FUNCTION OF THE OPERATIONS OF THE
ASSOCIATION and shall perform SUCH OTHER duties that may be assigned by the Board of
Governors_
C. Vice-President of Luzon, Visayas and Mindanao, in their respective areas, shall assist
the President in the discharge of the latter's functions and shall perform such other duties
as may be assigned to them by the Board of Governors.
D. The Secretary. The Secretary shall be charged with the recording of administration
policies and mandates of the Annual Convention and the Board of Governors; act as
custodian of the Register and such other official papers of the PAWD, shall keep a full
and correct record of the proceedings of the Annual Convention and meetings of the
Board of Governors, handle the correspondence of the Board of Governors and, in
general, to perform other duties-as are usually incident to the office.
E. The Treasurer. The Treasurer shall be charged with the collection and custody of the
funds of the organization, render reports on the condition of the treasury when called for
by the President; submit yearly report to the Annual Convention through the President;
furnish a surety bond upon assuming the duties of Treasurer, the sufficiency of which
shall be passed upon by the Board of Governors, and to disburse any amount to be paid
out of the PAWD funds.

F. Press Relations Officer. The Press Relations Officer shall be charged with the duty of
disseminating the aims and purposes of the PAWD [. He shall act as the mouthpiece of
Board of Governors,] and perform other duties as may be allowed by virtue of his office.

G. The Auditor. The Auditor shall be charged with the responsibility of ensuring that the
association funds are properly accounted for. He shall submit his finding to the Board of
Governors thirty (30) days before the annual convention.
[H. Government Relations Officer. The Government Relations Officer shall be charged
with the responsibility of establishing good relations with the government agencies on
matters affecting the association or its members. He shall submit a program and budget
to the President not later than sixty (60) days after assuming office and shall implement such
program when approved by the President.]

I. Sergeants-At-Arms. They shall act as the security officers to maintain peace and order
during the annual and special meetings of the members and shall perform such other
functions as may be assigned to them from time to time by the Board of Governors.[31]
Article VI ELECTIONS
Section 1. COMMISSION ON ELECTIONS. The Commission on Elections (COMELEC) shall
be composed of three (3) appointed by the Board of Governors coming from the members of the
Board of Directors and General Managers of member-water districts. No Governor or member
of the executive council of PAWD shall be appointed to the COMELEC. The appointed
COMELEC officials shall elect from among themselves the chairman and secretary. All
COMELEC officials shall have a term COTERMINUS WITH THE BOARD APPOINTING
THEM [of two (2) years]. It shall be the duty of the COMELEC to conduct the elections in an
efficient and effective manner.[32]
Section 2. ELECTION RULES. The COMELEC shall formulate such pertinent rules and
regulations which shall govern all [PAWD] elections [including but not limited to those] for
[regional chapter officers,] the PAWD Board of Governors, and Executive Council. [33]
[Section 3. REGIONAL CHAPTER OFFICERS All water districts. through their duly authorized
representative, shall elect their officers on the last month of every two (2) year term. The
procedures governing the chapter elections shall be prescribed by the Board of Governors. [34]]
Section 4. [PAWD] NOMINATION TO THE BOARD OF GOVERNORS. The [chapter
officers] REGIONAL ASSOCIATION shall name their representative OR REPRESENTATIVES
to the PAWD Board of Governors through a [chapter] resolution and submit to the PAWD Office
ON OR BEFORE THE END OF JANUARY 31 FOR EACH YEAR for confirmation by the
PAWD Board of Governors.[35] NON-SUBMISSION OF SUCH NOMINATION OR
SUBMISSION OF A DISQUALIFIED NOMINEE SHALL FORFEIT THE PRIVILEGE OF
THE ASSOCIATION TO HAVE A REPRESENTATION IN THE SUCCEEDING BOARD OF
GOVERNORS. THE CONFIRMATION PROCESS SHALL BE MADE DURING THE LAST
QUARTERLY MEETING OF THE SITTING BOARD OF GOVERNORS.
Section 5. [NATIONAL] EXECUTIVE COUNCIL OFFICERS. The President MUST HAVE
SERVED AS EXECUTIVE VICE-PRESIDENT IMMEDIATELY PRECEEDING HIS
ELECTION AS PRESIDENT AND MUST HAVE GARNERED AT LEAST TWENTY (20)
VOTES ON THE DAY OF ELECTION. [and the] THE Executive Vice-President shall be
elected in a national election on rotary basis per area as Luzon, Visayas and Mindanao for a two
(2) year term of office with no re-election. Other Executive Council positions shall be appointed
by the president subject to the confirmation and approval of the Board of Governors WHICH
CONFIRMATION PROCESS SHALL BE HELD DURING THEIR LAST QUARTERLY
MEETING. The Secretary shall act, in concurrent capacity, as the secretary of the Board of
Governors. [36]

[Article VII REGIONAL CHAPTERS AND AFFILIATES [37]


Section 1. ORGANIZATION AND COMPOSITION. A regional chapter shall be organized under
each of the geographical area specified under Section 2, Article I of this by-law and under the
rules and regulations promulgated by the Board of Governors. All water districts within the
geographical area shall compose the organization. [38]
Section 2. OFFICERS OF THE CHAPTER. The chapter shall elect a Board comprising at least
five (5) but not more than fifteen (15) members and shall be the policy-maker of the chapter. The
Board shall elect from among themselves, a chairman, vice-chairman, a treasurer, a secretary,
and a president who will be in charge of the day to day operation of the chapter. The president
shall be the representative of the chapter to the executive council. The duties and responsibilities
of all officers shall be determined and prescribed by the Board.[39]
Section 3. CHAPTER MEETINGS. The chapter shall meet every other month on such date and
place agreed upon by its members. Special meeting may be called from time to time on matters
and problems of chapter concern. All meetings require notice two (2) weeks before the meeting
specifying the place, date time and the agenda of the meeting.[40]
Section 4. RULES GOVERNING OPERATION OF REGIONAL CHAPTERS. The PAWD Board
of Governors shall have the authority to promulgate, rules, regulations and guidelines
governing the operation of the regional chapters. Such rules, regulations and guidelines shall
apply uniformly to all regional chapters. [41]
SECTION 5. ORGANIZATION OF AFFILIATES. The organization of affiliates shall be
encouraged. The rules. regulations and guidelines in the organization and recognition of
affiliates shall be promulgated by the Board of Governors. [42]]

ARTICLE VII THE PAWD SECRETARIAT


SECTION 1. THE EXECUTIVE DIRECTOR. THE PAWD SECRETARIAT SHALL BE
HEADED BY AN EXECUTIVE DIRECTOR WHO SHALL HAVE THE FOLLOWING
DUTIES AND RESPONSIBILITIES, TO WIT:
SECTION 2. THE PAWD STAFF. THE SECRETARIAT SHALL BE SO STAFFED IN SUCH
NUMBER AS IT SHALL BE ABLE TO MEET THE DEMANDS AND EXPECTATIONS
FROM THE MEMBER WATER DISTRICTS AND THE WORKS ASSIGNED TO IT BY THE
BOARD OF GOVERNORS.

Article VIII COMMITTEES [43]

Section 1. The following standing committees shall be [created] FILLED-UP at the first [annual]
QUARTERLY meeting of the Board of Governors and their members shall hold office for a term
of two (2) years:

2. Ways and Means Committee
3. Finance Committee
4. Awards Committee

Section 2. The general duties of the Standing Committees are as follows: [46]
(1) Membership Committee - The Membership Committee shall have the duty of
investigating present membership eligibility of applicants, expulsion and reinstatement of
members, its report and recommendation to be immediately submitted to the Board.
(2) Ways and Means Committee - The Ways and Means Committee shall have the duty
of raising funds and initiating income generating projects of the Association.
(3) Finance Committee - The Finance Committee shall be charged with the
administration of the financial policy of the PAWD, shall study and submit
recommendations for the budget or other expenditures that the Treasurer may propose.
(4) Awards Committee - The Awards Committee shall compile records of meritorious
activities of past and present members of the PAWD and shall submit recommendations
on granting of governmental, military, civic or PAWD decorations or awards. It may also
recommend to the Board of Governors whatever policies or activities that will help to
accomplish its constitutional purposes.

(5) Public Relations Committee - The Public Relations Committee shall be charged with
the duty of representing the PAWD in its dealing with the general public upon specific
authority by the Board of Governors.
(6) Legal Affairs Committee - The Legal Affairs Committee shall be charged with legal
matters pertaining or affecting PAWD and its member districts.
(7) Technical Committee - The Technical Committee shall have the duty of conducting
studies and make recommendations on the technical aspects of water district operations.
(8) Coordinating Committee - The Coordinating Committee shall be charged with
directing and monitoring of activities during Annual Conventions and special affairs of
the Association.

(9) Gender Development Committee - The Gender Development Committee shall be


responsible for the promotion of gender sensitivity awareness and take charge of gender
issues and concerns.
(10) Watershed Development & Environment Committee - The Watershed Development
& Environment Committee shall be tasked to coordinate and make representations with
the DENR and other concerned agencies relative to watershed protection and
management and other environmental issues. [47]
(11) Committee on Chapter Shall be charged with the organization of the regional
chapters seeing to it that the rules and regulations set forth by the PAWD Board of
Governors governing the creation of chapters are strictly followed. [48]
Article IX FINANCES [49]
Section 1. ANNUAL DUES. Unless otherwise fixed by the Board of Governors and concurred in
by a majority of the member water districts, the annual dues shall be computed at the rate of P
1,000 or P1.00 for every active service connection of the districts as of end of December of the
preceding year, whichever is higher but in no case shall it exceed the total amount of [one] TWO
hundred thousand pesos [(P100,000.00)] (P200,000.00).[50] THE ANNUAL DUES HEREIN
MENTIONED SHALL START TO BE DUE, DEMANDABLE, AND PAYABLE AT THE
START OF EACH CALENDAR YEAR.
SECTION 2. FISCAL YEAR. THE FISCAL YEAR OF PAWD SHALL BE FROM APRIL TO
MARCH OF THE FOLLOWING YEAR.

Article X IMPEACHMENT & DISCIPLINE [51]


Section 1. Any member of the Board of Governors and the Executive Council may be removed
from office during his term by impeachment proceedings instituted against him by any two (2)
members of the Board of Governors, or by at least ten (10) association members, for any act
constituting a crime involving moral turpitude or any act inimical to the interest and objectives of
the organization. The rules of procedure in impeachment proceedings shall be promulgated by
the Board, who may adopt and introduce amendments thereon. [52]
Section 2. The Chairman may suspend the respondent official for not more than thirty 30) days,
but the matter shall be referred immediately to the Board of Governors for confirmation. The
Board of Governors shall, by majority vote, suspend the Chairman or the President in case the
impeachment suit is against either or both of them. [53]
Section 3. A final verdict of guilt shall result in the removal from office and permanent
disqualification to hold and enjoy any position of honor or trust in the PAWD. [54]

Section 4. Any [member] PAWD OFFICER who shall hereafter be convicted by final judgment
of a civil or military court for a crime involving moral turpitude automatically ceases to be such
[member] OFFICER of the PAWD.[55]
Section 5. A member of the Board or the Executive Council may be recalled upon the written
petition of one-fourth (1/4) of the members and the vote of two-thirds (2/3) of the members of
the Board of the Executive Council, as the case may be.[56]
Section 6. The Board of Governors may discipline any [member] OFFICER of the association.

Section 7. The following are grounds for discipline:


(a) Unethical practice;
(b) Disloyalty;
(c) Neglect of Duty;
(d) Conviction for any crime involving moral turpitude:
(e) Disobedience to official orders and decrees of the Board of Governors;
(f) Violation of the PAWD Articles of Incorporation and By-laws; and
(g) Conduct unbecoming of a member of the PAWD.[58]

Section 8. Charges petitioning for discipline may be brought by any member against another
member. [59]
Section 9. Charges shall be in writing and under oath, fully stating the specific facts constituting
the charges. Original jurisdiction for charges involving discipline shall be vested in the
Membership Committee. The Board of Governors shall exercise appellate jurisdiction over the
case and its judgment shall be final.[60]
Section 10. In case of impeachment charges against any member of the Board of Governors, it
shall be brought before and adjudged by a special committee of three Governors to be appointed
by the Chairman or, in his absence or incapacity, by the Vice-Chairman.[61]
Article XI - CORPORATE SEAL
Section 1. Seal. The Corporate seal of PAWD, unless otherwise ordered by the Board of
Governors, shall be circular in form and shall bear the words and year: "Philippine Association
of Water Districts 1974",

Article XII MISCELLANEOUS


Section 1. Notices required to be served on any PAWD official shall be sent by registered mail to
the address of such official as listed with the Secretary, or may be delivered personally; in which
case, acknowledgment of receipt shall be signed by the official or his representative.
Section 2. The latest "Roberts Rule of Order" shall apply to all meetings and deliberations of the
Annual Convention and the Board of Governors in the absence of special provisions applicable
from the Constitution and By-laws.
Article XIII AMENDMENTS
Section 1. These by-laws may be amended by the Board of Governors duly convened after
initiation in writing by the Legal Committee or the general assembly or any three members of the
board. However, no amendments shall take place unless approved by the majority members of
the Board of Governors and ratified by two-third (2/3) of the water district-members during
national convention or meeting called for the purpose of amendments. [62]

ARTICLE ___ TRANSITORY PROVISIONS


SECTION 1.

Article XIV- EFFECTIVITY


Section 1. Section 1. These revised By-laws shall take effect upon its approval by the Securities
and Exchange Commission.
