LETTER OF AGREEMENT FOR THE VESPUCCI APARTMENT

Dear Mr. Harrigan:


This is to confirm that you may have the exclusive use and occupancy of my apartment on the
second (mezzanine) floor of Via Melegnano, 1, Florence, Italy, from July 6, 2012 (3:00
p.m.), to July 21, 2012 (10:00 a.m.), including the use of the furniture, furnishings, and
equipment therein, solely for your own residential purposes.
The purpose of this letter is to clarify the responsibilities I am assuming and the
responsibilities that you are assuming.
Please understand that the apartment has been my familys home in Florence for more than 50
years and I hope it will be for many years to come. Please remember that the other people
in the palazzo are our friends and neighbors, and we try to be good neighbors. Please also
understand that the apartment is in constant use and that other people tenants, friends, and
family members will be arriving there immediately upon your departure. Therefore, you
accept responsibility for leaving the apartment and its furniture, furnishings, and equipment
in the same good condition they will be in when you first take occupancy, ordinary wear and
tear alone excepted. If any repairs of any nature do become necessary, such as electrical or
plumbing repairs, or should any appliances, such as the stove, refrigerator, washing machine
or water heater/boiler, or air conditioning require repair, you agree to notify me or my agent
immediately so that we can arrange for the work to be done by duly qualified professionals. If
you or anybody on the premises with your permission, express or implied, are responsible for
the damage, you agree to bear responsibility for the cost.
Accompanying this letter of agreement is a copy of our "Memorandum for Tenants" to provide
you, on the one hand, with advice about such things as medical emergencies, shops in the
neighborhood, etc., and, on the other hand, instructions about security in the apartment, use of

appliances, etc. The instructions in the memo are an integral part of this letter of agreement,
and by signing this letter of agreement you agree to follow the instructions in the
Memorandum for Tenants. The Memorandum is intended to make your stay safer, more
comfortable, and more convenient, as well as to protect other people and the apartment. Please
take a few minutes to read through it. Please take a copy with you to Florence, and please refer
to it as appropriate. If you have any questions, please call me or my agent.
Please understand that my agent, Ms. Mearns, is available to let you in and to handle any
emergencies. She is not a hotel concierge. She does not change light bulbs. If you need her, by
all means call, but please understand she lives outside of Florence, and it is a major effort for
her to get into town. She does not get paid to act as a travel consultant, booking agent, or maid.
You agree that you will not permit the apartment or any part of it to be occupied or used in
any manner by any other persons for compensation. You agree that you will make sure that
you and your guests will at all times conduct yourselves on the premises in a lawful manner
and that you will not disturb the other occupants of the palazzo or those in neighboring
buildings.
Please understand that I cannot accept liability for any bodily injury to you or to your guests or
to anyone else on the premises with your permission, express or implied. Nor can I accept
liability for any damage to any property belonging to you or your guests or to any other
person, whatever the cause of the injury or damage. I also cannot accept any responsibility for
any acts of God, force majeure, or by any third party which may adversely affect you or your
guests. We strongly recommend that you do as we do, which is to purchase travel insurance
whenever we take a trip.
You agree not to move any large pieces of furniture, such as beds, dressers, desks, or tables,
nor will you move any furniture whatsoever from one room to another. You will not to make
any structural changes in the apartment or mar, mark or damage the walls, floors, ceilings, or
furniture and furnishings (with, for example, scotch tape).
You agree to return the apartment keys immediately to me or my agent. If you lose or fail to
return the key for the door to the street, the main lock will have to be changed, and all the
tenants in the building will have to be issued new keys at your expense. The key for the
door to the apartment is hand-made. A replacement costs more than 200 euros, replacing the
lock for the street door and all the tenants keys to fit it, also costs more than 200 euros.

I will assume responsibility for the cost of electricity, gas, and water. You accept responsibility
for all telephone calls made during your stay in the apartment, except for calls made to me or
my agents.
For the use and occupancy of the apartment and the use of its furniture, furnishings, and
equipment during the period July 6 - 21, 2012, you will pay me rent in the amount of U.S.
$6000, half of which is due and payable with this booking. The remaining U.S.$3000 is due and
payable on or before May 6, 2012. In, addition, on or before May 6, 2012, you will pay me U.S.
$500, in a separate check, as a deposit against the cost of any damage you or your guests are
responsible for, for telephone charges, for the cost of any special cleaning needed because of
the condition in which you leave the apartment, or to replace keys not returned. The telephone
has a meter which registers the cost of every telephone call made from the apartment. My
agent will record the number on the meter when you take possession and when you leave. I
encourage you to do the same. If there are no such costs, this deposit will be promptly and
cheerfully refunded following your departure. If such costs exceed the deposit, I will inform
you promptly following your departure, and you agree to make prompt reimbursement.
Both parties agree that this letter incorporates the entirety of their agreement, and no additions
or deletions may be made except in another such letter signed by both parties. The terms of
this agreement will be interpreted under the laws of the District of Columbia, United States of
America.
If this is satisfactory to you, please sign two copies of this letter of agreement at the place
below and return them to me with your deposit at the address above. A copy will be returned
for your records.
