\\ \ \ \ WW To: Darren Springer Date: July 11, 2016 ¥\ Cc: Sarah London Subject: Potential conflict or appearance of conflict of interest regarding possible future employment The purpose of this memorandum is to document our discussions regarding my current contractual negotiations with MME LLC, including my pian to address any potential conflict or appearance of a conflict of interest related to any of MMR’s cients while | am an employee of the State of Vermont. 1am likely to leave the State of Vermont by the end of October, 2016 and begin working on a contract, through MMR, LIC in November 2036. ‘The Executive Cade of Ethics, section 1I1(4}(3) prohibits appointees from taking “any official action that materially advances the interest of any entity (except the State of Vermont) with which the appointee is actively seeking employment.” Although none of the work | am negotiating to do is with Vermont companies, or companies that operate in Vermont, MMR, LLC is a Vermont company with Vermont clients. In my role as Secretary of Administration I have broad oversight of grants and contracts across State Government, and considerable say in the activities of Vermont State government departments and agencies. To ensure that there is no perception of conflict | am recusing myself as of the date of this memo from any involvement in signing, waiving the process for, or discussing the merits of State of Vermont contracts, grants or other agency matters with any of MMR, LLC's clients. These include, but are not limited to: MAXIMUS, Deloitte, Vermont Information Technology Leaders, the Vermont Association of Hospitals and Health Systems, the Vermont Nursing Home Association, Bayada Health Care, and Microsoft While | am still employed by the State of Vermont, and am still in negotiations with MMR, | will remove myself from any decisions that might provide any material benefit to MMR, LLC or its clients. The decision maker for the Agency of Administration for matters involving MMR, LLC’s clients shall be Deputy Secretary Michael Clasen or his designee. If any additional potential conflicts, or the appearance of conflict of interest, come to my attention between now and my departure from State Government, | will update this memo accordingly.
