Annexure 2: Terms and Conditions of Project Employment


During the period of your employment with the Company, you shall at all times work honestly,
faithfully, diligently and efficiently for the growth of the company. Your employment with the
company is based on the following terms and conditions:-

1.

Scope of Work
During the term of this employment, you shall work in the best Interest of the Company.
Your work description and responsibilities include, but are not limited to the following:1.1. You will promote sale of products/ services for the project assigned to you
1.2. You will diligently take part/ impart training for boosting sale and promotion of the
product or services
1.3. You will make sincere efforts to achieve the sales target set by your program
coordinator
1.4. You will at all times during the term of this employment letter attend your work with
full punctuality and will not absent yourself from your work for more than 7 (seven)
days without sanction from your coordinator/ supervisor. In case you absent yourself
from work for a continuous period of 7 days without intimating/ giving a satisfactory
answer in written for such delay, it shall be presumed that you are no more interested
in this employment, and have left on your own accord and your employment with the
Company shall stand terminated with immediate effect

1.5. You will not engage into any kind of freelancing, part time or fulltime employment
from any other entity during the period of this employment
1.6. You will refrain and will not go on any strike or collective absenteeism. In case you
are found indulged in such activity, the Company may take disciplinary action
against you.
1.7. This employment is done on the basis of the information given by you. In case at any
time during the term of this employment, any information given by you is found
incorrect or false, this employment shall stand terminated with immediate effect
1.8. In case of change of address during the course of this employment, you will intimate
the same to your coordinator in writing within 3 working days along with the
address proof for the new address

2. Compensation
During the tenure of your employment, the Company shall pay you a monthly emolument as
described in Annexure-1. Your Compensation package will be revised annually based on your
Performance Review. The Compensation package is strictly confidential. Any
deviation/disclosure of the same would result in the company taking serious disciplinary action
against you.

The emolument payable to you during this employment shall be made on back to back basis i.e. the
Company will be liable to make the payment to you only after receipt of payment against its bills
from the respective client. In case of non-receipt of payment from the client Company does not
assume any liability to make the payment to you under this appointment letter. However, the
company would safeguard the interest of the project employee under this contract by initiating
appropriate proceedings against the Client in case of non-receipt of funds.

3.

Tax Liability

You shall be liable to Tax Deduction at Source as may be applicable from time to time. Tax will
be deducted from your emolument as per prevailing rules of Government of India.

4. Nature of Employment
The nature of your employment with the Company under this letter is on contractual basis for
project with the client and such employment shall stand terminated ipso-facto on the date of
conclusion/ termination of the said Project. Your employment herein is project to project base
and cant be treated as permanent employment with the Company.

5. Transfer and Relocation


The company may, at its discretion, transfer you to or from any of the companys departments,
branches or associate or subsidiary companies whether such department, branch or associate
or subsidiary company is or is not in existence at the time of commencement of this agreement
under the same project. You shall perform your duties in such place as your supervisor directs
from time to time, provided that if you are required to shift/ relocate your residence as a result
of any such direction, the Company shall reimburse you the whole of the expenses or such
expenses as approved/authorized by the Company.

6. Confidentiality
You shall not at any time or in any manner, either directly or indirectly, divulge, disclose or
communicate to any person, firm, corporation, or other entity in any manner whatsoever any
information concerning any matters affecting or relating to the business of employer, including
but not limited to any of its customers, the prices it obtains or has obtained from the sale of,
or at which it sells or has sold, its products, or any other information concerning the business
of employer, its manner of operation, its contractors for procurement of its product, its plans,
processes, employee details, sales figures, profit margin, website functioning, development
tools, software know-how, government authority proceedings, or other data without regard to
whether all of the above-stated matters will be deemed confidential, material, or important,
employer and employee specifically and expressly stipulating that as between them, such
matters are important, material, and confidential and gravely affect the effective and
successful conduct of the business of employer, and employers good will, and that any breach
of the terms of this section shall be a material
breach of this Agreement. You will also not disclose any knowledge, information, trade secrets,
strategies, business plans, and business models gained or accessed during the tenure of his/her

employment with the Employer or/by attendance in a workshop, training, presentation


organized by the clients of the Employer. You are further entrusted upon not to disclose any
information as envisaged above and deemed confidential by the Employer, for a period of one
year post termination of its employment with the employer.
Any such information deemed classified and sensitive by the employer cannot be disclosed by
you, at any given time during or after termination of your services with Company. Such
information shall specifically be marked as confidential and shall be duly communicated by the
company to you. Any use of such information or idea or contacts shall be deemed breach of
confidentiality and strict action shall be taken against you.

7. Termination/ Resignation
During the term of this employment letter, either party shall have the right to terminate/ resign
by serving a written notice period as defined in the Appointment letter on the other Party or
by paying emolument equivalent to the notice period, subject to any other arrangement agreed
between you and the Company. The Company does not allow the use of Earned or Casual
Leaves, if any, against the notice period. Any incentive or Bonus or compensation/emolument
will be forfeited in case notice period has not been served, in full, or use of Earned or Casual
Leaves, if any, against the notice period. Incomplete process compliance to the same has a likely
negative business consequence, and adversely impacts internal planning, opportunity cost and
on many occasions affects customer deliveries and business image. In such situations company
reserves the right to initiate strictest disciplinary/ legal action against you as deemed fit.

8. Liability
The employment herein is co-terminus with the termination of the project or the agreement of
the Company with the client and in case of event of termination or early expiry of such
agreement/ project this employment shall also stand terminated with the completion or
conclusion of agreement/project and in such case the Company will settle all liabilities, towards
compensation, emoluments, incentives, claims, statutory dues etc. and other claims arising out
of this employment till the date of project completion/ termination of agreement with the
Client. The Company shall have the right to immediately terminate your employment without
liability for compensation/emolument or damages if, at any time you are found to be in breach
of any of the terms and conditions, as mentioned in this employment letter. In the event you
disclose any information, data, trade secrets which are not to be disclosed as mentioned in
confidentiality clause 08 of this appointment letter, then you shall be liable to pay any damages
as claimed by the Employer or any Third Party on and upon Employer relating to disclosure
from you.
9. Discharge of Duties and obligations upon Termination / Resignation
That you shall at the time of termination/ resignation from the Company hand over all the
assets of the Company in good shape and condition to the authorized person of the
Company and obtain clearance certificate for the same. You shall hand over all the documents
and assets of the Company in good condition and shape which were given to you for your
personal use. Failure to return the Company property as per this clause will be considered and

attempt to usurp the Company property and shall be deemed as a criminal action committed
against the Company. Post termination/resignation, you shall not, at any time, represent
yourself as being interested in, or employed by, or in any way connected with the Company
and its Associated Companies, or any of them, or the business of all or any of them. You agree
that the Company will clear y o u r accounts including the Full and Final Settlement only after
all Company formalities and policies are adhered to. If you were given any money or equipment,
you agree to clear the same within two days of resignation / termination, failing which said
amount or value shall be adjusted with the dues towards you and recovery of any amount, if
remaining, by way of legal action.

10. Breach of Contract Agreement and terms thereof


If you breach any terms of the contract either during the Employment or after the Employment, the
Company will pursue all legal remedies to recover from you any damages caused due to the breach
of contract and other acts detrimental to Companys welfare. This contract is entered in good faith
of trust entrusted upon you the event of any dispute or disagreement arising from this agreement
or over the interpretation of any of the terms here in above, or any claim or liability of any party,
the same shall be referred to the arbitration be the Sole Arbitrator to be appointed by the Managing
Director of the Company. Decision of such Arbitrator shall be final and binding upon the parties
hereto. Such reference shall be deemed to be a submission to arbitration under the Indian
Arbitration & Conciliation Act, 1996 of any modification or re-enactment thereof. The place of
arbitration shall solely be Gurgaon.

I have read and understood all the terms & conditions mentioned herein and accepts the same
with sound mind.
