NOWTHEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thereceiptand
sufficiencyofwhichisherebyacknowledged,thepartiesheretoagreeasfollows:
Services
CompanyherebyappointsReferringPartytoactasitssoleandexclusiveReferringPartytoprovidethefollowing
servicestoCompany(the"Services"):

TheReferringPartyshallconducttheServicesinaccordancewithspecificationssetbytheCompanyandthe

ReferringPartyherebyagreesthatitshallfollowthehighestprofessionalstandardsinperformingallServicestobe
providedunderthisAgreement.
Term
ThisAgreementiseffectiveonthedatewrittenaboveandshallexpireon______________.Thepartiesmayextend
thisAgreementforanadditional___(_)yearperiodbygiving_____________dayswrittennotice.
IndependentContractor
ReferringPartyshallprovidetheServicesasanindependentcontractorandReferringPartyshallnotactasan
employee,agentorbrokeroftheCompany.Asanindependentcontractor,ReferringPartywillbesolelyresponsible
forpayinganyandalltaxesleviedbyapplicablelawsonitscompensation.ReferringPartyunderstandsthat
CompanywillnotwithholdanyamountsforpaymentofanytaxesfromReferringParty'scompensation.
Payment
DuringthetermofthisAgreement,CompanyshallpaytheReferringPartyforitsServicesunderthisAgreementthe

sumof$________.Paymentshallbemadebythe___________________dayofthemonthfollowingreceiptof
ReferringPartysinvoicefortheServices.
Expenses
TheCompanyagreestoreimburseanypreapprovedoutofpockedexpensesincurredbytheReferringPartyin
connectionwiththeServices,including,butnotlimitedto,travelexpenses,auditfees,taxfees,payrollservicefees,
etc.
Confidentiality
ReferringPartyinthecourseofperformingtheServiceshereunder,maygainaccesstocertainconfidentialor
proprietaryinformationoftheCompany.SuchConfidentialInformationshallincludeallinformationconcerning
thebusiness,affairs,products,marketing,systems,technology,customers,endusers,financialaffairs,accounting,
statisticaldatabelongingtotheCompanyandanydata,documents,discussion,orotherinformationdevelopedby
ReferringPartyhereunderandanyotherproprietaryandtradesecretinformationofCompanywhetherinoral,
graphic,written,electronicormachinereadableform.TheReferringPartyagreestoholdallsuchConfidential
InformationoftheCompanyinstrictconfidenceandshallnot,withouttheexpresspriorwrittenpermissionof
Company,(a)disclosesuchConfidentialInformationtothirdparties;or(b)usesuchConfidentialInformationfor
anypurposeswhatsoever,otherthantheperformanceofitsobligationshereunder.TheobligationsunderthisSection
shallsurviveterminationorexpirationofthisAgreement.
Ownership
Totheextentanyinventions,technologies,reports,memoranda,studies,writings,articles,plans,designs,
specifications,exhibits,orothermaterialspreparedbyReferringPartyintheperformanceofservicesunderthis
Agreementincludematerialsubjecttocopyrightprotection,suchmaterialshavebeenspeciallycommissionedbythe
Companyandtheyshallbedeemed"workforhire"assuchtermisdefinedunderU.S.copyrightlaw.Totheextent
anysuchmaterialsdonotqualifyas"workforhire"underapplicablelaw,andtotheextenttheyincludematerial
subjecttocopyright,patent,tradesecret,orotherproprietaryrightsprotection,ReferringPartyherebyirrevocably
andexclusivelyassignstotheCompany,itssuccessors,andassigns,allright,title,andinterestinandtoallsuch
materials.TotheextentanyofReferringPartyrightsinthesame,includingwithoutlimitationanymoralrights,are
notsubjecttoassignmenthereunder,ReferringPartyherebyirrevocablyandunconditionallywaivesallenforcement
ofsuchrights.ReferringPartyshallexecuteanddeliversuchinstrumentsandtakesuchotheractionsasmaybe
requiredtocarryoutandconfirmtheassignmentscontemplatedbythisparagraphandtheremainderofthis
Agreement.Alldocuments,magneticallyoropticallyencodedmedia,andothertangiblematerialscreatedby
ReferringPartyaspartofitsservicesunderthisAgreementshallbeownedbytheCompany.
ReturnOfMaterials
ReferringPartyagreesthatuponterminationofthisAgreement,ReferringPartywillreturntotheCompanyall
drawings,blueprints,notes,memoranda,specifications,designs,writings,software,devices,documentsandany
othermaterialcontainingordisclosinganyconfidentialorproprietaryinformationoftheCompany.ReferringParty
willnotretainanysuchmaterials.
Termination
(a)EitherpartymayterminatethisAgreementforconveniencebyprovidingthirty(30)dayswrittennotice
(TerminationNotice)totheotherparty.
(b)IfapartyviolatesitsobligationstobeperformedunderthisAgreement,theotherpartymayterminatethe

Agreementbysendingathirty(30)daysnoticeinwriting.Uponreceivingsuchnotice,thedefaultingpartyshall
havethirty(30)daysfromthedateofsuchnoticetocureanysuchdefault.Ifthedefaultisnotcuredwithinthe
requiredthirty(30)dayperiod,thepartyprovidingnoticeshallhavetherighttoterminatethisAgreement.
Assignment
ReferringPartyshallnotassignanyoftheirrightsunderthisAgreement,ordelegatetheperformanceofanyofthe
obligationsordutieshereunder,withoutthepriorwrittenconsentoftheCompanyandanyattemptbyReferring
Partytosoassign,transfer,orsubcontractanyrights,duties,orobligationsarisinghereundershallbevoidandofno
effect.
Notices
Anynotices,bills,invoices,orreportsrequiredbythisAgreementshallbedeemedreceivedon(a)thedayof
deliveryifdeliveredbyhandduringreceivingpartysregularbusinesshoursorbyfacsimilebeforeorduring
receivingpartysregularbusinesshours;or(b)onthesecondbusinessdayfollowingdepositintheUnitedStates
mail,postageprepaid,totheaddressesheretoforebelow,ortosuchotheraddressesasthepartiesmay,fromtimeto
time,designateinwritingpursuanttotheprovisionsofthissection.

GoverningLaw
ThisAgreementistobeconstruedinaccordancewithandgovernedbytheinternallawsoftheStateof_____,USA.
DisputeResolution
AlldisputesunderthisAgreementshallbesettledbyarbitrationin_________________beforeasinglearbitrator
pursuanttothecommerciallawrulesoftheAmericanArbitrationAssociation.Arbitrationmaybecommencedat
anytimebyanypartyheretogivingwrittennoticetotheotherpartytoadisputethatsuchdisputehasbeenreferred
toarbitration.Anyawardrenderedbythearbitratorshallbeconclusiveandbindinguponthepartieshereto.
Thisprovisionforarbitrationshallbespecificallyenforceablebythepartiesandthedecisionofthearbitratorin
accordanceherewithshallbefinalandbindingwithoutrightofappeal.
Severability
IfanyprovisionofthisAgreementshallbeheldtobeillegal,invalidorunenforceableunderpresentorfuturelaws,
suchprovisionsshallbefullyseverable,thisAgreementshallbeconstruedandenforcedasifsuchillegal,invalidor
unenforceableprovisionhadnevercomprisedapartofthisAgreement;and,theremainingprovisionsofthis

Agreementshallremaininfullforceandeffect.
LimitationofLiability
INNOEVENTSHALLEITHERPARTYBELIABLETOTHEOTHERPARTYFORANYINDIRECT,
INCIDENTAL,CONSEQUENTIAL,SPECIALOREXEMPLARYDAMAGES,INCLUDINGWITHOUT
LIMITATION,BUSINESSINTERRUPTION,LOSSOFORUNAUTHORIZEDACCESSTOINFORMATION,
DAMAGESFORLOSSOFPROFITS,INCURREDBYTHEOTHERPARTYARISINGOUTOFTHE
SERVICESPROVIDEDUNDERTHISAGREEMENT,EVENIFSUCHPARTYHASBEENADVISEDOFTHE
POSSIBILITYOFSUCHDAMAGES.INNOEVENTWILLNEITHERPARTYSLIABILITYONANY
CLAIM,LOSSORLIABILITYARISINGOUTOFORCONNECTEDWITHTHISAGREEMENTSHALL
EXCEEDTHEAMOUNTSPAIDTOREFERRINGPARTYDURINGTHE__________MONTHSPERIOD
IMMEDIATELYPRECEDINGTHEEVENTGIVINGRISETOSUCHCLAIMORACTIONBYCOMPANY.
Indemnification
Eachpartyshallatitsownexpenseindemnifyandholdharmless,andattheotherpartysrequestdefendsuchparty
itsaffiliates,subsidiaries,successorsandassignsofficers,directors,employees,sublicensees,andagentsfromand
againstanyandallclaims,losses,liabilities,damages,demand,settlements,loss,expensesandcosts(including
attorneysfeesandcourtcosts)whicharisedirectlyorindirectlyoutoforrelateto(a)anybreachofthisAgreement,
or(b)thegrossnegligenceorwillfulmisconductofapartysemployeesoragents;
EntireAgreement;Amendment:
ThisAgreementisthefinal,completeandexclusiveagreementofthepartieswithrespecttothesubjectmatter
hereofandsupersedesandmergesallpriororcontemporaneousrepresentations,discussions,proposals,negotiations,
conditions,communicationsandagreements,whetherwrittenororal,betweenthepartiesrelatingtothesubject
matterhereofandallpastcoursesofdealingorindustrycustom.Nomodificationoforamendmenttothis
Agreementshallbeeffectiveunlessinwritingandsignedbyeachoftheparties.
Waiver
ThewaiverbyeitherpartyofabreachoforadefaultunderanyprovisionofthisAgreementshallnotbeeffective
unlessinwritingandshallnotbeconstruedasawaiverofanysubsequentbreachofordefaultunderthesameorany
otherprovisionofthisAgreement,norshallanydelayoromissiononthepartofeitherpartytoexerciseoravail
itselfofanyrightorremedythatithasormayhavehereunderoperateasawaiverofanyrightorremedy.

TheheadingsusedinthisAgreementareforconvenienceonlyandshallnotbeusedtolimitorconstruethecontents
ofanyofthesectionsofthisAgreement.
