1. YouareinitiallypostedattheBanksPrabhadeviBranch.YourappointmentintheBankissubject
totransfertoanyoftheBanksLocations/Branches/Offices/Departments/Sectionsetc.any
whereinIndiaoroutsideIndia,dependingupontheexigenciesofBanksrequirements.Your
servicesmayalsobesubjecttotransfertotheBanksassociateorsubsidiaryunits/
companies/firms,etc,dependingupontheexigencies.Incaseofsuchtransferthetermsand
conditionsofyouremploymentincludinggrosssalaryandbenefits,etc.,asstatedinthisletter
willcontinuetobeapplicableunlessotherwisespecifiedthroughawrittencommunicationbythe
competentauthority.
2.YourservicesintheBankshallbeginwithaprobationperiodofSixMonthsandyouwouldbe
confirmedintheemploymentoftheBankonlyuponsuccessfulcompletionoftheprobation.Your
performance,outputandoverallconductduringtheperiodofprobationwillbejudgedand
decidedbeforetheconfirmation.Ifyouarenotinformedinwritingaboutyourconfirmationinthe
employmentevenaftercompletionofSixMonthsoranytimethereafter,itshouldbepresumed
thatyourProbationPeriodstandsextended.Noseparateintimationornotificationwouldbe
issuedtoyou,abouttheextensionoftheprobationperiod.Youwillbeconsideredandtreatedas
onprobationandnotbeingconfirmedintheemploymentoftheBankuntilyouarespecifically
informedinwritingbytheHumanResourcesDepartmentoftheBank.Inanycase,youwillnot
bedeemedtobeconfirmedintheemploymentoftheBankmerelybecauseyouhavecompleted
theinitialperiodofsixmonthsorsuchextendedperiodordeemedtobeextendedperiod,asthe
casemaybe,untilandunlessyouareinformedinwritingbyanorderoftheauthorizedofficialof
theHumanResourcesDepartmentoftheBank.Youremploymentduringtheinitialperiodof
probationofsixmonthsorduringtheextendedperiodordeemedtobeextendedperiodshallbe
liabletobediscontinuedanytimewithoutanynotice.
3.Youwillbegovernedbythetermsandconditionscontainedinthisletterofappointmentandas
perthepolicies,practicesandserviceconditionsandCodeofConductanddisciplineadopted
bytheBankfromtimetotime.TheserviceconditionsgoverningyouremploymentintheBank
shallbesubjecttoalterations/modifications/additionsfromtimetotimewithoutanynotice.You
willstrictlyobservealltherulesofthebankincludingrulesofleaveofabsence,attendance,
punctuality,discipline,CodeofConduct,etc.
4.TheremunerationpackageonanallinclusiveCosttoCompanybasiswithcomponentsthereof
isprovidedinAnnexureItothisletter.Thesameshall besubjecttoincometaxandothertaxes
aspertheprevalentIncomeTaxandothertaxlaws.

casemaybe,untilandunlessyouareinformedinwritingbyanorderoftheauthorizedofficialof
theHumanResourcesDepartmentoftheBank.Youremploymentduringtheinitialperiodof
probationofsixmonthsorduringtheextendedperiodordeemedtobeextendedperiodshallbe
liabletobediscontinuedanytimewithoutanynotice.
3.Youwillbegovernedbythetermsandconditionscontainedinthisletterofappointmentandas

fortheBanksemployment.TheBankmay,uponitssolediscretionsubjectyoutothemedical

enclosedandyouarerequestedtogetthemedicalexaminationdoneandsubmitthe
documentstothateffectatthetimeofjoining.
6.Yourappointmentismadeandshallcontinuetobemadesubjecttoyourcredentialssuchas
educationalandprofessionalqualifications,workexperience,charactercertificates,salarydrawn
withthepresent/previousemployer/s,police/criminalrecord,otherpersonaldetailsetc.being
foundvalidandacceptabletotheBank.TheBankshallhaverighttocausetheverificationdone
inrespectofeveryinformationgiventothebankonthebasisofwhichthisletterofappointment
isbased.
7. Yourappointmentisbasedandshallcontinuetobebasedontheinformationanddatafurnished
byyouintheapplicationandotherrepresentationsmadebyyou.Ifanyoftheinformationor
representationmadeisfoundtobeincorrectordefectiveorincompleteandifanyinformationor
detailsarefoundtobesuppressedtomisleadtheBank,thenyourservicesshallstand
terminatedwithoutanynotice.
8.
Itwillbeincumbentuponyoutosubmitthegenuineandtruecopiesofinformationandrecord
aboutyoureducationalandprofessionalqualificationsandalsoaboutallyourprevious
employments,includingimmediatelyprecedingandthecurrentemployment,asmaybeclaimed
byyouinyourCVandotherinformationsubmittedbyyoutotheBank.Assuch,youwillbe
requiredtoanditwouldbeobligatoryonyoutosubmitthetrueandgenuinephotocopiesofthe
documentssuchaslettersofappointments,relievingletters,statementsofsalary,statementsof
Bankaccountswheresuchsalariesarecreditedandsuchotherdocuments,asthecasemay
be,requiredandcalleduponbytheBankanytimeduringthecurrencyofemploymentwiththe
Bank.Incase,youfailtosubmitorofferthesatisfactoryexplanationtotheinformationsoughtby
theBank,anytime,thisletterwouldbecalledbackanytime,withoutanynotice.Youarealso
requestedtosubmitselfattestedcopiesofcertificatesinrespectofcharacter,dateofbirth,other
testimonialsrequired.
9.
Atthetimeofjoining,youwillhavetosubmitthetrueandgenuineselfattestedphotocopiesof
lettersofappointmentandrelievingaboutallyourpreviousemployments(excepttherelieving
letteraboutyourcurrentemploymentthatistheemploymentheldbyyouimmediatelybefore
joiningtheemploymentasperthisletter).Youwillalsohavetoproduceandsubmitthetrueand
genuineselfattestedphotocopyoftheletterofrelievingissuedbyyourcurrentemployer,ifany
thatistheemployerwithwhomyouwereemployedbeforejoiningtheemploymentasperthis
letterofoffer/appointment,within45daysofyourjoining.Ifyoufailtosubmitthesamewithinthe
periodof45days,thisletterofoffer/appointmentwillbecalledbackandyouwillberestrained
fromcontinuingwiththeemploymentwiththeBank.
10. Thisletter/offerofappointmentismadeandissuedtoyou,ontheclaimsmadebyyouandonthe
presumptionthereupon,thatyouholdthelegallyrecognizedandlegallyestablishedand
approveddegrees,diplomasandsuchothereducationalandprofessionalqualificationsand
thatsuchdegreesanddiplomasandsuchotherqualificationshavebeenissuedtoyouand
obtainedbyyoufromtheinstitutions,universitiesandsuchotherbodies,asthecasemaybe,
whicharenotonlyrecognizedandapprovedbyandunderthelawbutalsothatthoseinstitutions,
universitiesandsuchotherbodies,asthecasemaybe,havebeenrecognizedandapprovedby
t h e Government/Statutoryauthoritiestoconductandawardsuchdegrees,diplomasand
courses.
11.Thebankshallbefreetoterminateyouremploymentanytimeduringtheperiodofprobation
withoutanynotice,ifyourperformance,output,conductandbehaviorarenotfoundtobe
satisfactoryandacceptabletotheBank.AfteryourconfirmationintheBanksemployment,your
employmentcanbeterminatedbytheBankbyservingthreemonthsnoticeoronpaymentofan
amountequivalenttothreemonthspayinlieuofnoticeorpartlywithserviceandpartlywith
pay.

12. YoumayresignfromtheemploymentoftheBankanytimeduringtheprobation,bygivinganotice
of30daysandbyactivelyservingsuchnotice.YouwillbeissuedarelievingletterbytheBank
andyouraccountwiththeBankincludingthefull&finalsettlement,ifany,wouldbemadeonlyif
andonlyafteryouractivelyservingthenoticeof30daysaftertenderingtheresignationduringthe
periodofprobation.TheBankwillnotissueanyrelievingletteroraletterorcertificateof
employmentifyouleaveordiscontinueorabandontheemploymentduringtheprobation,
withoutactuallysubmittingandactivelyservingthenoticeof30days.Insuchacase,theBank
willhaveundisputedandunequivocalrightandtheBankwouldbejustifiedinnotissuingyouthe
relievingletterornotmakingsettlementofyouraccountwiththeBankincludingthefull&final
settlement,ifany.Insuchacase,theBankwillalsohavearighttoblacklistyouandinformyour
futureemployer/s,ifany,aboutyourdefaulttocomplywiththetermsofemploymentwiththe
Bankandalsotreatyouasvoluntarilyabandoned/terminatedfromtheemploymentoftheBank.
PleasealsonotethattheBankwillnotacceptsalaryinlieuofnotice.
13. YouwillbeentitledtoresignfromtheemploymentoftheBankafteryourconfirmationinthe
employmentoftheBank,onlybygivinganoticeof90daysandbyactivelyservingsuchnoticefor
90days.YouwillbeissuedarelievingletterbytheBankandyouraccountwiththeBank
includingthefull&finalsettlement,ifany,wouldbemadeonlyifandonlyafteryouractively
servingthenoticeof90daysaftertenderingtheresignation.TheBankwillnotissueanyrelieving
letteroraletterorcertificateofemploymentifyouleaveordiscontinueorabandonthe
employmentafteryourconfirmationintheBank,withoutactuallysubmittingandactivelyserving
thenoticeof90days.Insuchacase,theBankwillhaveundisputedandunequivocalrightand
theBankwouldbejustifiedinnotissuingyoutherelievingletterornotmakingsettlementofyour
accountwiththeBankincludingthefull&finalsettlement,ifany.Insuchacase,theBankwill
alsohavearighttoblacklistyouandinformyourfutureemployer/s,ifany,aboutyourdefaultto
complywiththetermsofemploymentwiththeBankandalsotreatyouasvoluntarily
abandoned/terminatedfromtheemploymentoftheBank.PleasealsonotethattheBankwillnot
acceptsalaryinlieuofnotice.
14.Youshallnotdiscontinue/stopattendingthebank/assignedwork,incaseyoutenderresignation
fromtheemploymentofthebank,whetherduringtheprobationorafterconfirmation,unlessand
untilyourresignationisspecificallyacceptedbythecompetentauthorityunderanorderandyou
arerelievedbyaspecificwrittenorderissuedbytheHumanResourcesDepartmentoftheBank.
Incaseyoudiscontinue/stopattendingthebank/assignedworkaftertenderingtheresignation
butbeforethesameisspecificallyacceptedbytheBank,youshallbeliablefordisciplinary
action,bytreatingsuchabsence/refusal/unwillingness,asunauthorizedandirregular,
besidesotheraction,asperthisorderoranyotherconditionsoraspertheHRPolicyorany
otherPolicyoftheBankorregulatoryguidelines.
15.Aresignationtenderedbyyouanytimeduringtheperiodofemploymentwillberejectedifan
issueofstaffaccountabilityoranissue/matterofdisciplinaryactionisreportedorpending
againstyou,eitherbeforetenderingsuchresignationorafter,ifthecompetentauthorityfeelsthat
itwouldbeexpedientintheinterestoftheBanktoorderaninvestigationoranenquiryoran
administrativeorsummaryaction.Insuchacase,youwillcontinuetobeintheemploymentof
theBanktillthesaidactionisinitiatedandconcludedandyouareinformedabouttheconclusion
ofthesame.
16.Notwithstandinganythingcontainedinthisletter/offerorinanyotherdocument/communication
orinanyotherconditionsorsituationsexpressedorimplied,yourserviceswiththeBankshall
beliableforterminationwiththreemonthsnoticeorwithpayinlieuofthreemonthsnotice,in
casetheBankfindsthatyourservicesarenomorerequiredorhavebecomeredundantor
supernumeryorthattheBankhaslostconfidenceinyouorthatyouhavebecomeunfitforthe
workforwhichyouhavebeenappointedorthatyouhavebecomemedicallyunfittoworkorin
casewheretheBankfinds,forgoodandsufficientreasons,nottocontinueyourservicesinthe
Bankforwhatsoeverreasons.

shallnotincludeothercomponentsofsalarypaid/payableeitheronmonthlyorquarterlybasis)

17.YouwillbeliabletohandovertotheBanksnominatedperson/reportingauthority,thechargeof
thebranch/department/section/division/cellandalsotheletterofAuthority,PowerofAttorney,
electronicdevicesforfundstransferandsuchotherdevicesusedforfundstransfer/
transmission/transaction,ifanyissuedtoyouandalsotheproperty/material/valuablesetc.of
theBank,whichis/areheldorhavecomeinyourpossession,atthetimeofseparationofyour
employmentwiththeBank.
18.WhileintheemploymentoftheBankyoushallnotcarryonorengageinanybusinessor
professionorvocationorenterintoanyparttimeorfulltimecommitmentforrenderingservices
inanycapacity.Youwilldevoteyourentiretimeandattentiontopromotetheinterestsofthebank.
19.Youshallnotdivulgeanyconfidentialinformation,data,opinion,practices,usages,formulasetc.
outsidethebanktoanyperson/firm/company/organization/bank,etc.bywhatevernomenclature
orutilizeanyoftheBanksconfidentialinformationorotherinformationwhichyoumaypossess
orcomeacrossbyreasonofyourassociationandemploymentwiththebank.
[Confidentialinformationmeanstheinformationwhichisnotknowntooutsidersorgeneral
publicorcustomersorconstituentsorcompetitorsorthepersonsorbodieswhicharenotentitled
toknow,relatingtobusinessaffairs,proprietary,products,processes,technology,research,
developmentandtradesecretsoftheBank,itsaffiliates/associatesorgroupcompaniesand
otherentitieswithwhichbusinessesareconducted].
20.YoushallatalltimesindemnifyandkeepindemnifiedtheBankagainstallsumswhetherbyway
ofclaims,demands,damages,costs,chargesorexpensespaidorincurredbytheBankinorin
connectionwithanyaction,claim,proceedingordemandinstitutedormadeagainsttheBank,
causedoroccasionedbyyourbreach,faultorneglectintheopinionoftheBanktoobserveand
complyfullywiththetermsandconditionsofyouremployment.
21.WhileintheemploymentoftheBank,youwillsafeguardandensuretosafeguardtheinterestof
theBankinallmatters,documents,valuables,books,property,currencies,coins,etc.andshall
donothingwhichshallprejudicetheinterestoftheBank.
22. YouwillbegovernedbytheBanksservicerules,regulations,andrulesofconductanddiscipline
whichareinexistenceormaybeintroducedintheBankfromtimetotime.Whileinthe
employmentoftheBank,youwillhavetoabidebytheBankspolicies,proceduresandpractices,
whichmaybeamendedfromtimetotimeandmadeapplicable,withoutanynotice.Youshall
strictlyadheretoalltherulesandregulationsandinternalsystemsandproceduresregarding
thebusinessprocessesandserviceconditionswhicharemadeapplicablebytheBankfrom
timetotime.
23. DuringthetenureoftheemploymentoftheBank,youwillcomeacrossandmaybeassigned,
directlyorthroughthegrouporteamactivity,userIDsand/orPasswords,forfacilitatingand
dischargingofthedutiesandtasksassignedtoyou.Similarly,youmayhavetocreateIDsand
passwordsforyouorfortheteamorsuchusergroupasmaybenecessary.Youmayalsocome
toknowoforexposedtosuchIDsandPasswordsofsuchotheremployees,customersand/or
users,byvirtueofyourpostingorexposure.YouwillensurethatsuchIDsandPasswordsare
protectedandpreservedandthattheyarenotsharedorpassedontoanyoneforwhatever
reasons,includingthatofyourownIDsandthePasswords.AnysuchsharingoftheIDsandthe
Passwordsshallberegardedasgross/majormisconductandwillinviteandmakeliablefor
sternpunitiveaction.
24. YouwillnotleaveordiscontinueorresignorabandontheemploymentwiththeBankwithout
givingpriornotice,asstipulatedinthisLetterofAppointment.Youwillneverallegeorblamethe
BankoritsofficialsaboutthetermsandconditionsofthisLetterofAppointmentorcontestthem
inacourtoflaworastatutoryauthority,allegingarbitrariness,whimsicallyorunilateralismor
illegalityorunlawfulness.

25. DuringthecourseoftheemploymentwiththeBank,youwillhavealwaysadherewiththeterms

intheBankorwhichmaybeintroducedbytheBankfromtimetotime.Youwillneverclaimor
allegeanytime,thatyouhadmisunderstoodordidnotunderstandorthatyouweremadeto
misunderstandorthatyouwereforcedtoacceptthetermsandconditionsofthisLetterof
Appointment.Youwillneverclaimorallegeanytimeduringthecourseofemploymentor
thereafter,thatthetermsandconditionsofthisLetterofAppointmentarearbitraryorunilateralor
illegaloragainstyourrighttoworkorrighttochangetheemploymentwithoutservingtheagreed
periodofnotice.
26. Youwill,atalltime,abidebytherules,regulationsandguidelinesoftheBank,asmaybeissued
fromtimetotime.Youwilladherewiththerulesofdisciplineandcodeofconductandescalation
matrixaboutthegrievancesredressalmatrixfortheemployees.Youwillhavetofollowandabide
bythedecorumandprotocolofescalationandwillescalatetheemploymentrelatedissuesto
yourreportingmanagerortotheskipmanagerortohismanagerandthentotheconcernedHR
Partner,exceptincasewheredirectreportingispermissibleinaccordancewithapublished
policyoftheBank.Withthisinview,youwilladherewithandshallfirstexhausttheescalation
matrixwithintheBankbeforeresortingtoorapproachinganyoutsideagenciesorauthorities
a n d shallneverencourageorallowanyemployeesorcustomersorconstituentsfrom
approachinganyoutsideagenciesorauthoritiesbeforecompletelyexhaustingtheinternal
escalationmatrixandredressalmechanisms.
27. YouwillhavetoadhereandfollowtheExecutiveStaffServiceRulesandtheCodeofConduct,as
applicabletoyou,fromtimetotime,suchas,youwillhavetoabidebytherulesofDiscipline,
CodeofConductandsuchotherrulesandregulationsoftheBankandcomplywithalllawful
andreasonableinstructionsanddirectionsgiventoyoubyanexecutiveunderwhosejurisdiction
/superintendence/controlyoumay,forthetimebeing,beplacedyouwill,atalltimes,takeall
possiblestepstoensureandprotecttheinterestoftheBankanddischargeyourdutiesand
responsibilitieswithutmostintegrity,honesty,devotionanddiligenceanddo nothingwhichis
unbecomingofaBankExecutive/employeeyouwillconscientiouslyadhereandobservethe

28. Theageofsuperannuationshallbe60years.Assuch,youwillautomaticallyretirefromand
ceasetobeintheservicesoftheBankonattainingtheageof60years.Youragementionedin
thebirth/schoolcertificateswillbedeemedtobetheconclusiveproofofyourdateofbirth.
29. YoushallintimateinwritingtoallyourreportingauthoritiesandalsototheBanksHuman
ResourcesDepartmentattheCorporateOffice,aboutthechangeofaddress/addressesand
othercommunicationdetails,withinaweekstimefromtheoccurrenceofsuchchange,failing
whichanycommunicationsentonyourlastknownaddressshallbedeemedtobeavalidand
properservice.
30. Thisletterofappointmentuponyouracceptancebysigningshallbebindingandshallbetreated
asanemploymentagreement.Henceyouarerequestedtoreturnacopyofthisletterof
appointment(additionalcopyofletter/offerenclosed)bysigningonthesameattheplace
indicatedthereinasatokenofyouracceptanceoftheabovetermsandconditions,withinseven
daysofreceiptofthisletter.

31. YouwillhavetosigndifferentCodesofConductandrulesofdisciplinesatthetimeofjoiningthe
BankinpursuanceofthisLetterofAppointment.AllthosepolicieswillbedisplayedintheIntra
netoftheBankandwillbeavailableforalltheemployeesandassociatesoftheBank.Since
theseCodesofConductandrulesofdisciplinesandtheincidentalandrelatedpoliciesand
documentsshallbedeemedtobesignedbyyouatthetimeofjoiningandasandwhensuch
CodesofConductandrulesofdisciplinesandthepoliciesareupdated,renewed,modifiedor
changedorrepealedorsubstituted.Youwillnevertakeanyobjectionthatyouwereneverissued
31. YouwillhavetosigndifferentCodesofConductandrulesofdisciplinesatthetimeofjoiningthe
BankinpursuanceofthisLetterofAppointment.AllthosepolicieswillbedisplayedintheIntra
netoftheBankandwillbeavailableforalltheemployeesandassociatesoftheBank.Since
theseCodesofConductandrulesofdisciplinesandtheincidentalandrelatedpoliciesand
documentsshallbedeemedtobesignedbyyouatthetimeofjoiningandasandwhensuch
CodesofConductandrulesofdisciplinesandthepoliciesareupdated,renewed,modifiedor

1. Iwillneverdefyormakebreachofanyofthetermsandconditionsmentionedinthesaid
LetterofAppointmentoranyothertermsandconditionsexistingintheBankorwhichmaybe
introducedbytheBankfromtimetotime.
2. Iwillneverclaim,anytime,thatIhavemisunderstoodordidnotunderstandorthatIwas
madetomisunderstandorthatIwasforcedtoacceptthetermsandconditionsofthesaid
LetterofAppointment.
3. Iwillnotclaimorallegeanytimeinfuture,thatthetermsandconditionsofthesaidLetterof
Appointmentarearbitraryorunilateralorillegaloragainstmyrighttoworkorrighttochange
theemploymentwithoutservingtheagreedperiodofnotice.
4. IwillnotleaveordiscontinueorresignorabandontheemploymentwiththeBankwithout
givingpriornotice,asstipulatedintheLetterofAppointment,whichIhavereadandclearly
understood.
5. IwillneverallegeorblametheBankoritsofficialsaboutthetermsandconditionscontained
ofthesaidLetterofAppointmentorcontesttheminacourtoflaworastatutoryauthority,
allegingarbitrariness,whimsicallyorunilateralismorillegalityorunlawfulness.
6. Iwill,atalltime,shallabidebytherules,regulationsandguidelinesoftheBank,asmaybe
issuedfromtimetotime.Iwilladheretotherulesofdisciplineandcodeofconductand
escalationmatrixaboutthegrievancesredressalmatrixfortheemployees.Iwill,followand
adherewiththedecorumandprotocolofescalationandwillescalatetheemploymentrelated
issuestomyreportingmanagerortotheskipmanagerortohismanagerandthentothe
concernedHRPartner,exceptincasewheredirectreportingispermissibleinaccordance
withapublishedpolicyoftheBank.
7. IwilladherewithandshallfirstexhausttheescalationmatrixwithintheBank,beforeresorting
toorapproachinganyoutsideagenciesorauthoritiesandshallneverencourageorallowany
employeesorcustomersorconstituentsfromapproachinganyoutsideagenciesor
authoritiesbeforecompletelyexhaustingtheinternalescalationmatrixandredressal
mechanisms.
8. IdeclarethatIwillfaithfully,trulyandtothebestofmyskillandabilityexecuteandperformthe
dutiesrequiredofmeasanemployee/executiveandinsuchcapacityasmaybecalledupon,
byIndusIndBankLimited,fromtimetotime.Iherebyundertaketoexercisedelegatedpowers
grantedtomethroughthePowerofAttorney/SchemeofDelegationofpowersetc.ina
bonafidemannerwithdueprudenceanddiligence.Iundertaketoexercisethesepowersin
theinterestoftheBank.
9. IdeclarethatIwillnotcommunicateorallowtobecommunicatedtoanypersonnotlegally
entitledtheretoanyinformationrelatingtotheaffairsofIndusIndBankortheaffairsofany
personhavingdealingwiththeIndusIndBank.Iwillnotallowanysuchpersontoinspector
haveaccesstoanybooksordocumentsbelongingtoorinthepossessionofIndusIndBank
andrelatingtothebusinessofIndusIndBankorthebusinessofanypersonhavingany
dealingwithIndusIndBank.

10. IdeclarethatIamnotanundischargedinsolventorbankrupt,norhaveatanytimebeen
adjudicatedinsolventorsuspendedpaymentorcompoundedwithanycreditors,orbeen
convictedbyacriminalcourtofanoffenceinvolvingmoralturpitude.IalsodeclarethatIhave
notbeenassociatedwithanycriminalactionsinthepastandhaveneverbeenconvictedbya
courtforanycriminalactivities.

7. Yourappointmentisbasedandshallcontinuetobebasedontheinformationanddatafurnished
byyouintheapplicationandotherrepresentationsmadebyyou.Ifanyoftheinformationor
representationmadeisfoundtobeincorrectordefectiveorincompleteandifanyinformationor
detailsarefoundtobesuppressedtomisleadtheBank,thenyourservicesshallstand
terminatedwithoutanynotice.

Itwillbeincumbentuponyoutosubmitthegenuineandtruecopiesofinformationandrecord
aboutyoureducationalandprofessionalqualificationsandalsoaboutallyourprevious
employments,includingimmediatelyprecedingandthecurrentemployment,asmaybeclaimed
byyouinyourCVandotherinformationsubmittedbyyoutotheBank.Assuch,youwillbe
requiredtoanditwouldbeobligatoryonyoutosubmitthetrueandgenuinephotocopiesofthe
documentssuchaslettersofappointments,relievingletters,statementsofsalary,statementsof
Bankaccountswheresuchsalariesarecreditedandsuchotherdocuments,asthecasemay
be,requiredandcalleduponbytheBankanytimeduringthecurrencyofemploymentwiththe
Bank.Incase,youfailtosubmitorofferthesatisfactoryexplanationtotheinformationsoughtby
theBank,anytime,thisletterwouldbecalledbackanytime,withoutanynotice.Youarealso
requestedtosubmitselfattestedcopiesofcertificatesinrespectofcharacter,dateofbirth,other
testimonialsrequired.

Atthetimeofjoining,youwillhavetosubmitthetrueandgenuineselfattestedphotocopiesof
lettersofappointmentandrelievingaboutallyourpreviousemployments(excepttherelieving
letteraboutyourcurrentemploymentthatistheemploymentheldbyyouimmediatelybefore
joiningtheemploymentasperthisletter).Youwillalsohavetoproduceandsubmitthetrueand
genuineselfattestedphotocopyoftheletterofrelievingissuedbyyourcurrentemployer,ifany
thatistheemployerwithwhomyouwereemployedbeforejoiningtheemploymentasperthis
letterofoffer/appointment,within45daysofyourjoining.Ifyoufailtosubmitthesamewithinthe

10. Thisletter/offerofappointmentismadeandissuedtoyou,ontheclaimsmadebyyouandonthe
presumptionthereupon,thatyouholdthelegallyrecognizedandlegallyestablishedand
approveddegrees,diplomasandsuchothereducationalandprofessionalqualificationsand
thatsuchdegreesanddiplomasandsuchotherqualificationshavebeenissuedtoyouand
obtainedbyyoufromtheinstitutions,universitiesandsuchotherbodies,asthecasemaybe,
whicharenotonlyrecognizedandapprovedbyandunderthelawbutalsothatthoseinstitutions,
universitiesandsuchotherbodies,asthecasemaybe,havebeenrecognizedandapprovedby
t h e Government/Statutoryauthoritiestoconductandawardsuchdegrees,diplomasand
courses.
11.Thebankshallbefreetoterminateyouremploymentanytimeduringtheperiodofprobation
withoutanynotice,ifyourperformance,output,conductandbehaviorarenotfoundtobe
satisfactoryandacceptabletotheBank.AfteryourconfirmationintheBanksemployment,your
employmentcanbeterminatedbytheBankbyservingthreemonthsnoticeoronpaymentofan
amountequivalenttothreemonthspayinlieuofnoticeorpartlywithserviceandpartlywith
pay.

settlement,ifany.Insuchacase,theBankwillalsohavearighttoblacklistyouandinformyour
futureemployer/s,ifany,aboutyourdefaulttocomplywiththetermsofemploymentwiththe
Bankandalsotreatyouasvoluntarilyabandoned/terminatedfromtheemploymentoftheBank.
PleasealsonotethattheBankwillnotacceptsalaryinlieuofnotice.
13. YouwillbeentitledtoresignfromtheemploymentoftheBankafteryourconfirmationinthe
employmentoftheBank,onlybygivinganoticeof90daysandbyactivelyservingsuchnoticefor
90days.YouwillbeissuedarelievingletterbytheBankandyouraccountwiththeBank
includingthefull&finalsettlement,ifany,wouldbemadeonlyifandonlyafteryouractively
servingthenoticeof90daysaftertenderingtheresignation.TheBankwillnotissueanyrelieving
letteroraletterorcertificateofemploymentifyouleaveordiscontinueorabandonthe
employmentafteryourconfirmationintheBank,withoutactuallysubmittingandactivelyserving
thenoticeof90days.Insuchacase,theBankwillhaveundisputedandunequivocalrightand
theBankwouldbejustifiedinnotissuingyoutherelievingletterornotmakingsettlementofyour
accountwiththeBankincludingthefull&finalsettlement,ifany.Insuchacase,theBankwill
alsohavearighttoblacklistyouandinformyourfutureemployer/s,ifany,aboutyourdefaultto
complywiththetermsofemploymentwiththeBankandalsotreatyouasvoluntarily
abandoned/terminatedfromtheemploymentoftheBank.PleasealsonotethattheBankwillnot
acceptsalaryinlieuofnotice.
14.Youshallnotdiscontinue/stopattendingthebank/assignedwork,incaseyoutenderresignation
fromtheemploymentofthebank,whetherduringtheprobationorafterconfirmation,unlessand
untilyourresignationisspecificallyacceptedbythecompetentauthorityunderanorderandyou
arerelievedbyaspecificwrittenorderissuedbytheHumanResourcesDepartmentoftheBank.
Incaseyoudiscontinue/stopattendingthebank/assignedworkaftertenderingtheresignation
butbeforethesameisspecificallyacceptedbytheBank,youshallbeliablefordisciplinary
action,bytreatingsuchabsence/refusal/unwillingness,asunauthorizedandirregular,
besidesotheraction,asperthisorderoranyotherconditionsoraspertheHRPolicyorany
otherPolicyoftheBankorregulatoryguidelines.
15.Aresignationtenderedbyyouanytimeduringtheperiodofemploymentwillberejectedifan
issueofstaffaccountabilityoranissue/matterofdisciplinaryactionisreportedorpending
againstyou,eitherbeforetenderingsuchresignationorafter,ifthecompetentauthorityfeelsthat
itwouldbeexpedientintheinterestoftheBanktoorderaninvestigationoranenquiryoran
administrativeorsummaryaction.Insuchacase,youwillcontinuetobeintheemploymentof
theBanktillthesaidactionisinitiatedandconcludedandyouareinformedabouttheconclusion
ofthesame.
16.Notwithstandinganythingcontainedinthisletter/offerorinanyotherdocument/communication
orinanyotherconditionsorsituationsexpressedorimplied,yourserviceswiththeBankshall
beliableforterminationwiththreemonthsnoticeorwithpayinlieuofthreemonthsnotice,in
casetheBankfindsthatyourservicesarenomorerequiredorhavebecomeredundantor
supernumeryorthattheBankhaslostconfidenceinyouorthatyouhavebecomeunfitforthe
workforwhichyouhavebeenappointedorthatyouhavebecomemedicallyunfittoworkorin
casewheretheBankfinds,forgoodandsufficientreasons,nottocontinueyourservicesinthe
Bankforwhatsoeverreasons.

professionorvocationorenterintoanyparttimeorfulltimecommitmentforrenderingservices
inanycapacity.Youwilldevoteyourentiretimeandattentiontopromotetheinterestsofthebank.
19.Youshallnotdivulgeanyconfidentialinformation,data,opinion,practices,usages,formulasetc.
outsidethebanktoanyperson/firm/company/organization/bank,etc.bywhatevernomenclature
orutilizeanyoftheBanksconfidentialinformationorotherinformationwhichyoumaypossess
orcomeacrossbyreasonofyourassociationandemploymentwiththebank.
[Confidentialinformationmeanstheinformationwhichisnotknowntooutsidersorgeneral
publicorcustomersorconstituentsorcompetitorsorthepersonsorbodieswhicharenotentitled
toknow,relatingtobusinessaffairs,proprietary,products,processes,technology,research,
developmentandtradesecretsoftheBank,itsaffiliates/associatesorgroupcompaniesand
otherentitieswithwhichbusinessesareconducted].
20.YoushallatalltimesindemnifyandkeepindemnifiedtheBankagainstallsumswhetherbyway
ofclaims,demands,damages,costs,chargesorexpensespaidorincurredbytheBankinorin
connectionwithanyaction,claim,proceedingordemandinstitutedormadeagainsttheBank,
causedoroccasionedbyyourbreach,faultorneglectintheopinionoftheBanktoobserveand
complyfullywiththetermsandconditionsofyouremployment.
21.WhileintheemploymentoftheBank,youwillsafeguardandensuretosafeguardtheinterestof
theBankinallmatters,documents,valuables,books,property,currencies,coins,etc.andshall
donothingwhichshallprejudicetheinterestoftheBank.
22. YouwillbegovernedbytheBanksservicerules,regulations,andrulesofconductanddiscipline
whichareinexistenceormaybeintroducedintheBankfromtimetotime.Whileinthe
employmentoftheBank,youwillhavetoabidebytheBankspolicies,proceduresandpractices,
whichmaybeamendedfromtimetotimeandmadeapplicable,withoutanynotice.Youshall
strictlyadheretoalltherulesandregulationsandinternalsystemsandproceduresregarding
thebusinessprocessesandserviceconditionswhicharemadeapplicablebytheBankfrom
timetotime.
23. DuringthetenureoftheemploymentoftheBank,youwillcomeacrossandmaybeassigned,
directlyorthroughthegrouporteamactivity,userIDsand/orPasswords,forfacilitatingand
dischargingofthedutiesandtasksassignedtoyou.Similarly,youmayhavetocreateIDsand
passwordsforyouorfortheteamorsuchusergroupasmaybenecessary.Youmayalsocome
toknowoforexposedtosuchIDsandPasswordsofsuchotheremployees,customersand/or
users,byvirtueofyourpostingorexposure.YouwillensurethatsuchIDsandPasswordsare
protectedandpreservedandthattheyarenotsharedorpassedontoanyoneforwhatever
reasons,includingthatofyourownIDsandthePasswords.AnysuchsharingoftheIDsandthe

24. YouwillnotleaveordiscontinueorresignorabandontheemploymentwiththeBankwithout
givingpriornotice,asstipulatedinthisLetterofAppointment.Youwillneverallegeorblamethe
BankoritsofficialsaboutthetermsandconditionsofthisLetterofAppointmentorcontestthem
inacourtoflaworastatutoryauthority,allegingarbitrariness,whimsicallyorunilateralismor
illegalityorunlawfulness.

25. DuringthecourseoftheemploymentwiththeBank,youwillhavealwaysadherewiththeterms

Appointment.Youwillneverclaimorallegeanytimeduringthecourseofemploymentor
thereafter,thatthetermsandconditionsofthisLetterofAppointmentarearbitraryorunilateralor
illegaloragainstyourrighttoworkorrighttochangetheemploymentwithoutservingtheagreed
periodofnotice.
26. Youwill,atalltime,abidebytherules,regulationsandguidelinesoftheBank,asmaybeissued
fromtimetotime.Youwilladherewiththerulesofdisciplineandcodeofconductandescalation
matrixaboutthegrievancesredressalmatrixfortheemployees.Youwillhavetofollowandabide
bythedecorumandprotocolofescalationandwillescalatetheemploymentrelatedissuesto
yourreportingmanagerortotheskipmanagerortohismanagerandthentotheconcernedHR
Partner,exceptincasewheredirectreportingispermissibleinaccordancewithapublished
policyoftheBank.Withthisinview,youwilladherewithandshallfirstexhausttheescalation
matrixwithintheBankbeforeresortingtoorapproachinganyoutsideagenciesorauthorities
a n d shallneverencourageorallowanyemployeesorcustomersorconstituentsfrom
approachinganyoutsideagenciesorauthoritiesbeforecompletelyexhaustingtheinternal
escalationmatrixandredressalmechanisms.
27. YouwillhavetoadhereandfollowtheExecutiveStaffServiceRulesandtheCodeofConduct,as
applicabletoyou,fromtimetotime,suchas,youwillhavetoabidebytherulesofDiscipline,
CodeofConductandsuchotherrulesandregulationsoftheBankandcomplywithalllawful
andreasonableinstructionsanddirectionsgiventoyoubyanexecutiveunderwhosejurisdiction
/superintendence/controlyoumay,forthetimebeing,beplacedyouwill,atalltimes,takeall
possiblestepstoensureandprotecttheinterestoftheBankanddischargeyourdutiesand
responsibilitieswithutmostintegrity,honesty,devotionanddiligenceanddo nothingwhichis
unbecomingofaBankExecutive/employeeyouwillconscientiouslyadhereandobservethe
CodeofConductadoptedandcommunicatedthroughtheintranet/emailsetc.andbreachofany
oftheprovisionsthereofshallbeconsideredasmisconductwarrantingpunishmentyouwill
adhereandfollowtheprinciplesofhonesty,integrity, devotionanddiligence,moreparticularly,
yourconduct,onandoffthejob,willbesuchthatthehonestyofanemployeeofthebankis
unquestionableyouwillnotcommitanyactswhichareconsideredbythebankasacts
subversiveofdiscipline.
28. Theageofsuperannuationshallbe60years.Assuch,youwillautomaticallyretirefromand
ceasetobeintheservicesoftheBankonattainingtheageof60years.Youragementionedin
thebirth/schoolcertificateswillbedeemedtobetheconclusiveproofofyourdateofbirth.
29. YoushallintimateinwritingtoallyourreportingauthoritiesandalsototheBanksHuman
ResourcesDepartmentattheCorporateOffice,aboutthechangeofaddress/addressesand
othercommunicationdetails,withinaweekstimefromtheoccurrenceofsuchchange,failing
whichanycommunicationsentonyourlastknownaddressshallbedeemedtobeavalidand
properservice.
30. Thisletterofappointmentuponyouracceptancebysigningshallbebindingandshallbetreated
asanemploymentagreement.Henceyouarerequestedtoreturnacopyofthisletterof
appointment(additionalcopyofletter/offerenclosed)bysigningonthesameattheplace
indicatedthereinasatokenofyouracceptanceoftheabovetermsandconditions,withinseven
daysofreceiptofthisletter.

31. YouwillhavetosigndifferentCodesofConductandrulesofdisciplinesatthetimeofjoiningthe
BankinpursuanceofthisLetterofAppointment.AllthosepolicieswillbedisplayedintheIntra
netoftheBankandwillbeavailableforalltheemployeesandassociatesoftheBank.Since
theseCodesofConductandrulesofdisciplinesandtheincidentalandrelatedpoliciesand
documentsshallbedeemedtobesignedbyyouatthetimeofjoiningandasandwhensuch
CodesofConductandrulesofdisciplinesandthepoliciesareupdated,renewed,modifiedor
changedorrepealedorsubstituted.Youwillnevertakeanyobjectionthatyouwereneverissued
31. YouwillhavetosigndifferentCodesofConductandrulesofdisciplinesatthetimeofjoiningthe
BankinpursuanceofthisLetterofAppointment.AllthosepolicieswillbedisplayedintheIntra
netoftheBankandwillbeavailableforalltheemployeesandassociatesoftheBank.Since
theseCodesofConductandrulesofdisciplinesandtheincidentalandrelatedpoliciesand
documentsshallbedeemedtobesignedbyyouatthetimeofjoiningandasandwhensuch
CodesofConductandrulesofdisciplinesandthepoliciesareupdated,renewed,modifiedor
changedorrepealedorsubstituted.Youwillnevertakeanyobjectionthatyouwereneverissued
suchCodesofConductandrulesofdisciplinesandpoliciesandthatyouwillalsonotinsist
uponshowingyousuchoftheCodesofConductandrulesofdisciplinesandpolicieswithyour
signaturesofacknowledgementsandreceipts.

2. Iwillneverclaim,anytime,thatIhavemisunderstoodordidnotunderstandorthatIwas
madetomisunderstandorthatIwasforcedtoacceptthetermsandconditionsofthesaid
LetterofAppointment.
3. Iwillnotclaimorallegeanytimeinfuture,thatthetermsandconditionsofthesaidLetterof
Appointmentarearbitraryorunilateralorillegaloragainstmyrighttoworkorrighttochange
theemploymentwithoutservingtheagreedperiodofnotice.
4. IwillnotleaveordiscontinueorresignorabandontheemploymentwiththeBankwithout
givingpriornotice,asstipulatedintheLetterofAppointment,whichIhavereadandclearly
understood.
5. IwillneverallegeorblametheBankoritsofficialsaboutthetermsandconditionscontained
ofthesaidLetterofAppointmentorcontesttheminacourtoflaworastatutoryauthority,
allegingarbitrariness,whimsicallyorunilateralismorillegalityorunlawfulness.
6. Iwill,atalltime,shallabidebytherules,regulationsandguidelinesoftheBank,asmaybe
issuedfromtimetotime.Iwilladheretotherulesofdisciplineandcodeofconductand
escalationmatrixaboutthegrievancesredressalmatrixfortheemployees.Iwill,followand
adherewiththedecorumandprotocolofescalationandwillescalatetheemploymentrelated
issuestomyreportingmanagerortotheskipmanagerortohismanagerandthentothe
concernedHRPartner,exceptincasewheredirectreportingispermissibleinaccordance
withapublishedpolicyoftheBank.
7. IwilladherewithandshallfirstexhausttheescalationmatrixwithintheBank,beforeresorting
toorapproachinganyoutsideagenciesorauthoritiesandshallneverencourageorallowany
employeesorcustomersorconstituentsfromapproachinganyoutsideagenciesor
authoritiesbeforecompletelyexhaustingtheinternalescalationmatrixandredressal
mechanisms.
8. IdeclarethatIwillfaithfully,trulyandtothebestofmyskillandabilityexecuteandperformthe
dutiesrequiredofmeasanemployee/executiveandinsuchcapacityasmaybecalledupon,
byIndusIndBankLimited,fromtimetotime.Iherebyundertaketoexercisedelegatedpowers
grantedtomethroughthePowerofAttorney/SchemeofDelegationofpowersetc.ina
bonafidemannerwithdueprudenceanddiligence.Iundertaketoexercisethesepowersin
theinterestoftheBank.
9. IdeclarethatIwillnotcommunicateorallowtobecommunicatedtoanypersonnotlegally
entitledtheretoanyinformationrelatingtotheaffairsofIndusIndBankortheaffairsofany
personhavingdealingwiththeIndusIndBank.Iwillnotallowanysuchpersontoinspector
haveaccesstoanybooksordocumentsbelongingtoorinthepossessionofIndusIndBank
andrelatingtothebusinessofIndusIndBankorthebusinessofanypersonhavingany
dealingwithIndusIndBank.

10. IdeclarethatIamnotanundischargedinsolventorbankrupt,norhaveatanytimebeen
adjudicatedinsolventorsuspendedpaymentorcompoundedwithanycreditors,orbeen
convictedbyacriminalcourtofanoffenceinvolvingmoralturpitude.IalsodeclarethatIhave
notbeenassociatedwithanycriminalactionsinthepastandhaveneverbeenconvictedbya
courtforanycriminalactivities.
10. IdeclarethatIamnotanundischargedinsolventorbankrupt,norhaveatanytimebeen
