NoadditionalregistrationsorContestsubmissionswillbeacceptedafterthecloseofthe
ContestTerm.YelpreservestherighttocanceltheContestatanytime,initssolediscretion.

Whocanparticipate?
Contestparticipantsmaybeindividualsorteams.Thereisnorestrictiononteamsize.Each
ParticipantconsentstobeboundbytheseRules.Forteamparticipants,onepersonfromthe
teammustbedesignatedastheteamleader.Ateamleaderwillbethesolecontactforall
communicationswithYelpregardingthecontest.Individualteammembers,however,musteach
satisfythecontestrequirementforindividualparticipants.AllContestparticipants,whether
enteringtheContestasindividualsorteammembers,mustalsoeachagreetotheseparate
DatasetChallengeAcademicDatasetAgreement.

ToparticipateintheContest,Participantsmustbeatleasteighteen(18)yearsold,andbe
enrolledasanUndergraduateorGraduateatanaccrediteduniversityinanyfield.

Currentandformeremployees,officers,interns,contractorsandagentsofYelp,itssubsidiaries,
togetherwithmembersoftheirimmediatefamilies(parent,child,siblingandspouseofeach)
andthoselivingintheirsamehouseholds,orYelpandanyindependentcontractorssupporting
theContest,areineligibletoenterandparticipateintheContestorbeawardedorretainany
Contestprize.

ContestParticipantsmaynotbeanationalorpermanentresidentofanyofthefollowing:
Crimea(regionofUkraine),Cuba,Iran,NorthKorea,Sudan,Syria,CoteDIvoire(IvoryCoast),
DemocraticRepublicOfCongo,Iraq,Lebanon,Liberia,Libya,orSomalia.TheContestisvoidin

ReceiptandJudgingofQualifyingSubmissions:

Participantsmaysubmittheirprojectbyuploadingorsubmittingalinktoaresearchpaperor

Thesubmission,ifwritten,mustbewritteninEnglish,withmathematicalformulaeasnecessary.
Itmustbewrittenatalevelsufficientforapractitionerincomputersciencetoreproducethe
resultsobtainedbytheparticipant,ifany.Citationsofpreviousrelatedworkshouldbe
referencedasappropriate.Submissionsmustincludeawriteupofyourproject.Participants
shallprovidesubmissionstoYelpthroughthefollowingwebsite:yelp.com/dataset_challenge
beforeJune30,2016.Participantswarrantthatanysourcecodeiseitherfullyorsubstantially
developedandfunctionsorwillfunctionasrepresentedbythewriteuporotherdescription

InorderforYelptoverifythesubmission,eachParticipantwillgranttoYelp(includingits

copyrights,patentsorotherintellectualpropertyrightstouse,review,assess,testand

AllparticipantsshallgranttoYelp(includingitsaffiliatesandsubsidiaries,employees,agents,
andcontractors),anirrevocable,royaltyfree,fullypaidup,worldwidenonexclusivelicense
undertheParticipantscopyrights,patentsorotherintellectualpropertyrightsintheir
submissiontoreproduce,distribute,display,andcreatederivativeworksfromthesubmission
andalsotomake,havemade,use,sell,offerforsale,andimportproducts.

team)inlumpsumpayments46weeksafterYelphasreceivedsufficientproofofattendanceat
aqualifyingacademicorindustryconference,includingevidenceofpaymentofregistration,
travel,orlodgingexpensesincurredinconnectionwiththeconference.

AnycostsorexpensesassociatedwiththeacceptanceanduseofanyContestPrizemonies
arethesoleresponsibilityoftheContestPrizewinners.AllContestPrizedetailsareatYelps
solediscretion.AContestPrizewinnermaymakenosubstitutionsorassignmentofaContest
PrizeotherthanasspecifiedintheseRules.

Prizemoniesshouldberetainedbyindividualsonlyinconformitywithanyapplicablepoliciesof
theiremployersoracademicinstitutions,regardingparticipationinandreceiptofpromotional

incorrectorinaccurateinformation,whethercausedbyprintingerrors,Siteusers,tampering,
hacking,orbyanyoftheequipmentorprogrammingassociatedwithorutilizedintheContest,
andisnotresponsibleforanyerror,omission,interruption,deletion,defect,delayinoperationor
transmission,communicationslinefailure,theftordestructionorunauthorizedaccesstothe

Yelpsreasonablediscretion,aParticipantscontinuingparticipationinanyaspectoftheContest
maybesuspendedorterminatedatanytimeduringoraftertheContest.Yelpreservestheright,
initssolediscretion,tosuspendorcanceltheContest.IntheeventtheContestiscancelled,
Yelpmay,atitssolediscretion,determinewinners,ifany,fromamongalleligibleentries
receiveduptothetimeofsuchcancellation,butithasnoobligationtodoso.

C.ParticipantsAffidavits,ContestConsentandReleases.Asapriorconditionofwinning
theContestandreceiptandacceptanceofaContestPrize,aparticipantmayberequiredto
complete,signandreturnanonexclusivegrantoflicensetoYelp,anAffidavitofEligibilityand
LiabilityReleaseandwherelawful,aPublicityandSubmissionReleaseandLicense(Publicity
Release).ThePublicityReleasewillincludeconsentbyawinningparticipanttousetheirname,
picture,voice,likeness,andthename,descriptionandApplicationcomprisingwinnersentry,
worldwideinperpetuity,forthepurposesofContestrelatedadvertising,promotionandpublicity,
andadditionallyincludingthosespecificpurposesdisclosedontheSite,withoutfurther
compensation,notificationorpermission,unlessprohibitedbylaw.Failuretocompleteandsign
thesedocumentswithintwo(2)weeksmaydisqualifythatentryandadditionalqualifyingentries

Inaddition,winningparticipantsmayberequiredtocompleteapplicableU.S.taxwithholding

D.TaxConsequences.ParticipationandreceiptofbenefitsfromtheContestwillhavetax

localtaxliabilityforparticipationintheContestorthereceiptofaContestPrize,orcostsor
