ConfidentialityAgreement

We hereby expressly agree to undertake and observe the confidentiality obligation (hereinafter
referredtoastheAgreement)regardingM&Eservice(hereinafterreferredtoastheService)
for Bandaranaike International Airport Development ProjectPhase II Stage 2Package
A&B(construction,projectsandothers),asfollows:
Article1(ConfidentialInformation)
Weshalltreatanyinformation,documentsand/ormaterialsinconfidential,whicharedisclosedby
you for and in connection to the Service, or come to our knowledge through specifications,
explanatorydocuments,drawings,diagramsandothermaterials,anddesignatedasconfidential
by you in the Notice of Confidential Information. In addition, we should treat all information,
documentsandmaterialsdisclosedbyyouasconfidentialwherenodesignationismadebyyou
withtheNotificationofConfidentialInformation.However,theconfidentialityobligationstipulated
intheArticle2belowshallnotapplytoanyofthefollowing:
(1)Informationthatisalreadyinpublicdomainupondisclosurebyyouorthatbecomesinpublic
domainwithoutreasonsattributabletousafterdisclosurebyyou
(2)Informationthatcanbeprovenwithwrittenevidenceasbeinginourpossessionatthetimeof
disclosurebyyouor
(3)Informationthatislegallydisclosedtouswithoutconfidentialityobligationbyathirdpartywho
isdulyauthorizedtodisclosesuchinformation.
Article2(ObligationofConfidentiality)
1. We shall keep and treat the confidential information in confidence and use them only for the
purposeoftheService.Inaddition,weshalldulymanagetheinformationsoasnottohavethe
informationbedivulged.
2. We shall not use the confidential information for any other purpose nor disclose, lend, or
provide to any third party other than those engaged in the Service, without your prior written
approval.
3.Weshallcomplywithyourinstructionsregardingthelocationorinformationequipmentandso
forth,onwhichtheconfidentialinformationisused.
4. Notwithstanding the preceding Paragraph 2, when we are obliged to make such disclosure
underanyapplicablelaws,orwhenwearerequestedtodisclosetheconfidentialinformationwith
duly authorization by judicial or administrative authorities, such as the court, tax authorities,
investigative authorities, or other institutions, we may such disclosure of the confidential
informationaftergivenanoticethereoftoyou.
Article3(RecipientsofConfidentialInformation)
We shall prepare a list of our officers and employees, our subcontractors and their officers and
employees who are directly involved in the Service using the confidential information, and shall
obtain your approval therefor. We shall disclose the confidential information only to the parties
nominatedonthislistandapprovedbyyou(hereinafterreferredtoasRecipients).
2.WeshallensurethattheRecipientscomplywiththeconfidentialityobligationstipulatedinthis
Agreement.IncaseofbreachofconfidentialityobligationstipulatedinthisAgreementbyanyof
the Recipients, such breach shall be regarded as our breach and we shall assume all
responsibilitytherefor.
Article4(MeasurestoPreventtheDivulgenceofConfidentialInformation)
We should take reasonable measures to control the confidential information in order to prevent
careless disclosure, leakage or wrongful use thereof. For this purpose, we shall carry out the
followingparticularmeasuresandanyothermeasuresifinstructedseparatelybyyou.

(1)Weshallnotmakephotocopiesofanyconfidentialinformationunlessitisnecessaryforthe
Service.
(2)Weshalldeliverandreceivetheconfidentialinformationbyhand,andifitisnecessarytosend
theconfidentialinformationbymail,weshalluseamethodbywhichthedeliveryrecordcan
beverified.
(3) When the confidential information is sent via Internet, we shall use a method for which
measures to prevent the divulgence of information through erroneous transmission or
eavesdroppingareimplemented.
(4) When we disclose the confidential information to a third party with your prior approval, we
shall disclose it in document form and shall not disclose it by the means of electronic data
withoutyourapproval.
(5)Weshallimplementpreventativemeasuresonthedataormediathatcontainstheconfidential
information.
(6) We shall implement antivirus measures for the computers that we use, and operate them
properly. In addition, we shall equip procedure and system in advance to respond to
computervirusesinfection.
(7) We shall not install any file exchange software or software of unknown origin on the
computersweuse.
Article5(InspectionbyTaisei)
1. Whenever you request us to make a report for the purpose of monitoring the compliance of
confidentialityobligation,weshallforthwithmakesuchreporttoyou.
2.Wheneveryourequestustoenterourofficeforthepurposeofmonitoringthecomplianceof
confidentialityobligation,weshouldadmitsuchenteringandcooperatewithyouforthenecessary
inspection.
Article6(ReturnofConfidentialInformation)
We shall return all confidential information and copies thereof to you when the Service is
completedoryourequestustodoso.However,iftheconfidentialinformationorcopiesthereof
are in electronic data and therefore cannot be physically returned, we shall discard such
confidentialinformationinanirreproducibleform,andsubmittherecordofsuchsteptoyou.
Article7(NoticeincaseofInformationDivulgence)
Iftheconfidentialinformationdisclosedorobtainedisinvolvedinanyincidentoraccident,such
as,beingleaked,stolen,lost,ordamaged,weshallimmediatelytakethenecessarymeasuresto
minimizethelossanddamage,andnotifyyouthereof.
Article8(Damages)
Ifyouoranythirdpartysuffersalossordamageasaresultofourbreachofanyobligationunder
thisAgreement,weshalltakenecessarymeasurestominimizesuchlossordamageand,shall
beheldresponsibleforcompensationforsuchlossordamage.
Article9(DurationofConfidentialityObligation)
Theconfidentialityobligationhereundershallremainvalidfortwo(2)yearsafterthesigningthis
agreement or after completion of the contract for the Service between you and us, whichever
comeslater.
