ARTICLE Ill MEMBERSHIP

Section 2:
a.
Electronic Communications.
1.
Members are encouraged to consent to the use of electronic transmissions by
the Association to communicate with members.
2.
The Association shall provide every member a form, complying with applicable
laws, for the member to indicate consent to the use of electronic transmission by the
Association and to provide an email address for the Association to use.
3.
The Secretary of the Association shall maintain a record of members email
addresses and the Consents to Electronic Transmission signed by members.
4.
Where possible, the Association shall communicate with members by electronic
transmission unless otherwise provided in these Bylaws or otherwise required by law.
Nothing herein prohibits additional forms of communication with members.
5.
Members may revoke a consent to electronic transmission by the Association by
submitting to the Association Secretary a written document signed by the member
revoking the consent to electronic communications by the Association and providing
an address for the Association to use in communicating with the member thereafter.
ARTICLE VIII - ELECTIONS AND VOTING ELECTION OF OFFICERS
Section 1: N
omination of Executive Officers and Shop Stewards.
a.
The President, prior to the September general body meeting in
odd-numbered calendar years, shall appoint a nominating committee from
the ranks of the active members. The committee will accept nominations for
nominate candidates for Executive Officers in odd number years and Shop
Stewards in even number years. In At the October general body meeting
the Nominating Committee shall report present to the membership
incumbent the nominations that it has received. Additional candidate
nominations may be received

from the floor in writing by the conclusion of


the October meeting.
b.

Executive Officers shall be elected in odd numbered years by all members of the
Association. Shop Stewards shall be elected in even numbered years by the

members assigned to the represented units or worksites.

The nominating committee will review the eligibility of all candidates who
are nominated. If any candidate is found to be ineligible, the nominating
committee shall advise the candidate at least ten (10) calendar days before
the November general body meeting of the committees finding, stating
expressly the grounds for the candidates ineligibility.
At the November general body meeting all candidates found to be eligible
will be announced and read into the minutes. Any candidate found
ineligible by the nominating committee may appeal the finding of
ineligibility. A majority vote of the members attending the November
general body meeting may set aside the finding of ineligibility and
determine the candidate to be eligible. All candidates found to be eligible
shall be listed on the ballot. The ballot shall provide for the member to
indicate the members choice of candidate. For shop steward elections, the
ballot shall provide a space for a write-in candidate for each position on the
ballot. No write-in candidates shall be permitted for Executive Officers. If a
candidate for an Executive Officer position is unopposed, that candidate
shall be deemed elected by acclamation at the November general body
meeting.
Voting for Executive Officers shall be by online voting as provided in
Section 2 of this Article. Voting for Shop Stewards may be conducted by online
voting or by written ballot, as the nominating committee may determine and
announce at the November general body meeting.

Once voting is complete, the results shall be posted at all worksites no later than
two (2) calendar days after voting is completed, including the number of votes
cast for each candidate. The results of the election shall also be

announced at the December general body meeting.


A majority of votes cast is required for election. If no candidate receives a
majority, there shall be a run-off election between the two candidates
receiving the most votes. Voting in a run-off election shall be conducted in
the same manner as voting in a regular election, except that such voting
shall be completed and the results posted at all worksites at least two
calendar days before the January general body meeting.
Those candidates elected shall assume office as the first order of business
at the January General Body Meeting. (2nd Wednesday of the month).

Section 2: At the November general body meeting the nominating committee shall
make available ballots to each shop steward for the purpose of each of each active
member to vote. A space for a write in candidate for each position will be on the ballot.
A letter size envelope and legal size envelope shall also be made available.
Instructions for voting shall be provided to each active member by the shop steward.
Section 3: Ballots shall be returned via the ballot box at the December general body
meeting. Prior to opening the ballot box the nominating chair will use a check off list, to
ensure that all ballot boxes have been received from each facility and all satellites. No

ballots will be counted until the ballot boxes are present. Ballots should be opened and
counted with all the members present. Those members elected by the majority of the
returned ballots The number of votes counted for each candidate will be announced

Section 2: Online Voting: Online voting shall be conducted as follows:


a.

Except as otherwise provided in these Bylaws, the Association shall use online
voting. Prior to any election or vote, the Board of Directors shall retain a

neutral service that administers online voting (herein the Online Voting
Administrator) to administer the election or vote.

Prior to the election, the Board of Directors shall appoint Election Inspectors, who
are neutral, not candidates in any election and not associated with any candidate,
proponent or opponent of a
ny issue being voted upon, to supervise the work of
the Online Voting Administrator, to hear and determine all challenges and
questions in any way arising in connection with the right to vote, determine when
the polls shall open and close, and do such acts as may be proper to conduct the
election or vote with fairness to all members. The Board may appoint one or three
inspectors; if three inspectors are appointed, a majority decision is effective in all
respects as the decision or act or certificate of all.

c.

Within (7) seven calendar days after candidates are determined or there is
a determination to hold a referendum or other vote of members, the
Association Secretary, in conjunction with the nominating committee if the
vote is for an election of Executive Officers or Shop Stewards, shall submit
to the Online Voting Administrator all information requested by the Online
Voting Administrator needed to prepare an electronic ballot for and to
conduct the voting in the election or vote. This information shall include
members email and mail addresses.
The Online Voting Administrator will administer the online voting under the
supervision of the Election Inspectors. The ballot and voting shall comply
with these Bylaws and with the following standards:
Each member is notified of the procedure to be used for online voting
and how they may access the online voting system, including providing
nonelectronic notice to members who have not consented to electronic
transmission by the Association.
Each member may vote only once.
Each members vote is secure and confidential.
Reasonable measures are established to verify that the person voting
online is the member entitled to vote. Prior to submission of ballots or
votes, members shall be given the opportunity to inspect the list of
members eligible to vote and make objections to the list. Objections
shall be resolved by the Election Inspector(s).
The voting results may not be altered by anyone.
Proxy voting is not permitted.
Cumulative voting is not permitted.

A record of the voting is created that is capable of retention, retrieval,


and review, and that may thereafter be rendered into clearly legible
tangible form.
The results of the election shall be determined as soon as possible after
the time voting ends.
The notice given each member of the vote shall give a brief description of
the purpose of the election or vote and how they may access the online
voting system, shall designate the date and time when voting shall begin,
shall state the date and time when voting will end. The notice shall inform
members of the availability of all computers provided for online voting under
Subdivision 2(f) of this Section and the requirements for obtaining and
returning a written ballot under Subdivisions 2(g) and 2(h) of this Section,
including the mailing and delivery addresses to use and the date and time
any written ballot must be received to be counted. Members shall have at
least fifteen (15) calendar days within which to vote. By a majority vote of
the Board of Directors, the voting period may be extended or shortened.
Members may vote online 24-hours a day through any computer or device
that can access the online voting system. In addition, the Association shall
provide at a convenient location or locations at least one (1) internet
capable computer or similar device for members to use for online voting.
The location(s) and hours this computer or similar device is available shall
be included in the notice of the vote. Any member who has not signed or
has revoked a Consent to Electronic Transmission (Article III, Section 2)
may use this computer or device to vote online.
Any member who has not signed or has revoked a Consent to Electronic
Transmission (Article III, Section 2) may receive a written ballot upon
request. A request for a written ballot shall be in writing, addressed to the
Secretary with a copy to the Online Voting Administrator, signed by the
member and shall provide a mailing address to which a written ballot shall
be sent. Written ballots may be returned to the Online Voting Administrator
by mail or personal delivery to the Online Voting Administrator, Written
ballots must be received by the Online Voting Administrator by the date and
time stated in the notice provided by the Online Voting Administrator for the
receipt of written ballots in order to be counted.
If a member cannot submit a vote through the online process, including an
inability to access the internet capable computer or device provided by the
Association for online voting, a member may request a written ballot. The
procedures of Subdivision 2(g) of this Section will apply to requesting and
returning written ballots under this section.
The Secretary shall retain all records of elections or votes, including the
names, addresses and email addresses of members who were eligible to
vote for a period of one (1) year,
The Election Inspector or Inspectors shall promptly hear and rule upon and
determine all objections and challenges in the election. The Election

Inspector or inspectors may establish rules for objections and challenges


and shall make such rules available to members in advance of the vote.
If a vote by the members of the Association that is required to be conducted
by online voting cannot be conducted under the online voting procedures in
Section 2 of this Article, the Association shall retain a neutral third-party
administrator to administer a written ballot for such vote. Written ballots
shall be conducted as provided in Article VIII, Section 3 of these Bylaws.

Section 3. Written Ballots. Voting by written ballot shall be conducted as follows:

The Board of Directors shall retain a neutral third-party service to conduct a
written ballot by mail (herein the Written Ballot Administrator). The
Written Ballot Administrator will thereafter distribute written ballots to all
members eligible to vote and collect all written ballots that are returned.
b.
The Board of Directors shall appoint Election Inspectors, who are neutral,
not candidates in any election and not associated with any candidate, or
proponent or opponent of the issue being voted upon, to supervise the work
of the Written Ballot Administrator, to hear and determine all challenges
and questions in any way arising in connection with the right to vote,
determine when the polls shall close, and do such acts as may be proper to
conduct the election or vote with fairness to all members. The Board may
appoint one or three inspectors; if three inspectors are appointed, a
majority decision is effective in all respects as the decision or act or
certificate of all.
c.
The Association Secretary, in conjunction with the nominating committee if
any, shall submit to the Written Ballot Administrator, all information
requested by the Written Ballot Administrator needed to prepare a written
ballot for and to conduct the voting in the election or vote. This information
shall include the names and mail addresses of members eligible to vote for
each election or other vote. Written instructions for voting shall be provided
to each active member with the ballot, including the address of the Written
Ballot Administrator where envelopes containing ballots shall be returned
and the date and time by which written ballots must be received by the
Written Ballot Administrator in order to be counted.
d.
Members receiving written ballots shall be provided with an outside
envelope with spaces for the members name, represented unit or worksite
and signature and in which the members ballot shall be placed. The ballot
shall not contain any information identifying the member who is voting.
e.
Members shall return marked ballots inside the outside envelope with their
name, represented unit or worksite and signature on the outside envelope.
Ballots shall be returned to the Written Ballot Administrator by the by mail
or personal delivery to the Written Ballot Administrator, Written ballots
must be received by the Written Ballot Administrator by the date and time

stated in the notice provided by the Written Ballot Administrator for the
receipt of written ballots in order to be counted.
Written ballots will be collected, tabulated and counted by the Written Ballot
Administrator. Members shall be given the opportunity to be present when
ballot envelopes are opened and ballots counted.
The Election Inspector or Inspectors shall promptly hear and rule upon and
determine all objections and challenges in the election. The Election
Inspector or inspectors may establish rules for objections and challenges
and shall make such rules available to members in advance of the vote.

The election of Executive Officers, all referendums and all votes on


proposed bylaw changes shall be conducted pursuant to the online voting
procedures provided for in Section 2 of this Article, unless otherwise
provided in these Bylaws. Votes for election of Shop Stewards may be
conducted by written ballot rather than online voting.
Special elections and other elections conducted pursuant to Article XI of
these Bylaws shall be conducted pursuant to the online voting procedures
provided for in Section 2 of this Article. This includes special elections for
vacancies in the offices of the Vice-President, Secretary, Treasurer or
Sergeant-at-Arms under Article XI, Section 3 and elections for Secretary
under Article XI, Section 4.
The Board of Directors may direct that other votes of members be
conducted pursuant to the online voting procedures in Section 2 of this
Article.
The Online Voting Administrator and the Written Ballot Administrator may
be the same person or entity.

Section 5. Ratification votes.


a.
The Association shall submit for ratification by the members all tentative
agreements and tentative memoranda of understanding and proposed
contract terms negotiated between the Association and the City and County
of San Francisco. A ratification vote is required for any extension of an
existing memorandum of understanding or contract between the
Association and the City and County of San Francisco if such extension or
extensions would result in an extension of more than six months in total.
b.
Ratification votes shall be conducted using the online voting procedures in
Section 2 of this Article. The time and date of ratification votes shall be
determined by the Board of Directors.

At least ten (10) calendar days before a ratification vote, the Association
shall provide members access to copies of the tentative agreement,
memorandum of understanding or contract being ratified.
No tentative agreement, memorandum of understanding or contract that is
subject to ratification shall be effective unless ratified by a majority of
members voting in favor of ratification of the tentative agreement,
memorandum of understanding or contract.
Ratification is not required for wages, hours, benefits or terms and
conditions of employment determined pursuant to the provisions of the
Section A8.590-5 of Charter of the City and County of San Francisco.

ARTICLE X VACANCY OR RESIGNATION OF OFFICE

Section 6, Recall of Directors. Directors may be removed by the members without
cause as follows:
a.
Members desiring to remove an Executive Officer shall submit a petition to
the Board of Directors, signed by one-hundred and fifty (150) members in
good standing, asking for a Special Election to remove the Executive
Officer, identifying the Executive Officer or Executive Officers to be
removed. If the petition seeks removal of a shop steward, it shall be signed
by twenty-five percent (25%) of the members assigned to the represented
units or worksites from which the Shop Steward was elected or selected,
shall identify the Shop Steward to be removed.
b.
The Board of Directors, within five (5) calendar days following receipt of the
petition, shall verify that the petition is signed by the required number of
members in good standing. At the next meeting following verification of the
petition, the Board of Directors shall direct a Special Election unless the
petition lacks sufficient signatures.
c.
The Special Election under this Section shall be conducted pursuant to the
provisions of Article VIII, Section 2 of these Bylaws and pursuant to the
following additional provisions:
i. The ballot shall ask, in substance: Shall [name of director and
office] be removed. The ballot shall provide for members to vote
Yes or No on this question.
ii. A director shall be removed only by a majority vote of the
members voting in the Special Election.

iii. If the director is removed, the Board of Directors shall consider


the office vacant and shall fill the vacancy pursuant to the
provisions of Article XI of these Bylaws.
iv. If the petition and election concern removal of a Shop Steward,
the election shall be conducted only among the members
assigned to the represented units or worksites that elected the
Shop Steward. Elections for removal of Shop Stewards may be
by written ballot under the procedures in Article VIII, Section 1(g)
of these Bylaws rather than by online voting.
ARTICLE XI FILLING VACANCY OF OFFICE

Section 3: Special Elections may shall be called upon when a vacancy for the office of
the Vice-President, Secretary, Treasurer or Sergeant-at-Arms occurs. Persons
elected in a Special Election will be installed as the first order of business at the next
meeting of the Board of Directors following the Special Election.
Section 4: If the Secretary's office is vacated, the President shall perform the duties of
the Secretary until a new Secretary is elected and seated. provide ballots to the shop
stewards at the next general meeting for the entire membership. Returned ballots will
be due at the next general membership meeting. The nominating committee shall
count the ballots and the person receiving a majority vote shall be notified as the
newly elected officer of said appointment. Said officer shall be seated as the first order
of business at the next meeting of the Board of Directors.
Section 5: If a vacancy occurs under Section 3 above, the President shall immediately
appoint a nominating committee from the General Membership, which may be an
existing or standing committee, who shall prepare a list of candidates prior to the
ballots being mailed for the Special Election. The list shall comply with Article IX,
Section 1: a and b. The nominating committee shall announce the candidates at the
next general meeting following the date the vacancy occurs. Additional nominations
may be made in writing at the general meeting. All nominations shall comply with
Article IX, Section 1: a and b. The Special Election shall be conducted pursuant to the
online voting procedures provided for in Article VIII, Section 2 and shall be completed
before and announced at the next general meeting.
Section 6: If a vacancy occurs for the position of shop steward, the Association shall
conduct an election for shop steward using online voting or a written ballot, as the
Board may determine, following as nearly as possible the procedures for online voting
or written ballots stated in these Bylaws. The Board President shall appoint a
person(s) to hold a the nomination, balloting and an the election process (at the facility

or satellite), to fill the position within 30 calendar days of the occurrence of the
vacancy. The outcome will be reported at the next General Meeting.

ARTICLE V DUES

Section 3: Change of Dues
a. If a change of Association dues is to be considered, the membership shall be
advised in writing by the Secretary through the Shop Stewards. Members shall
vote by secret ballot using online voting or mail ballots, as the Board of
Directors may decide. given to the Shop Stewards at the monthly general
body meeting. For dues changes, ballots shall be at the work sites for
members shall have a minimum of fifteen (15) days prior to collection to vote.
Ballots will be returned to the Secretary via ballot boxes at a designated time
for collection. A majority vote of ballots returned is necessary to change the
dues structure.

ARTICLE XXIII AMENDMENTS


Any amendments to the Bylaws must be proposed in typewritten form and
submitted to the Board for consideration at a regularly scheduled monthly meeting or
Special called meeting. The Board shall not be empowered to accept or reject any
proposed amendment, but may offer advice and suggest changes to the submitting
member or members. Following consideration by the Board, the proposed amendment
must be submitted to the Secretary with the signature of at least fifty (50) members of the
Association. Thereafter, at least fifteen (15) days prior to the next regularly scheduled
meeting of the Association, the Secretary shall mail to each board member copies of the
proposed Bylaws change and submit the proposed amendments to a vote of the
members. The Shop Stewards will pass out the ballots to members they represent. The
vote of members shall be conducted using online voting. Members shall have at least
fifteen (15) days to vote on the proposed amendments. The ballots shall be returned via
ballot boxes and results of the vote will be announced counted at the general body
meeting. The results of the ballot shall be made known to the membership during the
meeting. A two-thirds majority vote of the ballots returned shall be required for any
proposed amendment to pass.
