Stoneset - A Public Company Listed on the CNSX

We have recently had a few calls from investors with questions regarding concerns about Aqueous
Capital Corp., and its status as a listed company. On February 18, 2010, Stoneset announced that it had
amalgamated with a subsidiary of Aqueous, in what was effectively a reverse take over. Stoneset
shareholders maintained 90% of the new company, and Aqueous shareholders held 10%. After the
amalgamation, Aqueous was listed on the CNSX.

To understand references to Aqueous on the web, investors have to look back at the history of Aqueous
Capital Corp. The company was originally formed as a Capital Pool Company (CPC) on the TSX Venture
Exchange (TSXV). Capital Pool Companies are formed as a public company, with no active business.
Their purpose is to gather an initial block of capital, and then to aquire a new business by way of shares
or cash, and continue with that new business activity. This type of acquisition is known as a qualifiying
transaction.

If a company does not complete a qualifying transaction within 2 years, then the company is either given
an extension or is de-listed. In the case of Aqueous, because the company did not complete the
qualifying transaction within the time limit on the TSX Venture Exchange it was delisted. Investors will
note that there are some references to Aqueous on the web, showing that it has been delisted from the

immediately listed on the CNSX, and is actively trading there today. Shortly after listing on the CNSX,
Aqueous was re-named Stoneset Equity Development Corp., and will continue to operate as Stoneset
from now on.

It has been a complicated transaction, here’s a summary


● In 2009, Stoneset management decided to complete the plan to go public.
● At the time, the most efficient way to achieve a public listing was through the reverse take over of
a shell.
● The shell we identified was a Capital Pool Company named Aqueous Capital Corp.
● Upon amalgamation, Stoneset Equities became Aqueous Capital Corp.
● Aqueous remained for 45 days until at the first AGM the name was changed to Stoneset Equity
Development Corporation.
