INTRODUCTION TO THE COURSE:

The role of corporations in the economy of the nation cannot be overstressed. Business associations play a very important role in the progress and growth of
any country and its economy. Corporations are governed by an array of laws and the Companies Act is one of the legislations that regulate the affairs of
companies. The Companies Act is an important piece of legislation, amended as many as 24 times to adapt the law to the changing phases of the economy of
the country and to be in tune with the socio- economic growth of the country. It regulates the formation, financing, functioning, regulation and winding up of
the companies.

OBJECTIVES OF THIS COURSE:

The course is designed to study the corporate jurisprudence and the evolution and growth of business organizations, which are incorporated under the
Companies Act and other allied laws. The course will lay special emphasis on the concept of Shareholder protection and Corporate Governance throughout
the different modules into which the subject has been divided. The Securities Exchange Board of India has played a very significant role in the growth of the
Capital Market, which will also be studied as part of the course. The SEBI guidelines, the various regulations framed by SEBI, the Depositories Act, the
SecuritiesContracts (Regulation) Act, 1956 are some of the legislations that will be studied as part of this course.

The module aims to improve the analytical and critical evaluation skills by encouraging the student to:

Explore corporate working from a critical perspective


Gain knowledge and understanding of the various provisions of the Companies Act and the allied legislations relating to companies
Develop communication skills, the ability to present an oral argument, to engage in discussions on controversial issues and to present written
arguments. LL.M being a research oriented programme, emphasis will be put on developing the research skills among students and developing
analytical skills

EXPECTATIONS FROM THE STUDENT:

The syllabus adopts a holistic and reflective approach to teaching and learning. Each module is to be seen connected.

The course instructor expects the student to:

Appreciate the contributions made in the class by fellow students and expect them to do the same.
