Sales Agency Agreement

This Agreement is made between Magenta Global Pte Ltd and RC Alianzas Comerciales

RC Alianzas Comerciales will work on behalf of Magenta Global Pte Ltd as the
promotional agent for LatAMin 2013 which will be taking place in Lima, Peru from 25-26
June 2013 (the Summit), conducting proactive promotion for collecting attendees and
sponsors/ exhibitors as described in this agreement.

Financial Terms

Magenta Global shall pay 15% commission on all paid net delegates revenues brought in
by RC Alianzas Comerciales.

Magenta Global shall pay 10% on the paid net revenue received from Sponsors &
exhibitors brought in by RC Alianzas Comerciales. The net revenue is calculated after
deducting all direct costs associated with the sponsorship or exhibition packages offered.

All operational expenses shall be borne by RC Alianzas Comerciales. Such operational

expenses include, but are not restricted to overheads, staff salaries and commissions,
marketing & travel expenses.

Marketing

RC Alianzas Comerciales shall use your resource & databases to target companies in the
appropriate industries within Latin America to attend the Summit.

RC Alianzas Comerciales shall target companies within Latin America (which are not on the
exclusion list) to be sponsors & exhibitors at the Summit.

Registrations / Payments

RC Alianzas Comerciales will forward a list of all attendees & sponsors registered to
Magenta Global. Magenta Global will raise an invoice & confirmation letter. All payments
will be made to Magenta Global Pte Ltd. Commission to RC Alianzas
Comerciales will be paid upon receipt of full payment from the attendees/ sponsors/
exhibitors no later than 14 days after the closure of the event.

RC Alianzas Comerciales will be responsible to chase for full payment from all attendees
registering through RC Alianzas Comerciales.

Registration Change: Any changes to a registration should be e-mailed to Magenta Global

Pte Ltd as soon as possible.

Cancellation Policy: Should there be any cancellations after payment was made to Magenta
Global Pte Ltd, Magenta Global Pte Ltd shall refund the attendees for the cancelled
registration based on the refund policy. No commission shall be paid for cancelled
registration.
RC Alianzas Comerciales shall be informed of all discounted rates offered or planned to be
offered towards getting group registrations and such discounts shall not impact the
commission rates stipulated here in this agreement

Performance Standards

RC Alianzas Comerciales shall use its best endeavours to market and sell the registrations
to the Summit through direct means, primarily over the phone or face-to-face.

Reporting

RC Alianzas Comerciales shall email all new sales to Magenta Global on a daily basis.
RC Alianzas Comerciales shall also report on a biweekly basis highlighting:

Terms & Termination

As a sales agent, RC Alianzas Comerciales agrees not to reveal or knowingly transmit to

others any information regarding Magenta Global, its policies, practices and trade plans,
which are confidential and may be used in a manner detrimental to Magenta Global.

RC Alianzas Comerciales agrees not to represent any other parties or be involved in any
similar shows in Latin America for the duration of this Agreement.

Both parties will have the option to cancel this agreement with one month notice.
