DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale, made and entered into this


__________________ at ________________, Philippines, by and between:

MS. WANG LI HUA, of legal age, married, with postal address at Unit 30-C
Royal Plaza Twin Towers, 648 Remedios St., Malate, Manila, hereinafter referred
to as the SELLER

and

MR. WANG LIDUAN, of legal age, married, and with postal address at Unit
15A 1322 Golden Empire Tower Roxas Blvd. Ermita, Manila, hereinafter referred
to as the BUYER

WITNESSETH:

WHEREAS, the SELLERS is the legal registered owner of three


Condominium Certificates of Title (CCT) located at the 2 nd Floor of the Royal
Plaza Twin Towers, 648 Remedios St., Malate, Manila, specifically units 201, 202
and 203, covered by CCT nos. 61828, 61829, and 61830, respectively, with a
total floor area of 1,489.36 square meters issued by the Register of Deeds of
Manila (hereinafter referred to as the Property), more particularly described as
follows:

Condominium Certificate of Title No. 61828


2nd Floor: 201 Commercial Unit with an area of 471.81 square meters of the
Royal Plaza Twin Towers.

Condominium Certificate of Title No. 61829

2nd Floor: 202 Commercial Unit with an area of 471.81 square meters of the
Royal Plaza Twin Towers.

Condominium Certificate of Title No. 61830

2nd Floor: 203 Commercial Unit with an area of 545.74 square meters of the
Royal Plaza Twin Towers.

WHEREAS, the SELLER wishes to sell and the BUYER has agreed to
purchase the PROPERTY free from all liens and encumbrances of any kind and
nature;

NOW, THEREFORE, for and in consideration of the foregoing premises


and more particularly for the price of _______________________
(PHP______________________), Philippine Currency, the receipt whereof is
hereby acknowledged from the BUYER to the entire satisfaction of
the SELLERS, the said SELLERS does hereby sell, transfer and convey in a
manner absolute and irrevocable unto the said BUYER, their heirs and assigns,
the said PROPERTY including all the rights and interests in the common areas,
and the interests in the condominium corporation appurtenant to such
PROPERTY, and subject further to:

a) The provisions of the Condominium Act;

b) The Master Deed with the Declaration of Restrictions;


c) The Articles of Incorporation and the By-Laws of the condominium corporation;

d) The restrictions, limitations and easements of record;

e) The zoning or other restrictions upon the use of the property as may be
imposed by the Government and other government authorities having jurisdiction
over the same.

The payment of the capital gains tax due on the sale of the Property shall be for
the sole account of the SELLER. The documentary stamp taxes on the sale of
the Property from the SELLERS to the BUYER, transfer tax and the expenses for
registration of the Property in the name of the BUYER shall be for the sole
account of the BUYER.

IN WITNESS HEREOF, we have hereunto set our hands on the date and
at the place first indicated above.

page two (2) and on the left margin of the other pages, and refers to the Deed of
Absolute Sale covering two condominium units located at the 14TH Floor of Ayala
Triangle, Tower 1, Ayala Avenue, Makati City, Philippines and covered by
Condominium Certificate of Title Nos. 85306 and 85307, issued by the Register
of Deeds of Makati City
