Whereas,eachPartypossessesvaluabletechnical,businessandfinancialinformation
whichitkeepsconfidentialinordertoenhanceitsvalueandopportunitiesforfuture
commercialsuccess;and

Whereas,thePartiesdesirethattheydisclosetoeachothercertainofsuchinformationfor
thepurposeofinvestigatinganenhancedbusinessrelationshipbetweentheParties,but
maintainandprotecttheconfidentialityofsuchinformation.

Now,therefore,thePartiesagreeasfollows:

1. DefinitionofConfidentialInformation.ForpurposesofthisNDA,theterm
"ConfidentialInformation"ofaPartyshallmeanallinformationofeitherParty(the
Discloser)whichisdisclosedtotheotherParty(theReceiver)inoral,written,
graphic,recordedphotographicoranymachinereadableform,includingwithout
limitationallinformationwhichismarked"Confidential,""Proprietary,""Sensitive"or
inanothermannerindicatingitsconfidentialand/orproprietarynature,orwhich
wouldbeconsideredconfidentialbyapersonexercisingreasonablebusinessjudgment.
ConfidentialInformationisprovidedasiswithallfaults.InnoeventshallDiscloser
beliablefortheaccuracyorcompletenessoftheConfidentialInformation.

2. UseofInformation.ReceiveragreestomaintaintheconfidentialityoftheConfidential
Informationandnottodisclosesuchinformationtoanythirdparty,exceptas
authorizedbyDiscloserinwriting.Receiverfurtheragreestokeepconfidentialthe
factthatReceiveranditsrepresentativesarereceivingsuchConfidentialInformation
fromDiscloser.ReceivershalluseConfidentialInformationsolelyforitsinternaluses
onlyinfurtheranceofthepurposesetforthabove,andwillnotcopyorreproduce
ConfidentialInformation,exceptasrequiredtoaccomplishthepurposesforwhichit
wasdisclosed.

3. ProtectionofInformation.Receivershallusethesamedegreeofcarethatitusesto
safeguardtheconfidentialityofitsownproprietaryinformationthatitdoesnotwish

 disclosedtoanypersonorpersonsoutsideReceivertosafeguardConfidential
Information,butinnoeventlessthanordinarycare.Receivercovenantsthatsuch
degreeofcareisreasonablydesignedtoprotecttheconfidentialityoftheConfidential
Information.

4. ConfidentialityofNDAandPublicity.Exceptasmayberequiredbyapplicablelaw,
neitherPartyshalldisclosetoanythirdpartytheexistenceorcontentsofthisNDA
withoutthepriorwrittenconsentoftheotherParty.Nonewsrelease,public
announcement,advertisementorpublicityconcerningthisNDAshallbemadeby
eitherPartywithoutthepriorwrittenapprovaloftheotherParty.

5. ExceptionstoRestrictions.Receivershallnotbeliablefordisclosureofany
ConfidentialInformation,which:

5.1. wasinthepublicdomainatthetimeitwasdisclosed;

5.2. wasknowntoReceiveratthetimeofdisclosurebyDiscloserasevidencedby
writtenrecords;

5.3. isdisclosedwiththepriorwrittenapprovalofDiscloser;

5.4. isdevelopedbyReceiverwithoutanyuseoftheConfidentialInformationor
breachofthisNDA;

5.5 becomesknowntoReceiverfromasource,actingasamatterofright,otherthan
DiscloserwithoutbreachofthisNDAbyReceiver;

5.6. isdisclosedtoathirdpartybyDiscloserwithoutrestrictionssimilartothosein
thisNDA;

5.7. isdisclosedpursuanttotheorderofacourt,administrativeagency,orother
governmentalbody.Intheeventofanintendeddisclosureunderthis
subparagraph,ReceivershallgiveDiscloserwrittennoticeofsuchorderor
requirementassoonaspracticablepriortodisclosureoftheConfidential
InformationandshallreasonablycooperatewithDiscloserinanylegaleffortsto
opposesuchdisclosure.

6. CompliancewithLaw.ConfidentialInformationshallnotbeusedforanypurposeor
inanymannerthatwouldconstituteaviolationofanyapplicablelaworregulation,
including,withoutlimitation,theexportcontrollawsoftheUnitedStatesandlaws
prohibitingthetradingofsecuritiesbasedonmaterial,nonpublicinformation.

7. EmployeeObligations.Receivershalladviseitsemployees,contractorsoragentswho
mighthaveaccesstoConfidentialInformationoftheconfidentialnaturethereofand
agreesthatsuchemployees,contractorsoragentsshallbeboundbythetermsofthis

 NDA.NoConfidentialInformationshallbedisclosedtoanyindividualwhodoesnot
haveaneedforsuchinformation.ReceivershallnotdiscloseanyConfidential
InformationtoanythirdpartywithoutDisclosersexpresswrittenconsent.

8. PropertyRights.AllConfidentialInformation(includingallcopies)shallremainthe
propertyofDiscloserandshallbereturnedtoDiscloserafterReceiversneedforithas
expired,oruponrequestofDiscloserandinanyevent,uponterminationofthisNDA.

9. InjunctiveRelief.Receiveracknowledgesandagreesthatintheeventofanybreachof
thisNDAbyReceiver,including,withoutlimitation,theactualorthreatened
disclosureorunauthorizeduseofDisclosersConfidentialInformationwithoutthe
priorwrittenconsentofDiscloser,Discloserwillsufferanirreparableinjury,suchthat
noremedyatlawwillbesufficient.Accordingly,ReceiveragreesthatDisclosershall
beentitledtoinjunctiverelief,includingwithoutlimitation,specificperformanceof
ReceiversobligationsunderthisNDA,aswellassuchfurtherreliefasmaybegranted
byacourtofcompetentjurisdiction.

10. Term.ThisNDAiseffectiveasoftheEffectiveDate,andshallcontinueinforce,
unlessearlierterminatedbymutualagreementoftheParties,foraperiodofthree
years.

11. SuccessorsandAssigns.TheParties'rightsandobligationsunderthisNDAwillbind
andinuretothebenefitoftheirrespectivesuccessors,administratorsandpermitted
assigns.

12. Severability.IfanyprovisionofthisNDAisfoundbyaproperauthoritytobe
unenforceable,thatprovisionshallbeseveredandtheremainderofthisNDAwill
continueinfullforceandeffect.

13. Notices.AnynoticesrequiredorpermittedshallbegiventotheappropriatePartyat
theaddressspecifiedabove,oratsuchotheraddressasthePartyshallspecifyin
writing,andshallbeeffectiveuponactualreceipt.

14. Integration.ThisdocumentcontainstheentireagreementbetweenthePartiesasto
itssubjectmatterandsupersedesanypreviousorcontemporaneousunderstandings,
commitments,oragreements,oralorwritten,astosuchsubjectmatter.

15. Headings.AllheadingscontainedinthisNDAareinsertedonlyasamatterof
convenienceandinnowaydefineorexplaintheprovisionsofanyparagraphor
provisionofthisNDA.

16. GoverningLaw.ThisNDAshallbegovernedbythelawsoftheStateofIllinois,
excludingitschoiceoflawsprinciples.
