RELEASE AGREEMENT

I, the undersigned, hereby voluntarily and freely consent and authorize Santander Holdings
USA, Inc., its direct and indirect subsidiaries and all affiliates thereof (collectively,
"Santander") to make a photograph, film, audio recording and/or videotape of my or my childs
(as applicable) image, voice and/or performance occurring on or
about _____________________________, 20____, and/or to create written testimonial using
my or my childs(as applicable) image (collectively Materials), and to freely use such
Materials in whole or in part, for any and all
purposes determined by Santander in its sole discretion, including, without limitation, for
Santanders commercial and marketing purposes, all without any compensation to me. I also
consent to the use of my or my childs (as applicable) name, city or town and state in
connection with the Materials.
I acknowledge and agree that Santander shall be the sole and exclusive owner of any and all
right, title, and interest in and to the Materials, and may use or not use the Materials as
Santander determines in its sole and absolute discretion without affecting the validly of this
Agreement. Santander shall have the sole and exclusive right, among others, to edit,
reproduce, distribute, display, broadcast, publish, prepare derivative works based upon,
adapt, translate, enhance, and improve the Materials, in any manner and any medium, and
for all purposes and anywhere in the world without any additional consent or authorization
from me and without any compensation to me whatsoever. I acknowledge that my consent,
authorization and agreements made under this Release Agreement cannot be revoked.
I hereby release and give up any and all claims, actions and rights, which I may have against
Santander, its officers, employees and agents in connection with the use of the Materials,
including any rights, burden, rights of publicity, privacy, copyright, defamation or otherwise.
My release includes those claims, actions and rights of which I am not aware and those not
mentioned in this Release Agreement.

I am bound by this Release Agreement and have read and understand its terms. Anyone who
succeeds to my rights and responsibilities, such as my heirs or the executor of my estate, is also
bound. This Release is made for Santander's benefit and all who succeed to Santanders rights
and responsibilities.

This Agreement contains the entire understanding between the undersigned and Santander with
respect to its subject matter, may not be altered or waived or amended except by a writing
signed by both parties, and shall be governed by the laws of the Commonwealth of
Massachusetts.
