TERMINATION AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Termination Agreement (hereafter referred to as (Termination

Memorandum) is entered into this ____ day of ________________ 2015, in Tuguegarao
City, Cagayan by and between:

The DEPARTMENT OF HEALTH, Regional Office No.2 with office address at

Maharlika Highway, Carig Norte, Tuguegarao City, Cagayan, represented by RIO L.
MAGPANTAY, MD, PHSAE,CESO III in his capacity as DIRECTOR IV, hereinafter
referred to as FIRST PARTY;

-and-

The PROVINCIAL GOVERNMENT UNIT OF BASCO, BATANES with office

address at Basco, Batanes, represented by HON. VICENTE S. GATO in his capacity as
Provincial Governor, hereinafter referred to as the SECOND PARTY;

WITNESSETH

WHEREAS, sometime in 2013, a Memorandum of Agreement (MOA) was

entered into by the First Party and the Second Party for the purpose of implementing
the Health Facilities Enhancement Program in the Province of Batanes where the
amount of TWENTY THREE MILLION NINE HUNDRED THIRTY FIVE
THOUSAND SEVEN PESOS AND FIVE CENTAVOS (P23,935,007.05) had been
allocated to the following hospitals:

Itbayan District Hospital (IDH) ----------------- P 14,235,007.05

Sabtang Community Hospital ----------------- P 9, 700,000.00

WHEREAS, in June 2014, another MOA was entered into by the First Party with
the Municipal Government of Sabtang where the amount of P 9,700,000.00 had been
allocated for the Construction/Upgrading/Repair/Improvement of Sabtang
Community Hospital to be implemented by the said Local Government Unit;

WHEREAS, as a result of the execution of above-mentioned MOA there are now

two (2) contracts with seemingly different parties with respect to the implementer of the
project but the two MOAs have similar subject matter
(Construction/Upgrading/Repair/Improvement of Sabtang Community Hospital) and
consideration (allocated fund of P 9, 700,000.00);

WHEREAS, to remove all doubts as to which Memorandum of Agreement will

prevail and as to which of the two (2) Local Government Units will implement the said
project, there is a need to revoke/terminate one of the existing MOAs as mentioned;
 WHEREAS, in lieu of the provision of the 2013 MOA entered into by the two
Parties which provides for the mode of revocation of the said MOA, then the agreement
may be terminated by way of a mutual consent from both Parties to revoke the same;

WHEREAS, by virtue of the assent of the FIRST PARTY to the request of the
SECOND PARTY that the LGU of Sabtang will be the one to implement the
aforementioned project and that the fund be downloaded to the said LGU for its
management, henceforth ,there is a mutual intention of both Parties to terminate the
previous Memorandum of Agreement entered between and among them;

NOW, THEREFORE, it is hereby RESOLVED, that in consideration of the

above-mentioned premises, the Parties hereto mutually agreed that the 2013
Memorandum of Agreement entered into by the First Party and the Second Party is
hereby revoked and terminated;

RESOLVED FINALLY, to furnish a copy of this Agreement to the Municipal

Government of Sabtang for information and reference in the implementation of the
above-stated project;

IN WITNESS HEREOF, the Parties hereto set their hand this _____day of
_______2015 at Tuguegarao City, Philippines.
